Now it is hereby agreed as follows:

DEFINITIONS
"Supplementary Conditions of Contract" refers the supplementary conditions of contract included with the Invitation to
Offer.

"The Offer" refers all the terms of the Offer submitted by the (side B) as referred to in Recital

DURATION AND SCOPE

If the (side A) has exercised its option to extend this framework agreement under Clause ____, this framework
agreement shall continue in force until _____________ unless the (side A) no later than ____ months prior to
_____________ exercises by notice in writing to the (side B) its option to extend this framework agreement to
_____________.

OBLIGATIONS OF THE (side B)

The (side B) will accept orders pursuant to this Framework Agreement for _____________ from the (side A). The
(side B) agrees that the NHS listed legal conditions of Contract and the Supplementary Conditions of Contract shall
apply to all supplies of _____________ made by the (side B) to the (side A) pursuant to this Framework Agreement.

THE POSITION OF THE (side A)

The (side B) further accepts that this framework agreement may be superseded by a national framework agreement
for goods and/or services of the same type, provided that _____________ written notice is given by the (side A) of its
intention to participate in whichever such national framework agreement.

PRE-CONTRACTUAL STATEMENTS
with no prejudice to the generality of clause ____ the (side B) acknowledges that it has not been induced to enter into
this Framework Agreement by whichever indication as to the volume or content of Orders which might be placed by
the (side A).

ELECTRONIC PRODUCT INFORMATION

The (side B) warrants that the product information is and will be complete and accurate as at the date upon which it is
delivered to the (side A) and that the product information does not contain whichever INFORMATION or statement
which gives rise to whichever liability on the part of the (side A) following publication of the same in harmony with this
clause ____. In the event the Product Information ceases to be complete and accurate, the (side B) shall promptly
notify the (side A) in writing of whichever modification or addition to or whichever inaccuracy or omission in the
Product Information.

SALES INFORMATION
The (side B) shall keep at its normal place of business detailed, accurate and up to date records of the quantity and
value of the products/services sold by it to the (side A) pursuant to this Framework Agreement. Subject to whichever
other auditing process being agreed Involves the (side A) and the (side B) in writing, the (side A) shall be entitled by
prior appointment to enter the (side B)s normal place of business during normal office hours and to inspect such
records in order to verify whether whichever statement supplied by the (side B) to the (side A) pursuant to clause 9.1
is accurate and complete.

EQUALITY AND NON-DISCRIMINATION

The (side B) shall take all reasonable steps at its own expense to guarantee that whichever employees employed to
fulfill the (side B)s obligations under this Framework Agreement do not unlawfully discriminate in breach of whichever
Employment Legislation. In the management of its affairs and the development of its equality and diversity policies,
the (side B) shall co-operate with the (side A) in light of the (side A)s obligations to comply with statutory equality
duties. The (side B) shall take such steps as the (side A) considers appropriate to promote equality and diversity,
including race equality, equality of opportunity for disabled people, gender equality, and equality relating to religion
and belief, sexual orientation and age in the fulfillment of its obligations under this Framework Agreement.

TERMINATION
There is a change of ownership or control of the (side B) which, in the reasonable opinion of the (side A), will have a
material impact on the supply of the products/services the subject of this Framework Agreement or the image of the
(side A); or The (side B) purports to dispose of this Framework Agreement in breach of clause ____.

GENERAL
whichever notice to be given pursuant to this Framework Agreement shall be in writing and shall be deemed duly
served four days after it has been sent by pre-paid registered post to the address of the other side set out above or to
such other address as may be notified by the recipient to the sender for the reasons of this clause.
