Introduction

Clyde Union Pumps has over 140 years of experience in pumping


technologies and has a rich heritage of product brands. May 2007 saw the
formation of Clyde Pumps through the acquisition of Weir Pumps, a
long-standing engineering company with roots dating back to 1871.
Following was the acquisition of Union Pumps in November 2008, which
formed ClydeUnion Pumps. The joining of these companies brought
together some of the most respected products, people and heritage brands
in the business including the more recent addition, S&N Pumps, who
specialize in technologies for exploration and marine markets.

In December 2011, Clyde Union Pumps, became part of SPX


Corporation allowing SPX to grow its network of pump expertise and
operations including eight additional manufacturing facilities and 25
global service centres. The purchase of the company is consistent with
SPXs long-term strategy to expand its flow technology capabilities and
establish a global platform in the power and energy sector. The
ClydeUnion Pumps product range complements the existing SPX
portfolio of brands which include APV, Bran + Luebbe, Johnson Pump,
Plenty and Lightnin.

Clyde Union Pumps, an SPX Brand, is one of the world's leading
pump companies - a center of excellence in pump technology, hydraulic
design and engineering. We are structured to provide a specific focus on
each of our customer's key markets as well as providing full global
aftermarket support.

Building on the success of Clyde Pumps we acquired Union Pump


in 2008 and S&N Pump Company in 2010 and have now fully integrated
these companies into ClydeUnion Pumps. We now have an even stronger
team of people and truly global footprint to ensure our customers receive

HISTORY
OUR RICH PAST
ClydeUnionPumps, has at its base the two companies Clyde Pumps
and Union Pump. Both have a rich heritage and a history dating back
over 100 years.
With the acquisition of S&N Pump Company in October 2010, our
capabilities for offshore applications became much greater.

CLYDEPUMPS
In 1871, two brothers, George and James Weir, founded the
engineering firm of G. & J. Weir. From their Glasgow works, in
Scotland's central belt. They quickly established a reputation for
inventing pump and valve technologies that were utilized successfully on
ship engines, oil pipelines, desalination plants and power stations across
the world.

UNION PUMP
Since Union's inception in 1885 in Michigan, USA the company
has been creating class leading pumps for industries around the globe.
Union has incorporated the David Brown Pumps brand as well as its
significant capabilities when their Annecy operation was acquired, and
along with it the respected DB Guinard Pumps brand.

S&N PUMP COMPANY


Established in 1954, S&N Pump Co. has packaged seawater lift
pump systems and related accessories exclusively to the seawater market
for offshore applications since 1957. A provider of design, sales, service,

testing, and repair of seawater pumping equipment to the offshore
industry by offering safe, cost-effective, reliable, single-source solutions
for global seawater needs.

DUBAI, UAE, April 21 - 23, 2015 The SPX ClydeUnion Pumps


Uniglide-e range of axially split double entry pumps is helping users to
achieve class-leading improvements in efficiency while reducing their
maintenance downtime and costs.
The range was developed using the latest 3D and FEA software,
plus extensive input from key customers in the water treatment,
desalination and wider process industries. The design of the Uniglide-e
range is another example of engineering and innovation excellence from
SPX. The whole development process was geared towards making
Uniglide-e the class leading range on the market, running at high peak
efficiency.

As part of their continuous improvement program, SPX have


further enhanced the range efficiencies with alternative coatings and
PEEK (polyether- etherketone) composites. These pumps are pulling up
to 1.5MW, so even the smallest saving becomes very important in terms
of energy efficiency. The Uniglide-e range typically costs 30% less than
traditional split case ranges and is also physically smaller. Small size was

a key requirement of the design process, as space has always been at a
premium for water industry and desalination customers. Here the ability
of the Uniglide- e pumps to be mounted vertically is also proving
important to their market success, saving 70% of its horizontal footprint.

Modularisation was another key requirement for the SPX Uniglide-


e range: 48 individual pump frame sizes divided into seven modular shaft
groupings with standard cartridge bearing and seal assemblies. A huge
wealth of hydraulic experience from traditional split case models and
using the 3D and FEA software has allowed a reduction in the number of
major parts in each pump to just seven. As a result, maintenance becomes
a simple task for users, who dont have to pay a premium for this sort of
access or worry about health and safety issues. This is a big differentiator
for ClydeUnion Pumps, an SPX brand.

As an example, the split casing design simplifies maintenance by


allowing access to pump rotors without disturbing pipework or drivers. In
addition, cartridge bearings and seals can be changed in a fraction of the
time taken on a conventional axially split case product. Similarly, for the
economic renewal of operational clearances, replaceable metallic wear
rings are fitted as standard on cast iron units. These reduce pressure
leakage and improve the overall efficiency, while composite wear rings
are fitted as standard on the steel alloy units.

The traditional problem of radial thrust is reduced by utilising


double volute casing design on all but the smallest frames, leading to
improved efficiency, minimised vibration and extended seal and bearing
life. Current bearing life is typically over 100,000 hours.

Meanwhile a hydraulically balanced impeller designed with


optimised geometry provides high efficiency and low NPSH whilst

minimising axial thrust. This extends both bearing and seal life.
The ClydeUnion Pumps Uniglide-e range from SPX, which has already
won a British Pump Manufacturers Association Product Award, is
designed for both the 50Hz and 60Hz markets, with clockwise and
counter-clockwise rotation available. The pumps have a capacity of up to
4000 m/h and a delivery head of up to 200 metres. They can operate at
temperatures up to 80C and speeds up to 1800 rpm. A broad range of
materials are available for non-corrosive and corrosive applications such
as seawater. These include cast iron, stainless steel, duplex and super
duplex. Other materials are also available on request.

ASSESSMENT
OVERVIEW

The ClydeUnion Pumps technical services team deploys pump


system assessment methodology. The objective in this method of
assessment is to ensure a uniform and systematic approach in the
assessment of industrial pumping systems to identify opportunities for
reducing energy consumption and carbon emissions in line with
legislative and government targets. This method combines a consultative
approach with a thorough system energy and reliability audit utilizing our
full suite of testing equipment including flow and power meters, multi-
channel data logger, vibration analyzer, pressure transducers and
temperature gauge.

RE-ENGINEERING AND UPGRADING
OF 3RD PARTY PUMPS AND PARTS

OVERVIEW

The technical services team brings the benefit of ClydeUnion


Pumps OEM parts quality, problem solving and design expertise to any
brand of rotating equipment. By employing the same rigorous design,
upgrade and rapid manufacturing principles applied to ClydeUnion
Pumps OEM parts, significant benefits can be realized for non-
ClydeUnion Pumps branded and local replicator parts.

1. CONSULTATION
Prior to commencing the re-engineering programme our engineer will
meet with the client to understand how ClydeUnion Pumps can meet your
needs and improve upon the quality, delivery or part design.

2. LASER SCANNING OF PARTS


Hand-held laser scanning is the perfect solution for rapid scanning and
inspection of parts. Unlike surface mounted scanning arms the handheld
laser scanner is extremely lightweight and does not require to be mounted
to an inspection table. This allows quick deployment followed by rapid
and accurate scanning of parts on-site, in storage as well as in the
workshop. Rapid scanning of large parts and surfaces can be carried out
while maintaining accuracy on precision machined toleranced surfaces.

3. RAPID MANUFACTURE
For cast and turned parts the ClydeUnion Pumps Rapid Response process
can be employed for greatly accelerated manufacturing lead times in as
little as 24 hours for turned parts. For cast parts this process utilises rapid
3D pattern manufacture processes allowing patterns to be produced
directly from 3D CAD data.

4. ANALYSIS AND RE-ENGINEERING


Once the part is scanned and inspected the file will be electronically
transmitted the engineers report describing the condition of the part and
any operational improvement requirements discussed with the customer.
If required a full failure mode analysis report can be arranged at this stage
to better understand problems.
After an analysis and review by our design and improvement teams,
engineers then used to create a full manufacturing model and drawing of
the part.

CONDITION MONITORING

ClydeUnion Pumps extensive knowledge of pumps and pump


systems can be used in assisting with the specification of condition
monitoring to provide safeguarding of all pump equipment. Being able to
accurately determine when a pump requires an overhaul or when a
bearing may have failed is critical to ensure maximum cost savings and

NOTES FORMING PART OF THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31ST MARCH, 2017

1 SIGNIFICANT ACCOUNTING POLICIES

a) ACCOUNTING CONVENTIONS

The Financial Statements are prepared in accordance with historical cost


convention, modified by revaluation of certain fixed assets.

b) FIXED ASSETS AND DEPRECIATION

Fixed Assets are stated at cost except for certain assets which were revalued and
shown at valuation as per Valuer's Certificate.

Cost includes inward freight , duties , taxes and expenses incidental to


acquisition and installation. In respect of self-constructed fixed assets, cost
includes value of materials, labour and proportionate allocable overheads.

In respect of revalued assets the difference between written down value of


assets and its valuation is transferred to Revaluation Reserve.

No depreciation is provided on Freehold Land. Value of Leasehold Land is


amortized over the period of lease. In respect of other assets, depreciation is
provided in the Financial Statements on written down value method in respect
of assets acquired upto 31st December, 1969 and on straight-line method in
respect of other assets, at the rates prescribed in Schedule XIV of the
Companies Act, 1956.

Depreciation on differential increase in values arising out of revaluation is
recouped from Revaluation Reserve.

c) IMPAIREMENT OF ASSETS

The Company identifies impairable assets at the year end in accordance with
the guiding principles of Accounting Standard - 28, issued by the Institute of
Chartered Accountants of India, for the purpose of arriving at impairment loss
thereon, being the difference in the book value and the recoverable value of
the relevant assets. Impairment loss, when crystalises, are charged against
revenues for the year

d) INVESTMENTS

Non-Current investments are stated at cost unless there is a permanent


diminution in value.

e) INVENTORIES

Finished Goods and Components are valued at cost (Net of CENVAT Credit) or
net realizable value, whichever is lower.

Other inventories are valued at cost or net realizable value, whichever is lower.

Cost is determined on weighted average basis and includes expenditure


incurred in the normal course of business in bringing stocks and finished
goods to their location and condition including appropriate overheads
wherever applicable.

Cost of own manufactured components is determined by considering raw


material cost and proportionate share of labour and overheads.

Cost of Work-in-progress is determined by considering raw material cost plus
labour and overheads apportioned on an estimated basis depending upon the
stages of completion.

f) RESEARCH & DEVELOPMENT EXPENSES

Revenue Expenditure on Research and Development are charged to the


Statement of Profit and Loss of the year in which it is incurred. Capital
Expenditure is considered as addition to Fixed Assets and depreciated as
stated above.

g) FOREIGN CURRENCY TRANSACTIONS

Transactions in foreign currencies are recorded in rupees by applying the


rate of exchange ruling on the date of the transaction.
Monetary items denominated in foreign currencies at the year end are restated
at year end rates. In case of items which are covered by forward exchange
contracts, the difference between the year end rate and rate on the date of the
contract is recognised as exchange difference and the premium paid on
forward contracts is recognised over the life of the contract.
Non-monetary foreign currency items are carried at cost.
Gain or Loss on settled transactions are recognized in the Statement of
Profit and Loss except for purchase of fixed assets which are adjusted to
carrying amount of fixed assets. Unsettled transactions as at the year end are
translated at the closing rate and the gain or loss is recognized in the
Statement of Profit and Loss except for liabilities incurred for purchase of
fixed assets which are adjusted to the carrying amount of fixed assets.

h) RETIREMENT BENEFITS

The Company contributes to Provident Fund and Superannuation Fund which


are administered by duly constituted and approved independent
Trust/Government and such contributions are charged against revenues every
year.

Accrued liability in respect of retirement gratuities are actuarially ascertained at the


year end as per the requirement of Accounting Standard 15 (Revised) on
Employee Benefit. The Company has created a Gratuity Fund under Group
Gratuity Scheme of L.I.C.I. under which yearly premium is being paid to take care
of current as well as past liability. The annual premium is charged to the Financial
Statements.

Accrued liability in respect of leave encashment benefits on retirement is


actuarially ascertained at the year end as per the requirement of Accounting
Standard 15 (Revised) on Employee Benefit and provided for in the Financial
Statements.

i) INCOME

Turnover is stated inclusive of discounts, but net of sales tax and excise duty and
represents the invoiced value of goods delivered during the year.

Income from installation and servicing is recognized in the Financial Statements


on completion of the job or as per stipulations in the contract and the
expenditure incurred but not invoiced is carried forward as work-in-progress.

j) FINANCIAL DERIVATIVES AND HEDGING TRANSACTIONS

Financial derivatives and hedging contracts are accounted for on the date of their
settlement, and realized gain/incurred loss in respect of contracts is recognized
in the Statement of Profit and Loss alongwith the underlying transactions

k) BORROWING COST

Borrowing cost incurred in relation to acquisition or construction of assets


which necessarily takes substantial period of time to get ready for intended use
are capitalized/allocated as part of such assets. Other borrowing costs are
charged as expenses in the year in which they are incurred.

l) TAXES ON INCOME

Tax expense comprises of current and deferred tax. Current income tax is
measured at the amount expected to be paid to the tax authorities in accordance
with the Indian Income Tax Act. Deferred income taxes reflects the impact of
current year timing differences between taxable income and accounting income for
the year and reversal of timing differences of earlier years.

Deferred tax is calculated at current statutory income tax rates as applicable and
is recognised on timing difference between taxable income and accounting
income that originate in one period and are capable of reversal in one or more
subsequent period. Deferred tax assets subject to consideration to prudence are
recognised and carried forward only to the extent that there is reasonable
certainty that sufficient future taxable income will be available against which
such deferred tax assets can be realized.

PROVISIONS, CONTINGENT LIABILITIES AND CONTINGENT
ASSETS

Provisions involving substantial degree of estimation in measurement are


recognized when there is a present obligation as a result of past events and it is
probable that there will be an outflow of resources. Contingent liabilities are not
recognized butare disclosed in the Notes. Contingent Assets are neither
recognized nor disclosed in the Financial Statements.

Cost of Product Warranties including provisions are included under the head
Miscellaneous Expenses, which includes cost of raw materials and
components for free replacement of spares, and other overheads.
