Bridging the gap in health care services through research and training.

ARTICLE 2.0: MISSION STATEMENT OF THE ORGANIZATION


To make a difference to a health care services by bridging the gaps in health care services through
research and training in line with highest professional clinical standards and sharing knowledge to
promote health development.

ARTICLE 3.0: MOTTO OF THE ORGANIZATION


Your health is your wealth. Have valor/braveness to seek correct testing for a correct treatment.

ARTICLE 4.0: AIMS / GOALS


To establish a well facilitated health centre / organization that makes a difference to health care
service delivery
To abate that vicious cycle of abject poverty in the community by combating diseases through
testing and treating, educate the community in line with primary health care activities.

ARTICLE 5.0: CORE VALUES (FUNDAMENTAL VALUES)


Equity, effectiveness, efficiency, Integrity, professionalism, teamwork, consistency, honesty and
transparency and excellence, fraternity, cooperation,passion,quality,leadership.

ARTICLE 6.0: OBJECTIVES


1. Easy accessibility of health care services by the natives in the community.
2. To provide an employment to the community
3. To create a network of health laboratories in the community alongside the existing health
centers so as to provide the services in the community i.e promote professionalism in
medical laboratory technology testing services for patient care and research.
4. To control disease infections and prevent its occurrence in a community.
5. To promote high standards in medical laboratory science education.

6. To promote knowledge of medical laboratory science through meetings, seminars,
discussions, reports and publication
7. To promote the advancement of the health of the generality of Ugandans through efficient
and cost efficient medical laboratory services.
8. To harness the resources, rights, privileges and opportunity occurring to medical laboratory
scientist and ensure that such rights, privileges, opportunities and resources are equitably
applied for the collective benefit of the public.
9. To promote understanding amongst the various health professionals based on equity,
mutual respect and shared historical past.
10. To mobilize medical laboratory scientist towards self actualization through the
development of talents and creative application of skills.
11. To uphold the professional code of conducts as laid down by the medical laboratory science
council of Uganda “MLSCU”
12. To promote the welfare of the members of the association.
13. To collaborate with the other national organization, bodies or agencies anywhere in the
country with similar aims and objectives.
14. To initiate, participate and advice governmental and non governmental organization on
programs, legislation and policy matters related to health care delivery systems.
15. Generally to do such other thing(s) as may be necessary to attain the association’s aims and
objectives.

ARTICLE 7.0: PREMEABLE OF THE ORGANIZATION


 Conscious of the role of Medical laboratory science in the development and improvement
of the Uganda and global health care system.

 Conscious that today’s wild variety of diagnostic approach has imposed on laboratory
scientists that major task of selecting the procedures, equipments and strategies most
appropriate to the need of their work.
 Conscious that inter dependence and collaboration amongst members of the medical team
is sinequanon to effective health care delivery.
 Conscious that youths constitute the backbone of a nation’s building provided the principle
of peace, Unity, equity and love are truly and dully fostered.
 Conscious that the benefits of the highest attainable standard of health is one of the major
fundamental rights of every human being.
 Realizing the need of an all embracing association of St. Stephen Pamoja and Umoja
Medical Laboratory organization (members) in Tororo Uganda for the purpose of
promoting the welfare of the members not annexing their enthusiasm.
 Having realized theses, and being proud and profound of our profession, we members of
St. Stephen Pamoja and Umoja medical laboratory organization, hereby unanimously
adopt, enact and give to ourselves and posterity the following constitution.

St. Stephen Pamoja and Umoja medical laboratory centre is a private (non – governmental medical
organization / centre that is an association of medical laboratory personnels by profession /
professional team of medic both men and women who are medically oriented.

The name of St. Stephen was taken from the story of Stephen found in the sixth and seventh
chapters of the book of Acts in the Bible. Stephen was the man with great faith and full of Holy
Spirit chosen for a special work. This is how the medical centre / organization were christened. So
Stephen being so profound, reverential and fastidious (careful), the organization is bestowed and
dedicated to him. All success of the organization is ascribed to him.

Pamoja and Umoja are Kiswahili words that mean together and oneness. So being together as one
team leads to a spirit of sense of belongings that fosters teamwork hence making a bridge to health
care services in a community.

St. Stephen Pamoja and Umoja medical laboratory centre is being regulated by the Uganda Allied
Health professional council. The organization complies with the guidelines of ministry of health
and the organization unit will be reserved with rights of patients / clients as provided for in the
constitution of Uganda Allied health professional council and the constitution of the Republic of
Uganda.

ST. Stephen Pamoja and Umoja is a private not for profit medical organization. The Headquarter
of the organization shall be located in Malaba Town Council in Tororo District – Uganda

ARTICLE 8: COULOUR/LOGO OF THE ASSOCIATION


1. The colour of ST. Stephen Pamoja and Umoja medical laboratory centre (organization)
shall be green, red and yellow.
a. The green: Symbolizes the life – saving nature of the profession.
b. The red: Symbolizes the pathological state of patient.
c. The yellow: Symbolizes the golden, precious and fertile ground of the profession.

2. The logo:
The logo of the association shall consists of an open book which is inscribed the acronym
ST. STEPAUMLA, a microscope and test tube above a lighted Bunsen burner, all enclosed
in a circle which repose on a large rock.
a. The open book, the microscope and the test tubes above a lighted Bunsen burner signify
that knowledge of the practice is diligently acquired during the course of academic training.
b. The circle signifies that all the activities of the association are within the limit of
professional practice.
c. The rock signifies the solid base upon which the profession is built and as well as a bed
rock to modern medicine.

3. Colour of the logo


The open book shall have white background and designed with black margin. The
inscription on it shall be in red and black margin.
a. The microscope shall be black.
b. The Bunsen burner shall have a red flame and designated in black with a white background.

c. The inner circle with yellow background shall have a green margin with the name of the
association inscribed around it on a white background and enclosed by the margin at the
outer circle which shall also be in green.
4. Emblem
The emblem of the association shall be a plaque on which is curved the logo of the
association.

ARTICLE: 9.0: OWNERSHIP OF THE ORGANIZATION / STAKE HOLDERS OF THE


ORGANIZATION.
St. Stephen; Pamoja and Umoja medical laboratory centre is owned by Odokonyero Stephen
Pamoja (CEO) UAHEB/09/103/10, Registration no. 21627 and Akullu Jennifer.(CFO). The
owners / stake holders are registered medical laboratory personnels under the umbrella of Uganda
Allied Health Professional councils with the above registration numbers.

The owners shall be the chairpersons of the organization with full powers, duties and
responsibilities and authorities.

ARTICLE 10.0: SOURCE OF FINANCE / FUNDING


St. Stephen; Pamoja and Umoja medical laboratory centre / organization funding / finance shall be
received from:

 Personal money and salaries.


 Loans from financial institutions.
 Donation from well wishers.
 Grants from government.
 Patient / client bill.
 Fines from members.
 Revenue from guest house.

ARTICLE 11.0: ESTABLISHMENT, COMPOSITION OF THE ORGANISATION
THEIR FUNCTIONS AND THE BOARDS
1. The organization shall consist of chairperson, a deputy chairperson, secretary, deputy
secretary, speaker and treasurer. OR
The organization shall consist of chairperson, deputy chairperson and six other members
appointed by the chairperson.
2. A person is not qualified to be appointed a member of the organization unless he/she is of
high moral character and proven integrity
Organization chairperson
1. There shall be organization chairperson who shall:
a. Be the overall head of the organization
b. Preside at the meetings of the executive committee of the organization.
c. Monitor the general administration of the organization.
d. Coordinate the activities of organization unit
e. Perform such other functions as members may prescribe.
f. Shall be the principal signatory to the account of the organization.

2. The vice chairperson shall be a person nominated by the organization chairperson from
among members of the organization and approved by two-third (2/3) of all members of the
organization.
3. The secretary shall be nominated by the chairperson from among members of the
organization and approved by a majority of all members of the organization.
4. The vice chairperson shall deputize for the chairperson and shall perform such other
functions as may be assigned to him or her by the chairperson.

ARTICLE 12.0:FUNCTION OF EACH COMPONENT


A. CHAIRPERSON: The chairperson shall have:
i. Power to investigate, cause investigation, arrest, cause arrest, prosecute or cause
prosecution in respect to cases involving corruption, abuse of authority or of
organization office.

ii. Power to enter and inspect the premises or property of any department of organization,
person or of any authority, to call for, examine and where necessary, retain any
document or item in connection with the case being investigated, found on the premises
and may in those premises, carry out any investigation for the purpose of its function.
iii. Powers to enforce leadership code of conduct in the organization
iv. Powers to discharge his/her function effectively or efficiently and in particular to
ensure that the discharge of that function is not frustrated by any person or authority.
v. Have signatory to the accounts of the organization / shall be the principal signatory to
the organization’s bank.
vi. Shall be the overall head of the organization.
Function of vice chairperson / vice president
The vice chairperson shall deputize for the chairperson and shall perform such other
functions as may be assigned to him / her by the chairperson.

B. SECRETARY: Shall:
i. Record the minutes of all meetings of the board.
ii. In consultation with the chairperson / president convene a meeting of the organization.
iii. Sign deeds, documents, cheques and other instruments as articulated by these
provinces.
iv. Be a signatory to the bank account.
v. Do all other duties as the organization shall determine from time to time.
vi. The secretary shall have his/her deputy/vice that shall deputize him or her and shall
perform such other functions as may be assigned by the secretary.

C. TREASURER (FINANCE MINISTER)


i. Shall be responsible for preparations and presentation of financial reports to the general
meeting.
ii. Shall advise on financial matters and present them in the annual budgets.
iii. Shall sign cheques, drafts etc with other signatories under these provision.
iv. Shall perform all other functions as are incidental to his/her office which the committee
may direct or assign most especially those related to finance.

v. Shall have deputy treasurer who shall deputize him/her

D. SPEAKER AND VICE SPEAKER

E. INTEREST STAFF REPRESENTATIVES


Support staff committee in the routine execution of the activities and all other duties as
may be assigned by the executive committee from time to time.

ARTICLE 13: PROPERTY OF THE ORGANIZATION


13:01: The property of the organization shall rest in the stakeholders who are chief executive
members and the founding members of the organization.

13:02: No member shall have any assignable transferable interest or mandate in the property of
the organization and in case the dissolution of the organization, all assets of the organization shall
be transferred to other organizations with similar objectives.

ARTICLE 14: FINANCE / FINANCIAL PROVISIONS


14:01: All finances of the organization shall be kept on the official bank account of the
organization and only withdrawn by the official signatories under the mandate and approval of the
stakeholders who are chief executive committee.
14:02: All expenditure shall be in conformity with the designed annual work plan and budgets.
14:03: All records of finances shall be kept under the custody of the treasurer.
14:04: All loans and other sensitive financial matters shall be handled and approved by the
stakeholders who are the founding members
14:05: The stake holders shall decide upon the amount to be paid for wages and allowances to
members.

ARTICLE 15: CONVENING EXECUTIVE AND GENERAL MEETINGS


15.01: Members of the executive committee shall meet together for the dispatch of business,
adjourn and otherwise regulate their meeting as they all fit. Questions arising at any meeting shall

be decided by majority of votes of the executive members present. In case of voting, the
chairperson shall have second or cast a vote incase of a tier.
15.02: The quorum for transaction of business of the executive committee shall be at least 1/3 all
members of the committee.
15.03: Executive meetings shall take place at least not later than two (2) months or at any interval
that the committee deems necessary.
15:04: If an executive member is absent from the meeting for three consecutive meetings without
any official communication pertaining his/her absence, he/she will be issued with a warning letter,
if he/she does it again, a disciplinary action shall be undertaken.
15.05: The chairperson / stake holders shall preside over all meetings of the executive committee
and the general meetings
15.06: The secretary in consultation with the chairperson shall convene a meeting and prepare a
venue, an agenda and organize all other documents in the meetings.

ARTICLE 16: DUTIES / RIGHTS OF MEMBERS IN THE ORGANIZATION


16.01: It is the duty and rights of every member in the organization to:
 Respect the rights and freedom of others.
 Protect others against any form of abuse, harassment or ill – treatment.
 Protect and preserve the organization property.
 Combat / abate corruption and misuse of wastage of organization property.
 Cooperate with other members in the organization.
 Create and protect a clean and healthy environment.
 Perform such other duties and obligation as may be prescribe by the stake holders.
16.02: The stake holders / executive committee may be in the case of any duty or obligation under
clause (1) prescribes a penalty for contravention of that duty or obligation.

ARTICLE 17: PROTECTION FROM FORCE LABOUR


17.01: No person shall be required to perform forced labour.
17.02: For the purpose of this article, “forced labour” does not include:

a. Any labour reasonably required as part of reasonably and normal communal or other civic
obligation.
b. Any labour required of a member of a disciplined organization as part of that member’s
duties as such, any labour which that person is required by law to perform in place of that
service.
c. Any labour required in consequence of the sentence or order of a court.
d. Any labour required during any period when the organization is at/in case of any
emergency or calamity which threatens the progress and wellbeing of the organization to
the extent that the requiring of the labour is reasonably justifiable in the circumstances of
any situation arising or existing during the period or as a result of emergency or calamity,
for the purpose of dealing with that situation.

ARTICLE 18: RIGHT TO EDUCATION


18.01: All people in the organization have rights to continuous education. Medical staff has
right to continuous medical education while non – medical staff have rights to any form of
education.

ARTICLE 19: RIGHTS OF WOMEN


19.01: Women in the organization shall be accorded full and equal dignity of the person with
men.
19.02: The organization shall provide opportunities and facilities necessary to enhance the
welfare of women to enable them to realize their full potential and advancement.
19.03: The organization shall protect women and their rights, taking into account their unique
status and natural maternal functions in society.
19.04: Women shall have the right to equal treatment with men and that right shall include
equal opportunities in political, economical and social activities in the organization.

ARTICLE 20: ORGANIZATION PLANNING AUTHORITY


20.01: There shall be an organization planning authority whose composition and function shall
be prescribed by the stake holder and other executive committee of the organization.

ARTICLE 21: ENVIRONMENT AND DEVELOPMENT
21.01: Protection and preservation of the environment. The organization shall by law provide
for measurers intended:
a. To protect and preserve the environment from abuse, pollution and degradation.
b. To manage the environment for sustainable development.
c. To promote environmental awareness.

ARTICLE 22: PROJECT (ORGANISATION) ENGINEER


22.01: Engineer of the organization
There shall be an engineer who shall be appointed by the stake holders with the approvals of
the executive members.
22.02: A person shall not be appointed an Engineer of the organization unless that person:
a. Is a qualified and recommended engineer of not less than ten (10) years’ standing.
b. Is a person of high moral character and proven integrity
c. Is competent.
22.03: The engineer shall carryout architectural drawing estimating bills of quotation
(quantity) and other engineering services required by the organization.
22.04: The salary and allowances payable to the engineer shall be charged upon agreement
between the organization and the engineer.
22.05: The engineer may be terminated / removed from the organization by the stake holders
only for:
a. Inability to perform the function of his/her office arising from infirmity of body or mind.
b. Misbehavior or misconduct or mismanagement
c. Incompetence

ARTICLE 23: RIGHT TO JUST AND FAIR TREATMENT IN ADMINISTRATIVE


DECISIONS.
Any person appealing before any administrative official or body has a right to be treated justly
and fairly and shall have a right to apply or make request to the stake holders through the
secretary, speaker in respect of any administrative decision taken against him/her.

LOANS AND GRANTS
Subject to the provision of this constitution and with the approval of the stake holders
(founding bodies), the organization may for the purposes carrying out of its functions and
services, borrow money or accept and use any grant or assistance as stake holders (founding
bodies) shall prescribe.

ARTICLE 24: RIGHTS OF PERSONS WITH DISABILITIES


24.01: Persons with disabilities have a right to respect and human dignity, the organization
shall take appropriate measures to ensure that they realize their full mental and physical
potential.
24.02: The organization shall enact laws appropriate for the protection of persons with
disabilities.

ARTICLE 25: RIGHT TO A CLEAN AND HEALTHY ENVIRONMENT


25.01: Every member of the organization has a right to a clean and a healthy environment.

ARTICLE 26: ADVISORY BOARDS


26.01: For the purpose of advising the council of the organization on policy and other matters
relating to the functions of the organization, there shall be a board in respect to that of the
organization as follows:
a. A dentistry board to cater for department of dental health (for public health dental officers
and dental technologist)
b. A medical clinical officer’s board to cater for medical clinical officers department i.e an
aesthetic clinical officer, ophthalmic clinical officer and psychotic clinical officer.
c. A medical laboratory technology board to cater for laboratory technologist and laboratory
technicians.
d. A pharmacy board to cater (anticipate) for dispensers.
e. An orthopedic technology board to cater and anticipate for department of orthopedic
clinical officers and orthopedic technicians.

f. A physiotherapy board to anticipate and cater for physiotherapists and occupational
therapists.
g. A public health board, to cater for health inspectors, health assistants and assistant field
officers for entomology
h. A radiography board to cater for radiographers.

26.02: Each board shall consist of:


a. Not less than six and not more than nine persons elected and appointed by various members
and approved by the stake holder.
b. The relevant heads of the department in the organization approved by the stake holders.
26.03: The function of each of the board shall be to advise the organization on policy and other
matters, including training, relating to the relevant allied profession of each board.
26.04: A member of a board shall hold office for a period of three years from the date of
appointment and shall be eligible for reappointment.
26.05: A member of a board may resign office by writing under the member’s hand addressed
to the board chairperson (stake holders) or may be removed from office by the stake holders
for inability to perform the functions of the office of the members of the board.
26.06: Meeting of the advisory boards shall be as is provided in the schedule of this act.

26.07: FUNCTIONS / DUTIES AND RESPONSIBILITIES


1. Post: Public health dental officer:
Salary scale: U4
Reports to senior public dental officer
Qualification: Must have a diploma in public health dentistry from a recognized
institution.
Duties and responsibilities
 Participate in the planning, budgets, monitoring and evaluating public dental health
activities.
 Manages and accounts for allocated resources.
 Requisition for equipment and other supplies
 Ensure that equipment is secure, functional and well maintained.

 Managed and accounts for allocated resources.
 Ensures safety measures against hazards.
 Participates in safety assurance to laboratories.
 Participates in research.
 Adheres to the relevant codes of conducts.

3. Post: Anesthetic officer


Salary scale: U5
Reports to senior Anesthetic officer
Qualification: Must be a trained clinical officer or a registered nurse / midwife or
comprehensive nurse.
Must have a diploma in Anesthesia from a recognized institution.

 Carries out antenatal care with emphasis of identifying risk cases and refer them to doctors.
 Provides care during labour with emphasis of keeping proper records, use of drugs and
prevention of complications to mother and baby.
 Provides care during puerperium with emphasis on prevention of inflection and advises on
breast feeding and infant nutrition.
 Participates in bedside nursing procedures as a member of the caring team.
 Participates in doctors / clinical officer ward rounds

Reports to senior theatre assistant.
Qualification: Must have “O” level certificate with at least passes in Biology / health
science, chemistry, physics and English language.
Must have a certificate in theatre techniques or its equivalent from a recognized institution

a recognized institution.

 Participates in a continuous nursing coverage on wards / units by receiving reports and
effectively handing over to in coming shift.
 Keeps patients comfortable and ensure a clean and safe environment.
 Gives out treatment as prescribed and carryout nursing procedures.
 Carries out observations, keeps proper records and ensure their safe custody.
 Participates in doctors / clinical officers’ ward round
 Receives patients, registers admission and discharges.
 Ensures that aseptic techniques are adhered in the preparation procedures.
 Ensures confidentiality.
 Carries out health education to patients and their attendants.
 Participates in primary health care activities.
 Perform any other duties as may be assigned from time to time.

11. Post: Enrolled psychiatric nurse


Salary scale: U7
Reports to senior Psychiatric nurse.

 Participates in designing, treating and managing patients with eye condition.
 Mages and accounts for allocated resources.
 Refers complicated eye condition to senior ophthalmic clinical officer.
 Assist in management of static and mobile eye unit.
 Carrie out equipment maintenance and ensures that they are functional and secure.
 Compiles and submits periodic reports.
 Adheres to the relevant code of conducts and ethics.
 Perform any other duties as may be assigned from time to time

13. Post: Health information assistant
Salary scale: U7
Reports to Bio – statistant.
Qualification: Must have “A” Level certificate with principal passes in Science subject or
economics / mathematics.
Basic qualification if computer sciences, a certificate in medical records are added
advantage.

Duties and responsibilities


 Compiles statistical information on disease patterns and submits it to the biostatistician or
any other authorized officer.
 Manages and accounts for allocated resources.
 Keeps all relevant health records.
 Collects and analyses all health records and makes due reports on them.
 Retrieve files for authorized health workers and researchers.
 Imparts knowledge to the junior staff
 Adheres to the relevant code of conducts and ethics.
 Compiles and submits periodic reports.
 Perform any other duties as may be assigned from time to time

NB: Good communication, interpersonal team building and analytical skills is required from
all the staff.

ARTICLE 27: MANAGEMENT AND STAFF OF THE ORGANISATION


27.01: The secretariat.
The organization shall have a secretariat to assist it in carrying out its functions under this act.
27.02: Registrar of the organization.
i. There shall be a registrar of the organization who shall be an officer of the organization
appointed by stake holders from among the members.
ii. The office of the registrar shall become vacant if:

a. The registrar resigns office by writing addressed to the stake holders.
b. In the opinion of the committee, the registrar becomes incapable of performing the
duties of registrar by reasons of infirmity of body or mind or other sufficient cause and
is removed from office by the stake holders.
c. The registrar if found by the committee guilty of professional misconduct.

27.03: Functions of the registrar


1. The registrar shall be the executive officer of the organization and the head of he secretariat
and as such shall:
a. Keep and maintain the registers of the allied / medical professionals
b. Make necessary alterations and corrections in the registers in relation to any entry as may
be directed by the committee and stake holders from time to time.
c. Remove from any registrar:
i. The name of any person ordered to be removed under this act.
ii. The name of a deceased member.
iii. Any entry which may have been incorrectly or fraudulently made in the registrar.
iv. With the consent of the person concerned the name of person who has ceased to practice.
d. Reinstate a name removed from the register for a specified period and at the request of the
person concerned, after payment of the prescribed fees.
e. Inspect and have full access to the premises.
f. Implement the decision of the committee and the stake holders of the organization.
g. Perform any other duty or function that may be required as the committee may direct.
2. The registrar shall be the secretary to the organization and as such shall be responsible for
recording all the minutes of the meetings of the organization and its committee and shall
keep custody of all records and documents of the organization.
27.04: There shall be a deputy registrar who shall be an officer appointed by stake holders
from among the members.
Section 30.02(ii)(a) shall apply to the deputy registrar
The deputy registrar shall carry out the duties that the registrar shall assign to him/her and the
deputy registrar may deputize the registrar in all his/her duties.

ARTICLE 28: OTHER STAFF
The organization shall have such other officers and employees as may be appointed by the
committee and stake holders of the organization.

ARTICLE 29: SCHEDULE SEAL AND MEETINGS OF THE COMMITTEE AND


MEETING OF ADVISORY BOARDS.
29.01: Seal of the committee
i. The seal of the committee shall be kept under the custody of the registrar.
ii. The affixing of the committee/council on any document shall be authenticated by the
signatures of the chairperson/stake holders and the registrar and their signatures shall not
be required to be witnessed by any other person.
iii. A document purporting to be an instrument issued by the organization and sealed with the
seal of the committee/council and authenticated in the manner provided by sub paragraph.
iv. Shall be deemed to be a valid instrument and admissible in evidence without further proof
unless the contrary is shown.

29.02: Vice chairperson:


The members of the organization shall elect one of the members to be the vice chairperson.
29.03: Meeting of the committee
29.04: Quorum:
The quorum at a meeting of the council/committee shall be half of the members.
29.05: Decision of the committee
All questions proposed at a meeting of the council shall subject to the quorum being present,
be decided by a majority of the votes of the members present and in the event of equality, the
person presiding shall have a second or casting vote in addition to his deliberate vote.

29.06: Disclosure of interest


a. A member of the organization who has a direct or indirect pecuniary interest in a matter
being considered or about to be considered by the committee shall, as soon as possible,
after the relevant facts have come to his/her knowledge, disclose the nature of his/her
interest to the committee.

b. A disclosure of interest under subsection(a) shall be recorded in the minutes of the meeting
of the organization and the member making such disclosures shall not: unless the
committee other wise determines in respect of that matter
i. Be present during any deliberations on the matter by the committee.
ii. Take part in the decision of the committee.
iii. For the purpose of the making of a determination by the organization/committee under sub
paragraph (2) in relation to a member who has made a disclosure under sub paragraph(1)
the member who has made the disclosure shall not:
a Be present during the deliberations of the committee for the making of that determination.
b Influence any other member or take part in the making by the committee of the
determination.

29.06: Minutes of meetings


The committee shall cause the minutes of all proceedings of its meetings to be recorded and
kept and the minutes of each meeting shall be confirmed by the committee at the next meeting
and signed by the chairperson of the meeting.
29.07: Regulation of the proceeding
Subject to the act and this schedule, the council any regulate its own proceedings.
29.08: Meeting of a board
1. The board shall meet at times and places that the stake holders/board shall not at least once
in two months.
2. The quorum of a board shall be half of all members of the board.
3. In all other aspects, the provisions of the meetings of the organization shall apply to the
meetings of the board.

ARTICLE 30: SUPERVISORY AUTHORITY


30.01: The stake holders/chairman may in respect of the organization appoint a senior
registered professional to be the supervisory authority to the organization and any branch of
the organization
30.02: It shall be the duty of a supervisory authority:

a. To exercise general supervision over all the team members in accordance with the rules
made under this act.
b. To investigate charges of negligence or misconduct against a professionals and other team
members and make a full report to the disciplinary committee/stake holders of the facts and
circumstances of the charge.
c. To report to the stake holders / disciplinary committee the names of team member convicted
of an offence and the nature of the offence committed as soon as possible after the conviction.

ARTICLE 31: SERVICES OF THE ORGANIZATION


St. Stephen Pamoja and Umoja medical laboratory centre being regulated by the Allied Health
professional council of Uganda and Ministry of Health is dedicated and committed to
delivering the following health services proximate/closer to the community.
 Medical laboratory cervices
 Antenatal care
 Dentistry
 Dispensary
 Counseling and guidance
 X-ray
 Ophthalmology
 First Aid
 Admission
 Circumcision
 Physiotherapy
 Ultra sound scanning
 Family planning
 Immunization
 Psychiatric clinic
 Maternity services.

ARTICLE 32: MEMBERSHIP OF THE ORGANIZATION
Any body is entitled to be a member of St. Stephen; Pamoja and Umoja medical laboratory
centre (organization) with profession or without profession.
The organization welcomes and assimilates everyone to participate productively,
progressively, proactively and pragmatically in delivering health care services to the
community since health is the blue print and the gateway to wealth and one other way of
abating vicious cycle of abject poverty in the community.

a. Medical professional entry requirement for being a member:


i. Laboratory personnel shall:
Have a University degree, diploma, certificate or its equivalent from a recognized
institution.
Be registered with the Uganda Allied Health professional councils and have practicing
licenses.
ii. Dental officer shall:
Have a University degree, Diploma, certificate or its equivalent from a recognized
institution.
Have registration certificates and practicing licenses.
iii. Nurses shall be:
Registered with the nursing council
Have a University degree, Diploma, certificate or its equivalent from a recognized
institution.
Have practicing licenses

iv. Public health nurse shall:


Have a diploma in public health from a recognized institution
Have certificate of registration.
v. Anesthetic officer and Anesthetic assistant shall:
Be a trained clinical officer or a registered nurse/midwife/comprehensive nurse.
Have higher diploma in Anesthesia from a recognized institution.

For Anesthetic assistant shall have ordinary diploma in anesthesia from a recognized
institution.
vi. Nursing officer (psychiatry) shall:
Have a University degree, diploma, certificate or its equivalent from a recognized
institution.
vii. Midwifery:
Shall have a diploma from a recognized institution.
viii. Clinical officer shall:
Have a University degree, diploma in clinical medicine and community health or its
equivalent from a recognized institution.
Be a registered clinical officer with practicing licenses under the Uganda Allied Health
professional councils.
ix. Enrolled nurse
Shall have an enrolled nurse or enrolled comprehensive certificate from a recognized
institution.
x. Enrolled psychiatric nurse
Shall have an enrolled nurse certificate from a recognized institution.
xi. Ophthalmic clinical officer shall:
Be registered clinical officer or registered nurse/midwifery/comprehensive nurse.
Have diploma in ophthalmology from a recognized institution.
xii. Health information assistant shall:
Have “A” Level certificate with principal passes in science subject or economics /
mathematics.
Have basic qualification in computer sciences.
A certificate in medical records are added advantage.

NB: All members be of age between 20 – 45years old.


All shall have an experience of three years in their respective field.

OR:
A. Medical officers under the Uganda Allied Health professional councils shall:

Have a University degree, diploma in clinical medicine and community health or its
equivalent from a recognized institution.
Be between 20-45 years old
Have experience of three years in the field.
Be registered medical officer under the umbrella with practicing license.

B. Medical officer under the association of nursing council of Uganda shall:


Have a University degree, diploma in clinical medicine and community health or its
equivalent from a recognized institution.
Be between 20-45 years old
Have experience of three years in the field.
Have certificate of registration and practicing license from the nursing council.

C. Medical officer under the institute of health policy and management shall:
Have a University degree, diploma in clinical medicine and community health or its
equivalent from a recognized institution.
Be between 20-45 years old
Have experience of three years in the field.
Have certificate of registration and practicing license.

NB: Photocopies of academic documents are needed ie transcript, certificates UACE, UCE
etc with attached application letter addressed to the chairperson of the organization.
b. Members of support staff shall:
 Be a person of high moral character and proven integrity.
 Possess considerable experience and demonstrated competence and is of high caliber in the
conduct of the organization.
 All member shall officially register in the officially register.
 Each member is obliged to meet the membership fees paid once and the subscription fee
annual.
 The stake holder and other executive committee reserve the right to approve and dismiss
member.

 The applicant shall write a formal application letter addressed to the chairperson executive
committee who will present it to the committee for security and approval.

ARTICLE 33: LEGAL GUIDANCE


In case of an offence committed by a member or non member in the organization, the board
members shall call for a meeting to resolve the issue (matter). If the issues can not be resolved
by the board members / stake holders, the stake holders (ownership) shall seek for the legal
guidance from the court of law.

ARTICLE 34: BOARD OF TRUSTEE


a. There shall be constituted a governing body of at least 7 and not more than 9 members to
be known as the Board of Trustee (The Trustees) appointed by the stake holders who are
the founders of the organization.
b. The board as constituted shall be known as “THE REGISTERED TRUSTEE OF THE
ASSOCIATION OF ST. STEPHEN PAMOJA AND UMOJA MEDICAL
LABORATORY ORGANISATION.
c. A Trustee must be a person of proven integrity, honesty and character.
d. A trustee must be a member of the association.
e. A trustee shall not hold an elective post of the association.
f. A trustee shall hold office in the first instance for five years and thereafter eligible for
another term or for life.
g. A trustee shall cease to hold office if he/she:
1. Resigns
2. Behaves in a way that brings the association into disrepute
3. Is disqualified by the operation of law (becomes bankrupt, insane or convicted of crime
bothering on dishonesty)
4. A resolution for removal is passed at an AGM by two third (2/3) vote of members
presenting and voting.

h. Upon a vacancy occurring in the membership of the trustee, an eligible and duly qualified
person shall be appointed by stakeholders/founders subject to ratification by a 2/3 majority
vote of the AGM.
i. The trustee shall elect a chairman amongst themselves and shall prescribe their own
operational rules and guidance as may be expedient.
j. The president (founder) of the association shall sit in all meeting of the trustee but shall not
exercise any voting right.
k. The organization (association) secretary shall serve as secretary to the trustees.
l. The trustee shall have a common seal to be kept in the custody of the organization secretary.
m. All properties moveable and immoveable shall be vested in the trustees.
n. All documents to be executed by the trustee shall be signed by the chairman of the trustee
and the stakeholder/founder of the organization.
o. In the event of an inclusive election or any form of transition crisis in the organization for
a period of not more than three months within an election to the office of the organizational
officer shall be conducted.
p. The trustees shall apply to the registrar of the organization for registration.

ARTICLE 35: THE ORGANISATION PUBLIC RELATION OFFICER


There shall be a public relation officer for the association:
 He shall publicize all activities of the association, after due consultation with the
stakeholders (founders).
 He shall issue press release and statements on matters of general interest to the association
as directed by the stakeholders/founders.
 He shall be the liaison officer between the association and the public
 He shall be responsible for the management of organization websites, as may be directed
by the founders.

ARTICLE 36: THE ASSOCIATION SHALL HAVE THE FOLLOWING STANDING


RULES:
 Meeting of the association are compulsory to all registered members.

 Any members who absents hi/herself without any notice shall pay a fine as shall be fixed
by the meeting
 Notice of meeting shall be served at least one month to the date of the meeting except in
emergencies.
 Every member of the association shall maintain decorum and orderliness at the meeting.
 A breach of above shall attract a fine as may be prescribed by the meeting.
 No members shall by any means use the name of the association to collect money from any
person, organization or group of persons without approval of the stakeholders.

ARTICLE 37: JOURNAL OF MEDICAL LABORATORY SCIENCE IN THE


ORGANISATION
The association shall publish a journal titled “Journal of medical laboratory science of St. Stephen
Pamoja and Umoja medical laboratory organization and any other publications that may be
approved by board of directors, BOT or AGM from time to time

ARTICLE 38: EDITORIAL BOARD


i. There shall be an editorial board made up of members appointed by the stakeholders (Board
of directors) and approved by the council of the organization.
ii. The chairman of the board shall be the editor in chief.
iii. Members of the board shall be at the discretion of the stakeholders (Board of directors)
with executive officers.

ARTICLE 39: EDITOR – IN - CHIEF


There shall be for the association an editor – in - chief.
i. He shall be responsible for publishing the association’s journal or any other publication(s)
of the association
ii. He shall assign papers to members of the editorial board or any competent person for
editing.
iii. He shall preside over the editorial board meeting.

iv. He shall keep such imprest account as shall be deemed necessary by the board of directors
and executive council
v. He shall be a signatory to the journal account.

BUSINESS MANAGER
There shall be a business manager appointed by the stakeholders for the association who shall
serve a 3year term which may be renewed upon a good performance.
i. He shall assist the editor – in - chief in dealing with authors in respect of page charges,
arrange for the printing, delivery, distribution and sales of the journal and or any other
publications of the organization/association.
ii. He shall submit an annual financial report to the financial secretary.
iii. He shall perform any other duties as may be assigned to him by the editor – in chief.
iv. He shall be responsible for procuring adverts for the journal.
v. He shall remit all monies collected by him to the journal account within 72 hours.
vi. The business manager may be removed by the stakeholders/founders if found to be
performing unsatisfactorily.

ARTICLE 40 A; THE SOCIAL/WELFARE OFFICER


The organization/association social/welfare officer shall:
i. Co-ordinate the welfare/social responsibilities of the organization to the members as
provided hereunder.
ii. Perform such other functions as may be assigned to him by the stakeholders and other
executive committees.

ARTICLE 40 B: WELFARE OF THE MEMBERS


i. The welfare of the members of the association shall be taken by the organization
ii. The association shall on the death of a member contribute a reasonable amount of money
to the deceased’s family as shall e approved by the general meeting and the stakeholders
iii. The association shall assist members who have genuine medical needs.

ARTICLE 41: BANK ACCOUNTS
i. The organization shall maintain accounts with reputable banks as approved by the
stakeholders and AGM.
ii. The signatories to the association (organization’s) account shall be the president, secretary
and organizational treasurer.
iii. The association bankers shall be:
a. Centenary bank
b. Joint Medical Store (JMS)

ARTICLE 42: THE ORGANISATION FINANCIAL SECRETARY


There shall be for organization a financial secretary
i. He/she shall be responsible for the keeping of financial records of the organization.
ii. He/she shall prepare and have ready for the auditor a financial statement of the
organization.
iii. He/she shall prepare a quarterly report of the accounts of the organization.
iv. He/she shall prepare or cause to be prepared and submit to the executive council an annual
report containing revenue estimates and expenditures.
v. All vouchers shall be prepared and signed by the financial secretary and approved and
counter signed by the founders/stakeholders/presidents.

ARTICLE 43: COUNCIL OF PATRONS


1. There shall be a council of patron made up of a “Grand patron” who shall be the chairman
of the council of patrons. At least five (5) patrons approved by the Annual General Meeting
(AGM).
2. The executive council subject to the approval of a properly constituted AGM shall
nominate the patrons and such number of patrons shall be reviewed as the need arise.
3. The patrons shall be an elder statesman who has great social, economic and political
influence in the country.
4. The council of the patrons shall perform the following duties:
a. Acts as advisers to the association (organization)
b. Assist the organization to achieve its set objectives

c. Perform any other function as may be assigned to them by the organization.
d. Shall be the mentor of the organization.

ARTICLE 44: POWERS OF THE ANNUAL GENERAL MEETING (AGM)


a. The decision or resolution of the AGM supersedes the decision of any other organ of the
organization.
b. Adopt or reject the account or appoint (where necessary and descrable) any committee to
investigate accuracy of the accounts presented hit hereto.
c. Elect officers into the offices of the executive council.
d. Decide appeals from members against decision(s) of the executive officers and the
executive councils.
e. Decides any matter that may be presented by the executive council or properly raised by
any member at a general meeting
f. Make, review or amend the entire constitution or part thereof as necessary.
g. Ensure that the aims and objectives of the organization are achieved.

ARTICLE 45: STANDING COMMITTEES


The executive council shall set up the following committees: Disciplinary and ethics, education
and standards, welfare and remuneration, international relations, St. Stephen Pamoja and Umoja
medical laboratory building, publicity, finance, quality assurance, national advocacy/legislation
and any other as may be approved from time to time by the AGM.
The tenure of the committee members shall be at the discretion of the stakeholders (presidents)
based on their performance.

ARTICLE 46: RULES AND REGULATIONS

ARTICLE 47: AMENDMENT OF THE CONSTITUTION


Subject to the provision of this constitution, the organization may amend by way of addition,
variation or repeal any provision of this constitution in accordance with procedure laid down
in this article.

Amendments shall require approval of the executive member of the organization ie
chairperson, vice chairperson, secretary, speaker (stake holders)
If it has been ratified by at least 2/3 of the members of the organization.

ARTICLE 48: CEASATION FROM THE ORGANIZATION


A member shall cease to be a staff of St. Stephen; Pamoja and Umoja medical laboratory if
he/she:
 Is involved in dishonesty act / fraud or embezzlement of fund in the organization / abuse
of office.
 Death occurs to him/her (dies)
 Is sick and wishes to withdraw legally.
 Fail to meet the standard of the organization.
 Resigns from that office by writing, signed by that person addressed to the person /
authority by whom he/she was appointed/elected.
 By expulsion / disqualification. The executive committee and the general meeting have the
power to expel discipline any member whose action, conducts and behaviours contravenes
with the organization.
 Is unable to perform his/her functions due to mental or physical in capacity or duties.
 Is censured by the organization.
 Misbehaviors or misconduct or incompetence.
a. That he/she has conducted himself or herself in a manner which brings or is likely to bring
the office on the organization into hatred, ridicule, contempt or disrepute
b. That he/she has dishonestly done any act or omission which is prejudicial or inimical to
the economy or security of the organization.
 If that person is found guilty by the appropriate tribunal of violation of the leadership code
of conduct and the punishment imposed is or includes the vacation of the office of the
organization.

ARTICLE 49: LEADERSHIP CODE OF CONDUCT
The leadership code of conduct
1. The organization shall by law establish a leadership code of conduct for persons holding
such offices as may be specified by the organization.
2. The leadership code of conduct shall:
a. Prohibit conduct:
 Likely to compromise the honesty, impartiality and integrity if specified offices.
 Likely to lead to corruption in officer affairs.
 Which is detrimental to the organization good or welfare or good governance.
b. Prescribe the penalties to be imposed for breach of the code, without prejudice to the
application of criminal penalties prescribes for the breach in question.
c. Prescribe powers, procedures and practices for ensuring the effective enforcement of the
code.
d. Make any other provision as may be necessary for ensuring the promotion and maintenance
of honesty, probity, impartiality and integrity in the organization funds and other
organization property.

Enforcement of code
The leadership code of conduct shall be enforced by the organization chairperson or such
other authority as organization may by law prescribe.

Disqualification for breach of code


Organization may, by law provide that a person who has been dismissed or removed from
office by reason of breach of the code of conduct shall be disqualified from holding any
other office and either generally or for a prescribed period.

NB: Specified officer means the holder of an office to which the leadership code of conduct
applies.

Leadership code tribunal
There shall be a leadership code tribunal whose composition, jurisdiction and functions
shall be prescribed by the organization law.

ARTICLE 50: DEFENSE AND SECURITY


a. There shall be an armed force employed in the organization from any competent security
organization in the country.
The armed force shall be patriotic, competent, professional, disciplined, productive,
pragmatic and subordinate to the organization authority as established under this
constitution.
Member of armed force shall be member of the organization of good character.

b. Functions of the armed force


The functions of the armed force shall include the following:
i. To protect life and property of the organization.
ii. Preserve law and orders of the organization.
iii. To prevent and detect crime.
iv. To cooperate with the organization authority / community authority and other security
organs established under this organization and with the population generally.
v. To engage in productive activities for the development of the organization
vi. To foster harmony and understanding in the organization.
vii. To preserve and defend the sovereignty and territorial integrity of organization.

ARTICLE 51: ORGANISATION INTEREST AND OFFICIAL LANGUAGE


i. St. Stephen; Pamoja and Umoja medical laboratory centre shall be governed based on
principles of organization objectives and directive principles of the organization policy.
ii. The official language of St. Stephen; Pamoja and Umoja medical laboratory centre is
English.
Swahili shall be the second official language in the medical organization to be used in such
circumstance as organization may by law prescribe.

Subject to this article, any other language may be used as a medium of instruction for
administrative purposes.

ARTICLE 52: FUNDAMENTAL AND OTHER HUMAN RIGHTS AND FREEDOMS


i. Fundamental rights and freedoms of the individual are inherent and not granted by the
organization.
ii. The rights and freedoms of the individual and groups enshrined in this article shall be
respected, upheld and promoted by all organs in the organization and by all persons.

ARTICLE 53: EQUALITY AND FREEDOM FROM DISCRIMINATION


i. All persons are equal before and under the law in all sphere of political, economic, social
and cultural life and in every other respect and shall enjoy equal protection of the law.
ii. Without prejudice to clause (i) of this article, a person shall not be discriminated against
on the ground of sex, race, colour, ethic origin, tribe, birth, creed or religion, social or
economic standing, political opinion or disability.
iii. For the purpose of this article, “Discriminate” means to give different treatment to different
persons attributable only or mainly to their respective descriptions by sex, race, colour,
ethnic origin, tribe, birth, creed or religion, social or economic standing, political opinion
or disability.
iv. Nothing in this article shall prevent organization from enacting laws that are necessary for:
a. Implementing policies and programmes aimed at redressing social, economic or other
imbalance in the organization (medical centre)
b. Providing for any matter acceptable and demonstrably justified in a free and democratic
manner.
v. Nothing shall be taken to be inconsistent with this article which is allowed to be done under
any of this constitution.
ARTICLE 54: RESPECT FOR HUMAN DIGNITY AND PROTECTION FROM IN
HUMAN TREATMENT
No person shall be subjected to any form of torture or cruel, inhuman or degrading treatment
or punishment. No person shall be required to perform forced labour.

ARTICLE 55: PROTECTION FROM DEPRIVATION OF PROPERTY
Every person has a right to own his/her property either individual or in association with others
provided it is not for the organization.

ARTICLE 56: PROTECTION OF FREEDOM OF CONSCIENCE, EXPRESSION,


ASSEMBLY, ASSOCITION, MOVEMENT AND RELIGION
Every person shall have the right to:
a. Freedom of speech and expression
b. Freedom of thought, conscience and belief which include academic freedom ie continuous
medical education in institution o learning.
c. Freedom of assemble together with others peacefully and to petition.
d. Freedom of association which shall include the freedom to form and join association or
union.

ARTICLE 57: AUDITOR GENERAL


1. Auditor General
There shall be an auditor general who shall be appointed by the chairperson / stake holders
with the approval of the executive members.
2. A person shall not be appointed auditor general unless that person:
a. Is a qualified accountant of not less than fifteen years’ standing
b. Is a person of high moral character and proven integrity.
3. The auditor general shall:
a. Audit and report on the organization account and in all branches of the organization.
b. Conduct financial and value for money audits in respect of any project involving
organization fund.
c. In consultation with stake holders of the organization, employ and discipline his/her own
staff and
d. Have power to engage private auditors to assist in the performance of his/her functions.
4. The auditor general shall submit to the stake holder annually a report of the accounts
audited by him/her under clause (3) of this article for the financial year immediately
preceding.

5. The salary and allowances payable to the auditor general shall be charged upon agreement
between the organization and the auditor general.
6. The auditor general may be terminated / removed from office by the stake holders only for:
a. Inability to perform the functions of his/her office arising from infirmity of body or mind.
b. Misbehavior or misconduct or mismanagement
c. Incompetence.

ARTICLE 58: THE CONSTITUTION


1. Sovereignty of the stake holders
i. All powers and authority belongs to the stake holders who shall exercise their sovereignty
in accordance with this constitution.
ii. Without limiting the effect of clause (1) of this article, all authority in the organization
emanates from the stake holder of the organization and the member shall be governed
through their will and consent.
2. Supremacy of the constitution
The constitution is the supreme law of the organization and shall have biding force on all
authorities and members throughout organization.
3. Defense of the constitution
1. It is prohibited for any person/member or group of person to take or retain control of the
organization, except in accordance with the provision of this constitution.
2. Any person who singly or in concert with others, by any violent or other unlawful means,
suspends, overthrow, abrogates or amends this constitution or any part of it or attempts to
do any such act, commits the offence of treasure / infringement and shall be punished
according to law of the organization and the with legal guidance from court.
3. This constitution shall not lose its force and effect where its observance is interrupted by a
staff / member and in any case as soon as the organization recover its liberty, its liberty, its
observance shall be re-established and all staff or member who have taken part in any
rebellion or other activities which resulted in the interruption of the observance shall be
tried in accordance with the constitution and other law consistent with it.
4. All members of the organization shall have the right and duty at all time:

a. To defend this constitution and in particulars to resist person or group of persons seeking
to overthrow the established constitutional order.
b. To do all in their power to restore this constitution after it has been suspended, overthrown,
abrogated or amended contrary to its provisions.
5. Any person or group of persons who, as required by clause (4) of this article, resist the
suspension, overthrow, abrogation or amendment of this constitution commits no offence.
6. Where a person referred to in clause (3) of this article is punished for any act done under
the clause, the punishment shall, on the restoration of this constitution be considered void
from the time it was imposed and that person shall be taken to be absolved from all
liabilities arising out of punishment.

ARTICLE 59: LEGAL ADVISER


1. There shall be a legal adviser who shall be a staff of the organization appointed by the stake
holders of the organization upon approval.
2. A person shall not be qualified to be appointed a legal adviser unless he/she is qualified to
practice as an advocate of legal aid and has so practiced or gained the necessary experience
for not less than ten (10) years.
3. The legal adviser (organization Attorney General) shall be the principal legal adviser of the
organization.
4. The function of the organization Attorney General shall include the following:
a. To give legal advice and legal services to the organization on any subject.
b. To draw and peruse agreements, contracts, treaties, conventions and documents by
whatever name called, to which the organization is a party or in respect of which the
organization has an interest.
c. To represent the organization in courts or any other legal proceedings to the organization
is a part.
d. To perform such other functions as may be assigned to him/her by the stake holders of the
organization or by law of the organization.
5. Subject to the provision of this constitution, no agreement, contract, treaty, convention or
document by whatever name called, to which the organization is a party or in respect of

which the organization has an interest shall be concluded without legal advice from the
legal adviser (Attorney General).
Deputy legal adviser (Deputy Attorney General)
1. There shall be a deputy Attorney General or deputy legal adviser who shall be a staff of
the organization appointed by the stake holder upon approval.
2. A person shall not be qualified to be appointed deputy legal adviser unless he/she is
qualified to practice as an advocate of the legal aid and has practiced or gained the
necessary experience of not less than seven (7) years.
3. The deputy legal adviser shall deputize for the principal legal adviser of the organization.
4. Both the principal legal adviser and the deputy shall cease to be a staff if:
i. He/she dies.
ii. Resigns legally by writing signed by him/her.
iii. Misconduct or misbehavior
a. He/she conduct himself or herself in a manner which brings or is likely to bring the
organization into hatred, ridicule, contempt or disrepute
b. That he/she has dishonestly done any act or omission which is prejudicial or inimical to
the economy or security of the organization
iv. Physical or mental incapacity, namely that he/she id incapable of performing the functions
of his/her office by reason of physical or mental incapacity

ARTICLE 60: THE CABINET OF THE ORGANISATION


a. The cabinet:
1. There shall be a cabinet which shall consist of stake holders, treasurers, speaker, secretary
and such numbers of members as may appear to the stake holders to be reasonably
necessary for the efficient running of the organization.
2. The function of the cabinet shall be to determine, formulate and implement the policy of
the organization and perform such other functions as may be conferred by this constitution.
3. The secretary to the cabinet shall be appointed by the stake holder.
4. The secretary to the cabinet shall have charge of the cabinet office and shall be responsible
in accordance with such instructions as may be given to him/her by the stake holders, for
arranging the business for and keeping the minutes of the organization to the appropriate
person or authority and shall perform such other functions as the stake holders may direct.

b. Meeting of the cabinet in the organization.
i. Cabinet meetings shall be summoned and presided over by the stake holders and their
absence of them, it shall be by any executive member designated in writing by the stake
holders.
ii. The cabinet shall regulate the procedure of its meeting.
c. Cabinet ministries in the organization
i. Cabinet ministries shall be appointed by stake holders with the approval of persons
qualified to be the cabinet minister of the organization.
ii. The total number of cabinet ministries in the organization shall not exceed eleven (11)
except with approval of owners of the organization.
iii. A cabinet minister shall have responsibility for such function of the organization as the
stake holders may, from time to time, assign to him/her.
iv. A minister shall not hold any office of profit or emolument likely to compromise his/her
office.
d. Other ministers
i. The stake holders / owners of the organization with approval of cabinet ministers appoint
other ministers to assist cabinet ministers in the performance of their functions.
ii. Total number of ministers appointed under this article shall not exceed eleven (11) except
with approval of stake holders and cabinet ministers.
iii. A minister referred to in this article shall have responsibility for such functions of the
ministry to which he/she is appointed as the stake holder may, from time to time, assign to
him/her and in the absence of the cabinet ministers in his/her ministry shall perform the
functions of the cabinet ministered as the stake holders direct.
e. Vacation of office of minister.
The office of a minister shall become vacant:
a. If the appointment of the holder of the office is revoked by the stake holder.
b. If the holder:
i. Resigns legally by writing signed by holder addressed to the stake holders.
ii. Becomes disqualified to be minister of organization or stake holder.
iii. Dies.

f. Responsibility of ministers
Ministers shall individually be accountable to the stake holder for the administration of
their ministries and collectively be responsible for any decision made by the cabinet.

DESCRIPTION OF UGANDA’S COAT OF ARMS
 Standing on a green mound is a shield and two crossed spears. The green symbolizes
Uganda’s bush. Green vegetation.
 Supporting the shield are the Uganda kob symbolizing abundance of wild life and the
crested crane, Uganda’s national bird.
 The shield and spears symbolizes our readiness to defend our motherland against all
enemies. Across the top of the shield are the waves of Lake Victoria, the second largest
fresh water lake on earth. In the centre of the shield is the sun, representing Uganda’s
glorious sunny days.
 At the bottom of the shield is the traditional African drum, used for dancing, ceremonial
rituals and for summoning the people to rally.
 Coffee and cotton: Uganda’s main cash crops are displayed on the green mound, together
with the Rive Nile, the world’s longest river which starts its 8000km (5000miles) journey
in Uganda.
 The Uganda motto is “For God and my Country”

ARTICLE 61: INTERPRETATION OF THE CONSTITUTION


a. Where the constitution is silent or ambiguous on any subject matter, the president’s/
founders (in constitution with speaker and staff advice) interpretation or ruling shall be
final.
b. The association may seek for any professional legal accountable and necessary advice
before making such a ruling.
c. In this constitution, unless the context otherwise required.
Amendment means minor alteration may be made to the constitution in order to improve
it.
Appeal means any procedure taken to rectify an erroneous decision of the body by bring it
before a higher body.
Congress means members of the association that gather for the purpose of meeting.
Association means group of people joined together for all common purpose.
Body means written record of the finances of the association business means all matter that
need to be dealt with or matters to be discussed specially during meeting
The president (stakeholders/founders) shall remain the chairman/president/founder.

By – law means
5. Rules made by the chapter for the regulation, administration or management of the chapter
and are binding on her members.

6. Consensus means collective agreement of an opinion.
7. Committee means a group of people appointed or nominated by any organ of the
association to deal with a specific matter.
