CONDITIONS OF ENG AGEMENT AND CONSULTANCY AGREEMENT

Preface:

With effect from 12th April, 1 996 the Federal Ministry of Works and Housing signed
into use Scale of Fees for Consultancy Services payable by the Public Sector to all
professions involved in the Constru 'on I ustry and allied professions.

In this new document it has been possible to indude the Form of Agreement
supported by schedules relating to the responsibilities of the parties and other
Consultants who may be involved in the project and the approved scale for all the
disciplines.

An important feature of this new document is the inclusion of the first Explanatory
Note issued by the Ministerial Standing Committee on Scale of Fees signed into use
in 1 999 by the Minister for Works and Housing. This has addressed some of the
ambiguous issues in the 1 996 Scale of Fees.

In addition to complying with the mandatory minimum fee scale, the Institute issues
this document and the Institute's Scale of Fees for all its members for use in all
. negotiations with their clients and in so doing are reminded that they are bound by
the Code of Professional Conduct of the Institute.

FEASIBILITY STUDIES

1 Unless otherwise required, the Employer will commission the Prime Consultant to
prepare a Feasibility Study for the Project before this Agreement is signed. This may
include a study of the accommodation and the site etc.

2. The object of this Study is to identify the parameters of the project in terms of Budget
(including Fees and Reimbursable expenses, the Programme, other Consultants to be
engaged and Services required).

3: The brief for this will be in the form of a Standard check list and the service will be
undertaken for a lump sum fixed fee to be agreed before-hand with the Employer,
based upon time charges taking into account the scope of tt'le task and all relevant
factors and including an allowance for expenses. This fee shall not exceed 0.2% of the
Estimated Total Cost of the Project excluding reimbursable.

4 Payment of this fee including reimbursable will be in full and final settlement for this
Study.

DEFINITIONS

1. "The Employer" shall mean tile person or organisation or Government obtai ning the
professional services under this Agreement.

2. "The Government" shall mean the Federal or State Government of the Federal Republic of
Nigeria.

3. "The Consultant" shall mean the professional organisation or person commissioned by


the Employer to carry out the Services required under the Agreement.

4. "The Services" shall mean professional services.

5. "The Project" shall mean the building and/or other construction works which the
Employerwishes to undertake.

6. "The Works" shall mean the construction.

7. 'Force Majeure is defin€D as war, declared or undeclared, revolution, general labour


strikes. disease epidemics, extraordinary floods or overflow of water,
fire incidents a n d major disasters or other events beyond the control of
the Consultant.

8. "Specialist Consultant" shall mean consultant in Civil Engineering , Structural Engineering,


Mechanical & Electrical Engineeri n g , Quantity Surveying, Town
Planning, and any other professional discipline relevant to the project
other than Architecture.

9. Landscape Architect: shall mean specialist Architect in Landscape Design.

10. "Practical completion. shall mean that the building or other con struction is habitable or
of the Works. otherwise usable altilough there may be minor items unfinished 0 r
defective workmanship, all of which are listed on the handover
inspection.

11. "Time Charges" shall mean either hourly rates, daily rates or man-month rate for
professional and sub-professional staff. For the purposes of daily rates,
the number of working hours per day shall be 8 hours.

12. "Disbursement" shall mean a fee based upon time spent and other costs including all
the relevant factors which will result in a lump sum fee being inserted in
the Agreement . .

13. "Repetitive Works shall mean unit(s)of the same design typ€s and specification to
be constructed on same site or other sites.

14. "Repetitive Fees" referred to table 2 of third schedules

15. "Gross Salary' shall mean basic salary plus gratuity and other allowances and
expenses excluding accommodation and transportation cost. T h e
gross salary shall be agreed a t the time of signing the contract and
should come under Clause 3.3.

16. "Professional Staff' shall mean the various grades of Architects then professionals
engineers and technical officers under referred to in table 3 . of the
third Schedule

NOTES ON THE MEMORANDUM OF AGREEMENT AND SCHEDULES

1. Heading. Under the Agreement, the employer may wish to commission the
Architectural Consultant to take on other related services such as
Structural Engineering, M. & E. Services etc. on an "all in services"
basis. Although these are additional services, it is suggested that
they are listed in this heading for easy reference.

6. C lause 3. 3.2 Delete the word "Provisional" if the fee is not computed on a time
basis.

7. Clause 4 The amount inserted must be calculated within the constraints of


Clause 23.8 of the Second Schedule and is derived from the
estimates in the Fourth Schedule. All the rates in this Schedule are
subject to review every 1 2 months.

8. ClauseS The programme is applicable to the Normal Service and Partial


Services.

9. Clause10.2 The names of assignees are to be inserted here and the


Consultant is advised to draw up an agreement with each assignee
to cover his services and payment terms, further more such sub­
agreements may be required by the Ministry of Finance where
there is a foreign exchange element in the fee.

10. Clause10.3 It is understood that any agreement involving foreign exchange


payments must be approved by the Federal Ministry of Finance
before it is signed and where sub-assignments are involved those
agreements must similarly be submitted for approval.

11 . Schedule2 Generally the remuneration for these services will be either on a


Clauses 23.1.3 fee basis or a time charge basis as appropriate to the work.
However not all clauses are optional in this respect.

1. APPOINTMENT OF CONSULTANT

1.1 The Employer hereby ts the Consultant and the Consultant hereby agrees to act as
Consultant in connection with the Project upon the terms and conditions and scale of
professional charges hereinafter set forth.

2. SCOPE OF SERVICES
2.1 The Consultant shall undertake the responsibilities and provide the services described in
the First Schedule annexed hereto as hereinafter:

3. REMU N ERATION

3.1 The Normal Service

3.1.1. For the performance of. e services described under Clause 2.1.1 the Consultant shall
be paid in accordance with the Scale of Fees laid down by the Government and
published under the title "Consultancy Fees Payable by the Public Sector" as in the
Second Schedule annexed hereto.

3.1. 2 The total fee payable to the Consultant will be

3. 2 Partial Services.

4. RE I MBURSAB LE EXPE N SES
The Consultant shall be reimbursed by the Employer for all expenses actually and properly incurred
in respect of items listed in the Fourth Schedule annexed hereto upon presentation of detailed invoices
with supporting receipts where practicable subject to a provisional sum not exceeding

such sum may not be exceeded without the authority of the Employer.
5. METHOD OF PAY ME NT
5.1 All sums due to the Consultant under this Agreement shall be paid in Nigerian Naira except as
provided in Clause10.3.
5. 2 Fees shall become due as follows:

Stage1 25% of the fees based on the Estimated Total Cost (ETe) of the project.

Stage 2. 50% of the fees based on the Estimated Total Cost (ETC) of the project.

Stage 2. 25% of the fees based on the Estimated Total Cost (ETC) of the project.

5.3 Reimbursable expenses shall become due upon the presentation of accounts for each stage.
5.4 Repetitive fees shall be due when the works contract for repeated buildings is a�arded.
5. 5 Claims in respect of fees and reimbursable expenses due to the Consultant shall be submitted by
the Consultant to the Employer as follows:

Fee Accounts Copies.

Reimbursable Accounts and Supporting Invoices Copies.

5.6 Fees and expenses are to be paid Within thirty days of submission unless queried by the Employer
within twenty days of submission. In the event of a claim being queried a payment on account of that
part which is not questioned is nevertheless to be made Withinthirty days of submission.

Any part of any claims properly payable but remaining unpaid for more than 90 days from the date of
delivery shal carry ' rest from the thirty first day after submission to the date of payment at the rate
of 11f2% above the primary bank rate ruling in Nigeria at that time plus any inflation resulting from
government policywilhin period ..

6. FACI LITIES & S TAFF


6.1 The Staff to be provided by the Consultant shall be sufficiently qualified and adequate to
perform the work to the satisfaction of the Employer who shall have the right at any time
after written notice of such intention, to reject any staff member who in his opinion falls short
of the standards required for the efficient operation of the Project and the Consultant shall
as soon as practicable, but within three months replace such staff member at no expense to
the Employer.

6. 2 Upon written notice from the Employer the Consultant will submit biographical data
concerning employees assigned to the Project.

6.3 Th€ Consultant shall make every effort to guarantee reasonable continuity of personnel

6.6 The Consultant will com ply with all Government req uirements pertai n i n g to the e m ployment
of their perso nnel.

6.7 The Employer in l iaison with the appropriate bodies may assig n Advisers i n Art, Sculptu re
and other specialized personnel req u i red to col laborate on the Project. Such person nel shall
have the ir fields of work clearly defined by ag reement with the Consu ltant and be paid by the
E m ployer.

6. 8 The Employer may assign professional and techn ical staff to the Project. Such staff shall
have their d uties clearly defi ned by agreement with the Consultant and be paid by the
E m ployer.

7. COMME N CE MENT OF SE RVICES


7. 1 This Agreement shal l become effective u pon the Consultant's receipt from the Em ployer of a
written notice to proceed with the services to be p rovided herei n .

8. PROGRAMME (Note 8)
8.1 For the pu rpose of this Agreement the Consultant's services shall b e completed i n the
following stages:

8.1 Stage 1 From the date of receipt of i nstructions to proceed u ntil the
s u b m ission of the fi nal sketch des i g n and preliminary esti mated total
cost for approval and not to exceed ------------- months.

8 .2 Stage 2 F ro m the date of approval of Stage 1 u ntil the submission of the


tende r documents for approval and not to exceed ----------- months . .

8.3 Stage 3 From the date of the award of the contract for the Works u ntil the
acceptance of the Works by the E mployer after final com pletion that
i s , after the Defects Liabi lity Period , issuing of the Fi nal Completion
Certificate and the Final Certificate of Payment.

Provided that in the event of the works contract period having been
extended the Employer shall have req uested the addition al service
to be performed by the Consultant.

8 .2 Delays to Consultant's Services


Where delays are cau sed by the Consu ltant's failure to obtai n adequate reply,
approval , or d ecision within thirty (30) days after a request has been made by the
Consultant due to the following reasons:
(aJ the E m ployer's om mission to reply, approve or decide within the said period
of thirty days or

(b) the fai l u re of a third party, who has been assigned by the E m ployer to com ply
with the request to act or to perform within the specified period .

The Employer shall adequately compensate the Consultant for any costs incurred as
a result of the delay.

8.3 The Employer u ndertakes to consider and review all documents submitted by the
Consultant

a n d to p rocess a n y necessa ry a p p rovals for the Cons ultant within thirty days of their
subm ission so as not to delay the Consultant from giving drawings and i nstructions to the
Works contractor.

If after the expiry of thirty days no communication has been received from the E m ployer by
the Consultant on such documents then approva l s h a l l be deemed to have been g iven.

9. C ARE,DILlGENCE AND RESPONS I B I LITIES

9.1 T he Consu ltant s h a l l exercise a l l reasonable ski l l, ca re a n d diligence in the


d ischarge of the services requ ired by this Agreement i n accorda n ce with the Bye -
laws a n d Code of P rofessional Conduct laid down by the P rofessional Body.

9.2 The Consultant s h a l l not divu l ge to any u na uthorised person or body a ny of the
i nfor mati n nbtained or the results of any survey or design carried out in con nection
with this Agreem ent.

9.3 The Consultant shall endeavour to protect the Employer from any defects a n d
deficie ncies that m ay occur in a n y Works contra ctor's, sub-contractor's o r s u p p lier's
work but they do not gua rantee the fu lfi l l ment of the Contractor's, sub-contractor's ,
or su pplier's u n de r-takings to the E m ployer.

9.4 The E m ployer a g rees to p rovide the i nformation a n d u ndertakes the responsibil ities
i n accord a n ce with the provisions of the First Sched ule a n nexed hereto .

10. ASS I G N ME NTS

10.1 T he Consultant shall not assign or transfer the benefits and obligations of this
Agreement in part or in whole, and in the event of the death or incapacity of the
Consultant the same shall automatically come to an end on the death of the
Consultant's survivor but without prejudice to the accrued rights of either party
against the other under this Agreement. Provided that it shall be lawful for the
Consultant at any time to take into partnership another professional partner or
partners who, or the survivor or survivors of whom, shall thenceforth assume the
liabilities of this Agreement.

1 0.3 It is agreed that where a percentage of the total fees or other charge or expenses
in respect of any assignment before referred is required to be paid in foreign
exchange any portion of this sum duly certified by the Employer as representing
such payment shall with the approval of the Federal Ministry of Finance be
repatriated provided that all claims are supported by the relevant documents and
invoices where necessary.

It is further agreed that _______ per cent of the total fees payable under

11. IN CAPAC ITY O F C O N S U LTANTS
11.1 If the Consultant shall become incapacitated from action as Consultant as aforesaid the
Employer may make full use' of all or any drawings, estimates or other documents prepared by
the Consultant pursuant to and for use under this Agreement without prejudice to the lien on
such drawings or documents against unpaid fees. The Employer shall not make use of such
drawings or documents except for the purpose of the building works which are the subject of this
Agreement.

12. POSTPONEME NT O R AB AND ONMENT


1 2. 1 I n the event of the whole or any part of the Services hereinbefore referred, being
postponed, abandoned or delayed through no fault of the Consultant the
Employer shall instruct the Consultant accordingly and the Parties shall proceed as
hereinafter.

12.1.1 Pre-Contract Services


Instructions to postpone, abandon or delay work shall take effect upon the completion
of the current stage of the Normal Service or upon the completion of the Additional
Service. The Consultant shall be remunerated in full for such services.
12.1.2 Post-ContractServi ces
Instructions to postpone, abandon or delay work shall take effecf three months after
such instructions are received from the Employer. The fees payable in this event shall
be computed on a 'pro-rata' basis with charges to cover overheads and loss of profit,
provided always that such fees and charges do not exceed the full fee payable for the
Service.
1 2.2 Notwithstanding Clause 12.1 if instructions necessary for the Consultant to continue
work are not received from the Employer six months after such instructions were
requested the services under this Agreement shall be deemed to have been
abandoned. In this event all documents including drawings shall be handed over to the
Employer at no additional fee subject to the provisions of Clause 16 hereinafter..

13. RE S U MED AG REE MENTS


1 3. 1 If this Agreement which has been abandoned pursuant t o Clause 12 is
resumed without substantial alteration within one year, any fees paid under
Clauses 12.1.1 and 12.1.2 shall rank solely as payments on account towards the total
fee payable on the execution of the Services herein and calculated on the total
estimated costs of works.
1 3.2 Where this Agreement which has been abandoned pursuant to Clause 12, is resumed
at any time with substantial alteration or is resumed after one year, any fees paid under
Clauses 12.1.1 and 12.1.2 shal� be regarded as final payment for the Services
originally rendered. The resumed Agreement shall be deemed separate and fees will
be charged in accordance WITh Clause 3.2 of these conditions.
13.3 All additional work arising out of Clause 13.1 shall be charged on a time basis.

1 4. ALTE RATIONS A ND M ODIFICATIONS


14.1 In the event of circumstances arising which could not have reasonably been foreseen
or in the event of the Employer ordering modifications to completed designs or
alterations to designs in progress which involve the revision of any calculation,
specification, drawings or other documents prepared under this Agreement the whole
of the cost of such revisions or reproducing documents to bring the work up to the stage
at which it was, shall be in acoordance with Clause 3.3 of these conditions. However in
the event of the scope of work being so materially altered by the Employer as to warrant
the preparation of new r itiooal men and drawings, this Agreement shall be
treated as a new oommission.

15. 1 The Consu ltant shall prepare and submit to the Employer four copies of a .
report to be prepared quarterly on the progress of the Project. Such reports
shall incl ude the minutes of the monthly site meeti ngs, records of labou r and
materials on site, progress photographs, special ist consultant's reports
where applicable and a financial statement.

16. COPYRIGHT
.16. 1 In accordance with the provisions of the laws, copyright in all d rawings and in
the work executed from them, will remain the property of the architect unless
otherwise ag reed by negotiation.

17. T E R M I N ATIO N
17. 1 This Agreement may be terminated at any time by either party on the expiration of three
months notice when the Consultant shal l be entitled to rem u neration in accordance
with the provisions of Clause 12 hereinbefore.

18. F O RC E MAJ E U RE
18. 1 The Consultant will not be responsible for any damage or delay to the Works
or delays to the Services attributable to Force Majeure. In the event of Force
Majeure the Consultant sha ll give the Employer written notice within thirty
days of the occu rrence together with an esti mate of the costs and I or delays
resulting there from. Where Force Majeure actually results in such delays or
add itional costs, the Consultant will be entitled to reasonable reimbursement
and extension of time where applicable.

19. LAWS O F T H E AGRE E M E N T


19 .1 This Ag reement shall be deemed to be a Nigerian Ag reement and shall be
governed and construed according to the laws i ncluding taxation laws being
in force in the Federal Republic of Nigeria. Both parties to the Agreement
sha l l com ply with these laws .

20 A RBITRAT I O N
20 . 1 Any d isputes arising out of this Agreement which can not be settled by mutual
agreement shal l be referred to an arbitrator to be agreed between the pa rties
or failing such agreement, to an arbitrator appointed by the President of the
Nigerian Institute of Architects, on application of either party to him.
20.2 Any such reference sha l l be deemed to be a submission to arbitration within
e Arbitration Act. Cap. 13 of the laws of Nigeria and any subsequent
revisions ere .

22.2 Briefin g for th e P roject

(a) The Employer wi ll initiate the Brief for the Project and produce briefing documents
needed, assisted by the Consultant as required . (Note 1 2)

between them and bearings.

(c ) Survey of levels including details of existing build ings �md other topographical

(e) Time table for completion of the project, with details of any phasing or sectional
completion required .

(f) Any other special requi rements or considerations likely to affect the project.

22.3 E mployers Approvals

(a) The Employer will consider and review all documents submitted by the Consultant and
process any necessary approvals for the Consultant within 30 days of their submission so
as not to delay their work or prevent them from giving d rawings and instructions to the
contractor without unreasonable delay.

(b) Such approvals will include the followi ngs:

(i) Approval to the project brief including briefs for each bui lding or other work before
pre-contract activity commences.

(ii) Approval of Prel iminary Designs and estimates of cost to allow the Consultant to
proceed with the Final Desig n .

(iii) Approval of Contract Documentation and direct the Consultant to invite tenders
or negotiate an extension to an existing contract.

(iv) Approval of an acceptable tender and documents to be signed by the Employer.

(v) Variations.

(vi) Final Accounts.

22.4 Certificates

(a) On recei pt of Certificates prepared by the Consultant, the Employer shall make stage
payments to the works contractor under the terms and conditions of the Works building
contract.

22.5 Accepta nce of Completed Works

(a) Followi ng a joint inspection by the Employer and Consultant of the whole or part of the
completed works, on the advice of the. Consultant, the Employer shall agree that the
conditions of the works building contract have been fulfilled and give written
confirmation to the Consultant who will issue a certificate of the completion of the works
or part thereof.

22.6 Site Accommodation

(a) The Employer, through the works contract, will furnish, equi p, staff and maintain a site
office, laboratory, meteorological and field test equipment facilities as required by the
Consultant for the inspection and testing of the construction works. The ConSUltant shall
issue jointly to the contractor and Employer certificates and records of tests undertaken ,
and shall keep records of all tests carried out throughout the works contract.

22.7 Special ist Consu ltants

(a) The Employer shall appoint specialist Consultants whose services shall include the
activities scheduled in Clauses 23.2.0,23.3 .0.

(b) Remuneration to the Specialist Consultants shall be the responsibility of the Employer.

(c) The Services provided by the specialist Consultants shall be co-ordinated by the
Consultant Architect

(a) The Consultant must have the authority of the Employer before i nitiating any
service or work stage.

(b) The Consultant shall not make any material'alteration, addition to or omission
from the approved design without the knowledge and consent of the Employer,
except if fou nd necessary during construction for constructional reasons, i n
which case they shall i nform the Employer without delay.

(c ) The Consu ltant shall inform the Employer if they have reason to believe the
total authorized expenditure or contract period a re l i kely to be materi a l ly varied .

(d ) The Co nsu ltant shall not be responsible for the works contractor's operational
methods, techniq ues, sequences or procedures, or any of the contractor's
safety precautions with the works nor shall they be responsible for a ny fai l u re
by the contractor to carry out and complete the works in accordance with the
terms of the works contract between the Employer a nd the contractor.

(e ) The Consultant, will prepare proposals for consideration by the Employer


which may a ssist the adm i nistration of the construction program me and also
protect the interests of the Employer.

(f) The Consultant will advise on the need for Special ist Consultants and will be
responsi le for the i n teg ration of their work. The Specialist Consulta nts shall be
responsi le for the e iled design and supervision of the work entrusted to
them.

(g ) The Consu ltant may recommend that special ist su b-contractors should
provide specia l detailed design a nd execute any part of the work. He shall be
responsible for the integration of their deta i l , and for general supervision of their
work in accord ance with Clause 23. 1 ( h)

Nominated sub-contractors shall be responsible for the special detailed design


entrusted to them .

(h ) The Consultant shall give such regular supervision and i nspection as may be
necessary to ensure that \he works are being executed in genera l accordance
with the contract. Constant supervision does not form part of normal duties
and additional services.

(i ) Where the employment of resident staff for constant supervision is agreed ,


such staff wil l be employed by the Consu ltant who shall be reimbursed i n
accordance with Clause 24, Table 3 of these Conditions.

U) Where frequent or constant i nspection is required a Clerk of Works may be


e mployed . He shall be appoi nted and paid by the Employer or a lternatively
may be employed by the Consultant who shall be reimbursed in Accordance
with Clause 24, Table 3 of these Conditions.

SECOND SCHEDULE

23.1. SCOPE OF PROFESSION AL SERVICES FOR THE CONSULTANT ARCHITECTS

ARCHITECT'S SERVICES

23.1.0 PRIME CONSULTANT ON BUILDING PROJECTS


23.1.1 On all building projects which include new construction or and maintenance (renovation,
rehabilitation, restoration, refurbishing of existing buildings) and furnishing works amongst
others, the Architect is the PRIME CONSULrANT and thus renders the normal services under
three stages which marks the progress of the architect's work. Each stage is an .integral part of
the other (the architectural process) and none may be omitted, save when the engagement is
terminated in accordance with the agreed terms and conditions of engagement. On
completion of each stage, the appropriate stage fee payment shall be made as indicated in
section A item 2.0 of the professional scale of fees.
23.1.2.0THE N ORMAL SERVICES

23.1.2.1 STAGE 1 : PRELIMINARY DESIGN


1.2.1.1 Obtaining client's briefing and requirements including survey plan(s) and other statutory
documents, visiting and appraising and analyzing the site, sourcing of statutory design data
and information. Analyzing the client's requirements and sourcing other consultant's input
therein.
1.2.1.2 Preparing, illustrating and describing outline proposal in an appropriate scale. While on
maintenance works, detailed schedule of dilapidation to include extent and level of damage,
deterioration, disrepair and defects amongst others, shall accompany the proposal.
1.2.1.3 Advising, guiding the client on the need to take any major decision required and receiving
appropriate approval.
1.2.1.4 Preparing appropriate design scheme(s) consisting of drawings and outline specifications
sufficient to indicate spatial arrangements, material usage and design configuration with site
arrangements and Architectural massing. While on maintenance works. appropriate
re-detailing, repair/replacement schedule and specification shall accompany the proposal.
1.2.1.5 Presenting a report on the scheme, including cost implication and programme for the project.

23 1.2.2 STAGE 11:


. PRODUCTION , WORKI NG, DRAWINGS, SPECI FICATIONS AND DETAILS.
1.2.2.1 Preparation of comprehensive workings, drawings and contract documents, including
designs/technical specifications. The detailed working/construction drawings shall include:

1.2.2.2 Detailed Site Plan showing the design orientation and configuration, Statutory Setbacks,
External works; Septic Tanks, Soak away Pits and Inspection Chambers; Gates, Fence
locations, Parking and any other design information relevant to the scheme.
1.2.2.3 Overall plan(s) of the scheme for all floors including roof plan( s) detailed dimensions,
annotations and blown up details of all parts in appropriate scale for other consultants use and
construction works.

1.2.2.4 Detailed sections, elevations, wall and floor finishes, construction details, and levels.

1.2.2.5 Working details, window and door schedules, ironmongry schedule fittings and fixtures.

1.2.2.6 Detailed material specification book and painting schedule for the scheme.

1.2.2 .7 Co-ordination and reconciliation of all the drawings and inputs of other consultants and
specialists.
1.2.2.8 Obtaining information and other design from manufacturer and suppliers for the purpose of
detailing design schemes and cost control.

1 .2.2.9 Providing appropriate information and drawings and specifications for preparation of
Bills of Quantities .
1 .2.2.10 Reconciling all Structural Drawings, and their specif[cations with the architectural
design to ensure that there are no conflicts or discrepancies.

1.2.2.11 Reconciling all Mechanical, Electrical and other specialists' drawings, and their
specifications with the a rchitectural design to ensure that there are no conflicts or
discrepancies.
1 .2.2. 1 2 Reconciling all final Bills of Quantities with the detailed architectural design, working
construction drawings and specifications to ensure that there are no conflicts or
discrepancies.
1 . 2.2. 1 3 Co-ordination of reconciliation of all final designs, specifications, Bi"s of Quantities,
other tender/contract documents and input of all consultants to ensure that there are no
conflict or . discrepancies.
1 .2.2.14 Avail the client with the a ppropriate form of contract and advising and guiding the client
in the pre-qualification of all contractors for the works.
1 .2.2.15 Preparing the form of tender and issuing invitation to tender.
1.2.2.16 Issuance and collation of all tender documents to and from Tenderers, preparing the
appropriate contract agreement with all conditions applicable for the works.

2.3. 1 .2.3 STAGE 1 1 / OBTAINING TENDERS TO COMPLETION

registration, etc) and full report on tenders, preparing and advising on the contract and
the appointment of the contractor.

1 .2.3.3 Examining, reviewing and approving the contractors works programme.
1.2.3.4 Supervision and co-ordination of a" site works including a per month formal site and
technical meetings.
1.2.3.5 Producing and circulating the mi nutes of such meetings to all parties.
1.2.3.6 Issuing payment certificates and other administrative duties including submission of a
progress report to the client quarterly or as agreed.

1 .2.3 . 7 The normal service allows for one formal site visit per month at which meeting is held as
above.
1 .2.3.8 The consultant Architect shall make additional periodic visits to the sites as appropriate
to supervise generally the progress and quality of the work.
1.2.3.9 Additional visits or prevision of staff for more frequ ent or constant supervision in this
regard as approved by the client shall be regarded as an additional service.

1.2.3.10 Upon the practical completion of the works, the Consultant Architect shall visit the site
with the client or his duly appointed representative and a" interested parties for the
purpose of handing over the building to the client and agree on the expiry date of the
defects liability period.

1.2.3. 11 Upon this agreed date-the consultant architect shall make a first inspection and upon
the expiry of a mutually agree period f r the rectification of defects he shall make final
inspections of the works. Any further v' . uired shall be regarded as an additional
service.
1.2.3. 1 2 I ssuing a certificate of the practical completion of the works and the· final payment
certificate.

23. 1 .2.4 MAINTENANCE WORKS
1 . 2.4. 1 Maintenance (renovation, rehabilitation, restoration, refurbishing of existing buildings)
and furnishing works shall be carried out in stages I, 1 1 , I I I as described under items 1 .2. 1
to 1 .2.3 . 1 2 above of the design and supervision process.

23.1.3. ADDITIONAL SERVICES


1.3.1 Additional Services may be required according to the circumstances of the project, to
augment the normal services. Where there is no established basis for calculating the
fees for an additional service the employer and consultant shall discuss the required
services at the onset . and agree on both the method and the amount of remuneration.
The services, method of remuneration agreed, and the charges should be set out in the
first schedule.

1 .3 . 2. FEAS I B I L ITY STUDIES

Undertaking a preliminary technical appraisal of a project sufficient to enable the


employer to decide whether and in what form to proceed. Sourcing , planning approval
requirements and or making application for outline planning approval. Such appraisal
may include budget to meet the client's requirements, a st�tement upon the need for
consultants, an outline prog ramme and a proposed contract procedure.

1 .3 .3 .. SITES AND BUILDINGS


Advising on the selection and suitability of sites, conducting negotiations concerned with
sites, for new buildings or of existing buildings.

a. Undertaking visits, preparing reports or giving general advice on the condition of the
premises.

b. Preparing schedules of dilapidation and agreeing them with other parties; taking
particulars on site, preparing specifications for repairs and supervising their execution . '
c. Undertaking investigations, the limits of which shall be clearly defined and agreed in
writing such as are neressary to ascertain whether or not there are defects in the wall ,
roof, floors and drains of a building which may materially affect its life and value.

d. Preparation of measure drawings of existing building.

e. Preparation of layout of parks, and gardens, and landscape design.

f. Specialist advice on the selection of plants and materials, visits to nurseries etc.

1 .3 . 4 . D EVELOPMENT P LA N S

Preparing development plans, which will be carried out over a number of years for any
large building or complex of buildings. Fees for preparing devetopment plans shall in
all cases be additional to percentage fee for the normal 5efVice.

1 .3.5. DEVELOPMENT STU D IES


a. Where the employer's initial statement in stage 1 requires special services such as
opera 'onal research including work-study, before consideration of the brief and
development of a preliminary design such services shall constitute an additional
service.

b. Where the development of a final design in s 11 or design details involves special


constructional research i gn, construction or testing of prototype
buildings and such research shall constitute an additional service.

1.3.6 SPECIAL DRAWING AND MODELS
Preparing any drawings, working and for finished models, three dimensional drawings or
technical information specially for the use of the em loyer r for plan n i n g , by-law or building
regulation approvals, for negotiations with g round landlords, adjoining owners, public
authorities, l icensing authorities: mo rtgators and thers.

1.3.7 . SPECIAL MEETINGS


Specia l meeti ngs arising from applications for Planning, Bui lding By-law, Building Act or
Building Regulation approvals.

1 . 3.8 REDESIGNS AND ADDITIONAL DESIGN WORK


Extra work at any time due to changes i n an approved design resulting from changes i n the
employer's instructions or any other cause beyond the co n I f the consultant. The
employer is particularly reminded of the nsidera le e xtra charges which may be incu rred
as follows:
a. Amending design details already prepared o r for preparing new d rawi ngs because
of alte rations in the b ri ef after the employer's approval of a final design.
b. Amendi ng production information because of changes in location, size or shape
after the approval of desig n detai ls.
c. Amending production information already prepared or for preparing additional
information because of cha nges required after commencement of building
operations.
d. Additional work req uired to be carried out as a result of damage or destruction of a ny
part of the works, materials or eq uipment before completion .
Fees for items 1 .2.5. (a-d) will be rged pro-rata aocording to the proportion of
the stage re uired to be redone.

1 .3.9 DELAYS I N THE WORKS


Additional work arising from delay i n building operations whether arising from bankruptcy or
I iq u idation of the contractor or from any other cause beyond the control of the consultant.

1.3.10 INTERIOR DESIGN


Where special services in respect of interior design work are provided i ncluding advice on
the selection of furniture, fittings, soft fu rn ishings, and ins pection of making up such
furnishings in a new bui lding or existing building the percentage fee for each stage of service
shall be negotiated between the architect and the ient.

1 .3. 1 1 FURNITURE AND F ITTlNGS


a. For advising on the selection and suitability of loose furnitu re, fittings and soft,
fu rnishing where a service as described under Clause 1.2..5.8 is not provided, the
fee shall be negotiated.
b. For the design of special items of fu rniture and fitti ngs for li mited prod uction only,
including designs for garden furniture, the fee shall be negotiated .
c. Payment for the design of mass produced items offu rniture may be by royalty, or by
time charges and scale of copyright. Fees for the design of prototypes may be an
.
advance on royalties.
d. For advising on the commission of specia l works of art, the selection of pai ntings
and sculptures, etc for l iaising with artists and for advising on instal lation of the
artwork fees shall be negotiated.
e. For preparing artwork, murals and other studies of final work where no separate
a rtist is employed, fees shall be negotiated:

1 .3. 1 2 LITIGATION AND ARBITRATION

For qualifying to give evidence, getting proof, attending conferences with solicitors and
Counsel, attendance in court or at Arbitration or Planning inquiries or before other
tribunals for services in connection with litigation or for arbitration, a negotiated fee shall
be agreed.

1 .3. 1 3 SUPERVISION

a. For providing Resident Supervision on a site a monthly charge shall be made


computed in accordance with the approved man-month rates.

b. For providing supervision by site visits beyond the original contract period (during
and extended construction period) the charge shall be based on the man-month
rate charges.

c. For each additional site visit required b y the employer during the contract period
over and above the normal service, the charge shall be the same as the man­
month charge for each visit during the normal visit.

2.2.2.8 Notify the client of the completion of the developed design of the project.

installation of such electrical and mechanical materials, machinery and plant supplied for
incorporation in the works, and arranging and witnessing acceptance tests.

24.0 Fee Computation and Stage Fees


24.0.1 This part explains in detai l how fees and charges are to be calculate d . It deals first with the
Estimated Total Cost on which percentage fees m ust be based then with the application of
red u ctions for repetitive works .
24.0 . 2 Estimated Total Cost (ETC)
(a) For the purpose of d eterm i n i n g the fees payable under the Agreement, the
Estimated Total Cost "of P roject com p rises the estimated cost of all works i ncluding
all plant and eq u i pment forming a permanent part of the structure and also
i ncl u d i ng all ancillary structures a nd a l l site works desig ned by the Consultant a nd
form ing an i ntegral part of the p roject.
(b) The Estimated Total Cost sha l l include the cost of all works designed or supervised
by Specialist Consu ltants for which the Consu ltant is responsible for d i recting in
accordance with the F i rst Schedule Clause 23 (f) i rrespective of whether such work
is carried out u nder separate b u i ld i ng contracts for which the Consu ltant may not be
res ponsible. The Consultant shall be entitled to be i nformed of the cost of any such
separate contracts.
(c ) I n add ition to the cost of all the works executed u nder the Works co ntract the
Estimated Tota l Cost shall include the cost of any work which is excl uded from the
contract but otherwise designed by the Consultant.

(d) The Esti mated Total Cost shall i nclude the cost of built-in fu rniture and eq u i pment.
(e) Where appropri ate the cu rrent cost of old materials to be used in the works wi l l be
used for the p u rpose of calculating the Estimated Total Cost.
(f) Where any material labour or carriage are s u p plied by the E m p loyer who is not the
b u i lder, the cost shall be esti mated by the Consultant as if they were su pplied by the
builder and i ncluded i n the Estimated Total Cost of Project.
(g) Where the Employer i s the builder, a statement of ascertai ned g iOSS cost of the
works may be used in calcu lati ng the Estimated Total Cost p rovi ded always that th e
Consultant's own estimate shall be used i n the a bsence of any bonafide statement
of the ascertai ned cost i ncluding a l lowance for overheads.
(h) Where the scope of works is i ncreased at a ny stage beyond the one covered by the
Estimated Total Cost of P roject, add itional fees will be payable for the Consultant
services i n respect of the added scope of works .

24 . 0 . 3 Partial Services
(a ) Where for any reason the Consultant p rovides only part of the services desoribed i n
Clause 2 of t h i s Agreement, t h e Consu ltant s h a l l be e ntitled t o t h e appropri ate
percentage fee of the Estimated Cost of the Works u nder C l au se 12.1. and to any
rei m b u rsable expenses.

( b) Where the Consultant is com missioned to u ndertake only the works described i n
Stage 3 of the Agreement, whether i n whole or part , he s h a l l be entitled t o fees
cak;ulated on the Esti mated Final Cost of the Works and to any out of pocket

24 .0.4 Application of Reduction for Repetitive Works or Repeated Buildi ngs


(a) The red uction of the sca l e of fee applicable to repeated su per-structures shall be
to as described in table 2 clause 24 of these con dition s .

(b) The fee for work i n Stage 3 supervision o r Post Contract Stages, shall not be
subject to any red uction for repetitive works o r repeated b u i l d i ngs.

(c ) Redu ctio n for a l l repetitive works and repeated b u i l d i ng shall be calcu lated as
follows:

(i) Type d rawings and specifications are those d rawings of a repeated building
which are necessary for the construction of the works above ground floor slab,
otherwise referred to as the super-structure only, a n d all work below the top of
ground floor slab or ti mber joints shall be excluded from the construction costs
on which fees are red uced . All external works shall be excl uded from the
construction costs on which fees are red u ced .

(d) The Estimated Tota l Cost of the project shall first be analysed and apportioned
betwee n non repeated work and repeated s u per-structu res as i l l ustrated under

i n the fifth schedule, Annextu re . The relevant scale of the Estimated Total Cost
of repeated s u per-structure will then be used to calculate the fees for repeated
works based on clause 24, Table 2 of these conditions .

The revised p rofessional Scale of Fees was approved and signed i nto use i n N ovember, 1 992. The
rel ease which was received by the Construction I nd ustry with m ixed feelings was applauded o n one
side for its far reaching decisions o n major issues affecting scale of fees in the Constructio n I n d ustry.
On the other hand however, some obvious and genuine critisms were made i n respect of some of the
detai l s contained i n the release, p rompting the Hon. Secretary of Works and Housing Engr. Barnabas
Gemade to set up another Committee to look into a l l these observations and criticisms with a view to
correcting them . This committee has basica l ly maintained the frame-work of the P rofessional Scale of
Fees p u t i nto operatio n in 1 99 2 . Changes were introd uced only in areas that obviously deserve such
changes. N evertheless, the fol lowings are the highli g hts of the changes i ntrodu ced in this new edition :

Fees for Stages 1 and 2 shall be calculated on the basis of the Estimated Total Cost (ETC) of
project and payments shall be made on these stages accordingly. Fees for Stages 3 shall also
be calculated on the basis of the Estimated Total Cost (ETC) of project which is reviewed
period ically as the project progresses and payments shall continue to be made period ically
accord ingly. The Total Construction Sum (TCS) shall only be used to adjust the final payment
in Stage 3. The tender sum shall be adopted as the ETC where this known.

treated as a separate project with the Structural Engineer as the Prime Consultant. Such

45. 1 For the pu rpose of remu nerating the Consultant Quantity Surveyor for his services, projects
are classified 'into the following two broad based groups.

(i) SCALE OF FEES FOR QUANTITY SURVEYING WORKS IN PROJ ECTS WHERE
THE ARCHITECT. MECHAN ICAL. Electrical OR STRU CTURAL ENGINEER IS THE

This is the normal service of the Qua ntity Surveyor. However, revalidation or re­
evaluation of a suspended, abandoned or terminated contract is an additional service
which should be remunerated at a fee of 0 . 1 % of the Estimated Total Cost of Project

(iii) Where contracts are based o n schedule o f Rates or Approxi mate B i l ls o f Quantities
which req u i re site re-measu rement as the work progresses.
The fees for Resident supervision by the Consultant Quantity Su rveyor is in accordance with
the man-month rates as shown in Table 2 1 .

The proportion of the total fees payable to the consu ltant surveyor at various stages of
implementation shall be as follows:

Stage 3 : 2 0 % on submission o f Report, or maps
Stage 4 : 1 0% on acceptance of Report/Maps (payments to b e effected within
30 days of receipt of the final s u rvey records).

95.0 REIMBURSIBLE EXPENSES

to the Consulta nt Town Planner, in add ition to normal fees, but only after receipts backing u p

TH E P ROFESSIONAL SCALE O F FEES IN THE CONSTRUCTION INDUSTRY

When the P rofessional Scale of Fees was signed i nto use by the former Hon. M i ni ster of Works
& Housing on the 1 2th of Apri l , 1 996, a M i nisterial Standing Committee was inaugurated at the
same time to conti nue further work on the document. This was done in recogn ition of the fact
that the issue of professional fees is very agitative and controversial thus req u i ring constant
attention to mai nta i n peace in the industry. It was recognised that a few g rey a reas were sti l l in
need of some further consideration. This was the situation u nder which the M i ni steri a l Standing
Committee on the Professional Scale of Fees was born .

The committee was given a n u m ber of relevant terms of reference , m ajor among which was to
i n itiate actions leading to the overall review of the scale of fees of p rofessionals in the
Construction Industry as and when d ue , as wel l as to consider issues raised by the
Professional Bodies and/or from the public in general , relating to the p rofessional scale of fees .

This Explanatory Note No. 1 i s the first subm ission arisi ng from the works of the committee . The

notes deal extensively with all ambigu ities and g rey areas fou n d in the cu rrent docu ment o n the
Professiona l Scale of Fees . It also cla rifies a l l areas of doubts and confusion brought before it
by the d ifferent Professional Bod ies and the public in gen era l .

26. 1 . Clauses 1 .0 A PRIME CONSU LTANT is the leader of the team of Consu ltants on a project.
He conceives the designs, produ ces the guiding sketches and co-ordi nates
the Project on a regular basis.

2. Clause 2.0 STAGE PAYMENT

C o n s u lta nt shall be as s pecifi e d by-t h e i r respective professional bodies and in
accordance with the statue( s) regu lating the profession .

The rem u nerations for repetitive works is in line with the scale of fees for basic
Services and depending on how many times the same work i s being repeated,
the scale offees sha l l be as i n Table 2 below fo r all catego ries of Consultants.

P lease note that the red u ction arising from repetition shall n ot apply to single
buildi ngs, all S u b- Stru ct u re and P o s t -co ntra ct Services of the Project.

4. Clause 6 . 0 PROJECT MANAGE MENT

A Project Manager coord i nates the logistics of the p roject and activities of
other Consultants a s they relate to the Client. H e does not take p rofessional
responsi bil ity for the performance of a ny of the other Consu ltants . The P roject
Manager shall be e mployed only on complex and/or larg e projects to e l i m i n ate
u nnecessary fi nancial b u rden on the Clie nt.

Where the Pri me Consu ltant or any other Consu ltant in the b u i l d i ng I n d u stry is
the Proj ect Manager, the slid ing scale of fees in TABLE 4 shall a p ply.

5. Claus e 7 . 0 REIMBU RSABLE EXP E N SE S

To avoid u n n ecessary expenses b y Clients all reim b u rsable expe n se s s hall be


paid o n "Cost Plus" basis .

Rei m b u rsable Expenses shall be pa id on . the receipted I nvoices/Bills plus


allowanoe to cover head office overhead and profit.

Al lowance to cover head office overhead and P rofit shall be 25% of cost of
printin g , reprod u ction of d rawings, p h otocopying, office equipment and other
i ncidental expenses. For travel a n d H otel charges, the allowance shall be 1 5%
of d i rect cost.

6. Clause 8 . 0 M U LTI-FARIOUS P ROJECTS

The essence of further explanation of M u lti-fario u s P roject is to make it clearer


and more com p rehensive. The goal shall be that the Client is not made to pay
more tha n is necessary for any project u nder this scheme.

A. Characteristics

For a p roject to qualify as a M u ltifarious P roject it must have tile followi ng
