LETTER OF INTENT - PURCHASE OF MARINE SAND, RIVER SAND AND SILICA

SAND TO BE SEND TO SINGAPORE AND OTHERS (TBC).

We, ROLANDO ENTERPRISE, on behalf of the Principal Buyer, with the full corporate and legal responsibility
are ready, willing and able to purchase the product, Marine Sand, (besides other sand products like River
sand/washed construction sand and Silica sand) from your company subject to mutually agreed commercial
covenants of final contract on the following terms and conditions:

(1) Commodity: Marine Sand 2.0mm to 2.8mm

(2) Destination: Singapore, Brunei, or anywhere Malaysia.

(3) Country of Origin: Any of the neighbouring ASEAN countries or any country where sand is cheap
and abundant.

(4) Quantity: 2,000,000 cubic metre per Month Shipment, up to 130 million M3 (cubic metre) /5yrs.

(5) Price: A nett maximum price of SGD14.00 per M3 for the seller plus at least SGD2 for the
commission for the intermediaries per M3 on cif or extraction basis on site (price then
would be much lower). The gross price of the Marine Sand should not be more than
SGD16 per M3. An amount of say SD 2 per M3 or more be offered as consultation fees
for both the consultants of Singapore and Malaysia on an A/B basis.

(6) Payment Terms: Letter of Credit or other acceptable bank instruments from world top 25 prime banks.

(7) Inspection : CIQ/SGS at discharging destination

(8) Additional Requirements from Buyer:

(a) 10kg marine sand Sample for Laboratory analysis in any international accredited laboratory.

(b) Test report of marine sand from accredited laboratory.

(c) Dredging, Mining and Export licenses at and from the concession area to be issued by the
National government.

(d) Location map of the concession area, with full documentation of the concession given by the government
concerned.

(e) The company profile of the concessionary of the site supplying the marine sea bed sand, if possible with
records of past shipments.
