1.0 INTRODUCTION
NTPC is India’s largest energy conglomerate and has an installed
capacity of 51,708 MW comprising of 28 Coal based, 8 Gas/liquid fuel
based and 13 Renewable energy (Solar PV and Wind)/ Hydro power
projects. NTPC has massive ongoing capacity addition plans with around
20,000 MW projects under construction. The company is also
contemplating increasing its generation assets by means of possible
acquisition of Coal based Power Assets located in India.
5.0 Detailed terms & conditions are given in the Proposal Documents, which
are available for free download at NTPC e-tender website as per
followingdetails:
6.0 All Proposals must be accompanied by Earnest Money Deposit (EMD) for
an amount of INR 1,00,00,000/- (INR One Crore only) in the form as
stipulated in the ProposalDocuments.
7.0 NTPC reserves the right to reject or not consider any or all Proposals or
cancel/ withdraw the Request for Proposals without assigning any reason
whatsoever and in such case no Applicant / intending Applicant shall
have any claim arising out of suchaction.
10.0 Proposals shall be submitted online and opened at the address given
below in the presence of Applicant’s representatives who choose to
attend the opening of Proposals. Applicant shall furnish Earnest Money
Deposit and Power of Attorney separately in physical form as detailed in
the Proposal Documents by the stipulated Proposal submission closing
date and time at the address givenbelow

INSTRUCTIONS TO APPLICANTS
1.0 The Applicant is expected to examine all instructions, forms, terms, conditions and other
information in the Proposal Documents. Failure to furnish all information required as per
the Proposal Documents or submission of a Proposal not substantially responsive to the
Proposal Documents in every respect will be at the Applicant’s risk and may result in
rejection of its Proposal.
The broad criteria for qualification, technical and commercial evaluation and other terms
and conditions for the acquisition process are prescribed in the Proposal documents. The
Proposal documents include the following Sections:
A prospective Applicant requiring any clarification to the Proposal Documents may notify
NTPC through e-mail or in writing by post at the address indicated in RFP document.
NTPC will respond to any request for clarification that it receives by the last date for
clarifications indicated in detailed RFP. NTPC will post the Clarifications in C-Folder at e-
tender website and Applicants can view these clarifications once they are posted in C-
Folder. Applicants shall be notified through e-mail regarding posting of clarification in C-
Folder. Applicants are also advised to regularly check C-Folder regarding posting of
clarification, if any.
4.1 At any time prior to the deadline for submission of Proposals, NTPC may, for any reason,
whether at its own initiative, or in response to a clarification requested by a prospective
Applicant, amend the Proposal Documents.
4.2 The amendments will be posted in C-Folder for viewing by the Applicant. Applicants shall
be notified through e-mail regarding posting of amendments in C-Folder. The
amendments will be binding on Applicants and it will be assumed that the information
contained therein will have been taken into account by the Applicant in its Proposal.
Applicants are also advised to regularly check C-Folder regarding posting of
Amendment(s), if any.
4.3 In order to afford prospective Applicants reasonable time in which to take the amendment
into account in preparing their Proposal, NTPC may, at its discretion, extend the deadline
for the submission of Proposals.
The Proposal prepared by the Applicant and all correspondence and documents related
to the Proposal exchanged between the Applicant and NTPC shall be written in English
language, provided that any printed literature furnished by the Applicant may be written in
another language, as long as such literature is accompanied by a translation of its
pertinent passages in English language in which case, for purposes of interpretation of
the Proposal, the translation shall govern.
The English Translation of the documents shall be carried out by professional translators
and the translator shall certify that he is proficient in both languages in order to translate
the documents and that the translation is complete and accurate. Further, translation
shall be authenticated by the Indian Consulate located in the Country where the
documents have been issued or Embassy of that Country in India.
6.1.1 Documents in original to be submitted in physical form in separate sealed envelope (s)
duly marked in accordance with ITA clause 13:
A power of attorney, duly notarized by a Notary Public, indicating that the person
signing and submitting the Proposal digitally/signing the documents on behalf of
the Applicant which are required to be submitted in physical form has the
authority to sign the Proposal and that the Proposal is binding upon the Applicant
during the full period of its validity in accordance with ITA Clause11.
(The Authority of the person issuing the Power of Attorney shall also be
submitted).
Applicants shall furnish various details related to Offered Projects like Coal
details, Technical Information and Data, PPA/Commercial details, Financial
details and Miscellaneous details.
6.1.3 The Techno-Commercial Proposal should not contain any price entry which is
required to be submitted in Stage-II (Price Proposal)
The Price Proposal submitted by the Applicant shall comprise the following two
categories of documents:
6.2.1 Documents to be submitted in physical form in separate sealed envelope (s) duly marked
in accordance with ITA clause 13:
A Power of attorney, duly notarized by Notary Public, indicating that the person
signing and submitting the Proposal digitally has the authority to sign the
Proposal and the Proposal is binding upon the Bidder during the full period of its
validity in accordance with ITA Clause 11 (The Authority of the person issuing the
Power of Attorney shall also be submitted). It may be noted that notarized Power
of Attorney is to be submitted in physicalform.
Applicant shall fill up the details as intimated by NTPC while inviting Stage-II (Price)
Proposals.
6.2.4 Price Proposal should not contain any matter in respect of Technical and / or Commercial
aspects other than the details specifically sought in the Price Proposal.
8.1 Applicants shall quote the price for the Offered Capacity of their Operational Domestic
Coal Based Power Project(s) located In India in the Price Proposal form (Sec III- Part B)
enclosed in the Proposal Documents.
10.1 The Applicant shall furnish, as part of its Proposal, an EMD in a separate sealed
envelope of the amount and currency as stipulated in the detailedRFP.
10.2 The EMD shall, at the Applicant’s option, be in the form of a Bank Guarantee from any of
the banks as per list enclosed with ITA as Annexure-2. The format of the Bank
Guarantee shall be in accordance with the form of EMD included in the Section-III (Part-
C) of the Proposal Documents. EMD shall remain valid for a period of forty five (45) days
beyond the original Proposal Validity period and beyond any extension of Proposal
validity subsequently requested under ITA Sub-Clause 11.2.
10.3 The EMD [in case of Stage-I (Techno-Commercial) Proposal] and extension of EMD [in
case of Stage-II (Price) Bid] in original shall be submitted in a separate sealed envelope
before the stipulated Proposal submission closing dates and times. In case acceptable
EMD in a separate sealed envelope is not received, then online Proposal of Applicant
shall be rejected by NTPC as being non-responsive and shall not be opened.
10.4 The EMD of all the unsuccessful Applicants whose offered Projects don’t get shortlisted
will be returned within twenty-eight (28) days from the date of inviting Stage-II (Price)
Proposals.
The EMD of the Applicants whose offered Projects are shortlisted for inviting Stage-II
(Price) Proposals will be returned after completion of Acquisition process by NTPC.
While issuing the physical BG, the Applicant’s Bank shall also send electronic message
to NTPC’s Beneficiary Bank as per below provided details through secure SFMS.
(a) if the Applicant withdraws or varies its Proposal during the period ofProposal
Validity;
(b) IftheApplicant/hisrepresentativesprovidefalseinformation/Misrepresentations
pursuant to Fraud Prevention Policy of NTPC.
11.1 Stage-I (Techno-Commercial) Proposal shall remain initially valid and open for
acceptance for one hundred eighty (180) days from the date of opening of Stage-I
(Techno-Commercial) Proposal. Stage-II (Price) Proposal including Stage-I (Techno-
Commercial) Proposal to the extent not contrary to the Proposal Documents read in
conjunction with the Amendments/ Errata/ Clarification issued shall remain valid and
open for acceptance for one hundred eighty (180) days from the date of opening of
Stage-II (Price) Proposal. The Proposals valid for shorter period shall be rejected by
NTPC as being non-responsive.
11.2 In exceptional circumstances, NTPC may solicit the Applicant's consent to an extension
of the bid validity period. The request and responses thereto shall be made in writing by
post or by telefax followed by post confirmation. If an Applicant accepts to extend the
period of Proposal validity, the validity of EMD shall also be suitably extended. An
Applicant may refuse the request without forfeiting its EMD. An Applicant granting the
request will not be required nor permitted to modify its Proposal.
The Proposal including all documents attached in C Folder shall be digitally certified
using Class-III signature by a duly authorised representative of the Applicant to bind him
to the contract. The authorization shall be indicated by written Power of Attorney as per
ITA Clause 6.1.1 (b) and shall be submitted in Physical form prior to date & time for
opening of Proposal.
Proposal shall be submitted through e-tender mode in the manner specified elsewhere in
Proposal document. No Manual/ Hard Copy of the Proposal shall be acceptable.
Applicant should note that no zip file is to be uploaded online. Further file related
to particular Attachment including their Annexures/Appendices, if any, shall be
given name of that Attachment only.
13.1 Documents to be submitted in physical form (as brought out at ITA clause 6.1.1) shall be
sealed and marked in the following manner:
(i) The EMD furnished in accordance with ITA Clause 10 shall be sealed ina
separate envelope duly marking the envelope as "ATTACHMENT-1 : EMD".
(ii) The Power of Attorney furnished in accordance with ITA Clause 6.1.1(b) shall be
sealed in a separate envelope duly marking the envelope as "ATTACHMENT-2 :
POWER OF ATTORNEY".
(i) TheextensionofEMDfurnishedinaccordancewithITAClause10shallbe
sealed in a separate envelope duly marking the envelope as "ATTACHMENT-
1(P) EXTENSION OF EMD".
(ii) ThePowerofAttorneyfurnishedinaccordancewithITAClause6.1.1(b)shallbe
sealed in a separate envelope duly marking the envelope as "ATTACHMENT-
2(P): POWER OF ATTORNEY".
(a) be addressed to NTPC at the address given in the detailed RFP, and
(b) bear the title “Proposal for Acquisition of Operational Domestic Coal Based Power
Assets Located in India by NTPC”
13.3 The inner envelopes shall also indicate the name and address of the Applicant.
14.1 Stage-I (Techno-Commercial) Proposal must be submitted online no later than the time
and date stated in the detailed RFP. Original EMD and Power of Attorney and all other
documents as mentioned at clause 6.1.1 shall be submitted in physical form before
stipulated bid submission time at the address specified below. NTPC shall not be liable
for loss/non-receipt/late receipt of above documents in postal transit.
14.2 NTPC may, at its discretion, extend this deadline for submission of bids by amending the
Proposal documents in accordance with ITA Sub-Clause 4.3, in which case all rights and
obligations of NTPC and Applicants will thereafter be subject to the deadline as extended.
14.3 The Proposal invitation number and the time and date for online submission of Stage-II
(Price) Proposal shall be intimated separately. Extended EMD and Power of Attorney
shall be submitted in physical form before the deadline for submission of Price
Proposal at the address specified in detailed RFP. NTPC shall not be liable for loss/non-
receipt/late receipt of above documents in postal transit.
14.4 Date & Time for submission of Stage-II (Price) Bid shall be intimated separately.
15.1 The Applicant may modify or withdraw its Proposal after submission, provided that written
notice of the modification or withdrawal is received prior to the deadline prescribed for
Proposal submission. NTPC shall allow for modification or withdrawal of Proposal
through e-tendering mode as requested.
15.2 An Applicant wishing to withdraw its Proposal shall notify NTPC in writing prior to the
deadline prescribed for Proposal submission. A withdrawal notice may also be sent by
post or by telefax followed by post confirmation postmarked not later than the deadline for
submission of Proposals.

Proposal withdrawal notices received after the Proposal submission deadline will be
ignored, and the submitted Proposal will be deemed a validly submitted Proposal.
15.4 No Proposal may be withdrawn in the interval between the Proposal submission deadline
and the expiration of the Proposal validity period specified in ITA Clause 11. Withdrawal
of a Proposal during this interval may result in the Applicant’s forfeiture of its EMD,
pursuant to ITA Sub-Clause 10.7(a).
16.1.1 NTPC will first open Stage-I (Techno-Commercial) Proposal in the presence of
Applicants' representatives who choose to attend the opening at the time, on the date
and at the place specified in the detailed RFP. In the event of the specified date for the
opening of Proposals being declared a holiday for NTPC, the Proposals will be opened at
the appointed time on the next working day. All important information and other such
details as NTPC, at its discretion, may consider appropriate, will be announced at the
opening.
16.1.2 In case requisite EMD pursuant to ITA Clause 10 is not submitted before the stipulated
Stage-I (Techno-Commercial) Proposal submission closing date and time, then Proposal
shall be rejected by NTPC as being non-responsive and shall not be opened.
16.2.1 NTPC will open Stage-II (Price) Proposals in the presence of Applicants' representatives
who choose to attend the opening at the time, on the date and at the place specified by
NTPC. In the event of the specified date for the opening of Proposals being declared a
holiday for NTPC, the proposals will be opened at the appointed time on the next working
day. All important information and other such details as NTPC, at its discretion, may
consider appropriate, will be announced at the opening.
16.2.2 In case requisite EMD extension pursuant to ITA Clause 10, is not submitted before the
stipulated Price Proposal submission closing date and time then Proposal shall be
rejected by NTPC as being non-responsive and shall not be opened.
During Proposal evaluation, NTPC may, at its discretion, ask the Applicant for a
clarification of its Proposal including documentary evidence pertaining to the offered
Projects in the Proposal. The request for clarification and the response shall be in writing
and no change in the Price or substance of the Proposal shall be sought, offered or
permitted.
18.1 NTPC will examine the Proposals to determine whether they are complete, whether
required EMD has been furnished, whether the documents have been properly signed
and whether the Proposals are generally in order.
NTPC may waive any minor informality, nonconformity or irregularity in a Proposal that
does not constitute a material deviation and that does not prejudice or affect the relative
ranking of any Applicant, as a result of the Stage-I Techno-Commercial bid evaluation
and Stage-II Price bid evaluation.
18.2 Prior to the detailed evaluation, NTPC will initially determine whether each Techno-
Commercial Proposal is of acceptable quality, is generally complete and issubstantially
responsive to the Proposal Documents. For purposes of this determination, a
substantially responsive Proposal is one that conforms to all the terms and conditions of
the Proposal Documents without material deviations, objections, conditionalities or
reservations. A material deviation, objection, conditionality or reservation is one that in
anyway is inconsistent with the Proposal Documents or whose rectification would unfairly
affect the competitive position of other Applicants who are presenting substantially
responsive Proposals.
20.1 NTPC may conduct clarification meetings with each or any Applicant to clarifyany
aspects of its Stage-I (Techno-Commercial) Proposal that require explanation at this
stage of the evaluation.
21.1 At the end of the Stage-I (Techno-Commercial) evaluation and after holding clarification
meetings (if any),
(a) NTPC may issue an amendment to the Proposal documents (if required) as
considered necessary by NTPC based on the Stage-I (Techno-Commercial)
evaluation and clarification meetings thereof and/or
(i) invite an Applicant to submit Stage-II (Price) Proposal based on the Proposal
Documents and its Amendments (if any) or
(ii) notify an Applicant that its Proposal has been rejected on the grounds of being
substantially non responsive, or that the Applicant’s offered Project(s) does not
meet the broad Qualification Criteria set forth in the Proposal documents and/or
Criteria specified in the Evaluation Methodology enclosed as Anenxure-1 to ITA.
21.2 The Applicant shall be notified a new RFP Invitation Number in which online Stage-II
(Price) Proposal is to be submitted along with the Date & Time for submission of
Proposal.
21.1 NTPC will examine the Price Proposals to determine whether they are complete, whether
any computational errors have been made, and whether the Proposals are generally in
order.
22.1 Evaluation of Stage-II (Price) Proposals shall be carried out as per Evaluation
Methodology enclosed as Annexure-1 to ITA.
23.0 NTPC’s Right to Accept Any Proposal and to Reject Any or All Proposals
NTPC reserves the right to accept or reject any Proposal, and to annul this Acquisition
process and reject all Proposals at any time, without thereby incurring any liability to the
affected Applicant or Applicants or any obligation to inform the affected Applicant or
Applicants of the grounds for NTPC’s action. Further, the decision of NTPC Evaluation
shall be binding and not questionable in any way.
24.1 NTPC requires that Applicants observe the highest standard of ethics during the
procurement and execution of the contracts. In pursuance of this policy, NTPC :
(a) defines, for the purposes of this provision, the terms set forth below as follows:
(i) "corrupt practice" means the offering, giving, receiving or soliciting ofany
thing of value to influence the action of a public official in the
procurement process or in contract execution; and
(b) will reject a proposal if it determines that the Applicant has engaged in corrupt or
fraudulent practices during the wholeprocess;
(c) will declare a firm ineligible, either indefinitely or for a stated period of time if it at
any time determines that the firm has engaged in corrupt or fraudulent practices
during the wholeprocess.
The Applicant shall strictly adhere to the Fraud Prevention Policy of NTPC displayed on
its tender website http://www.ntpctender.comand shall immediately apprise NTPC
about any fraud or suspected fraud as soon as it comes to their notice. A certificate to
this effect shall be furnished by the Applicant along with his Proposal, in relevant
attachment to Proposal Form as per format enclosed with the Proposal Document. If in
terms of above policy it is established that the Applicant/his representatives have
committed any fraud at any stage then the EMD of the Applicant shall beforfeited.
TECisLevelizedEnergyCharge(EC)calculated,asperCERCTariffRegulation
2014-19 (enclosed as Appendix-1 to Evaluation Methodology),considering:
B. Shortlisting of projects having Levelized Energy Charge not more than Rs.
2/kWh
C. Detailed due diligence of shortlisted projects: Calculation of cost to
complete(PBAL)forpendingjobsandcostcompensationforoperationflexibility
(POPF) [as per Appendix-2 to Evaluation Methodology], in Rs. Cr/MW, for
the project based on detailed DueDiligence.
D. Intimation of PBAL&POPFto shortlistedApplicants.
Stage-2:
Applicants,whilesubmittingtheirProposals,arerequiredtoquotetheirpricein Rs.
Cr/MW (PQUOTE) for the capacity offered by them while also considering
PBALand POPF. Further, while quoting their PQUOTE, the Applicant is required to
ensure that their levelized capacity charge (TCC), for remaining project life
(considering total project life of 25 years from date of COD), does not exceed
Rs 1.18/kWh calculated in line with extant CERC regulations, else their
proposal shall not be considered for furtherevaluation.

Based on appetite of NTPC for inorganic growth and outcome of the due diligence
process in Para Stage-1 (C) above, NTPC will complete the acquisition process for
Assets against the Project consideration as below.

5. The data regarding key parameters for evaluating shall be taken from schedule of Bidder`s Offer and same shall be examined
with respect to datasheets/Design document/P&I D/Schematics/Performance/Guarantee report etc. The maximum deviation
noticed from the furnished data by any bidder shall be considered forevaluation.
6. Credit shall not be given be given to Bidder for having better data with respect to requirements indicated above on key
parameters forevaluation.
7. NTPC may carry out Performance Guarantee Test on the selected plants as part of Technical due diligence. Non-compliance
/demonstration on key parameters with respect to value /data indicated in the relevant schedule may run the risk of rejection of
Offer.

Registered Office at NTPC Bhawan, SCOPE Complex, Institutional Area, Lodhi Road, New Delhi -
110003, India, hereinafter referred to as “NTPC” (which expression shall unless it be repugnant to
the context or the meaning thereof mean and include its successors and permitted assigns) of the
Other Part.
The Company and NTPC shall collectively be referred to as the “Parties” and individually as a
“Party”.
WHEREAS:
A. NTPC is interested in evaluating the opportunity to invest in the thermal power project
developed by the Company by way of subscription/ acquisition of the equity stake of the
Company(“Evaluation”).
B. It is anticipated by the Parties that in the course of discussions for the Evaluation, a Party
(“Disclosing Party”) may disclose to the other Party (“Receiving Party”) certain
Confidential Information (definedhereinafter).
C. The Parties are desirous of entering into this Non-Disclosure Agreement which sets out
their mutual confidentiality obligations in respect of the Confidential Information disclosed
to each other in the course of their discussions on theEvaluation.
D. Each Party undertakes to comply with the terms and conditions as contained hereinafter
which shall govern the exchange and handling of the non-disclosure and use of the
ConfidentialInformation.
1.1 “Affiliates” means, with respect to any Person, a Person that directly or indirectly through
one or more intermediaries, controls, is controlled by or is under common control with, the
Person specified. For the purposes of this definition, “control” (including, with correlative
meanings, the terms “controlled by” and “under common control with”) shall mean the
possession, directly or indirectly, of the power, alone or together with others, to direct or
cause the direction of the Management and policies of such Person, whether through the
ownership of voting securities, by contract, orotherwise.
1.5 “Laws” means all laws, statutes, enactments, acts of legislature or parliament, ordinances,
rules, bye-laws, regulations, notifications, policies, guidelines, directions, directives,
decision, decrees and orders of any Governmental Instrumentality having the force oflaw.
1.6 “Materials” means the part of any tangible media upon or within which any part of the
Confidential Information is recorded or reproduced in any form and shall include any
storage device which forms a part of computerhardware.
1.7 “Person” includes any natural person, firm, company, Governmental Authority, joint
venture, association, partnership or other entity (whether or not having separate legal
personality).
2. ConfidentialInformation
2.1 “Confidential Information” means information which is legally owned and possessed by
the Disclosing Party and which ought to be considered as confidential from its nature or
from the circumstances surrounding its disclosure, in whatever form or media, imparted or
disclosed by the Disclosing Party to the Receiving Party, in writing or by any other medium
upon the execution of this Agreement or during the course of the discussions on the
Evaluation. Confidential Information includesinformation:
b) the fact that the discussions referred to herein are taking place, and all notes, extracts,
compilations or Materials or media, which are copies of or derivative works of the
ConfidentialInformation.
a) is now, or hereafter, through no willful act or failure by the Receiving Party, becomes,
generally known or available to thepublic;
b) is furnished to the Receiving Party on a non-confidential basis by a third party whom
the Receiving Party reasonably believes that the Disclosing party had not obtained it
under an obligation ofconfidentiality.;
d) is legally known to the Receiving Party prior to the time of disclosure by the Disclosing
Party.
The Receiving Party shall keep the Confidential Information strictly confidential and shall
use it for the purposes of Evaluation and shall not disclose or divulge or provide any
Confidential Information to a third party, in manner whatsoever, without the prior written
consent of the Company. In case the Receiving Party is required to disclose any
Confidential Information in terms of any Law, the Receiving Party shall endeavor to give
the Disclosing Party reasonable notice as may be legally possible prior to such disclosure
to obtain any applicable protective order or equivalent and provide such assistance, as
may be required by the Disclosing Party for the purposes of safeguarding such
Confidential Information and further comply with thesame.
Each Party hereby agrees, undertakes, confirms and covenants with the other that:
a) it shall keep strictly confidential and not use, reveal, provide or transfer to any Person,
directly or indirectly, the Confidential Information or any part thereof, except to such of
its employees, directors, co-investors, debt financing sources, attorneys, accountants,
consultants or representatives (collectively, “Representatives”) strictly on a “need-to-
know” basis for the purpose of Evaluation, and the Receiving Party shall at all times
remain fully responsible for such Representatives’ compliance with thisAgreement;
b) it shall not keep, reproduce, use for any unauthorized purpose or part with possession
of any documents or Material relating to the Confidential Information, save as required
for the purposes of Evaluation, except with the prior written consent of the Disclosing
Party;
c) it shall apply, adopt and enforce appropriate procedures and policies with regard to and
in respect of transmission, publication and disclosure of the Confidential Information, in
order to preserve the confidentiality or propriety of suchinformation;
d) it shall exercise the same care in preventing unauthorised disclosure or use of the
Confidential Information as it would take to protect and safeguard the confidentiality of
its own information of a similarnature;
e) it shall maintain proper records and enforce strict accountability of all Confidential
Information received from the Disclosing Party and whenever required to transmit
publish or disclose or otherwise provide such Confidential Information subject to, and
as may be permitted under, this Agreement, it shall do so with due diligence and shall
convey to the recipient of such information that the same is subject to non disclosure
obligations under this Agreement, so as to put the recipient on notice that the recipient
shall be held accountable in respect of disclosure of such Confidential Information and
that the recipient is expected to maintain confidentiality as if the recipient was a party to
this Agreement and obtain such assurances, agreement and undertaking from the
recipient that it shall return such information upon request by the DisclosingParty;
f) it shall ensure that the Representatives are made aware of the terms and conditions of
this Agreement including without limitation the confidentiality obligations of the
Receiving Party under this Agreement and abide by it at alltimes.
g) Any materials or documents that have been furnished by the Disclosing Party to the
Receiving Party in connection with the relationship will be promptly returned by the
Receiving Party, accompanied by all copies of such documentation or certification of
destruction, within TEN days after the relationship has terminated or on the written
request of theCompany.
4. Term:
Unless otherwise agreed to, expressly in writing by the Parties, the obligations hereunder
shall continue to be in full force and effect in accordance with the terms hereof and shall
terminate on the expiry of earlier of (i) the Parties entering into legally binding
documentation in relation to or pursuant to the Evaluation; and (ii) twelve months for the
date of this Undertaking;..
5.1 On the expiry of the term of this Agreement or upon its termination for any reason
whatsoever or immediately upon the Disclosing Party’s request at any time during the term
hereof, the Receiving Party shall forthwith return to the Disclosing Party all the Material
which are capable of returning to the Disclosing Party, then in the possession of the
Receiving Party which contain any such Confidential Information, and shall forth with take
reasonablestepstoexpungeallConfidentialInformation(andanycopythatmayhave
been made) from any computer, word processor or other device containing the
ConfidentialInformation.
5.2 In the event of breach of any of the conditions stipulated by this Agreement, the Disclosing
Party shall be at liberty to take necessary steps to prevent the Receiving Party from
disclosing or using such Confidential Information except as authorized herein, including
without limitation, terminate this Agreement by serving 30 (thirty) days prior notice, in
writing.
5.3 The Receiving Party acknowledges and undertakes that unauthorised disclosure or use of
the Confidential Information by it shall cause irreparable damage to the Disclosing Party in
such a way that the Disclosing Party cannot be adequately compensated in damages in an
action at law. Accordingly, if any dispute arises concerning the disclosure or use of any
Confidential Information by the Receiving Party, the Disclosing Party may seek injunctive
relief restraining the un-authorised disclosure or use of the Confidential Information by the
Receiving Party or specific performance of this Agreement. The above remedy will be in
addition to any other legal or equitable remedy otherwise available to the DisclosingParty.
6. Compliance withLaw
Each Party acknowledges that some or all of the Confidential Information provided herein
(in case Disclosing Party is a listed company) is or may be price-sensitive information and
that the use of such information may be regulated or prohibited by Law and each Party
undertakes not to use, directly or indirectly, any Confidential Information in contravention
of any Law. On acquiring any Confidential Information, each Party shall comply with all
Laws, and shall indemnify and hold the other Party harmless against any consequences
arising from any violation by such Party or its Representatives of suchLaws.
7. EntireAgreement:
The terms and conditions herein constitute the entire agreement and understanding of the
Parties on the subject matter of this Agreement and shall cancel and supersede all
communications, negotiations, arrangements and agreements, either oral or written,
between the Parties hereto, with respect to the subject matter hereof.

The failure to exercise or delay in exercising a right or remedy under this Agreement shall
not constitute a waiver of the right or remedy or a waiver of any other rights or remedies and
no single or partial exercise of any right or remedy under this Agreement shall prevent any
further exercise of the right or remedy or the exercise of any other right or remedy.
10. Notice:
10.1 Any notice, demand or other communication required or permitted to be given to either
Party by, or made pursuant to, this Agreement shall be in writing and shall be personally
delivered to such Party, sent by prepaid courier; or sent by facsimile transmission, charges

10.2 Any Party may from time to time change its address upon serving at least 5 (five) business
days prior written notice to the other Party given in accordance with the provisionshereof.
10.3 Any notice, demand or other communication delivered in accordance with Article (10.1) or
(10.2) above if delivered during the normal business hours of the intended recipient, shall
be deemed to have been received on the day of its delivery, otherwise on the next
business day, and if sent by facsimile shall be deemed to have been received on the date
of its transmission by facsimile provided that in the case of a facsimile the recipient’s
facsimile number appears on the senders transmission report (confirmation copy to be sent
by prepaidcourier).

13. DisputeResolution:
Jurisdiction court of Delhi shall have exclusive jurisdiction on disputes pertaining to this

This Agreement may be executed in 2 (two) counterparts, each of which when executed
and delivered is an original and shall be retained by each Party and taken together shall
constitute and evidence the same Agreement between the Parties.
