1. Introduction

This RFP is issued by KBZ Bank to obtain information about a solution that contains the following: Migration of
existing core banking and internet banking system into new proposed Hardware and environmental Software
system with the current core banking and internet banking application for KBZ Bank which will be setup at both
DC and DR site. Vendors are expected to provide proposals in response to this RFP no later than 28 Feb 2017
(see section 5.6 for full schedule).

As KBZ Bank is having business requirements, KBZ Bank expects the solution provider to provide entire solution
of systems (Hardware and environmental software) together with the necessary software licenses when housing
the existing core banking and internet banking solutions while coming up with the whole structure of support
and pricing. Importance will be given to the option of using existing licenses with top-up and also integration
with existing pieces of hardware when necessary for restoration, back up, etc. Vendor is responsible for giving
complete solution and best price offer to bank.

2. Executive Summary

The growth of business unit requirements has resulted in the huge demand and challenges for current back-end
infra environment to match growth in parallel and to provide capacity in timely matter with efficiency and
stability built into it. Mission critical centralized core banking and internet banking systems are mainly hosted on
a mixed infrastructure of Oracle Exadata and other Oracle SPARC servers. Currently KBZ would like to ensure
that the system will be stable and performance is increased even after the increase in KBZ Branch openings, user
base and migration of legacy core banking branches to new core banking system. This requires upgrading or
migration of current infrastructure used through Oracle Exadata and SUN systems to higher capacity servers.
And also, the rapid growth in Internet Banking users raised new business requirements to support three years’
growth of the ongoing increase of the user concurrencies. Internet banking system is hosted on a mix of Oracle
Exadata, IBM and Dell servers.

3. Overview

3.1 Purpose of RFP

The purpose of this RFP document is to provide bidder with information to assist the formulation of their
proposals. This RFP document does not claim to contain all the information each bidder may require. Each
Bidder should conduct its own investigations and analysis and should check the accuracy, reliability and
completeness of the information in this RFP document and where necessary obtain independent advice.

3.2 Overview of KBZ Bank Co. Ltd. Objectives

KBZ Bank ICT is providing full range of IT services to its business sectors through KBZ Group level, which
included KBZ Bank itself, KBZ Group IT, KBZSC IT and KBZ Gateway. Recent successful launch of services from
KBZSC Company Ltd. and the yearly growth of KBZ Bank Branches’ roll-out project throughout the country have
given rise to demand fulfilment. The rapid increase in centralized core banking branches started from year
2014. KBZ Bank IT had gone through the upgrade of its core banking and internet banking systems, which is
Oracle-based. In the year 2016 additional oracle engineered systems helped in upgrade of the infrastructure.
Currently, those systems are supporting the core banking system services to carry the load of more than 400+
KBZ Bank branches across the country. KBZ Bank IT had divided IT infra into two parts: Oracle Instance (Non-
infra and mainly for core-banking, ATM and Internet Banking) and Virtualization driven infra (Other Infra
environment for banking related products). KBZ Bank aims to procure additional high performance systems to
improve the performance and stability of the existing systems.

KBZ Bank’s current objective is to have 1000+ (over 6 years’ time) core banking branches and 8,000 concurrent
users for internet banking system from current 2,000 concurrent connections and thus, in demand of essential
upgrade of the systems to higher capacity/performance ones. This will help to carry the more load and multiple
upcoming projects especially from different business units. KBZ Bank is planning to maintain existing Exadata
system as dedicated reporting system and procure additional high performance systems to be used as core
banking and internet banking system also with minimum RTO (Recovery Time Objective) and RPO (Recovery
Point Objective). The proposed solution should be able to support 3 years’ business growth and increase in
system loading. Please refer below for the high-level and essential requirements:

1. Migrate core banking database and application to new proposed system.


a. The system should support minimal 3 years with 700+ flexcube branches, minimum 7,500
concurrent users.
2. Migrate internet banking application to new proposed system.
a. The proposed system should support minimal 3 years with 8,000 concurrent users at the
minimum.
b. Implement support services to manage the total solution housing our existing Core Banking
and Internet Banking solutions for 3 years. SLA should be provided.
3. Enterprise Backup Solution with below needs:
a. Minimum RTO and RPO for online systems (RTO is less than 1 hour and RPO is Zero) with
high/ maximum availability designed.
4. System Design should be with DNS and with Zoning being built in and compliance with PCI-DSS / PA-
DSS needs.

3.3 Overview of organization(s) affected by the solution, including their goals


This is the centralized core banking and internet banking system which is used by majority of the KBZ Bank
branches and external online customers. The level of criticality is at the highest because these systems are
the core of KBZ Bank’s main business. The goals are
1. A scalable architecture for future growth
2. Greater performance than is provided by the current infrastructure
3. Flexible and fault tolerant infrastructure
4. Decrease in capital replacement costs and an increase in efficiencies

3.4 Current Environment

3.4.1 Core Banking System


Today, over 270 branches are using the existing Oracle Flexcube Core Banking system which is using mix of
Oracle Engineered System, Sun Oracle Systems, Dell Systems and VM Ware environment as below:

– 8 Exadata database nodes (RAC) with spec of 256GB and 36 cores (2.3 GHz) each
– 7 cell storage servers with spec of 96TB (RAW) 6.4 TB PCI flash card each

• Web Tier
– 2 x Dell R720 (2 nodes) Intel Xeon 24 cores 32 GB RAM

– 4 Exadata database nodes (RAC) with spec of 256GB and 36 cores (2.3 GHz) each
– 7 cell storage servers with spec of 96TB (RAW) 6.4 TB PCI flash card each
• Application Tier
– 3 x SPARC T4-2 (3 nodes with weblogic cluster) 128 cores 256GB RAM
• Web Tier
– 2 x VM Ware (Version 8) 8 cores 16GB RAM

3.4.2 Internet Banking System

Today, over 200,000 users are using the existing Oracle Internet Banking system which is using mix of Oracle
Engineered System, IBM, Dell and VM Ware.

The current server environment consists of the following:

– 7 cell storage servers with spec of 96TB (RAW) 6.4 TB PCI flash card each

– IBM System x3650 M4 (2 nodes wls cluster) 32 cores (3.3 GHz) 64 GB RAM
• Web Tier
– Dell PowerEdge R320 (2 nodes) Intel Xeon 12 cores (1.9 GHz) 64 GB RAM

At DR

• Database Tier
– 4 Exadata database nodes (RAC) with spec of 256GB and 36 cores (2.3 GHz) each
– 7 cell storage servers with spec of 96TB (RAW) 6.4 TB PCI flash card each
• Application Tier
– VM Ware (Version 8) (2 nodes with weblogic cluster) 8 cores 64 GB RAM
• Web Tier
– VM Ware (Version 8) (2 nodes) 8 cores 64 GB RAM

3.5 External Factors

KBZ Bank ICT is looking an enterprise level system solution that will provide servers for core banking and
internet banking systems with best in class performance.

3.6 Expected Benefits

The solution must have supply, installation, configuration, migration, documentation of physical servers and
infrastructure, software license, support service and training on the supplied items such as administering
and managing the system components. KBZ encourage proponents to provide solutions, which will
maximize the existing budget while meeting best practices, and all the requirements outlined in this RFP.

3.7 Vendor’s Existing Relationships

Please list any existing relationships your company already has with KBZ Group, and describe the nature of
those relationships. If you do have existing relationships, you may alert them that you are responding to this
RFP. Nothing in this RFP precludes your pursuit of existing opportunities or undermines your existing
relationships.

3.8 Scope & System Capabilities

3.8.1 Delivery, Installation and Maintenance

1. The bidder to coordinate with the respective center/ locations (DC/DR Site) in respect of all the work
relating to this particular RFP
2. The bidder is responsible for supply and delivery, transportation, transit insurance, storage and
installation, insurance up to acceptance by the bank, installation and commissioning of systems at site
including integration, acceptance testing, documentation, warranty, annual maintenance.
3. Selected vendor will need to provide project structure with dedicated named resources (to be included
in the bid).
4. Selected vendor need to co-ordinate with existing service support vendor for integration and migration
process
5. Selected vendor shall be responsible for supply, installation, load testing, integration with current
systems and knowledge sharing and training for system handling. Need to provide at least three years
maintenance service (ad hoc service is mandatory). Must also provide the detail scope of work of their
professional services and deliverables.
6. Any delay in installation of systems for whatsoever reasons should not entail in expiry of warranty and
the same should be continued to be extended up to the date of installation and acceptance of the
Servers and other equipment by the Bank
7. The bidder shall be responsible for installation and commission and other related activities such as
delivering, unpacking, uncarting, inspection etc.

8. During the installation, the bidder shall check physical availability of items as per packing list. If any of
the items are not delivered/not as per the specification/ are damaged etc., the bidder or their
engineer/s at the site shall take immediate steps and ensure all the items are delivered so that the
installation is not hampered. The Bidder shall have to arrange for all testing equipment and tools
required for installation, maintenance, and also arrange the vehicle for transport at no additional cost
to the Bank.
9. The bidder has to configure the systems and related software with full features as per the requirement
of the Bank and also provide on-site support during the Contract Period.
10. In case damage of the property owned by the Bank during delivery and installation, which is
attributable to bidder, bidder has to replace the damage property at their own cost.
11. The bidder shall adhere to service level specified in the RFP for the maintenance of equipment supplied
by the bidder.
12. If any particular system proposed is becoming out of order for technical reason for more than three
times in a month and for two consecutive months, the Bank may ask the bidder to replace the Servers
and bidder should replace the Servers with another new Servers at no additional cost to the Bank.
13. Selected vendor is encouraged to propose a solution road map that may comprise off the current
proposed solution but may require additional products and technologies and how they are able to
benefit the bank.
14. Bidder shall conduct preventive maintenance (including but not limited to inspection, testing,
satisfactory execution of all diagnostics, cleaning and removal of dust and dirt from the interior and
exterior of the equipment and necessary repairing of the equipment) at such intervals (minimum once
in a quarter) as may be necessary from time to time to ensure that the equipment is in efficient running
condition so as to ensure trouble free functioning.
15. Selected vendor will need to ensure proper licensing, hardware/software warranty and after sale
support is provide. Onsite support to be provided when available where can sustainable for 24x7
16. Selected vendor should have the ability to provide all items provided in the solution. Vendor will be a
recognized and certified re-seller of the solution proposed and have certified on staff (or access to
certified personnel through the core manufacturer).
17. All engineering changes generally adopted hereafter by the Bidder for equipment similar to that cover
by this agreement, shall be made to the equipment at no cost to the Bank.
18. Qualified maintenance engineers totally familiar with the equipment shall perform all repairs and
maintenance service described herein.
19. The Bank shall maintain a register at its site in which, the Bank’s operator/supervisor shall record each
event of failure and / or malfunction of the equipment. The bidder’s engineer shall enter the detail of
the action taken in such register. Additionally, every time a preventive or corrective maintenance is
carried out, the bidder’s engineer shall make, effect in duplicated, a field call report, which shall be
signed by him and thereafter countersigned by the Bank’s official. The original of the field call report
shall be handed over to the Bank’s official.
20. The bidder shall provide replacement equipment according to the agreed SLA in case of failure and
maintain the essential spare parts locally in Myanmar.
21. Support should be made available at call within one hour during warranty & AMC period.

3.8.2 Warranty and AMC

1. The Products supplied by the bidder shall carry minimum 36 months comprehensive on-site warranty
covering total equipment from the date of acceptance. The bidder shall provide 36 months onsite
comprehensive AMC post the warranty period. Warranty and AMC terms & conditions shall cover the total
equipment, including spare replacements along with system software and licenses procured from the
bidder, with 24x7 maintenance support by email, telephone and onsite support, if any. Warranty and AMC
terms shall also cover the task of configuring/re-configuring operating system/software, other
hardware/software resources, system hardening, loading of the other system software procured either
from the bidder or any other vendor, Hard Disk Configuration, Performance tuning, Loading &
configuration system firmware updates, integrating with other hardware procured by the bank and any
other tasks related to Hardware & System software management.
2. In the case of authorized/ channel partners, Warranty shall also include the cost for the back to back
arrangement with OEM for maintenance for spares, providing support services, updates, if any required.
Terms of Service Level Agreement, if any, are to be specified.
3. Besides general warranty support, critical support details should be furnished. Besides the above, the
bidder shall extend the warranty terms & conditions, if any available by default or extend by OEM, with the
product from OEM.
4. This warranty shall remain valid for a minimum period of 36 (Thirty Six) months after the goods, or any
portion thereof as the case may be, have been delivered to, accepted and installed at the final destination
indicated in the Contract, or for minimum period of 39 (Thirty Nine) months after the date of delivery,
whichever period concludes earlier.
5. During the warranty and AMC period selected bidder shall visit on his own the Offices once in a quarter for
preventive maintenance support.
6. During the warranty and AMC period all parts of server are to be covered. The bidders shall submit the
details all parts of servers and together along with its parts and warranty period, along with bid documents
7. The bidder will provide a single point of contact with whom the bank will coordinate for the warranty
&AMC. The bank may log a call with the bidder by phone, email or any other manner the bank desires.
8. In case the solution offered has multi OEM, and if there is any (Hardware/Software) issues, the Service
Integrator is required to raise the required Service Request and would drive for resolution of the issues.
9. The responsibilities of comprehensive warranty period lie primarily with the servers bidder only.

3.8.3 Service Level Agreements (SLAs)

The successful bidder should commit / maintain uptime of 99.95% per quarter during the entire solution
during the contract period, failing which reasonable penalty should be reimbursed by vendor.

3.9 Proposal Evaluation

Following bid submission, KBZ Bank Ltd. will evaluate each proposal and select a slate of candidates for final
consideration. The initial evaluation will be based solely on vendors’ proposals and will include, but not
necessarily be limited to, the following criteria:

1. Alignment with the Critical Success Factors (like Hardware Specs, Hw/Sw Support) listed above and inside
vendor questionnaires attached.
2. Quality, usability, stability, and flexibility of proposed vendor product(s)
3. Demonstrated ability of the vendor to deliver a solution, which meets the business requirements within the
desired architectural framework
4. Depth of experience on similar projects, particularly those involving large, complex and selective financial
institutions
5. Qualifications of project personnel, if applicable
6. Costs for the full life cycle of the solution, both for implementation and for post implementation support

3.10. Terminology/Glossary
High Availability (HA): In information technology, high availability refers to a system or component that is
continuously operational for a desirably long length of time. Availability can be measured relative to "100%
operational" or "never failing." A widely-held but difficult-to-achieve standard of availability for a system or
product.
SAN: Storage Area Network, which primarily used to access consolidated data through the local area
network (LAN) by other devices.
TB: terabyte
IOPS: IO Operation Per Second
FC: Fiber Channel Connectivity
PA-DSS: Payment Application Data Security Standards
PCI-DSS: Payment Card Industry Data Security Standards
RTO: Recovery Time Objective

4. Proposal Requirements

4.1 RFP Completion Instructions

The vendor has to meet the maximum requirements with the best total cost of ownership among the
bidders, in order to successfully win the bid for the project. The vendor may face the penalty if Service Level
Agreement is breached. Vendors are requested to supply complete and accurate information and submit the
price proposals to provide the equipment and supplies that is determined to best meet our needs.

4.2 Vendor Information


Please refer appendix A.

4.3 Executive Summary of Proposal

“We are inviting the solution from single or multiple vendors for improving the performance and
ensure the high availability for core banking system components and internet banking system
components, with projection of 3 year’s business growth with average of 35% increment per year.”

4.4 Functional Requirements

We request you to submit your proposal for the below mentioned requirements as per the
specifications detailed in (Appendix A – Vendor Questionnaires)

Scope Overview

The broad scope of the RFP is given below:


• Supply, install, commission and ongoing maintenance of core banking system and internet banking
system along with required software licenses as per the specification listed in Compliance Table.
• The Contract duration is for a period of 3 years. The bidder is required supplied by the bidder.

The schedule of requirement with three years AMC after 3 years warranty period is given below.
Notes:

1. The quantities mentioned in the mandatory items are based on immediate requirements. However,
Bank reserves the right to vary the quantity/drop some items as per Bank’s requirement.
2. Bank may place order in lots as per the requirement of the Bank.
3. The proposed system should have the capability to fail over the Standby or designated Disaster
Recovery system and provide the near similar or equal performance.
4. Bidder might propose more or as equal number of the total number of existing cores per CPU (DC&DR)
and more memory (DC&DR) of total server systems.

4.5 Implementation Schedule and Project Team

Given the scope of the requirements and based on their experience with similarly scaled systems, vendors
must provide a suggested implementation approach. Using its set of expert resources. KBZ Bank Ltd will
provide overall project management.

Vendors must:
Present a suggested implementation approach and high-level project plan, with an estimate of total person-
hours. Identify functional and technical resources that the vendor believes are critical for product.

Vendor should assume KBZ Bank Ltd will provide overall project management and supply expertise in
functional knowledge and the underlying technologies (but not the vendor application). Please include
estimated duration, level of participation, and representative resumes for vendor resources.

Supply the name of vendor representative(s) who will have overall responsibility for the software products (in
the case where a local Myanmar provider is representing, reselling, distributing for an out of country vendor).
Partnerships with other vendors will be considered with the proviso that one (1) vendor assumes the role of
prime contractor. Responses should indicate the name of the prime contractor where appropriate.

Provide an explanation of the vendor’s quality assurance program and the methodology that will be used to
achieve overall project goals. Note that KBZ Bank Ltd.’s methodology will provide overall structure for the
project.

4.6 Training and Support

Vendors must provide information about available training courses and representative costs for users in the
multiple roles required for the implementation and support of the proposed system (e.g., application
developers, data base administrators, functional users, system administrators, etc.).

Vendors must provide information about the range of support services available and provide corresponding
price points. This section should include information about the availability and modes of access to help desk
support, how the support service is staffed, the method for determining level of urgency of issues, response
time guarantees to inquiries and service calls, and the level of on-site service and support that the vendor will
provide during implementation and roll-out of the product.

4.7 Pricing

Vendors are required to supply a fixed price bid for the software and, if applicable, rate structure for
proposed resources. Vendors must supply two sets of quotes if they are responding with a multi-module
solution: one assuming delivery of the entire solution and one broken out on a per-module basis. Where
applicable, vendors should price software, third-party software, annual maintenance and licensing options
separately and should include hourly rates and other billable charges for consulting or training that would
apply, broken out by roles (e.g. team leader, senior analyst, junior programmer, etc.). Prices must remain firm
until the project finalization date.

4.8 Additional Expenses

Proposals must define any additional expenses that apply to the project. This includes charging procedures
and billing rates for any unforeseen modifications or enhancements to the software, proposed services or
project scope. This information must also detail how the vendor will handle reductions in scope for any work
deemed unnecessary by KBZ Bank Ltd.

4.9 Contract

Proposals must include a standard contract for KBZ Bank Ltd to review. This proposal may include: a) basic
support agreements, b) Service-Level Agreements (SLAs), including system performance expectations for each
environment, c) termination agreements, and d) escrow arrangements and f) Continuous support clauses
All conditions of this RFP document must be complied with no matter what.

4.10 Proposal Inclusions

All equipment, accessories, database information, training, software, hardware, labour and materials must be
furnished for the installation in a bill-of-material format. Any additional material or equipment necessary for
installation and operation of the system not specified or described herein will be deemed to be part of these
specifications.

4.11 Proposal Exhibits/Attachments

Vendors should provide any exhibits or attachments that will enhance KBZ Bank Ltd’s understanding of the
system being proposed.

4.12 Related Products


Include any information about other related products that the vendor may offer.

5. Administrative Requirements
5.1 Proposal Delivery

To be considered, vendor proposals must be received by KBZ Bank Ltd by a specific date. Please refer to section
5.6 for the RFP schedule. The vendor will make no other distribution of proposals. An official authorized to bind
the vendor to its provisions must sign proposals. For this RFP, the proposal must remain valid for at least 90
days from the date received by the KBZ Bank Ltd.

Vendors must submit a complete response to this RFP. Each proposal must be submitted in 2 hard copies and e-
mail copy and directed to: KBZ Bank Ltd (Sealed Cover to U Myat Ko Ko with inside USB Drive also) Both the
envelopes should be marked with ‘Technical Proposal’ and ‘Financial Proposal’ as the case may be.
Excel sheet in Annexure A should be separated to Technical Proposal and Financial Proposal as per applicability.
i.e. a) ‘Company Info, b) Questions for Vendors, c) Technical Specs, d) HW+SW Sizing Specifications, e) SLA
Specifications’ should be part of Technical Proposal Envelope and Soft copies, whereas
f) ‘Financials’ should be part of financial proposal (All Technical Bill of Materials with breakup of all line items
must be provided in Technical Proposal (without pricing). Financial proposal must have the financial excel sheet
of Annexure A with price being mentioned to all line items as per break up (both line items of Technical and
Financial Sheets should match).

Participating bidder has to exercise utmost care to comply with the above requirements. Incomplete or
insufficient information linked proposals will be summarily rejected without recourse and no question can be
asked (supporting documents are welcome). Shortlisted Bidder must arrange customer reference calls (global/
local/ regional) (at least two) with the solution proposed who is using such solution.

Each delivery package will contain the following:

• Detailed reply using the provided MS-Excel document model in Appendix A.


• Detailed financial proposal
• Detailed information on solution provided
• Detailed comparison between vendor solution and competition
• Detailed resourcing plan. I.e. who will be the resources working on the project if the vendor is chosen.
Attach resume of resources if available.
• Customer references on similar solution and delivery

5.2 Acknowledgment

Vendor is asked to acknowledge receipt of RFP by the date specified in the RFP schedule given below in section
5.6.

5.3 Intent to Respond

All vendors intending to submit proposals to KBZ BankLtd. for this project are asked to send notice, via e-mail or
by hard copy to U Myat Ko Ko no later than the date specified below in section 5.6. Vendors should be sure to
include their email address in order to be included in the distribution lists for vendor queries.

5.4 Intent to Refuse

If a vendor chooses not to respond to this RFP, all material must be returned, together with a statement of
intention not to respond, to: KBZ Bank Ltd. no later than the date specified below in section 5.6.

5.5 Presentations and Demonstration Environment

Vendors selected for final consideration will be asked to make one or more presentations of their solution to
KBZ Bank Ltd. Each vendor should be prepared to provide a structured and in- depth demonstration of their
solution, based on defined scenarios, to KBZ Bank Ltd.’s selection committee.

Following the presentations, vendors are requested to make a demonstration environment of their solution
available, if possible. This will allow KBZ Bank Ltd staff to gain hands-on knowledge of the application.

5.6 Proposal Schedule

• Submission date to Vendor January 25, 2017


• Acknowledgement of RFP Receipt and statement of intent to respond (or refuse) January 31, 2017
• Question submission deadline February 14, 2017
• On-site solution presentation (Q&A) February 20-22, 2017
• Vendor deadline submission to KBZ Bank Ltd. February 28, 2017
• Vendor solution evaluation estimated completion (short listing) March 10, 2017
• Final negotiation and announcement of chosen vendor solution March 23, 2017 (Remark: Depend on
Committee Review and Requirements)

5.7 Official Correspondence

telephone 95-9-97 550 9011. Vendor will need to use the Excel template given for supplemental questions.

Important note: at this time, any solution provider communicating out of this defined channel will be
disqualified from the ongoing RFP.

6. RFP Terms and Conditions


6.1 RFP Disposition

All materials submitted in response to the RFP will become property of KBZ Group of Companies. A copy will
be retained for official files. All formal bids will be opened privately by KBZ Bank Ltd.

Confidential information submitted in support of the requirement to demonstrate the vendor's financial
solvency will be returned upon request.

6.2 Confidentiality

Any vendor engaging in services to KBZ Bank Ltd. that requires the vendor to come into contact with
confidential company information will be required to maintain the confidentiality of any such information that is
made available to the vendor. Each vendor is required to sign the Confidentiality Statement provided and
submit it with the final proposal.

6.3 Costs Incurred

KBZ Bank Ltd. is not liable for any costs incurred by vendors prior to the award of a contract.

6.4 Price Guarantee

Vendors are asked to guarantee the price offered for a period until the date of project finalization.

6.5 Publicity

The vendor will not publicize any information regarding this procurement without prior approval in writing from
KBZ Group of Companies.

6.6 Addenda

KBZ Bank Ltd reserves the right to amend this RFP prior to final vendor selection. If it becomes necessary to
revise any part of the RFP, addenda will be provided to those vendors who received the RFP.

6.7 Disclosure of Proposal Content

All information provided in the vendor's proposal will be held in strict confidence, and will not be revealed or
discussed with competitors. All material submitted in the proposal becomes property of the KBZ Group of
Companies and may be reviewed and evaluated by any individual other than competing vendors at the
discretion of the company. KBZ Group of Companies has the right to use any ideas presented in any reply.
Selection or rejection of the proposal does not affect this right.

6.8 RFP Discrepancies

If a vendor discovers any ambiguity, conflict, discrepancy, omission, or other error in this RFP, the vendor will
immediately notify the KBZ Bank Ltd of such error and request clarification or modification of the document. If a
vendor fails to notify KBZ Bank Ltd of an error known to them (or an error that reasonably should have been
known to them) prior to the due date for submission of proposals, the vendor will propose at their own risk. If
that vendor is awarded the contract, they will not be entitled to any additional compensation by reason of the
error or its subsequent correction.

7. Legal Requirements

7.1 Contractual Information

The final proposal must be complete, including all cost information and signatures on a cover letter. KBZ Bank
Ltd. Terms must approve any substitutions or insertions and conditions that do not comply in substance with all
material requirements of the RFP or are contrary to the best interests of KBZ Bank Ltd or its policies will not be
accepted.

This proposal does not constitute an offer or contract. Oral communications of KBZ Group of Companies officers
and employees or agents of the company concerning the RFP will not be binding on KBZ Group of Companies
and will in no way excuse the vendor of their obligations as set forth in this RFP. We reserve the right to
withdraw or cancel this RFP at its sole discretion at any time in the process prior to a signed contract.

7.2 Contractual Commitment

The chosen vendor must agree to a contractual commitment that their products and services provided will meet
or exceed their responsibility as set forth in their response to the RFP. All proposals, information, and responses
submitted for consideration may be made part of any final agreement or contract between KBZ Bank Ltd and
the selected vendor. If the chosen proposal includes third party suppliers, KBZ Bank Ltd will hold the primary
vendor responsible for performance and enforcement of all terms under the contract unless previously agreed
upon between both parties. Vendors must include a signed statement (or cover letter) that the vendor
understands and will accept the terms and conditions stated in this RFP. In addition, vendors must identify any
specific requirements for which they are unwilling or unable to comply.

7.3 Contract Modification

The contract that is executed as a result of this RFP must bind itself to amendment by mutual consent of KBZ
Bank Ltd. and the selected vendor.

7.4 Proposal Rejection

Proposals must be complete in all respects as required by all sections of the RFP. A final proposal may be
rejected if it is conditional or incomplete, or if it contains any alterations in form, or other irregularities of any
kind. A final proposal will be rejected if any such defect or irregularity constitutes a material deviation from the
RFP requirements. Proposals that contain any false or misleading statements, or provide references that do not
support an attribute or condition claimed by the vendor may be rejected. If, in the opinion of KBZ Bank Ltd such
information was intended to mislead the company in its evaluation of the proposal, it will be basis for
immediate rejection.

7.5 Vendor Responsibility

If, during the evaluation process, the vendor cannot assure KBZ Bank Ltd of its ability to perform under the
contract, the company has the option of requesting from the vendor information that KBZ Bank Ltd deems
necessary to determine the vendor’s ability to meet its responsibility. If such information is required, the vendor
will be notified in writing and given three (3) working days to submit the information requested. If the
information submitted by the vendor is deemed insufficient to satisfy KBZ Bank Ltd as to the vendor’s
contractual responsibility, KBZ Bank Ltd may ask for additional information or reject the proposal.

7.6 Other

KBZ Bank Co, Ltd reserves the right, prior to awarding any contracts for this project; to reject any and all
proposals and may resubmit this RFP for bid.

7.7 Appendix A – Vendor questionnaire-answer-evaluation sheet

The attached document is to be used for the questionnaire, the solution provider answers and also the
evaluation of the solution. It can be adjusted according to your needs and your RFP but the structure is to be
kept as is.
