I have read and understand the Contest Rules and Conditions and hereby agree to all of the terms and conditions as set forth below in
consideration of making application to be a contestant in the Sam Ash 2010 Best Of Shred contest:

OFFICIAL RULES & CONDITIONS - PLEASE READ CAREFULLY
Contestants must be 18 years of age or older. Contestants will get a choice of 6 backing tracks
to play with. Contestants can only bring their guitar and effects rig. They must play through
the house system and a Line 6 amp. No other amps will be allowed. Contestants will be given 5
minutes to set up and perform to the backing track of their choice from the listed selections.
All transportation is the responsibility of the contestant. The Regional champions will get Hotel
and airfare to LAX paid by Sam Ash.
1. All music and lyrics (collectively the “Songs”) performed by you in the contest must be origi-
nal. Your performance must be free of the rightful claim of third parties by way of infringement
or the like and you will indemnify and hold harmless Sam Ash with respect third party claims.
2. You give Sam Ash Music Corporation and its affiliates (collectively, “Sam Ash”) the right
to use your name, photographs, for advertising and promoting Sam Ash and its business in
catalogs, websites, e-mail, and all other media in all technologies and formats. This right is
non-exclusive and you may grant others the same rights.
3. The winning performances will be selected from all entries by a panel of judges (the “Judg-
es”) selected by Sam Ash. The Judges’ decision on all matters will be final and non appealable.
The Judges will make their determination on the quality and originality of the performance and
may reject any performances that are not in compliance with contest rules.
4. You grant to Sam Ash a non-exclusive, perpetual, fully paid up, license to all Songs and
performances used by you in the contest permitting Sam Ash to reproduce and to distribute
them on our websites and in compilations on other all media, technologies, and formats and to
use to demonstrate audio equipment in our stores, for music on hold, and in advertising. The
non-exclusive license granted to Sam Ash includes all copyrights, trademarks, and other pro-
prietary rights associated with the Songs and performances and all performance, mechanical,
and synchronization rights and all other rights required for reproduction and use of the Songs
and performances for all purposes. You warrant that you have the right to grant the licenses
provided in this paragraph and that no consent is required from any third party to enable the
grant of the licenses that has not already been given. You will not grant a license to the Songs
or performances to any other musical instrument retailer.
5. You release Sam Ash and its directors, employees, officers, and agents from all liability, loss,
or damages arising out of in connection with the awarding of prizes and the receipt, use, or
misuse of the Songs and the performances or participation in any contest related activities.
You agree to be solely responsible for any taxes payable with respect to any prize awarded.
6. The prize winners will be required to sign an Affidavit of Eligibility and Publicity/Liability
Release before collecting a prize. Winners release the Sponsor, Sam Ash, the prize suppliers,
and each of their affiliates, officers, agents, and employees from any responsibility or liability
in connection with any loss, accident, or death incurred in connection with the use of or the
installation of the prizes won in the giveaway. Failure to comply may result in disqualification
and the selection of an alternate. Any tax liabilities are the responsibility of the winner only
and the winner will be required to provide his or her US social security number for tax pur-
poses. Prize components are not exchangeable, transferable, or redeemable for cash. Sponsor
and Sam Ash do not make any warranty (including fitness for particular purpose) or guarantee
with regard to any prize. If any of the stated prizes is not available, Sponsor may substitute an
item of comparable value.
7. All federal, state, local, and municipal laws and regulations apply. Sam Ash is sole inter-
preter of the rules and its decisions are final. By participating, you agree to be bound by these
rules. Contest is void where prohibited by law.
8. Dates, Artists,.Venues, Times, Prizes, and backing tracks are all subject to change without
prior notice.
