Milford Hotel Feasibility Report

It is our pleasure to provide the summary of work prepared on behalf of the Milford Downtown
Development Authority for the feasibility of locating a hotel in downtown Milford.

The work to date includes meetings with the DDA, the Huron Valley Chamber of Commerce and
representatives from Kensington Metro Park, to ascertain an idea of Demand Generators for a hotel.
These early meetings gave us confidence that the Milford market may be underserved and that there
are several Demand Generators that may contribute to potential room nights should a hotel be located
in Milford.

First, we commissioned a dSTAR benchmarking report. The STAR program is used by the global hotel
industry and provides property performance compared to its competitive aggregate and general market,
and allows the user to follow trends in occupancy, average daily rate (ADR), revenue per available room
(RevPAR). These reports track and inform changes in market dynamics covering top-line performance,
supply, demand, industry forecasts, profitability and segmentation data.

Second, we developed a list of Demand Generators with the assistance of the DDA and the Chamber.
We focused on an approximate five-mile radius of downtown Milford. Demand Generators include large
employers, banquet facilities, parks and recreational vendors, golf courses and medical facilities,
including senior living facilities. Please find that list attached.

Finally, we were able to acquire specific information with regard to some interviews with those
generators, as well as industry-provided information as it relates to General Motors, specifically.
Notable to our team was the over one million visitors to the Kensington Metro Park, well within the
boundaries of the study and without an overnight lodging facility within its bounds.

A. Smith Travel Report Summary - Milford, MI Area Selected Properties (Tab 10)

Occupancy % from 2012-2017 for the defined market study region (Novi, Wixom, Brighton & Hartland)
has averaged a healthy and steady 67.8% (Tab 2); as room Supply (rooms available) has increased an
average of 4.3% (Tab 3) and room Demand (rooms sold) has kept pace at an average of 5.4%.

Average Daily Rate (ADR $), average rate per room rented, has grown steadily over the same period at
an annual average of 5.6% (Tab 3).

Revenue per available room (RevPAR $) has averaged 6.9% (Tab 3) for the same period.
This information points to a healthy region surrounding the Milford area for the lodging industry in
terms of the standard metrics used to measure lodging revenue performance. This market compares
favorably to another familiar southern Michigan market – Ann Arbor/Washtenaw County, the strongest
lodging market in the state and one of the top 2-3 in the upper Midwest according to Smith Travel.

There is additional room supply growth in the development pipeline spread over the entire defined
study region. A question to answer is will room demand growth continue to keep pace with supply
growth?

Currently, visitors to the Milford area needing to stay overnight use hotels in the defined market region
(probably more specifically the Novi area).

The main task in the market study is to quantify potential room demand that can be shifted from these
hotels and captured by a hotel developed in the Village of Milford.

RevPAR - definition and example

Revenue from guest room rental Per Available Rooms to rent

Combined measurement of how well a hotel is filling rooms (occupancy rate) & how much it is
charging for the rooms sold (ADR – average daily rate).

 60 room hotel at 70% occupancy = 42 rooms sold per night X $125 ADR (average rate per room)
= $5250 per night

 365 nights X $5250 = $1,916,250 annual room revenue

 60 rooms available per night X 365 nights = 21,900 annual rooms available

 $1,916,250 / 21,900 = $87.50 revPAR

 70% occ X $125 average (.70 X $125) = $87.50

With assistance from the Huron Valley Chamber of Commerce and digital mapping techniques, we were
able to define the highest demand generators in the study area including, but not limited to:

The next phase of this project should include in-depth interviews with these generators to ascertain
their room-night needs. We were able to speak to a few of these; most notably Kensington Metro Park,
which had compiled up-to-date statistics on the number of users to the park. They count over 750,000
vehicles per year into the park and conservatively estimate over a million users annually. Importantly,
the only overnight lodging facility on site is a “boy scout drop-off” camping area; no built overnight
accommodations for parents who may be dropping a child off for the weekend.

Discussions with banquet facilities and golf courses in the study area revealed a strong desire to
augment their events, weddings and corporate gatherings with overnight lodging nearby.

C. Industry Room Nights

A brief look at overnight lodging in the region by corporate users is also included. Interestingly, while
General Motors generates over 5,000 room nights per year in the region, most of the nights are used in
Novi (5,000), none in Brighton or Hartland and very few in Wixom (91). This could be as a result of the
type of product supplied, but also of the likely requirement that users be located in an area that is close
to shopping and dining experiences. A downtown Milford hotel could very well fill that niche for the
Proving Ground, especially.

Recommendations

It is our recommendation that the Milford DDA conduct further investigation as to the feasibility of a
hotel. We believe there is strong evidence to suggest that there is a “gap” in the Milford region; there
are no overnight lodging facilities in the entire Trade Area of the downtown, which is an area that
somewhat resemble the Huron Valley School District, or parts of Milford, Highland, White Lake and
Commerce Townships. Moreover, Milford offers an ambiance and amenities that are vital to today’s
hotel users: walkable downtown, proximity to many restaurants and direct access to outdoor activities.

Unfortunately, our office is otherwise indebted to ongoing projects and does not have the internal
capacity to take this project to the next phase, much as we are excited about the prospects. There are
many firms in the region that specialize in the next steps, which should include interviews with demand
generators, a proforma that describes the costs and estimates of investments, and a discussion about
the possible location and economic incentives necessary to issue a Request for Proposal for a potential
developer/hotelier.

Before purchasing this product you agreed to the following terms and conditions.
In consideration of the mutual promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, STR, Inc. ("STR"), STR Global, Ltd. ("STRG"), and the
licensee identified elsewhere in this Agreement ("Licensee") agree as follows:

1. LICENSE
1.1 Definitions.
(a) "Agreement" means these Standard Terms and Conditions and any additional terms specifically set out in writing in the document(s) (if any) to which these Standard Terms and Conditions are attached or in which they are
incorporated by reference, and, if applicable, any additional terms specifically set out in writing in any Schedule attached hereto.
(b) "Licensed Materials" means the newsletters, reports, databases or other information resources, and all lodging industry data contained therein, provided to Licensee hereunder.
1.2 Grant of License. Subject to the terms and conditions of this Agreement, and except as may be expressly permitted elsewhere in this Agreement, STR hereby grants to Licensee a non-exclusive, non-transferable, indivisible,
non-sublicensable license to use, copy, manipulate and extract data from the Licensed Materials for its own INTERNAL business purposes only.
1.3 Copies. Except as expressly permitted elsewhere in this Agreement, Licensee may make and maintain no more than two (2) copies of any Licensed Materials.
1.4 No Service Bureau Use. Licensee is prohibited from using the Licensed Materials in any way in connection with any service bureau or similar services. "Service bureau" means the processing of input data that is supplied by
one or more third parties and the generation of output data (in the form of reports, charts, graphs or other pictorial representations, or the like) that is sold or licensed to any third parties.

2. DISCLAIMERS AND LIMITATIONS OF LIABILITY

performance or otherwise.
2.2 Disclaimers. STR shall have no liability with respect to its obligations under this agreement or otherwise for consequential, exemplary, special, incidental, or punitive damages even if STR has been advised of the possibility
of such damages. Furthermore, STR shall have no liability whatsoever for any claim relating in any way to any decision made or action taken by licensee in reliance upon the licensed materials.
2.3 Limitation of Liability. STR's total liability to licensee for any reason and upon any cause of action including without limitation, infringement, breach of contract, negligence, strict liability, misrepresentations, and other torts,
shall be limited to all fees paid to STR by the licensee during the twelve month period preceding the date on which such cause of action first arose.
3. MISCELLANEOUS
3.1 Liquidated Damages. In the event of a violation of Section 1.5 of these Standard Terms and Conditions, Licensee shall be required to pay STR an amount equal to the sum of (i) the highest aggregate price that STR, in
accordance with its then-current published prices, could have charged the unauthorized recipients for the Licensed Materials that are the subject of the violation, and (ii) the full price of the lowest level of republishing rights that
Licensee would have been required to purchase from STR in order to have the right to make the unauthorized distribution, regardless of whether Licensee has previously paid for any lower level of republishing rights, and (iii)
fifteen percent (15%) of the total of the previous two items. This provision shall survive indefinitely the expiration or termination of this Agreement for any reason.

3.7 Waiver. No waiver of any breach of this Agreement will be deemed to constitute a waiver of any subsequent breach of the same or any other provision.
3.8 Entire Agreement. This Agreement constitutes the entire agreement of the parties with respect to the matters described herein, superseding in all respects any and all prior proposals, negotiations, understandings and other
agreements, oral or written, between the parties.
3.9 Amendment. This Agreement may be amended only by the written agreement of both parties.

3.11 Injunctive Relief. The parties agree that, in addition to any other rights or remedies which the other or STR may have, any party alleging breach or threatened breach of this Agreement will be entitled to such equitable and
injunctive relief as may be available from any court of competent jurisdiction to restrain the other from breaching or threatening to breach any of the provisions of this Section, without posting bond or other surety.
3.12 Notice of Unauthorized Access. Licensee shall notify STR immediately upon Licensee's becoming aware of any facts indicating that a third party may have obtained or may be about to obtain unauthorized access to the
Licensed Materials, and shall fully cooperate with STR in its efforts to mitigate the damages caused by any such breach or potential breach.
3.13 Conflicting Provisions. In the event that any provision of these Standard Terms and Conditions directly conflicts with any other provision of the Agreement, the conflicting terms of such other provision shall control.
3.14 Remedies. In addition to any other rights or remedies that STR may have, in the event of any termination by STR on account of a breach by Licensee, STR may, without refund, immediately terminate and discontinue any
right of Licensee to receive additional Licensed Materials from STR.
