Independent Marketer Agreement

Tradelog Associates, a sole proprietorship business duly organized and

existing under and by virtue of the laws of the Republic of the Philippines with
principal office at __________________________________________ , and represented
in this act by its owner, Abraham V. Asuncion, (hereinafter referred to as the
"Marketer");

- and –

Topjuan Consulting Inc., a domestic corporation duly

organized and existing under and by virtue of the laws of the Republic of the
Philippines, with principal office at 8th Floor, IMET BPO, Metropolitan Park, Bay
Area, Roxas Blvd., Pasay City, and represented in this act by its Chief Operation
Officer, Mr. Edward S. Ponti, (hereinafter referred to as the "Company");

In consideration of the promises, rights and obligations set forth below,

the parties hereby agree as follows:

1. Term

The term of this Agreement shall begin on DATE and continue until DATE,
unless terminated earlier as set forth in this Agreement. The term of this
Agreement may be extended by mutual agreement between the parties.

2. Services
The Marketer will provide the following services:

amendments to the services described above may be agreed upon between the
parties.

3. Compensation

The Marketer shall receive 40% share on the net income on every client that the
Contractor and the Company were able to successfully close a deal and the
contractor will be paid within 10 days after every payment by the client.

4. Exclusivity

Marketer shall have the exclusive right to promote or market the ERPNEXT
logistics products of Topuan Consulting Inc.
5. Relationship

The Marketer will provide the Marketer’s services to the Company as an

independent contractor and not as an employee.

Accordingly:

 The Marketer agrees that as an independent Marketer, the Marketer will

not be qualified to participate in or to receive any employee benefits that
the Company may extend to its employees.

 The Marketer is free to provide services to other clients, so long as such

other clients are not in competition with the Company and so long as there
is no interference with the Marketer’s contractual obligations to the
Company.

 The Marketer has no authority to and will not exercise or hold itself out as
having any authority to enter into or conclude any contract or to undertake
any commitment or obligation for, in the name of or on behalf of the
Company.

6. Confidentiality

During and after the effectivity of this independent marketer agreement,

the marketer will not divulge or appropriate to his own use or to the use of other’s
in competition with the Company any secret or confidential information or
knowledge pertaining to the business of the Company, or any of its subsidiaries,
obtained by the Marketer in any way in the course of the effectivity of this
independent Marketer agreement.

7. Termination

The Marketer agrees that the Company may terminate this Agreement at any
time without notice or any further payment if the Marketer is in breach of any of
the terms of this Agreement.

8. Venue of Suit

In case of controversy arising under this independent marketer agreement, the

parties hereto agreed to submit the same exclusively to the jurisdiction of the
courts of Pasay City for adjudication and disposition.

This Memorandum of Agreement consisting of two (2) pages, including this

page on which the acknowledgment is written and signed by the parties and their
