CONTRACT TO SELL

KNOWN ALL MEN BY THESE PRESENTS:

This contract made and executed in Baler, Aurora this 1 st day of


August 2013, by and between:

MANUEL P. GUERRERO, JR., of legal age, married, Filipino


Citizen and with residence address and Postal address at Baler,
Aurora, (hereinafter referred to as the “SELLER”;

- and -

RAUL D. GALAGALA, also of legal age, married, Filipino Citizen


and with residence and postal address at Brgy. Suklayin, Baler,
Aurora (hereinafter referred to as the “BUYER”;

WITNESSETH, That:

WHEREAS, the SELLER is the legal and registered owner of a


parcel of two residential lots – lot 6 and lot 7, located at Brgy. Reserva
with an area of eight hundred (800) square meters, more or less and
which are more particularly delineated by metes and bounds in the
survey plan, hereto attached as Annexes “A” and “B” respectively and
covered by Transfer Certificate of Title No. T-37053 issued by the
Registry of Deeds of Province of Aurora, more particularly described as
follows:

A parcel of land (Lot-H-6 of the subdivision survey plan


Psd-03-199340, being a portion of Lot-1-H, Psd-04-
148827), situated in the Barangay of Reserva, Baler,
Aurora, Island of Luzon. Bounded on the SE along line 4-1
by Lot-1-H-17, on the SW., along line 1-2 by Lot-1-H-5, both
of the subdivision plan, on the NW., along line 2-3 by Lot 1-
I, Psd-04-148827, Road (10.00 m. wide); on the NE., along
lines 3-4 by Lot-1-H-7, of the subdivision plan x x x
Containing an area of FOUR HUNDRED (400) SQUARE
METERS”

A parcel of land (Lot-H-7 of the subdivision survey plan


Psd-03-199340, being a portion of Lot-1-H, Psd-04-
148827), situated in the Barangay of Reserva, Baler,
Aurora, Island of Luzon. Bounded on the SE along line 1-2
by Lot-1-H-16, on the SW., along line -32 by Lot-1-H-6, both
of the subdivision plan, on the NW., along line 3-4 by Lot 1-
I, Psd-04-148827, Road (10.00 m. wide); on the NE., along
lines 4-1 by Lot-1-H-8, of the subdivision plan x x x

Containing an area of FOUR HUNDRED (400) SQUARE


METERS”

WHEREAS, the SELLER had offered to sell to the BUYER and the
latter had agreed and bound to buy in installment from the former, the
parcels of land mentioned in the preceding paragraphs subject to the
terms and conditions set forth in this Contract To Sell;

NOW, THEREFORE, for and in consideration of the foregoing and


the terms and conditions hereinafter set forth, the parties hereby agree
as they have agreed as follows:

1. The BUYER hereby agrees to purchase said premises containing an


area of EIGHT HUNDRED (800) SQUARE METERES at the said
consideration of THREE HUNDRED THOUSAND PESOS
(P300,000.00) Philippine currency and to pay the same as follows:

a. Upon the execution of this agreement, the sum of FORTY


THOUSAND PESOS(P40,000.00), Philippine currency and the
additional TEN THOUSAND PESOS (P10,000.00) which
already been paid and acknowledged as having been received
already by the SELLER from the BUYER;

b. The monthly amortizations of SEVEN THOUSAND PESOS


(P7,000.00) from January 2013 to June 2013 are also hereby
acknowledged as having been received already by the
SELLER from the BUYER;

c. The monthly amortization of SEVEN THOUSAND PESOS


(P7,000.00) shall be paid every end of the month until the
whole amount shall be paid.

2. The SELLER shall deliver unto the BUYER the Owner’s Duplicate
Copy of said Titles but will continue to hold the same as long as this
contract is in force;

3. The SELLER shall pay the Capital Gains Tax, Documentary Stamp
Tax and other taxes in order that the Buyer shall transfer the titles
to this land into his name;

4. The lots denominated as Lots No. 6 and 7, shall be those which the
BUYER has already started to develop and it shall not be replaced
with any lot in the subdivision. Should such lots be not the ones the
BUYER has already occupied and developed, this contract shall
automatically be rescinded even without COURT action in favor of
the BUYER;

5. All other Contracts entered into prior to this FINAL CONTRACT TO


SELL ARE HEREBY REVOKED EXPRESSLY by agreement of both
parties to this contract;

6. That, upon full payment of the purchase price, the SELLER shall
voluntarily sign, execute a final DEED OF ABSOLUTE SALE that shall
be required in order that the BUYER shall transfer into his name the
said parcels of land from the SELLER.

This Agreement and all annexes hereof, shall be binding upon the
SELLER and the BUYER, its successor/s and assign/s.

IN WITNESS WHEREOF, the parties hereunto set their hands to this


instrument, on the date, and at the place hereinabove mentioned.

ACKNOWLEDGEMENT

MUNICIPALITY OF BALER )

BEFORE ME, a Notary Public, for and in the above jurisdiction


this 15th day of July 2013 personally appeared the persons whose name
and competent evidence of identity as indicated below their names,
are known to me and to me known to be the same persons who
executed the foregoing instrument and they acknowledged to me that
the same are their free and voluntary act and deed.

This instrument consisting of four pages including this page


whereon this acknowledgement is written and referring to a parcel of
land covered and embraced by Transfer Certificate of Title No. T-37053
of the Register of Deeds of Aurora and identified as Lot-1-H-6 and Lot-
1-H-7 both of approved subdivision plan in Psd-03-199340 and signed
by the parties and their instrumental witnesses on the left margin and
on each and every page hereof.
