Xerox aims to be a role model in ethical behavior and business practices, nurturing a culture
of integrity, openness and inclusion. The Company's Board of Directors is 90% percent
independent Xerox people worldwide are well aware of and respectful of Xerox's Code of
Business Conduct, available in 19 languages. Resources such as the Xerox Ethics
Helpline offer employees an opportunity to seek guidance and raise issues concerning
business standards and ethics.

Xerox's corporate governance guidelines reflect the Board's commitment to monitor the
effectiveness of policy and decision-making both at the Board and management level, with
a view to enhancing long-term shareholder value.

Xerox Corporate Governance Guidelines have been adopted by the Board of Directors of
Xerox Corporation to assist the Board in the exercise of its responsibilities. These Corporate
Governance Guidelines reflect the Board's commitment to monitor the effectiveness of
policy and decision making both at the Board and management level, with a view to
enhancing long-term shareholder value. These Corporate Governance Guidelines are
reviewed by the Board, through the Corporate Governance Committee, on an annual basis
and are subject to modification from time to time by the Board acting by a majority of the
independent directors as determined under these Guidelines. Waivers of these Corporate
Governance Guidelines may be made by the Board or the Corporate Governance
Committee only.

Corporate Social Responsibility Governance

The Corporate Governance Committee of the Xerox Board of Directors reviews significant
corporate social responsibility matters. The Executive Management Committee, led by our
CEO, retains overall discretion for Corporate Social Responsibility (CSR) as part of the
business strategy.

The CSR Council, comprising senior executives who manage a specific CSR topic area, has
centralized oversight of the corporation’s management approach, including policies, goals,
strategies and actions to drive progress. The CSR Council is guided by a senior executive
from the Executive Management Committee. Each CSR Council leader is supported by
individuals with expertise and experience in a CSR topic area.

The primary mission of the CSR Council is to drive strategies having a customer-centric
impact across Xerox globally to advance our legacy of leadership in corporate citizenship.
Actions taken meet the expectations of our stakeholders, including customers, employees,
investors, regulators and communities worldwide. The governance model is characterized
by forward thinking, an awareness of current and trending stakeholder requirements and
knowledge of industry best practices. They advance the CSR agenda using the expertise,
skills and passion of the employees and the historical knowledge acquired from years of
striving for CSR excellence.

Assuming a lead role in sustainability requires a focused approach to drive the greatest
value to our stakeholders and company. The company utilizes a materiality assessment to
prioritize our activities.

The sustainability leadership has been recognized by organizations such as Carbon


Disclosure Project (CDP), Dow Jones and Ethisphere Institute.

We are proud of our strong contribution to the broader community in which we operate.
Fuji Xerox has a Workplace Giving Program whereby the company matches employee
donations to partner charities making a difference in the local communities and actively
encourages donation of time to these causes. Currently we support:

 Foodbank - 1 in 10 Australians, half are children, cannot take for granted where their
next meal will come from. Through our workplace giving program, employees
contribute to this charity to support its work towards an Australia without hunger.
 Australian Red Cross - The Red Cross supports people and empowers communities
to reduce suffering across Australian and internationally by mobilizing the power of
humanity.
Throughout the calendar year, the company as well as staff help set up, organise and run
annual fundraiser/Voluntary events and activities where all the hard work and money raised
goes to a fantastic cause. This includes, but not limited to:

- ‘Ban The Bottle’ Campaign
- Clothes Drive
- Conservation Volunteers Australia

environment, health and safety in five key areas to make an impact across our value chain
worldwide. Together with our suppliers, customers and stakeholders, we strive to maintain
the highest standards for preserving our environment and protecting and enhancing the
health and safety of our employees and communities.

 Carbon Footprint Reduction – lowering the carbon footprint of equipment, meeting


Energy Star requirements and lowering greenhouse gas emissions

 Paper and Recycled Paper; A Sustainable Cycle – paper sourcing, paper use, recycled
paper and eco-friendly paper offerings are designed to preserve forests and
environment

 Clean Air and Clean Water from Xerox Clean Manufacturing – clean manufacturing
efforts over the years to remove toxic chemicals result in clean air and water in
product lifecycles
