AGREEMENT FOR SALE

THIS AGREEMENT FOR SALE EXECUTED AT CHENNAI ON


THIS …… DAY OF September 2015.

M/s. EMPEE Engineers, Proprietor of Mr.O.Periasamy,


(PAN: AAGPP9234K) S/o. Marappa Gounder aged about 60
years, office at C-I, III phase, Thiur-Vi-Ka Industrial Estate,
Ekkattuthangal, Chennai – 600 097, hereinafter called as the
VENDOR, which term shall mean and include his legal heirs, legal
representatives, executors, administrators and assigns, of the ONE
PART:

IN FAVOUR OF

Dr.R.EBENEZER aged about 37 years, S/O Mr.SP.Rabindra


Rajan and Dr.M.Mahima Sophia, W/o. Ebenezer, aged about
33 years hereafter called the PURCHASERS, residing at E33,
Arihant Amara, near Saveetha Dental College, Goprasanallur main
road, Poonamalle High road, Chennai-77 which term shall mean
and include wherever the context so requires, their legal heirs,
legal representatives, assignees, administrators and executors, of
the OTHER PART;

WHEREAS the VENDORS herein is the full and absolute owner of


Piece and parcel of Vacant land, bearing plot No.XII, measuring
1800 Sq.ft.., in K.G.T.Nagar, sanctioned and approved by CMDA,
vide PPD/Layout No.94/2005, letter No. L1/2578/2005, dated
19.10.2005, Comprised in Survey No. 64/1A( As per patta No.
1407 S.No. 64/48) in Goparasanallur Village, Poonamallee Taluk,
Thiruvallur District more fully described in the Schedule
hereunder. The above mentioned property was purchased from
J.Ravi and N.kotteswaran, , Under a Deed of Sale Dated,
28.03.2007 , Registered as Document No.4444/07, in the office of
the Sub- Registrar of Kundrathur.

WHEREAS the Vendor M/s.Empee Engineers, Proprietor of


Mr.O.Periasamy, (PAN: AAGPP9234K) S/o. Marappa Gounder,
herein had offered to sell the property mentioned as Schedule
Property for a Total Sale Consideration of Rs. ………………../-
[ Rupees ………………………. Only] and the Purchaser had agree
to purchase the same on the following terms and conditions.

NOW THIS DEED OF SALE AGREEMENT WITNESSETH AS


FOLLOWS:-

[1] The VENDOR agree to sell and the PURCHASER agree to


purchase the property hereunder mentioned as Schedule Property
for a total sale consideration of Rs. ……………………./- [Rupees
……………………………………Only] which shall be paid by the
PURCHASER to the VENDOR herein.

[2] The PURCHASER herein agrees to pay Rs.1,00,000/- as part


consideration(advance) and purchaser agrees to pay the balance
amount at the time registration.
[3] The VENDOR and the PURCHASER mutually agrees that the
Agreement shall be completed within a period of 90 days from the
execution of this Agreement.

Time is the essence of this Sale Agreement.

[4] The VENDOR agree and undertake to execute and register a


Sale Deed in favour of the PURCHASER and/or their nominee/s
with regard to the Schedule Property at the time of the
PURCHASER making the entire Sale Consideration as
contemplated supra. However, the stamp duty and registration
charges for registration of Sale Deed/s pertaining to the Schedule
property shall be borne by the PURCHASER and/or their
nominee/s.

[5] The VENDOR promise and confirm that he have not entered
into any other sale Agreement with any Third Party with respect of
the Schedule Property herein and the said Property is free from
any encumbrance, mortgage, charge, lien, gift, settlement,
bequeathal, Court Attachment, pending litigation, proceedings
etc., other than the facts mentioned in the Sale Agreement.

[6] The VENDOR agree and undertakes that he will extend their
full support and co-ordination in completing the various
requirements stated in the sale agreement and inter related
procedures and further agrees and undertakes to sign, execute any
deeds or documents which enables to PURCHASER to complete
the sale transaction.

[7] The VENDOR agree not to create any mortgage, CHARGE,


LIEN OR ANY OTHER ENCUMBRANCE OVER THE Schedule
mentioned property or suffer any execution or attachment over the
said property until the execution and registration of the last Sale
Deed in favour of the PURCHASER herein and/or their nominee/s.

[8] The VENDOR likewise clarify that they have not in any way
encumbered the Schedule mentioned property or contracted to sell
the same either in whole or in parts to any of their nominee/s and
in the event of any such claims surfacing the VENDOR shall in
their individual capacity cause to make good the same, without the
involvement of the PURCHASER herein.

[9] This Agreement shall be in full force until all the transactions
contemplated herein are fully and effectively completed.

[10] The Power of Attorney of Vendor Mr. RM.Alagappan endorsed


this agreement and made him as attesting witness.

[11] Both Parties herein agree that if either party fails to fulfill any
of their obligations under this Agreement for sale, the Party not at
fault shall have the right to sue the other party for specific
performance of this Agreement for Sale with or without damages
as per the Clauses of the Transfer of Property Act.

SCHEDULE

All the piece and parcel of Vacant land, bearing plot No.XII,
measuring 1800 sq.ft. in K.G.T.Nagar, sanctioned and approved
by CMDA, vide PPD/Layout No.94/2005, letter No.
L1/2578/2005, dated 19.10.2005, Comprised in Survey No.
64/1A,( As per patta No. 1407 S.No. 64/48) in Goparasanallur
Village, Poonamallee Taluk, Thiruvallur District, being,
Bounded on the :

North By : Plot Nos. VII( At present S.No. 64/48B)

South By : 33 Feet Road( At present S.No. 64/1A 2A 1A)

East By : Plot No. XI (At present S.No. 64/1A)

West by : Plot NO. XIII ( At Present S.No. 64/18)

Measuring on the :

North By : 30 Feet

South By : 30 Feet

East By : 60 Feet

West By : 60 Feet

and situate within the Sub-Registration District of Kundrathur


Registration District of Chennai South.
