Trey,

Ithink it is OK but I have a few comments to consider:

1. they would use the teim Technical Services since they seem to stay with

"environmental", "regulatoly'', and "political" - would be nice to know we are also
expected to do technical work.
2. We will need to be sure that my role on Commission meets their requirements and the
law including the ethics law and that we perform in the appropriate process and
procedures to document this.
3. There is a requirement to maintain documents for 4 years after date of invoice with all
documentation to substantiate invoice -we will need to ensure our procedures take
this into account.
4. I think you should add a section that names you as SEC's representative such as they did
in Section 9 for Joel being Balch's.
5. We will need to keep in mind the Conflict of lnterest section in the agreement and make
sure we ask them how we should ensure this since we don't know the extent of their
client base and I don't think they want us calling them every week saying"can we work
for this clien{'- do they?
6. You should sign as President since that is what your role is from BRP Operating
Agreement.
