MEMORANDUM OF ASSOCIATION

OF

BANGLADESH BOARDS MANUFACTURER’S AND EXPORTER’S ASSOCIATION

I. NAME
The name of the Association is BANGLADESH BOARDS MANUFACTURER’S AND
EXPORTER’S ASSOCIATION.

II. REGISTERED OFFICE


The Registered office of the Association shall be situated in Dhaka, Bangladesh. The
association may establish chapter and /or branches anywhere in Bangladesh.

III. OBJECTIVE
The objective for which the Association is established are: (All objects will be implemented
after obtaining necessary permission from Governemnt/competent/concerned authority).

1. To promote and protect the interests of the manufacturers and the exporters of particle
boards and the persons or entities engaged in the allied business or are aspiring or
intending to manufacture or export their particle board products.
2. To promote right understanding and unanimity among its members on matters involving
their common goals and to safeguard their interests generally.
3. To act as a representative of the members and associations in discussions with the
government and regulatory bodies of such regulatory, financial and administrative
matters and to support or oppose any legislative action, regulatory directive which may
affect the members.
4. To consider all the queries, deal with all aspects and matters concerning the allied
industries related to manufacture and export of particle boards and related materials and
devise ways and means to overcome any difficulties, obstacles or problems arising in
connection therewith.
5. To make representation to the government, public and regulatory bodies and authorities
on behalf of its members for removing or addressing their grievances and meeting their
legitimate demands and securing beneficial facilities for the manufacture and export of
particle boards and related materials and allied industries and services.
6. To discuss, examine, promote or oppose as the case may be, legislative and other
measures connected with or having a bearing on manufacture and export of particle
boards and related materials and other allied industries and to consider, originate and
support improvement in industrial and commercial laws.
7. To discuss, examine, promote, oppose or originate as the case may be, legislative and
other measures related to the manufacture and export of particle boards and it’s parts
and component.
8. To promote consideration of all questions affecting members and generally to protect and
further their interests.
9. To facilitate co-operation and mutual understanding among members and to promote
good relations between members and other interested parties.
10. To subscribe, if necessary and become a member of the Federation of Bangladesh
Chamber of Commerce and Industry or to any other organization of Trade and Industry
in Bangladesh or abroad as may be conductive to the attainment of the objects of the
Association.
11. To borrow or raise money required for the purpose of the Association, to receive money,
or deposit, from the members of the Association and to invest or otherwise deal with the
money of the Association upon such terms and in such manner as may be determined by
the Association.
12. To purchase, conduct, take on lease or in exchange, hire or in any other way acquire
any movable or immovable property or properties which the Association may think
necessary or convenient for the purposes of carrying out any of its objects and to sell,
demise, mortgage, give in exchange or dispose of the same or any part thereof, if
required.
13. To encourage and assist in the development of the manufacture and export of particle
boards and all related business in Bangladesh.
14. To work closely with the government and regulatory bodies and other relevant
organizations with a view to promote the manufacture and export of particle boards and
related materials to earn foreign currency for Bangladesh.
15. To accept any request, gift, donation or any other subscription of any fund or endowment
or gift and to establish and support or aid in the establishment of any funds, institutions
and trusts purported to benefit the members of the Association.
16. To frame and maintain a code of professional ethics and general standard of profession
conduct and promote fair competition and healthy trade practices amongst particle
boards exporters.
17. To undertake and settle all maters in dispute either between and among the Association
members and between the Association member and others by arbitration or otherwise in
accordance with the objects of the Association.
18. To make the government, regulatory and other bodies aware of and be responsive to the
needs and demands of the particle board manufacturers and exporters for a healthy and
rapid economic growth.
19. To co-operate with all or any public bodies and other organizations engaged in activities
and/or objectives similar to those of this Association in matters of common interest.
20. To act as information center for members of the Association and to provide co-operative
services for their common benefits, and also to collect, tabulate and circulate information
and statistics of value to industry.
21. To study, carry out and sponsor research on problems relevant to the manufacture and
export of particle boards and consistent with the aims and objectives of Association.
22. To edit, print and publish journals, books, pamphlets and other material, including
electronic format, relevant to the objectives of Association.
23. To undertake and execute any trusts which may be lawfully carried out by the Association
and which may be conductive to the objects of Association.
24. To provide, arrange, institute award for outstanding work to an individual, company of
organization related with manufacture or export or other allied businesses of particle
boards and related materials.
25. To adopt such means of informing the activities and services of the association as may
seem expedient and in particular by advertising in the press, by circular purchase and
exhibition of works in interest, by publication of books and periodicals or any other kind
of literature, including electronic formats and by granting prizes, awards and donations.
26. To enlist the services of professional experts and advisors and to have at its disposal
expert advice on matters relating to the manufacture and export of particle boards and
related materials and allied businesses
27. To take any legal action, and defend the interest of the association in the court of law
and to appoint legal practitioners to appear for and on behalf of the association before all
court(s).
28. To urge or oppose legislation, policy, regulation, bye-laws, circulers, orders and other
measures and to procure change of law policy, regulation, bye-laws, circulers, orders and
practice affecting the business of particle board manufacturers, exporters, and other
allied businesses
29. To initiate and support legal action on its own or on behalf of members jointly or
severally whether by authorization by members or on its own initiative, on all matters
affecting members of the Association or an individual or a group of them or any branch of
this business arena, not directly represented by the Association.
30. To organize, establish and start a separate wing or body of the Association for the
purpose of research work pertaining to the purpose mentioned in the objects of the
Association in organizing and establishing such wing, the Association will be entitled to
frame separate rules for their working.
31. To sponsor on its own and/or arrange through the Government, regulatory bodies and
other agencies, the visits of delegation of members to different parts of Bangladesh and
other countries to promote the interests of the particle boards exporters.
32. To undertake training or educational program in relation to the aims and objects of the
Association.

33. To do all such other things as are incidental or conductive to the attainment of all or any
of the above objects.

IV. The income and property of the Association whatsoever derived shall be applied solely
towards the promotion and attainment of the objects of the Association and no portion
thereof shall be paid or transferred directly or indirectly by way of profit or dividend to
the members of the Association, provided that nothing herein contained shall prevent the
payment in good faith of expenses or of remuneration to any employees of the
Association or member thereof for the services rendered to the Association. The
Association is hereby specially prohibited to pay any dividend to its members in
accordance with the requirement of Section 28 of the Companies Act, 1994.

V. The liability of the members of the Association is limited by guarantee.

VI. The fourth paragraph of this Memorandum of Association is a condition of which the
license is granted by the Government of the Peoples Republic of Bangladesh to the
Association pursuant to Section 28 of the Companies Act. XVIII of 1994 and the Trade
Organization Ordinance, 1961.

VII. The trade association shall be operated abiding the state policies and public interest. And
it shall not organize, Participate or support any sub-versive activities which may violate
state Laws/Rules/Regulations and shall not breach social peace and discipline.

VIII. Each member undertakes to contribute to the assets of the Association in the event of its
being wound up while he/she is a member or within one year afterwards, for payment of
the debts and liabilities of the Association contracted before he ceases to be a member,
and of the charges and expenses of winding up, and for adjustment of the rights of the
contributors among themselves, is BDT 100,000.00(Taka One Hundred Thousand) only
per member.

IX. If upon winding up or dissolution of the association there shall remain, after the
satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be
paid or distributed among the members of the association and shall be given to same
other institution on institutions having similar objects as may be determine by the 3/4 th
members present in extra ordinary general meeting convened for this purpose and in
default of a meeting by a judge of the High Court having jurisdiction of the matter.

We, the undersigned are desirous of forming an Association not for profit named
BANGLADESH BOARDS MANUFACTURER’S AND EXPORTER’S ASSOCIATION under
the Companies Act. 1994 having subscribed our names and address to this Memorandum.
