Whereas GENESARETH HOMES CORPORATION shall continue to operate and provide

services to the community;

Whereas authority to file and answer pleadings needed for and in legal representation of
GENESARETH HOMES CORPORATION to continue its operation;

NOW THEREFORE, BE IT RESOLVED that the Board of Directors of GENESARETH HOMES

CORPORATION hereby authorizes PAULO A. CORPUZ to act on behalf on GENESARETH
HOMES CORPORATION in filing and answering pleadings in civil and criminal proceedings;
and to sign for and perform any and all responsibilities in relation to such agreement.
