LEAVE AND LICENSE AGREEMENT

THIS AGREEMENT OF LEAVE AND LICENSE is made and entered into at Mumbai on
this ________ day of September , 2018 BY AND BETWEEN MR. DHARMENDRA
VADILAL PARMAR,Age _______Years, adult Indian Inhabitant, having permanent
address, residing address at Flat no. 2201, 22nd floor, “A” wing Romell Aether, near
Umiya Mata Mandir, Vishveshwar Nagar Road, Goregaon East, Mumbai- 400063;
hereinafter referred to as the “Licensor” (which expression shall, unless it be repugnant to
the context or the meaning thereof, be deemed to mean and include her heirs, executors,
administrators and assigns) of the ONE PART.

AND

MRS. PADMINI MADARAPAKAM PAGADALA, Age _____ years adult Indian


Inhabitant, having address at
__________________________________________________________; hereinafter
referred to as the “Licensee” (which expression shall, unless it be repugnant to the context
or the meaning thereof, be deemed to mean and include her heirs, executors, administrators
and assigns) of the OTHER PART.

WHEREAS:
i) The Licensor is the exclusive and lawful owner and is otherwise well and sufficiently
entitled to the residential Flat no. 2201, 22nd floor, “A” wing Romell Aether, near Umiya
Mata Mandir, Vishveshwar Nagar Road, Goregaon East, Mumbai- 400063, The
aforesaid flat hereinafter referred to as the said “Licensed Premises”.
ii) The Licensor has good right, valid power and full authority to grant the license to the
Licensee and to arrive at suitable arrangements in respect of the said licensed premises or
pertaining thereto with the Licensee.
iii) The Licensee has requested the Licensor to allow the Licensee, to use and occupy the
said on Leave and License basis, without in any way creating any right, title or interest, of
any nature whatsoever, in favor of the Licensee in respect of the said Licensed Premises.
iv) The Licensee has, on the faith and strength of the aforesaid representations and
warranties, requested the Licensor to allow it to use and occupy the said licensed premises
on leave and license basis temporarily for a period of (12) Twelve months.
v) The Licensor has agreed to grant Leave and License by way of limited permissive use
in respect of the said Licensed Premises on the terms and conditions as hereinafter
appearing.
NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND
BETWEEN THE PARTIES HERETO AS FOLLOWS:
1. The Licensor hereby agrees to give to the Licensee and the Licensee hereby agrees to
take on Leave and License basis the said Licensed Premises, for a period of 12 months,
from the 15thday of September 2018, upto the 14th day of September, 2019. In the
event of any of the Parties hereto desiring to terminate this Leave and License Agreement,
then and in that event, the Party desiring to do so shall send a Two months notice in
writing to that effect to the other Party. After Lock in period of 6 months. Both the parties
cannot terminate this Agreement before 6 months.

2. On the expiry of this Leave and License on the 14th day of September 2019, this
Agreement will automatically come to an end and shall stand terminated.

3. The Licensee shall pay to the Licensor, License fee at the rate of Rs. 60,000/-
(Rupees Sixty Thousand only) per month from 15.09.2018 to 14.09.2019 for the licensed
period. The Payment of the License Fee shall be made by the Licensee to the Licensor
every month in advance on or before the 10th day of each English calendar month.

4. In addition to the above License Fee in order to ensure the due compliance of term and
conditions of this Agreement by the Licensee including vacating the said Licensed
premises and giving back the possession to the Licensor on the expiry of this Leave and
License Agreement a refundable non-interest bearing Security Deposit amounting to
Rs. 3,00,000/- (Rupees Three Lakh only), shall be paid by the Licensee to the Licensor
simultaneously with the execution of this Agreement and the same shall be retained by the
Licensor to the extent of and subject to adjustment against nonpayment of monthly License
Fee and/or breakages and/or damages caused to the said Licensed Premises including
provision for outstanding telephone bills, internet facility, electricity charges, cable
television wiring installation and the like. The said Security Deposit shall be refunded by
the Licensor to the Licensee simultaneously on the expiry or earlier termination in
accordance with the provisions of this Agreement and the Licensee vacating the said
Licensed premises after making such adjustments, if any, as stipulated in this Agreement.
It is mutually agreed by and between the parties that there shall be lock in period for the
period of 6 months i.e. from 15.09.2018 to 15.03.2019 and thereafter the Licensor and the
Licensee both shall have an option to terminate this agreement by giving Two month
advance notice in writing to the other party. In event of such early termination no
compensation or cost of whatsoever notice would be payable. Such termination of
agreement should be deemed as expiry of the agreement and accordingly discontinuation
process shall be followed.

5. The Licensor has declared that it is well and sufficiently entitled to the said Licensed
Premises and has duly paid all rates, taxes, cesses, duties, assessments and other outgoings
payable, imposed and levied in respect of the said Licensed Premises by any Government
or other Authorities till the date of the execution of this Agreement.

6. In case of delay in the payment of the said License Fee by the Licensee to the Licensor
by the 10th day of each English Calendar month in advance, the Licensee shall be liable,
without prejudice to any other rights of the Licensor under these presents and under Law,
to pay penalty of Rs. 500/- (Rupees Five Hundred only) per day of delay till the date of
actual payment.

7. In addition to the payment of the License fee as hereinabove provided, the Licensee shall
pay all the charges for the electricity, cable, telephone, etc, consumed by the Licensee on
receipt of the relevant bills without any delay, default, demur or objection.

8. The Said Licensed Premises shall be used for exclusive residential purposes only.
Nothing in this Agreement shall be construed as permitting any third party to use and
occupy the said Licensed Premises or create assigns any third party rights or interest
thereof. The Licensee further confirms that nothing contained in this Agreement shall be
deemed to be giving any rights or easement, lease, tenancy, sub-tenancy or such rights
whatsoever to the Licensee, save and except, the limited right of use specifically granted
for the specific period at the end of which the Licensee shall cease to have use of the said
Licensed Premises and shall vacate the same.

9. The Licensee on the expiry of the Leave and License Agreement, shall leave the said
Licensed Premises in as good a condition as it was on the date hereof (reasonable wear and
tear excepted). All repairs and maintenance to the said Licensed Premises other than
structural alterations and repairs shall be carried out by the Licensee at its own costs and
expenses.

10. The Licensee shall not make any structural alterations in the said Licensed Premises.
The Licensee shall, however, be at liberty to install air-conditioners, shelves, screens,
racks, sunblinds, household fittings, gas, lights, fans, electrical appliances and other
conveniences, reasonably required by the Licensee and which will remain the property of
the Licensee and shall be removed by the Licensee on vacating the said Licensed Premises,
on the expiry of this Leave and License Agreement or earlier termination thereof in
accordance with the provisions of this Agreement, without causing damage to the said
Licensed Premises in any way.

11. The Licensee shall not do or cause to be done anything therein which is or is likely to
be a nuisance or annoyance to or to prejudice the rights of the Licensor as the Owner of the
said Licensed Premises.

12. In the event of the Licensee committing breach of any of the terms and conditions of
this Agreement as provided herein, the Licensor shall be entitled to have the same remedied
expeditiously by the Licensee by giving a notice thereof in writing to the Licensee at the
designated address and the Licensee shall at its own costs and expenses rectify the
defect/breach within 15days from the date of receipt of the notice.

13. The Licensor shall:


a) Observe and perform all the rules, regulations and bye-laws for the time being in force
and terms, conditions agreements and provisions on which the Licensor holds the said
Licensed Premises to ensure the uninterrupted occupation by the Licensee of the said
Licensed Premises:
b) pay and discharge all present and future rates, taxes, cesses, assessments, charges and
all other liabilities to the Government, Municipality and any other local or public body or
authority in respect of the said Licensed Premises;
c) Give one set of duplicate keys of the licensed premises to the Licensee to be retained by
her during the period of this Agreement.

14. The Licensee hereby agrees and undertakes with the Licensor as follows:-
a. Not to damage in any way the walls including internal brick work, windows, partition
walls and ceiling of the said Licensed Premises and keep the same in good order and
condition ;
b. Not to store or allow being stored in the said Licensed Premises any combustible or
hazardous material at any time that may imperil the safety of the building or may increase
the premium of insurance of the building or render void the insurance.
c. Not to do or permit to be done anything in the said Licensed Premises any acts or
activities which are obnoxious, anti-social, illegal or prejudicial to the norms of decency
or etiquette which may be or become a nuisance to the Licensor or other occupants of the
said building.
d. To perform and observe strictly all the rules, regulations and bye laws applicable to the
Building as also the provisions of this Agreement and not to do any act, deed, matter or
thing as would constitute a breach of the rules, regulations and bye-laws applicable to the
said building.
e. Notwithstanding this License, the exclusive and juridical possession shall always remain
with the Licensor.
f. Not to put any claim of tenancy or any other right or title or interest into or in respect of
the said licensed premises or any part or portion thereof and this Agreement shall not be
construed to create any such right whatsoever in favor of the Licensee save and except the
mere right to use and occupy the said Licensed Premises as Licensee during the validity of
the License and such right shall automatically come to an end on the expiry of this Leave
and License Agreement.
g. To vacate the said Licensed Premises together with all its belongings on the expiry of
the period of the License and to restore the said Licensed Premises to its original condition
(reasonable wear and tear and loss or damage by accident, irresistible force or acts of God
excepted);
h. The Licensor and/or its authorized representatives shall be entitled at all reasonable times
to enter the said Licensed Premises after giving notice of 48 hours in advance to view
and/or make physical verification of the condition thereof and to direct the Licensee to set
right any wrongful use, damage, repairs, etc.
i. Not keep the said premises closed for any reason for a period of 30 days at a stretch
without intimating the Licensor during the subsistence of this License and also after
completion of period of the License. In which case the Licensor shall be at liberty to break
open the said premises and to forfeit the belongings of the Licensee for recovery of dues if
any.

15. In the event of the Licensee occupying the licensed premises failing or refusing to
remove themselves from the licensed premises upon the expiry of the period of the license
or sooner termination thereof as provided herein, the Licensor shall be entitled to retain the
Deposit and in addition, to the monthly License fee, the Licensee shall pay to the Licensor
such amount not exceeding Rs. 1,500/- (Rupees One Thousand Five Hundred only) per day
as and by way of liquidated damages till the Licensee vacates the licensed premises.

16. It is agreed confirmed and declared by and between the parties that this agreement is a
license and shall be governed by the provisions of Section 24 and other applicable
provisions of the Maharashtra Rent Control Act, 1999.

17. Any notice herein may be given if sent by hand delivery and written acknowledgment
obtained thereof or by Registered A.D. at the designated addresses of the Parties and the
same so sent shall be deemed to be duly delivered.

18. Stamp Duty and Registration Charges Pertaining to the Said Leave and License
Agreement if any shall be paid by the Licensor and Licensee in equal Proportion.

19. This Agreement is subject to the exclusive jurisdiction of the Courts at Mumbai only.

I have removed all my furniture, of fittings and other belongings from the said
aforesaid Premises. The Electricity, Telephone, and Cable Charges have been paid by me
upto the end of the License period.
