Welcome!
It is our pleasure to welcome you to First Future. We hope that throughout the time you teach with us, you
will find this a rewarding and engaging experience.

This handbook was created by the Operations Department to provide you with all of the Operations’ policies
and procedures you will be required to observe while teaching with First Future.

This handbook, when reviewed along with the Teacher Welcome Pack, should answer almost all of your
concerns.

If you have any questions after this then please reach out to our Operations Manager, Ms. Liz Pena, who will
point you in the right direction.

I. Operations Policies Commitment Form


After you have reviewed the Operations policies and understood the requirements and expectations
of First Future, you should sign the “Commitment Form” included below. By doing so, you are
acknowledging that you have read and understood everything.
This also indicates that you have received all pertinent documentation regarding your new role.

II. First Future Home Based Teacher Agreement


Engagement - Services of the Teacher

First Future Limited Hong Kong ( 飛 博 有 限 公 司 ) and Beijing Feibo Education TechnologyCo.
Ltd (collectively, “First Future”) desire to engage you (the “Teacher”, with First Future, collectively
the “Parties” and each a “Party”), and the Teacher desires to be engaged by First Future, to provide
agreed services (as defined below) to First Future on the terms set forth herein.

First Future hereby engages the Teacher as an independent contractor to provide services set forth
in Section 4 of this Agreement (the “Services”). During the term of this Agreement, the Teacher shall
provide, at his or her own expense, the Services.

First Future will establish a user account (an “Account”) under the Teacher’s name, and the Teacher
will acknowledge that he or she is able to electronically receive, download and print this Agreement.

First Future Partner Teacher Agreement

This Teacher Agreement (Agreement) is between you (also referred to as the “Teacher”), and First Future
Limited Hong Kong (“First Future” or the “Company”).

You must read, agree to, and accept all of the terms and conditions contained in this Agreement in order to
use our websites (site) and provide teaching services to students through First Future.

First Future may amend this Agreement without prior notice to you at any time by posting a revised version
on the ‘MIS’ Teacher / Student class scheduling site (the Site).

Any revisions to this Agreement will take effect when posted on the Site unless otherwise stated. Your
continued use of the Site or the acceptance of providing Teaching Services through First Future after the
effective date of a revised version of this Agreement constitutes your acceptance of its terms, and agreement
to be bound by its terms.

This Teacher Agreement incorporates all terms, conditions, rules, policies, and guidelines on teaching First
Future Students, including the First Future House Rules, as well as all policies and protocols.


You agree to provide true, accurate and complete information as prompted by the registration form and all
forms you access on the Site, and to update this information to maintain its truthfulness, accuracy and
completeness. You cannot register for more than one Teacher Account without express written permission
from First Future.

Your First Future Account (including feedback) and username are not transferable, and any transfer or
attempted transfer to another party is null and void.

Responsibilities and Performance

The Teacher is responsible for the performance and quality of the Teaching Services in accordance with the
Teacher Instructions, and performed in a timely and professional manner at the agreed time and date.

In our continuous effort to provide quality service to our Partners and Students, we need to ensure we are
delivering excellent performance in each and every lesson.

While teaching with First Future it is expected that you will avoid detrimental behaviors and/or activities that
can greatly impact our business.

Any Teacher who will be monitored displaying the following behaviors shall be sanctioned appropriately.

Term: Duration of Services, Termination and Suspension

This Agreement shall commence on the date hereof and shall be terminated through (i) the termination of the
Teacher’s Account by First Future in its sole and absolute discretion, or (ii) a 30-day prior notice from either
Party. In the event that the Teacher has students booked for future classes, a 30-day prior notice is required
for the termination of this Agreement.

Without prejudice to First Future’s other procedures, First Future may issue a warning, or temporarily suspend,
indefinitely suspend or terminate the Teacher’s Account or any lesson conducted by the Teacher, and withhold
payment due to the Teacher, and refuse to provide any service through the relevant websites to the Teacher
in the following circumstances:

(a) the Teacher breaches any terms and conditions of this Agreement or First Future’s policies, procedures,
rules and guidelines posted on the relevant websites;

(b) First Future suspects or becomes aware that the Teacher has provided false or misleading information to
First Future;

(c) the Teacher makes direct or indirect contact with any student outside of the relevant class scheduling sites
and messaging processes provided by First Future;

(d) the Teacher has a poor attendance record, such as being late or missing booked classes;

(e) The Teacher’s performance or actions are deemed consistently below the accepted company standard by
First Future or any partner Schools; and

(f) the Teacher fails to provide a sufficient notice (at least 30 days) in terminating his or her Services in regard
to booked classes with students.

Resignation/Termination of Teacher Services

The Teacher is required to inform First Future 30-days prior to their final day teaching should they wish to end
their partnership with the Company. Failure to provide 30-days’ notice will result in full or partial final pay of
the Teacher and any accrued unpaid bonuses being withheld to cover penalties incurred.

Upon indefinite suspension or termination of this Agreement, the Teacher is not allowed to access to the
relevant websites under his or her Account, a different Account, or a newly reregistered Account. In addition,
upon any breach of this Agreement by the Teacher, First Future shall reserve the right to make claims and/or
initiate proceedings to the fullest extent of the law, which may result in additional penalties and sanctions.

First Future reserves the right to at its sole and absolute discretion terminate any access by the Teacher to his
or her Account, or his or her right to access to or conduct any lesson for any reason, and to refuse to make
registration of an Account for the Teacher and provide the membership to the Teacher in the future.

When the Teacher’s Account is terminated under any circumstance, the Teacher shall not have access to data,
messages, files and other materials the Teacher has kept on the relevant websites. The materials may be
deleted along with all the Teacher’s previous posts and proposals. For the avoidance of doubt, First Future will
not bear any liability regarding the deletion of information or materials saved in the Teacher’s Account.

Payment and Payment Method

The payment shall be made monthly and will be calculated based on the teaching hours and hourly rate of the
Teacher. The hourly rate may vary according to the Teacher’s level and experience, and students’ payments
for classes. The standard of the Teacher’s hourly rate is provided prior to the commencement of the Services.
The Teacher hereby agrees to use First Future to receive all fees and payments to the Teacher through the
website.

The Teacher agrees not to take any action directly or indirectly to circumvent any fee payment. The Teacher
also agrees to notify First Future immediately if any student or school seeks to pay or engage the Teacher in
any way outside of the relevant websites operated by First Future.

Payments to the Teacher are made in U.S./Hong Kong dollars via PayPal as a payment for ‘goods or services’
to the Teacher’s PayPal account. All costs and fees for withdrawing, transferring and exchanging into a
different currency of the PayPal payments to the Teacher shall be borne by himself or herself.

Services

The Teacher shall provide the Services of high quality in accordance with the instructions which will be
provided to the Teacher prior to the commencement of the Services. The Teacher shall perform the Services
in a timely and professional manner at the agreed time and date. In the event that the Teacher is home based,
he or she shall agree to provide computer equipment, internet connection, tools, and other materials at his
or her own expense in order to conduct classes.

The Teacher covenants and agrees to act in good faith and fair dealing to conduct classes on behalf of First
Future.

Independent Contractor

This Agreement shall not be construed as creating an agency, partnership, joint venture or any other form of
association, for tax purposes or otherwise, between the Parties. The Teacher is acting as an independent
contractor hereunder and not as an agent of First Future hereto, and nothing in this Agreement shall be
construed as creating a partnership, joint venture or similar relationship of any kind between the Parties
hereto. Neither Party shall have any right or authority, express or implied, to assume or create any obligation
of any kind, or to make any representation or warranty, on behalf of the other Party or to bind the other Party
in any respect whatsoever, and neither Party shall hold itself out as having authority to create binding
obligations for the other Party. Neither Party shall have any obligation or duty to the other Party except as
expressly and specifically set forth herein, and no such obligation or duty shall be implied by or inferred from
this Agreement or the conduct of the Parties hereunder.

The Teacher (and his or her employees, agents and contractors) shall not be entitled to any of the benefits
that First Future makes available from time to time to his or her employees, such as group health, life, disability
or worker’s compensation insurance, profit-sharing or retirement benefits, and First Future shall not be
obligated to withhold or make payments or contributions therefor or obtain any such protection for the
Teacher or his or her employees, contractors or agents. The Teacher shall be solely responsible for all tax
returns and payments required to be filed with or made to any tax authority with respect to the Teacher’s
performance of the Services and receipt of payments from First Future under this Agreement.

The number of classes conducted by the Teacher and relevant number of students in these classes, and the
hours for which the Teacher provides the Services, are used to calculate payments by First Future to the
Teacher, which are conditioned on the continual willingness of the students to participate in classes with the
Teacher.

First Future may from time to time request the Teacher to stand by for any class schedule for a certain number
of hours, which are arranged on a week-by-week basis and can be changed at any time by First Future.

Representations and Warranties

The Teacher hereby represents and warrants that:

a. he or she is a citizen of the country he or she has provided in the relevant registration form and
“Teacher Profile”, and is in good standing under the laws of such country and all the other countries
where he or she conducts teaching activities, and has not been convicted of any crime or been subject
to, and is not currently subject to, any administrative penalty or similar sanction of any kind from any
governmental authority or self-regulatory body;
b. he or she has the legal capacity and has duly obtained all governmental and other third party approvals
and authorizations necessary or appropriate for the execution and performance of this Agreement;
c. upon execution, this Agreement constitutes the Teacher’s legal, valid and binding obligations
enforceable in accordance with its terms;
d. there are no actual or threatened disputes, litigations, arbitrations, administrative proceedings or any
other legal proceedings relating to the Teacher;
e. the execution, delivery and performance of his or her obligations hereunder by the Teacher do not and
will not:
i. result in a breach of or constitute a default under any indenture or loan or credit
agreement or any other agreement, lease or instrument to which the Teacher is a party
or by which he or she or his or her assets may be bound or affected, or
ii. violate any provision of any law, rule, regulation, order, writ, judgment, injunction, decree
or the like binding on or affecting the Teacher; result in, or require, the creation or
imposition of any lien upon or with respect to any of the assets of the Teacher;
f. he or she is, and at all times has been, in all respects in compliance with all applicable laws; and no
event has occurred and no circumstance exists that (with or without notice or lapse of time) may
constitute or result in a violation by the Teacher of any applicable law;
g. he or she provides true, accurate and complete information as prompted by the registration form and
any other form when the Teacher is accessing to the relevant websites; and
h. the Teacher will not register for more than one Account without express written permission from First
Future.

First Future hereby disclaims all representations and warranties of any kind, whether express, implied,
statutory or otherwise, with respect to any proprietary Information or other information or materials supplied
by First Future to the Teacher hereunder or otherwise in connection herewith.

Intellectual Property Rights

If the Teacher posts any material other than what is provided by First Future, the Teacher shall be solely
responsible for such user content (the “User Content”) and the consequences of posting or publishing the
User Content. In connection with the Teacher’s User Content, the Teacher affirms, represents and warrants,
in addition to the other representations and warranties in this Agreement, the following: (a) the Teacher has
the written consent of each and every identifiable natural person identified in the User Content to use such
person’s name or likeness in the manner contemplated by the relevant websites and this Agreement, and each
such person has released the Teacher from any liability that may arise in relation to such use; (b) the Teacher’s
User Content and First Future’s use thereof as contemplated by this Agreement and the relevant websites will
not infringe any rights of any third party, including but not limited to any intellectual property right, privacy
rights and rights of publicity; (c) First Future may exercise the rights to the Teacher’s User Content granted
under this Agreement without liability for payment of any guild fees, residuals, payments, fees, or royalties
payable under any collective bargaining agreement or otherwise; and (d) that the content fits within the
definition of acceptable content under the applicable PRC laws and regulations.

All courseware and teaching materials supplied for teaching students on the relevant websites are and remain
under the sole rights of First Future. The Teacher is not permitted to copy and use any part for any other use
other than for the classes managed by First Future.

Taxes & Local Laws

As an independent contractor, the Teacher is solely and exclusively responsible for all tax returns and
payments required to be filed with or made to any federal, state, or local tax authority with respect to the
Teacher’s performance of the Services and receipt of payments under this Agreement. The Teacher is solely
and exclusively liable for complying with all applicable state, federal and international laws including laws
governing self-employed individuals, if applicable, such as laws related to payment of taxes, social security,
disability, and other contributions based on fees paid to the Teacher.

First Future will not withhold or make payments for social security, unemployment insurance or disability
insurance contributions, or obtain workers’ compensation insurance on the Teacher’s behalf. The Teacher
hereby agrees to indemnify and defend First Future against any and all such taxes or contributions, including
penalties and interest. The Teacher agrees to provide the proof of payment, if requested, to any entity, of
appropriate taxes on any fees paid to the Teacher by First Future, under any state, federal and international
laws including laws governing self-employed individuals.

Proprietary Information

The Teacher understands that the Services will involve access to and creation of confidential, proprietary and
trade secret information and materials of First Future (and its affiliates and their shareholders, licensors,
suppliers, investors, partners, members, vendors or customers) (collectively, “Proprietary Information”),
including without limitation:

(a) information regarding First Future, employees, members or any affiliates thereof (including the identity
thereof);

(b) information regarding business opportunities contemplated or consummated by First Future or any
affiliate thereof, including in each case the identity of the parties, the terms involved and other information
relating thereto;

(c) information, ideas or materials of a technical or creative nature, such as research and development results,
designs and specifications, computer source and object code, patent applications, and other materials and
concepts relating to First Future’s or any affiliate’s products, services, processes, technology or other
intellectual property rights;

(d) information, ideas or materials of a business nature, such as non-public financial information;

(e) information regarding profits, costs, marketing, purchasing, sales, customers, suppliers, contract terms,
employees and salaries; product development plans; business and financial plans and forecasts; and marketing
and sales plans and forecasts;

(f) all personal properties, including, without limitation, all books, manuals, records, reports, notes, contracts,
lists, blueprints and other documents or materials, or copies thereof, received by the Teacher in the course of
the Teacher’s rendering of Services to First Future; and

(g) the terms and conditions of this Agreement.

The Teacher understands that Proprietary Information is extremely valuable to First Future and its affiliates,
licensors, suppliers, investors, partners, members, vendors or customers. The Teacher agrees during the term
of this Agreement and for a period of three (3) years thereafter that it shall do the following: (a) hold all
Proprietary Information in confidence and trust for the benefit of First Future; (b) not copy or use (or allow
any of his or her employees, contractors or agents to copy or use) any Proprietary Information, except as may
be necessary to perform the Services; (c) use the Proprietary Information only for the benefit of First Future
(and not for the benefit of the Teacher or any third party); and (d) not disclose or otherwise make available
any such Proprietary Information to any third party except as authorized in writing and in advance by First
Future.

All Proprietary Information is and shall remain the sole property of First Future.

The foregoing restrictions on use and disclosure shall not apply to any Proprietary Information to the extent
the Teacher can demonstrate such Proprietary Information which meet any of the following:

(a) is or has become generally known to the public through no unlawful act of the Teacher;

(b) was known to the Teacher at the time of the disclosure by First Future, as evidenced by the Teacher’s
written records in existence at the time of disclosure of such Proprietary Information to the Teacher;

(c) was independently developed by the Teacher without any use of the Proprietary Information, as evidenced
by the Teacher’s written records in existence at the time of disclosure of such Proprietary Information to the
Teacher;

(d) becomes known to the Teacher from a source other than First Future without breach of this Agreement
and otherwise not in violation of First Future’s rights, as evidenced by the Teacher’s written records;

(e) such disclosure is approved in advance and in writing by First Future; or

(f) the Teacher is legally compelled to disclose such Proprietary Information, provided that the Teacher shall
give prior written notice of any such compelled disclosure to First Future, and shall cooperate with First Future
in connection with any efforts to prevent or limit the scope of such disclosure and/or use of the Proprietary
Information.

Indemnification: Limitation of Liability

The Teacher shall indemnify and hold harmless, and at First Future’s request, shall defend, First Future and its
affiliates and their shareholders, successors and assigns (and its and their respective officers, directors,
employees, sub licensees, customers and agents) from and against any and all claims, losses, liabilities,
damages, settlements, expenses and costs (including, without limitation, attorneys’ fees and court costs)
which arise out of or relate to the following:

a. any breach (or claim or threat thereof that, if true, would be a breach) of this Agreement by the Teacher,
including without limitation any breach or alleged breach of any representation or warranty of the
Teacher set forth in Section 6 of this Agreement; or

b. any claim by any third party arising out of or in connection with the Teacher’s performance of the
Services.

The Parties acknowledge and agree that First Future’s aggregate liability hereunder shall not exceed the
amount of any payment that has validly accrued and is past due and owed by First Future to the Teacher
hereunder and has not been so paid, in consideration of the Services pursuant to Section 4 of this Agreement.

Business Relationships

The Teacher acknowledges that First Future’s relationships with his or her actual and proposed employees,
members, partners, investors, customers and vendors are valuable business assets. The Teacher agrees that,
during the Term and for two (2) years thereafter, the Teacher shall not (for himself or herself or for any third
party) divert or attempt to divert from First Future or any of First Future’s affiliates, any business, employees,
members, partners, investors, customers and vendors, through solicitation or otherwise, without First Future’s
prior written consent.

Special Projects and Side Agreements

First Future may provide the Teacher the opportunity to work on “special projects” which generally offer
additional guaranteed work hours and have other special requirements. In order to work on these special
projects, First Future can ask the Teacher to sign a special project agreement. Certain projects may have
additional requirements beyond those stated in this Agreement.

All terms and conditions in this Agreement remain valid and effective unless expressly stated otherwise in the
special project agreement. The Teacher shall meet the terms and conditions of both this Agreement and any
side agreements for the duration of the project unless otherwise stated.

Miscellaneous

Effectiveness. The Teacher shall be deemed as agree on the terms and conditions herein by "clicking through"
on-line, and this Agreement shall become effective thereon. The Teacher shall be deemed as understand and
accept the general adverse terms and conditions as set forth in this Agreement by "clicking through" on-line.
Your Account registration constitutes an acknowledgement that you are able to electronically receive,
download and print this Agreement. Accordingly, by registering for a First Future account on the Site (an
"Account"), you are deemed to have executed this Teacher Agreement electronically. Effective on the date
you register your account you accepted this Teacher Agreement and the Independent Contractor offer by First
Future Limited Hong Kong.

Notices. All notices and other communications required or permitted to be given pursuant to this Agreement
shall be deemed to be properly given on the date when sent by email to the email address as provided in the
registration by the Teacher and as published in the website by First Future. The Teacher may at any time
change its address for the purpose of notices by changing its registration information in the website. First
Future may at any time change its address for the purpose of notices by update its contact information in the
website.

Governing Law; Dispute Resolution. This Agreement shall be governed by and construed in accordance with
the laws of the Hong Kong without giving effect to conflict of laws principles. Any dispute, controversy,
difference or claim arising out of or relating to this contract, including the existence, validity, interpretation,
performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out
of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong
International Arbitration Centre (HKIAC) under the Arbitration Rules of the United Nations Commission on
International Trade Law in force when the Notice of Arbitration is submitted, as modified by the HKIAC
Procedures for the Administration of International Arbitration.

The language to be used in the arbitral proceedings shall be Chinese and English. By agreeing to arbitration
pursuant to this Section 13.3, the Parties waive irrevocably their right to any form of appeal, review or recourse
to any judicial authority, insofar as such waiver may validly be made. In particular, no Party may apply to the
court to determine any question of law arising in the course of the arbitration, and no Party may appeal to the
court on a question of law arising out of an award made in the arbitration.

III. Payroll Procedure


WT payroll procedure of First Future Education Solutions, Ltd. is explained in detail so that the pay slips can be verified
and confirmed by the teachers and the subsequent payments can be processed without any delay.

BONUS
Three kinds of Bonus: (1) Class Bonus, (2) Group Class Bonus, and (3) Weekend Bonus.

1. Class Bonus

Class Bonus = the number of classes you taught * the multiplier based on your Monthly Academic Standing (MAS).
According to MAS, there are three levels of class Bonus:

Rank A: $1.50/class (25 minutes)

Rank B: $1.00/class (25 minutes)

Rank C: $0.50/class (25 minutes)

(Note that a class that is longer than 30 minutes is counted as 2 for this calculation.)

Teacher Ranks are determined monthly by the Quality Assurance and Training department based on the Teachers
Random Class Quality Evaluation (RCE). Each teacher has 4 RCE scores for every month, 2 from our Beijing office and
2 from our Manila office. These scores will be grouped and averaged based on the evaluator’s location. The final
score is the average of the two averages.

2. Group Class Bonus

Group Class Bonus = the number of group classes * $1

(Note that a class is counted as 1 regardless of the length of the class.)

Teachers will be deducted a percentage of their monthly Bonus based on their Class Impact for the month. Class
Impact is calculated as:

Class Impact (%) = (Affected Classes due to absence + Classes with Incident Reports of teacher’s fault ) / (Total
number of Classes Taught + Affected Classes due to absence)

All forms of absence and leaves are counted in the Class Impact.

CI Deduction % is based on your Class Impact (CI) rate:

- less than 1.0%: no deduction

- less than 1.5%: 30% deduction

- less than 2.0%: 50% deduction

- equal or greater than 2.00%: 100% deduction

Payments can be made through PayPal accounts. Teachers should maintain their PayPal account information accurately
in MIS.

PAYMENT SCHEDULE
Payments are calculated real-time and presented in Teachers’ Dashboard in MIS. Teachers should verify their data and
report any problems back to accounting@cn.feiboedu.com before the 5th day of the following month.

Payments will be made on the 10th day of the following month. The payment date may be delayed because of Chinese
holiday and we will have a notice in the system.

Example: Working period: April 1-30, Paid: May 1

NOTICE
Any questions related to payments, send email to accounting@cn.feiboedu.com. Beijing WT team will answer your
payment questions.

Notice: Teachers must make sure that their accounts are accurate to ensure prompt payments, otherwise the
responsibility is not on the First Future.

UPWORK PAYMENT
If a teacher is hired through Upwork, the first two calendar month payments will be paid through Upwork. Teachers
should fill out timesheets in Upwork according to MIS system (TOTAL PAY) before the 2nd day of the third teaching month.
Teachers will get their first payments (the first month and the second month together) before the 10 th of the third
teaching month.

Starting from the third month, teachers will be paid through PayPal. Teachers should not fill out timesheets in
Upwork.

IV. Class Standard Operating Procedures (SOPs)


A brief series of reminders of the steps to take before, during and after class to give our students the complete
learning experience.

Before Class

1. “Check-In” – This is like signing in and lets us know you are logged in and
ready for classes.

The “Check-In” button can be found on your MIS home page.

Teachers are required to click this button 15 minutes before your Bought-Out/Fixed Shift is due to start.

Teachers on a “Flexi” shift are not required to check-in as you have no Fixed Shift. Instead Flexi Teachers
should check-in by saying “Hello, I am in” in the Western Teacher Chat Group on QQ.

Failure to click this button AT LEAST 5 minutes before the start of your scheduled work shift will result in
an “Absence Record” automatically being created by our MIS System. At this point your class may be
subbed. Whether you are able to teach you class or not this Absence Record will still count and you will
be considered “Late” for the first 30-minutes of your work shift.

*Late Check In

 Teachers pay will be deducted for the first 30 minutes of their shift
 Teachers will receive Class Impact for all un-taught classes during this time. Teachers will not
receive Class Impact for classes taught after being tagged as “Late” due to a late Check-In
 Attendance sanctions points will NOT be issued for Late Check-In Teachers who are able to teach
their first class

2. Check your equipment


Please check the following:

a. Headset – Make sure that your headsets are properly working and volume is set

c. Internet – Ensure that your wired internet connection is operating as expected.

our Team immediately. We have full time tech support available to assist you.

3. Check if your background is neat. Teachers should teach in front of a plain wall
or attempt to decorate the background of their class (see the Visual Standard
for more details)

4. Please wear the proper class attire (see the Visual Standard for more details)

During Class

1. After opening the Virtual Classroom - Complete a Settings Test of your


equipment
Ensure that your webcam and microphone are both working. Please pay particular attention to the
volume of your microphone. You don’t want it to be set too high or you will have “background noise”.
Most headset microphones are far more sensitive than necessary. A microphone setting of around
“50%” is usually good for a class.

2. Click the right “Attendance Tracker” button

a. Click “Ready”, once you have everything set up and ready and are waiting in the VC
b. Click “Start”, once the class has started
c. Click “Paused”, if the student logged out or you experienced technical issues (this will allow us
to help you faster)

e. Click “End” once the class is finished or cancelled.

3. Please post any issues you are experiencing in the QQ Helpdesk or Project
Groups so that a Team Supervisor (TS) or WT Support Officer (WTC) can assist
you.

After Class

1. Complete your Class Attendance


“Finished” if you taught the Student for even a few minutes (ie the Student left early and did not
come back) then the class should be tagged as Finished which effectively means “Taught”

“No Show” if the Student did not come to the class


“Late” if the Student was late for class but still participated

Throughout the day

2. Respond to Incident Reports (IRs) promptly to avoid sanctions


Answer your IRs within 4 hours of receiving them (in shift) for the best possible outcome.

3. Read you “FF Chat” and “School Chat” for important messages containing
updates and opportunities

4. If you also teach on another Platform for a Partner School be sure to check
your MIS Calendar throughout the day to make sure classes from the other
platform have been “imported” to your MIS calendar

V. Class Notes’ and ‘Trial Assessment’

First Future prides itself not only on the quality of our Classes but also the quality of the feedback we
provide our Students. As professional Teachers our expectation is that you will complete focused,
informative and well thought out Class Notes and Trial Assessments for ALL of your Students after
every class. Without these our Partner Schools and Parents cannot give their child the additional work
required to improve outside of our classes.

Furthermore, Teachers hourly pay is based on the completion of both the online Class AS WELL AS
either the Class Notes and/or Assessment as needed. Our Students pay for these Classes and Class
Notes as a package. When they do not receive both parts they do not get what they paid for and
First Future receives financial penalties.

The following protocol explains the requirements for completing Class Notes and Trial Assessments.
Failure to comply with this protocol will result in the Teacher receiving IRs and Pay Deductions.

Classes
ALL Regular Classes > Complete Class Notes immediately after class (unless you have consecutive
classes then complete at the earliest possible time). ALL CLASS NOTES MUST BE COMPLETED WITHIN
2 HOURS OF THE END OF THE DAYS SHIFT.

ALL 25-minute Group Classes > Complete Class Notes when required detailing the individual Students
participation and effort in their dedicated Feedback tab. Notes must be completed immediately after

ALL TEACHERS
Be aware that a lack of Student participation, connectivity issues or low Student level ARE NOT valid
reasons to fail to complete Class Notes or a Trial Assessment. In EVERY SITUATION if a Student was
present in class, whether you spoke or not, you must complete the relevant Class Notes or Trial
Assessment explaining what happened in the class.

Failure to complete Class Notes in these Situations is unacceptable.

Penalties
Failure to complete Class Notes or Trial Assessment by the end of shift: $5 / unfinished Class
Notes/Assessment

The completion of Class Notes is a part of the standard working tasks required of every Teacher, failure
to do so means that a Teacher has not completed all of the necessary requirements. As such, Class
Notes and Trial Assessment penalties will be deducted from the Teachers BASIC PAY (Salary) and
not their Bonus at the end of each month.

It is our hope that these penalties will be very few as completion of Class Notes is a standard
requirement. In situations where you have a legitimate reason not to complete these assessments
(technical etc) please inform your Team Supervisor immediately to avoid unnecessary penalties.

this is the way a class looks. Classes which look unprofessional, poorly lit or framed and where the Teacher
has not taken care of their appearance will impact the image of First Future.

VII. Teacher Attendance


As with most Schools around the world Teacher absenteeism is extremely low in Chinese Schools. As such, our
Students and their Parents have high expectations when it comes to attendance. First Future prides itself on
our incredibly good attendance rate. However, we understand that for most Teachers this is a part-time job
and that you will have many things to do around your classes. As such, we have tried to create an attendance
policy which has flexibility for Teachers in times when they need to be absent but also clearly defines the limits
that can be reached before issues will arise.

A couple of key things to remember when it comes to attendance:

 If you agree to a Bought-Out shift then expectations for attendance will be very high. If you cannot
commit to this then you should work a “Flexi” shift which will give you the flexibility to adjust your
schedule.
 It is always better to give more notice of any absences as these will lower the overall impact. This is
especially true for Teachers who do not have classes scheduled in their calendars at the time of their
absence. In these cases there will be no “Affected Class” so the Teacher will receive no “Class Impact”
(you can read more about this later to understand it’s importance)
 In all cases our Team is committed to working with Teachers to improve their attendance or adjust
their schedules when circumstances change. If you have any concerns regarding your attendance
please come to us and see how we can help.
 Removal from the Teaching Team due to poor attendance is possible. We would always prefer to work
with a Teacher to resolve the issues before releasing a Teacher from the Team.

TEACHER ATTENDANCE GENERAL GUIDELINES:


Daily Attendance: If for any reason you are going to miss your work shift please let our Team know as early as
possible through email or QQ. The more notice you give the lower the impact of your Absence will be. If you
cannot reach us online due to internet issues our Team can be reached through phone during all teaching

If the flexi slots you wish to close are unbooked, you needn’t inform us. Just simply close those slots.

Teachers should keep in mind that even if First Future approves your leave request/s, it is not guaranteed that
our Partner Schools will approve them. This is usually due to the number of days and/or Students affected and
the School Manager's feedback. It is possible that you will have your Bought-out fixed hours reduced or
removed entirely if the School or Student feel that your leave has impacted their learning experience. As
such, we strongly urge Teachers to follow protocols and consider the impact on their Students whenever they
wish to schedule a leave. To clarify these policies we follow the “Attendance and Sanctions Policy”.
In applying this policy, we shall be using a point system where we shall designate a particular point depending
on the kind of Attendance infraction committed by the Teacher. The accumulated points shall determine the
penalty to be imposed on the Teacher.

Attendance and Sanctions Policy


Objective
To set out a clear framework of attendance expectations for all First Future Teachers so they may comply with
the Company’s Attendance Policies ensuring a stable learning environment for all Students.

PROCEDURE:
A. Attendance Infraction Points System
Each absence shall be assigned a number of “Sanctions Points” depending on the type of leave and notice given. The
accumulated monthly points shall determine the appropriate disciplinary action to be taken if any. Below are the points
corresponding to each absence type.

Points will be assigned based on the following criteria:

Expanded Definitions

Absent
Any Teacher who will not be present for their work-shift will be considered and marked as “Absent”. Teachers will receive
the corresponding “Absent” sanctions points for the day plus any sanctions points for the “Notice Period”.

Late
Any Teacher who has not “Checked-in” on MIS within 5 minutes of the start time of their shift will be considered as
“Late” for the first 30-minutes of their shift and will receive the corresponding sanctions points for “Late” plus any
sanction points for the “Notice Period”. Teachers will also be deducted 30 minutes of pay.

Teachers cannot be “Late” beyond 1 hour from the start of their shift or they will receive an “Absent” tagging for the
duration of the work-shift that they will miss. Teachers will then receive the “Absent” Sanctions points for that shift plus
any sanction points for the “Notice Period”.

Teachers may arrive after the 1st hour and will still be able to teach their remaining classes and receive their pay for the
hours worked. Teachers will not receive any Class Impact or further Deductions for classes taught after arriving.

Under-time
Should a Teacher need to end their work shift earlier than scheduled due to an emergency situation or sickness they will
be permitted to go under-time within 1 hour of the end of their shift. In this case the Teacher will only receive the “Under-
time” sanctions points plus any sanctions points for the Notice Period.

Should a Teacher need to go Under-time beyond 1 hour the same process will be followed as with Teachers who are late
beyond 1 hour. The Teacher will receive the “Absent” sanctions points plus any sanctions points for the “Notice Period”
but will be paid in full for the hours worked and receive no Class Impact for classes taught before leaving.

Notice Period
It is critical that Teachers provide us with as much notice of their attendance issues as possible. With sufficient notice we
can inform our Partners and Students and find suitable sub Teacher. When insufficient notice is given First Future will
receive financial penalties from our Partners regardless of whether the class was subbed or not.

Teachers who fail to provide the required notice periods will receive additional sanctions points as detailed in the
Attendance Sanctions Points.

The required notice periods are:

Special Leave Credits (Vacation, Medical, Emergency Leaves)


We understand that many Teachers will require leaves at different times of the year. Our aim is to create a policy which
allows for these leaves without penalizing Teachers but also allows us to meet the commitments we have to our Partner
and Students.

While each Teachers will have different requirements for the number of leaves they wish to take each year it should be
understood that Teachers on a Fixed Shift have committed to a certain standard of attendance.

To clarify our expectation in relation to these types of leaves we utilize a “credit” based system. Teachers are entitled to
6 Special Leave Credits per year. These credits can be used to take Vacation, Medical or Emergency Leaves as required
by the Teacher with no penalties.

Leaves taken following the Leave Request Rules and with credits will receive: No Sanctions Points, No Class Impact and
no Incident Reports.

In order to qualify for these Special Leaves Teachers will be required to meet the documented rules. If a Teacher is unable
to meet these crtieria their leave will be considered as an Absence with whatever notice period was given.

Warnings, Sanctions, BO Cancellation and Terminations


The purpose of this Attendance Policy is to provide Teachers with a clear framework of what is
considered acceptable attendance. We understand that there may be times when Teachers have
attendance issues, over a short period of time, when they have had or will have generally good
attendance otherwise.
This policy tracks poor attendance over a period of 3-6 months in order to control attendance in a
realistic manner while minimizing the ongoing impact on our Partners and Students.
At each stage Teachers with poor attendance will receive sufficient notice in the form of:

 Verbal “warnings”, referred to as “Interventions”, from members of the Operations Team


 Reminders of the attendance requirements whenever they are Absent with Late or No Notice.
 Formal Written Warnings, outlining the attendance requirements and targets, sent through
email. These warnings should be taken as the firmest reminder that a Teacher’s attendance
is unsatisfactory and if not improved will lead to the loss or reduction of teaching hours and
Fixed Shifts.

Written Warnings will be issued based on the following Sanctions Points:

BO Complaint & Cancellation Sanctions

Official Complaint from Partner School

Goal: To reduce the number of serious complaints and bring transparency to the high level complaints being submitted
by Schools.

Sanction

After receiving official complaint from a Partner School the following sanctions will be imposed:

 1st Official Complaint: 50% bonus deduction for the month + Official Written Warning
 2nd Official Complaint: 100% bonus deduction for the month + Final Written Warning
 All Subsequent Official Complaints: 100% bonus deduction for the month

After receiving the Final Written Warning Teachers may have their BO hours reduced or cancelled with immediate
effectivity at any point.

All complaints will be reviewed following the standard Incident report protocol with Teachers given 24-hours to respond
to any complaints before Warnings and Sanctions will be imposed.

Bought-Out (BO) Shift Cancellation

Goal: To provide all Teachers with a chance to be given a Fixed shift by requiring Teachers who have been cancelled
from Projects due to their own actions to meet certain eligibility criteria to be given a new Fixed Shift.

Sanction

After having a BO Fixed Shift cancelled due to Performance, Attendance or failure to follow the requirements or
requests of the School or our Support Teams:

• Teacher will not be eligible for a new BO Project until 2 weeks have passed
• Teachers must have 1 month of CI >0% and an MAS of “A” to be eligible for a new BO
• Teachers may open their Flexi Time immediately and teach any classes scheduled to them
during this period

VIII. Incident Report Policy


Incident Reports (IR) are effectively “complaints” issued by Students (or their Parents), Schools or First Future’s
support Teams. These incidents can relate to any issues encountered by Teachers. Each complaint is
documented and tracked in the MIS system with complete transparency for all Teachers. You can see each
Incident Reports issued to you in your MIS. Every Teacher has the opportunity (and in most cases responsibility)
to respond to the IR in the provided text box. Every IR will be fully investigate by our Team using class videos
and other data from the MIS system. After review IRs will be assigned a responsible party of either the Teacher
or another party. IRs can also be found “invalid” meaning no one was responsible.

 Teachers who are not found responsible need not worry about these IRs as they have no impact.
 Teachers who are found responsible will incur the Class Impact penalty and sanctions points as listed
below.

It is important to know that the goal is not to sanction or “punish” Teachers. Instead we use IRs to identify
common issues Teachers are having and try to resolve them. To clarify this we follow the “Incident Report
and Sanctions Policy”

OBJECTIVE
In order to ensure that all First Future Teachers are accountable for Incident’s committed in and around
class. The main goal of Incident Reports is to guide Teachers in areas they should be improving.

TEACHER INCIDENT REPORTS GENERAL GUIDELINES


In applying this policy, we shall be using a point system where we shall designate a particular point
depending on the severity of the infraction committed by the Teacher. The accumulated points shall
determine the penalty to be imposed on the erring Teacher.

In cases where the penalty to be imposed is Verbal Warning and Written Warning, the immediate
supervisor/manager shall ensure that the same shall be issued to the Teacher concerned. In all cases First
Future support should intervene early to discuss the issues with Teachers and work towards resolving the
root cause of the problem rather than “punishing” the Teacher.

PROCEDURE:

IX. Performance Metrics


Class Impact
Class Impact is the primary Operations Performance Metric used by First Future. To calculate Class Impact
we use the following formula:

Affected Classes (Absence all kinds*) + Affected Classes (IR) + Affected Class (Other) / Total
Classes

Class Impact Deduction:

< 1% = -0%

< 1.5% = -30%

< 2% = -50%

>= 2% = -100%

Note: All kinds of leaves are counted as absence (MLOA, AL, EL) and will be counted as part of the Class Impact.

Class Impact is used as part of the Monthly Class Bonus calculation and is the primary performance metric
used when gauging a Teachers performance.

Academic Evaluation Process


Quality Assurance (QA) is a key mechanism for ensuring that the Company maintains a standard quality service
for all Students and Schools.

At First Future all Teachers are evaluated based on their class Performance each month. These evaluations,
referred to as “Random Class Evaluations (RCE)” are used to determine a Teachers Academic Performance.
These evaluations are also used to rank all Teachers under a system known as the Monthly Academic Standing.

This ranking will be used to determine a Teachers eligibility for receiving the Monthly Class Bonus and to
identify underperforming teachers for further coaching/training or ultimately removal from the Teaching
Team.

“Monthly Academic Standing” Procedure


The Monthly Academic Standing focuses solely on the in-class academic performance of all First Future
Teachers on a monthly basis.

How are Teachers classes evaluated?


Each Teachers Monthly Academic Standing is calculated based on 4, Random Class Evaluations (RCE),
completed each month. As the name implies the classes being evaluated are randomly selected each month
to avoid “cherry-picking” the class to be evaluated.

These evaluations are completed by our Quality Assurance and Training Teams in the Philippines and Beijing.
These Evaluators are experienced former Teachers who are regularly tested and calibrated to make sure they
assess classes following the same criteria.

Each Random Class Evaluation will be Scored in 1-50 scale and assigned an ‘Unsatisfactory to Excellent’ Rank
on our “Company Standard” evaluation chart.

Collection of Classes for Evaluation


Most evaluated classes will be classes hosted in the MIS and VC platform of First Future as these are integrated
with our evaluation system.

For Teachers who conduct all of their classes outside of our system class recordings should be uploaded each
month into the MIS platform. A detailed guide on how to perform this process will be sent to you by the Team
Supervisor of the Project before you begin.

Please note that this evaluation is separate from any evaluation and bonuses which might be paid by Partner
Schools you are teaching for. These scores have no bearing on each other.

Result of a Failing RCE Score


Aside from the impact on a Teachers Monthly Class Bonus failure to meet the Company Standard rank or
better in your average monthly RCE score will result in a Teacher being asked to attend coaching with our
Coaching Team. These sessions will be an opportunity to discuss and practice the Teaching methodology
followed by First Future.

Dispute Process
It may be that at the end of a month a Teacher feels their Academic Rank does not reflect the performance
they feel they put in during the month. While we have every confidence the ability of our Evaluators it is an
important part of any evaluation process that the person being evaluated can query the results.

In this case we ask that any disputes are emailed to our QA Team Leader, Seira Vinluan, who will deal with
them personally following our internal dispute process - seira.qa@ph.feiboedu.com

In the event that the re-evaluation results in a higher score the Teachers Monthly Academic Standing will be
updated and any additional bonuses that would have been earned will be paid.

This process is completely anonymous beyond the initial email and will have no impact on future class
evaluations.

As with any dispute process the effectiveness of our ability to review classes will depend on the volume of
disputes so we ask that you take time to fully understand the expectations of each of the criteria and frankly
evaluate your own performance before submitting any dispute.

XI. Monthly Class Bonus

Purpose
The purpose of this Class Bonus Plan (herein after referred to as the “Bonus”), is to provide incentives and
rewards for Teachers, working for First Future Education Solutions Inc. (herein after called the
“Company”). The Incentive aims to provide all Teachers of the Company with a financial incentive for
consistent and excellent performance over an extended period.

Eligible Teachers
All Online English Teachers shall be eligible to receive the Incentive at the start of their employment
provided they meet the requirements as listed below.

To be eligible for the Class Bonus a Teacher must:

 Qualify under the employment conditions (discussed during Recruitment)


 Have a monthly Class Impact Rate of less than 2%
 NOT be on the PIP list

Allocation of Bonus
The incentive will be paid on a per 25minute class basis. For classes longer then 25 minutes the bonus
amount will be multiplied accordingly (i.e. 50-minute class = bonus multiplier*2)

Amount of Bonus
The bonus multiplier will be based on a Teachers “Monthly Academic Standing” released by the Quality
Assurance and Training Team on a monthly basis. The multipliers will be as follows:

A: $1.50 / 25 minute class


B: $1.00 / 25 minute class
C: $0.50 / 25 minute class
Incentives
Group Class Incentive:

+$1.00/Group Class (of any length)

Weekend Incentive:

+$1.00/Hour worked on the weekend

Deduction of Bonus and Incentives


Teachers will receive deductions based on their “Class Impact” Rate

Class Impact is calculated as follows:

“Affected Classes due to absence + Affected Classes due to technical issues + Classes with an
Incident Reported / Total number of Classes Taught *100”

Class Impact Deduction:

< 1% = -0%

< 1.5% = -30%

< 2% = -50%

>= 2% = -100%

Note: All kinds of leaves are counted as absence (MLOA, AL, EL) and will be counted as part of the Class
Impact.
Additional Deductions:

Failure to respond to the Incident Report on MIS within 24 hours: Teachers will get a deduction of $5.00
PER DAY from the total monthly bonus and IR will be deemed VALID.

Change Teacher Request (Teacher’s fault): Teacher will lose all bonus portion from the affected student
AND will get a -$20 demerit from the monthly bonus.

Missed Class Penalty – Teachers who are already at work but missed a class due to negligence will get an
additional missed class penalty of $20, to be deducted from their monthly bonus.

Late to Class = At work but logged into class 3 minutes or more after the start time.
If teachers cannot prove this was due to technical issues or a previous class extended, then they will be
penalized $10.00.

Unable to take class = At work but due to an emergency or health reason is requesting to sub their class
and must be approved by the operations manager, will be penalized $10.00.

Payment of Incentive
An eligible Teachers allocable share of the Bonus and Incentive shall be paid to the Teacher alongside their
monthly pay. In some cases certain Project Bonuses may need to be reviewed and approved by the
Operations Manager and Accounting Department first which may lead to delays in the release of this
portion of the bonus.

Termination/Resignation of Teacher
The award of any bonus under this Incentive is completely discretionary with the Company’s General
Manager, and no person shall have any claim to be granted or to receive any bonus. No director, officer,
employee or other person shall have authority to enter into any agreement with any person for the award
of payment of any bonus, or to make any representation or warranty with respect thereto.

Upon termination of a Teachers shift the Company reserves the right to pay any accrued bonuses or not.

Upon resignation a Teacher shall be paid any and all accrued bonuses should they render an official
resignation letter no less than 30 days before the final date of their employment with the Partner Centre
and render 30 calendar days of work to ensure a smooth transition of their positions. Failure to render
and serve 30 days’ notice will result in any and all accrued bonuses being withheld from the Teacher unless
otherwise agreed upon by the Company and the Teacher.

XII. Resignation & Termination


Resignation Process
All Teachers are required to provide AT LEAST 30 days’ notice if they intend to resign.

We believe an essential part of the Teacher/Student learning relationship is stability. This is why First Future
and our Partner Schools promise all of our Students the same Teacher for the duration of their lessons.

Unfortunately, when a Teacher leaves with less than 30 days’ notice Schools are often unable to meet their
commitments to the Students of having a stable learning environment. As a result of this First Future will
receive financial penalties.

As per the Teacher Agreement, which all First Future Teachers have agreed to, these financial penalties will,
wherever possible, be withheld from any remaining payments due to the Teacher.

Teacher Agreement – Term: Duration of Services, Termination and Suspension

A teacher must give a minimum of 30 days’ notice when the teacher has students booked for future
classes. In such event, your Account is automatically terminated.
Without limiting First Future's other remedies, we may issue a warning, or temporarily suspend,
indefinitely suspend or terminate your Account or a Lesson, withhold whole or part lesson
payments, and refuse to provide any or all Site Services to you if:
- You neglect to give sufficient notice in terminating your services in regard to booked and
committed classes with your students.

Change of Circumstances
First Future is proud to work with enthusiastic educators from all over the World with different backgrounds
and situations. We accept that for many of our Teachers teaching online is a part-time endeavor. However,
whether this is a full-time/part-time job or even a hobby for you, for your Students it is an important step in
their educational development.

The best Teachers will form a rapport and bond with their Students which cannot easily be replaced. As such,
we ask that all Teachers consider the impact on their Students when making changes to their working
schedules.

If your circumstances have changed, be it with your full-time job, family, Country of residence or any other
reason, we ask that you do all you can to give us sufficient notice so we can transfer your classes without any
additional impact on your Students.

A standard of 30 days would be highly appreciated although a minimum of 2 weeks’ notice will be accepted
with understandable circumstances.

Termination Process
Wherever possible First Future will attempt to intervene early if a Teacher has performance or attendance
issues. This will involve sending the Teacher warnings and for “High-Risk” Teachers conducting one-on-one
chats to try and resolve any issues which may be impacting a Teachers performance. Additionally, our
Operations Team will provide regular updates to any policies or procedures which may impact Teachers
performance.

In cases where interventions do not lead to an improvement in the Teacher’s performance the Termination
procedure will begin.

To clarify when Teachers are at risk of being terminated for any reason we have a clearly documented process
for issuing warnings and sanctions.

To begin, under-performing Teachers will be placed in the Performance Improvement Plan (PIP). This process
sets clearly defined goals and targets for Teachers relating to performance and yield. As Teachers move
through the PIP we will issue your Team with the required verbal and written warning documentation to issue
to the Teacher.

Additionally, our Attendance and Sanctions Policy clearly defines the number and types of leaves/absences a
Teacher can take before they will be relieved. As part of the policy there are clear guidelines on when to issues
verbal and written warnings and at what point a Teacher will be released from the Teaching Team.

Beyond this Teachers may also be removed for gross misconduct under our House Rules or for repeated and
unacceptable receipt of Incident Reports.

Teachers being terminated under PIP, the Attendance and Sanctions Policy or the Incident Report Sanctions
Policy will generally be given 15-30 days’ notice of their Termination. Assuming the Teacher performs at an
acceptable level during this time then any owed bonuses and pay will be released.

Teacher being terminated due to Gross misconduct under the House Rules may not be given notice if we feel
their continued performance would be detrimental to the well-being of their Students or the reputation of
the Company. In these cases a Teachers final pay for any work performed will be released as per the Teacher
Agreement. Any unpaid bonus will not be paid.
