SPECIAL POWER OF ATTORNEY

KNOWN ALL MEN BY THESE PRESENTS:

I/We, _________________________________, Filipino citizens, of legal age, single/married and with

postal address at ______________________________________________________, do hereby name,
constitute and appoint, __________________________________, Filipino, of legal age and with residence
address at _______________________________________, to be my/our true and lawful attorney-in-fact, for
me/us and in my/our name, place and stead, to do, and perform the following special powers, to wit:

1. To buy, acquire and negotiate for the purchase for such price, on cash basis or installment, and under
such terms and conditions as said Attorney-in-fact may deem proper, motor vehicle(s) of whatever type
or any personal property;

2. To apply for, negotiate and obtain an auto loan (the “Loan”) from Bank of Commerce (the “Bank”) to
finance the acquisition of said motor vehicle in the principal sum of Philippine Pesos:
______________________________________ (P_____________) and such additional sum as he/she
deems fit or advisable at such rates of interest and upon such terms and conditions as may be agreed
with the Bank, and as a security for said auto loan accommodation, to mortgage or otherwise
encumber the above-mentioned motor vehicle;

3. To duly receive in my/our behalf the proceeds of the Loan as well as to endorse, deposit, encash or
negotiate checks payable to me in connection thereto; and

4. To execute and deliver any deed of sale, loan agreement, chattel mortgage, or any other instrument or
document of whatever kind, including promissory notes, as may be necessary or proper in connection
with the sale or loan extended to me/us or with its amendments, renewals or extensions, all upon such
terms and conditions as said Attorney-in-fact may, in his/her discretion, deem to be in my/our best
interest.

5. To voluntarily surrender, upon the occurrence of an event of default as described under the documents
evidencing the Loan, to the BANK the motor vehicle so purchased using the proceeds of the Loan and
conveyed via FIRST MORTGAGE in favor of the Bank, and to sign, execute and deliver any documents
necessary to effect such voluntary surrender.

6. To enter into any transaction with the Bank and to execute the necessary documents therefore as will
be necessary for the settlement of the Loan including but not limited to restructuring of the Loan and
dacion or sale of the subject motor vehicle in favor of the Bank.

This Special Power of Attorney is coupled with interest being one of the requirements and
considerations of the BANK for the granting of the above loan. It is agreed that this Special Power of Attorney
shall not be revoked or cancelled without the prior written consent of the BANK.

HEREBY GIVING AND GRANTING unto my/our said Attorney-in fact full power and authority to do and
perform any and every act and thing whatsoever requisite, necessary or proper to be done in and about the
premises as I/we might or could do if personally present and acting in person; and HEREBY RATIFYING AND
CONFIRMING all that my/our said Attorney-in-Fact shall lawfully do and cause to be done under and by virtue
of these presents.
