technology. These lessons in stereoscopic 3D enable medical students to learn the intricacies of human
anatomy, physiology and bio-chemistry in stunning vividity. Using content approved by medical
professionals, Vinformax creates these lessons using its investments in the latest hardware and digital
content software the technological world has to offer. We create content which follows the core
curriculum prescribed for medical colleges, which is what makes our offering unique and exciting.

PROJECT SYNOPSIS

S3D MEDIMAGIC is a product of Vinformax. It is a curriculum based Digital content for Medical
Education, recreated in state-of-the-art stereoscopic 3D animation (or 3D Stereoscopy or S3D) which
would enable medical students to understand the intricacies of the first year MBBS lessons. It also helps
teachers as an additional teaching aid towards the subjects with better intricacies.

THE NEED STATEMENT

The current scenario in Medical Colleges & Hospitals is characterised by a teacher writing and drawing
medical concepts on the board or demonstrating using preserved body parts or cadavers. While this is
the prescribed method, there is a disadvantage of the intricate nuances of anatomical structures being
lost on the students, who get to see the same from a distance or on images in textbooks, and a lot of it is
left to their imagination. This results in the following sub-optimal learning scenarios:

 Low attention span
 Abilities of students vary
 Classroom focus is diluted
 Favourite teachers drive what students learn

The solution is based on a unique combination of technological features developed by Vinformax. This
platform is the only available product in the world which functionally integrates the following:

PRODUCT SPECIFICATIONS

Product Works with highly sophisticated servers designed for hosting Vinformax
Compatibility 3D product. Microsoft Windows based. It can also be installed on
servers in the AV rooms.

Software Microsoft Windows 7, 10 or Professional Edition SP1 or higher,

Compatibility projector compatibility, Plug and Play, Android platforms.

EXECUTION PLAN

Delivery and installation of Equipment: - Against confirmed Purchase Order and payment with a lead
time of 6 weeks for Turnkey.

1. Delivery of the hardware components.

2. Installation of the hardware and fabricating the silver screen griddle.
3. Digital content installed on the server.
4. Hands on training on the operations procedures of S3D MEDIMAGIC to the teachers.
5. Training provided to the concerned IT team on trouble shooting and a trouble shooting manual
will also be furnished.

 6. Further to this any queries or issues will be handled by our team upon notice.

SERVICES PROVIDED BY VINFORMAX

Vinformax shall be responsible for the following:

a) Providing a designated Vinformax representative for all project issues within the scope of the
project for the first 3 weeks after which the relevant staff at your Medical college will be trained
b) Supply of relevant Vinformax equipment and resource required to fulfil their obligations under
the contract
c) Installing, configuring Vinformax Stereoscopic 3D lessons as detailed in this proposal
d) Testing activities after installation
e) Obtaining sign-off signature from the Principal/Dean or their authorised representative of the
relevant college on completion of the testing

PROJECT COMMERCIALS

Each course will be offered to each college for a minimum licence period of 5 years.

Pricing structure has two components:

1. Licence Fees for content (payable per annum)

2. One-time charge for hardware and equipment for displaying the content (one classroom with a
strength of 150 students)

Licence Fees for content

This licence fee will cover the following:

 Content lease
 Content testing
 Teacher training
 Training material
 Content loading

Licence fee per student per annum:

Following pricing is only relevant for First Year MBBS curriculum content. For clarity, content
pertaining 2nd, 3rd and 4th year curriculum is out of scope of this proposal.

Contract for First Year MBBS curriculum content will be for 3 years.
Commercials for a Student is calculated @ Rs.18, 000 per annum. All taxes and levies are extra as
applicable.

To be paid as follows:
First Year of Contract: 50% along with Purchase Order and 50% after installation of Content.
For the Second and Third Year of Contract, 100% of the license fee is to be paid in July of each year
before the academic year commences.

Hardware and Equipment price

One-time charge for hardware (for one classroom with a strength of 150 students).

This will be a one-time investment and is priced at about Rs.10 Lakhs plus applicable taxes (as it is a
large hall).

It will cover all the Mandatory items required for the installation of S3D MEDIMAGIC like 3D
Projector, Silver Screen, Modulator for Passive 3D viewing, 3D Glasses, Annotation hardware and
software and Sound Equipment Integration. This includes the cost of Fabrication, Installation and supply
of Equipment on a Turnkey basis.

NOTE: If the client can use any of their existing equipment, Vinformax will give a corresponding
reduction for that particular item. Else if the College is willing to procure the hardware components from
their recommended vendors, they could do so and Vinformax will provide the details regarding the same.

Price for Hardware and Equipment is payable 100% in advance.

TERMS AND CONDITIONS
1. The validity of this proposal is 15 days from the date of this document.
2. Any dates included in the Execution Plan are for estimate purposes only. The final Delivery
Schedule will be mutually agreed upon by Vinformax and Mahadevappa Rampure Medical
College at the project kick-off meeting. The Client acknowledges that completion of activities
by the completion date is dependent upon Client meeting its obligations hereunder. All changes
affecting the baseline schedule are subject to the agreement by both parties and managed through
the Change Management Procedure as specified.
3. Work will be initiated on receipt of fee as stated in the payment schedule and a formal work
order.
4. Any changes requested by the client after approval and over and above the design scope already
agreed upon and signed off on, will be done through a “Change Request Form”. The cost of
changes will be additional.
5. In the event of any cancellation or amendments, it will be necessary for the client to reimburse
Vinformax for any charges or expenses to which Vinformax has committed and which are not
reversible, and also pay Vinformax licence fee covering the three years.
6. All Intellectual Properties (IP) relating to the Medical Lessons, content or the Stereoscopic 3D
and any other technology used herein, in which the lessons are depicted remain the absolute
property of Vinformax and under no circumstances do the IP get transferred to the client or their
representatives. The client agrees to use the medical lessons only for academic use of its internal
students and teachers. The client further agrees that it is not allowed to share, sell or transfer the
same with/to any other party, internal or external unless with the prior written consent of
Vinformax
7. All the payments should be made by cheque or bank transfer favouring “Vinformax Dimensions
Technology Private Ltd.”
8. The time schedules are given in good faith, subject to approvals and any delay in the completion
of work within the time frame due to reasons beyond our control such as non-availability of
materials, delay on the part of the client to furnish requisite information, services, delays in
specified payments, delays caused by third party vendors, suppliers, fabricators, acts of God,
strikes, riots, war, sabotage, change of law or any other such reason, shall not be binding on
Vinformax.
9. Since the design activities include discussions and experiments involving experts and
professionals of related fields, the aspects of confidentiality in the project would be restricted to
the following:
a. Identity of the client in relation to the project
b. Confidential information disclosed by the client relating to his business and organisation
c. Client not to share the scope, specification and study details prepared and provided by
Vinformax to any other vendor without explicit consent
10. The Client agrees to hold in strict confidence all confidential or proprietary information that it
receives relating to Vinformax’ business, including, but not limited to, billing, cost or other
financial information, and it will not divulge or otherwise communicate such information to a
third party without Vinformax’ prior consent.
11. In case of any disputes, arbitration may be resorted to by appointing an arbitrator each for both
parties. If this fails, the court at Bengaluru alone will have the jurisdiction in the matter.
12. Delay in payment by client as per schedule mentioned aforesaid, may cause delay in procurement
of equipment or accessories or content preparation leading to delay in project completion.
