CONSTITUTION AND BYLAWS

CONSTITUTION
Article I – Name

Section 1. The name of this organization shall be Roxas National High School Faculty Club.

Article II – Purposes

Section 1. To foster and promote the cause of education.

Section 2. To enable members to speak with common voice on matters pertaining to the teaching
profession and to represent their individual and common interest to the administration provided that it does
not contrary to the laws mandated by the Department of Education.

Section 3. To initiate the value of camaraderie and solidarity among the members.

Section 4. To facilitate moral, professional, and personal upliftment of each members.

Article III – Basic Policies

Section 1. This organization is non-partisan.

Section 2. It shall work with the school and administration to help provide quality education.

Section 3. This organization may cooperate with other organizations and agencies concerning child
welfare.

Section 4. The records of this organization are open for public review.

Article IV – Code of Ethics

Section 1. As an association, we recognize our impact on students and coworkers as role model.

Section 2. As educators, we will strive at all times to maintain the highest level of instruction,
assessment, evaluation and planning.

Section 3. We shall provide professional educational services in a nondiscriminatory manner, respectful

of the dignity of each individual regardless of gender, race, religion, or nationality.

Section 4. This association shall conduct business in an ethical manner regardless of whether we are
dealing with members, administration or public.

Section 5. We shall strive at all times to maintain the highest level of ethical integrity in all procedures
and activities.

Section 6. Each member is entitled to full freedom of speech and the right to participate in the
democratic decisions.
 Section 7. Each member shall have the right to run for office, to nominate and vote in free, fair and
honest election.

Section 8. Meetings shall be held every end of the semester with proper notice of time, place and shall
be conducted in an atmosphere of fairness.

Section 9. All rules and laws must be fairly and uniformly applied.

Article V – Membership

Section 1 – Active Membership

a. Active and inactive membership in the organization shall be open to all regular permanent
teaching personnel of Roxas National High School.

b. Active membership shall be continuous until the member leaves the school system, resigns
from the association in writing.

Section 2 – Inactive Membership

a. Inactive membership refers to the members who inactively contribute, participates and
cooperates in the activities or agreed agendum.

Article VI – Governance

Section 1 – Board of Directors

a. The management of the organization is vested in the Board of Directors, which comprises the
officers. The Board of Directors is empowered to recommend policy to the organization during its meeting and
to administer such policies and procedures as necessary. Such policies and procedures will be subject to
review at the meeting of the organization.

Section 2 – Officers

a. The officers of the association shall consist of a President, Vice President, Secretary,
Treasurer, Auditor and P.I.O.

Section 3 – Duties

a. The President:
 a.1 He shall be the Executive Officer of the organization, and have active executive
management of the operations of the organization subject to approval of the Board of
Directors/Officers.

a.2 He shall have the power to call meetings of the Board of Directors/Officers and
preside such meetings.

a.3 He shall have the final voice for any decision-making, provided that it
compels with the majority.

a.4 He shall perform such duties as may be assigned by the organization.

b. The Vice President:

b.1 Act as an assistant to the President and assume powers and duties of the president
in his/her absence or inability of that officer to act.

b.2 Perform other duties as assigned.

c. The Secretary:

c.1 Keep an accurate record/minutes of the proceedings of all the meetings of the
organization.

c.2 Maintain the official accurate current Constitution and Bylaws.

c.3 Perform other duties as assigned.

d. The Treasurer:

d.1 Have custody of all financial records and funds of the organization.

d.2 Submit an audited report of the accounts and financial conditions of the
organization.

d.3 Perform other duties as assigned.

e. Auditor:

e.1 Shall audit all the monies and properties of the organization.

e.2 Perform other duties as assigned.

f. P.I.O:

e.1 Assist in preparing all statements, stories/articles for all press releases on all
activities of the organization.
 e.2 Perform other duties as assigned.

All officers and members shall perform the duties and those assigned from time to time. Upon
the expiration of the term of office or in case resignation, each officer shall turn over to the president, without
delay, all records, books, funds and other materials pertaining to the office.

BYLAWS

Article I – Meetings

Section 1. The Board of Directors/Officers shall meet at the call of the president or at the request of at
least one-third of the members.

Section 2. The president shall prepare the agenda for each meeting. He shall send a letter to all the
members notifying the conduct of the meeting.

Article II – Quorum

Section 1. The members present shall constitute a quorum for all meetings.

Section 2. A quorum shall be one-half of the members plus the president.

Article III – Election

Section 1. Election of the Board of Directors/Officers shall be held by a secret ballot every first Friday of
the school year.

Section 2. Outgoing president is not in titled for re-election. Other offices may be re-elected in office if
he/she is nominated and get the majority votes.

Section 3. No proxy votes will be permitted.

Section 4. In case of a tie, a win-by-luck decision shall be done by tossing a coin.

Section 5. There shall be a special election to fill up vacant position except for the president in which
case the Vice-President will take over.

Section 6. The out-going president shall then act as the Comelec of the current election.

Section 7. The term of office of the members of the Board of Directors/Officers will begin as soon as
they are elected and sworn into office for a period of three (3) year.

Article IV – Amendments
 Section 1. The organization may amend its Constitution and Bylaws by a special resolution provided
that the substance of the proposed amendment is reasonable.

Section 2. If the majority accepted the said amendments, it shall be granted and take effect
immediately.

Article V – Effective Date

Section 1. This Constitution and Bylaws will be effective immediately upon the approval of the Board of
Directors/Officers during the meeting on June 28, 2014 at Dinaville Resort, Alegria, Sta. Monica, Surigao del
Norte.
