COMPROMISE AGREEMENT

This Agreement is executed this ___ day of ________________, 2019 at

______________________, by and between:

PGA SOMPO JAPAN INSURANCE, INC., a corporation organized and

existing under the laws of _________________________ with office address
at __________________________________________________, represented
herein by its ___________________, Mr./Ms. _______________________
(hereinafter referred to as “Plaintiff”).

-and-

AAPLINGKOD, INC., a corporation organized and existing under

the laws of the Republic of the Philippines, with office address at KM 10 East
Service Road, Western Bicutan, Taguig City, represented herein by its
___________________, Mr./Ms. _______________________;

STRATEGIC & ADVANCE MARKETING SERVICES, INC., a

corporation organized and existing under the laws of the Republic of the
Philippines, with office address at Unit 103 Regalia Tower, P. Tuazon St.,
Cubao, Quezon City, represented herein by its ___________________,
Mr./Ms. _______________________;

RONALD B. CEREBO, of legal age, Filipino, with address at 004 Ilaya

St., Calamba, Laguna, (hereinafter collectively referred to as
“Defendants”).

WITNESSETH: That -

WHEREAS, the Plaintiff instituted the present action for quasi-delict and
damages against the Defendants, docketed in this Honorable Court as M-
MKT-18-03011-CV;

WHEREAS, the parties desire to buy peace and wish to avoid a

protracted litigation in this case;

NOW THEREFORE, in consideration of the foregoing and the further

covenants hereinafter set forth, the parties agree as follows:

1. The Defendants shall pay the Plaintiff the amount of ONE HUNDRED
SEVENTY-TWO THOUSAND SIX HUNDRED SIXTY-THREE &
54/100 PESOS (Php172,663.54) in six (6) monthly instalments. The
schedule of payment are as follows:

a. February 28, 2019 - TWENTY-EIGHT THOUSAND SEVEN

HUNDRED SEVENTY-SEVEN & 26/100 (Php28,777.26);

 b. March 31, 2019 - TWENTY-EIGHT THOUSAND SEVEN
HUNDRED SEVENTY-SEVEN & 26/100 (Php28,777.26);

c. April 30, 2019 - TWENTY-EIGHT THOUSAND SEVEN

HUNDRED SEVENTY-SEVEN & 26/100 (Php28,777.26);

d. May 31, 2019 - TWENTY-EIGHT THOUSAND SEVEN

HUNDRED SEVENTY-SEVEN & 26/100 (Php28,777.26);

e. June 30, 2019 - TWENTY-EIGHT THOUSAND SEVEN

HUNDRED SEVENTY-SEVEN & 26/100 (Php28,777.26);

f. July 31, 2019 - TWENTY-EIGHT THOUSAND SEVEN

HUNDRED SEVENTY-SEVEN & 26/100 (Php28,777.26).
g. Payment of balance – The balance shall be paid in 5 monthly
instalments.

2. The parties shall seek Court approval of this Compromise Agreement.

3. The signatories to this Agreement hereby represent and warrant that

they are duly authorized to execute this Agreement.

4. The parties or their assigns hereby waive, renounce and forever

quitclaim all their respective claims and counterclaims subject of the
present action for quasi-delict and damages, docketed in this
Honorable Court as M-MKT-18-03011-CV, as well as those that may
arise therefrom, in connection therewith or in relation thereto.

5. The foregoing covenants are not contrary to law, morals, or public

policy and the parties bind themselves to comply strictly with their
undertakings.
