MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is made and entered into by and between;

CASH WORLD LENDING INC, a corporation duly registered under Securities and
Exchange Commission (SEC), represented by its President, JACQUILENE BONCAN, of
legal age, Filipino, widow, and currently residing at _________________________________
hereinafter designated as FIRST PARTY;

PALAWAN REAL PROPERTY SERVICES - DAQUER REAL PROPERTY SERVICES


with office address at Unit F, Moraga Building Rizal Avenue, Puerto Princesa City,
Philippines represented in this act by its Proprietress, JONABE V. DAQUER-DOCTO, of
legal age, Filipino, married and with residence and postal address at Camella Homes,
Puerto Princesa City, Palawan hereinafter designated as the SECOND PARTY;

-and-

WHEREAS, the FIRST PARTY is the owner of certain parcel of land located at
Brgy. Sicsicaan, Puerto Princesa City containing a total area of ONE HUNDRED FIFTY
SEVEN THOUSAND TWO HUNDRED NINETY SIX (157,296) SQUARE METERS covered
by the following certificate of titles:

WHEREAS, the SECOND PARTY is a licensed Real Estate Broker and is qualified
to and does operate a general real estate business; to procure the listings of real estate
for sale, developers project selling, lease or rental and prospective purchasers, lessees
and renters thereof and has and does enjoy the good will of, and a reputation for fair
dealings with the public and has for many years, been engaged in the business of
general real estate brokerage in Palawan, Philippines;

WHEREAS, it is deemed to be to the mutual advantage of the FIRST PARTY and


SECOND PARTY to form a business partnership hereinafter agreed under the terms and
conditions hereinafter set out;

WHEREAS, the FIRST PARTY desires to develop the above-mentioned property


into a subdivision and agreed that the SECOND PARTY be the exclusive Sales and
Marketing partner to sell all the inventory of the said development ;

NOW, THEREFORE, for and in consideration of the premises and of the mutual
covenants hereinafter contained, it is mutually agreed as follows:

1. The FIRST PARTY agrees to undertake and be responsible to the SECOND
PARTY the following for the attainment of committed sales production:

a. In the planning, organizing, monitoring, and leading the Sales and


Marketing Team including the Documentation and After Sales Department
Head of the said development;

b. In the Recruitment, Accreditation of each Agent, Training and


Development for the Sales Group;

c. In the designs incentive programs and sales contests for his group in line
with the FIRST PARTY’s incentives and sales contests;

d. An extensive sales efforts towards affecting the sale of the inventories


including advertisements on-line, publications, billboards, on site signages,
and all or any other form of marketing strategies.

2. The SECOND PARTY undertakes to sell units of the subdivided property and
the FIRST PARTY to pay the SECOND PARTY a commission of of FIVE
PERCENT (5%) in all units sold;

3. The FIRST PARTY agrees that the SECOND PARTY may create a commission
scheme plan for all the Sales and Marketing Team, and may divide the
commission stated in Paragraph 2, for efficient and effective attainment of
monthly sales quota;

4. The FIRST PARTY agrees that the SECOND PARTY shall be entitled to the
commission pay out as follows:

a. Shall receive outright 50% of the the reservation fee upon payment, less
all withholding taxes, of all the Buyers who made the Reservation and
distribute half of the said commission to any of the accredited agents
who made the sale;

b. Shall receive 50% of the commission upon full payment of downpayment;

c. Shall receive full commission upon 50% payment of the Buyer;

5. All Reservation Sales Contract shall be submitted by the SECOND PARTY to the
FIRST PARTY, and an independent Admin Staff of the FIRST PARTY will review
the said Reservation Sales Contract and receipt of payment must be made before
any release of any commission;

6. The SECOND PARTY shall report directly to the FIRST PARTY all the necessary
documents, sales reports, and any other presentations in connection with the
Sales and Marketing of the said development;

7. The FIRST PARTY agrees that the SECOND PARTY will receive monthly Sales and
Marketing Budget for advertisements, exhibits, product ads, and viewing of property and

any other assistance that may deem necessary for the attainment of the target sale of
all the inventories;

8. The SECOND PARTY agrees to work diligently and with best effort to sell all the
inventory of the FIRST PARTY, and otherwise promote the business of serving the
public in real estate transactions to the end that each of the parties hereto may derive
the greatest profit possible.

9. This agreement is personal to the parties hereto and may not be assigned, sold or
otherwise conveyed by either of them.

10. Nothing contained in this Contract shall create an employer and employee
relationship, a master and servant relationship, or a principal and agent relationship
between the FIRST PARTY and the SECOND PARTY. The FIRST PARTY and the
SECOND PARTY agree that the SECOND PARTY is, and at all times during this Contract
shall remain, an independent contractor.

This agreement shall be valid up to the last day of every year unless sooner
terminated by both parties for cause or breach of contract.

IN WITNESS WHEREOF, the parties have hereto set their hands this

BEFORE ME, personally appeared the above named parties known to me and to
me known to be the same persons who executed the foregoing instrument and
acknowledged that they executed the same as their own free and voluntary act and
deed and/or that of the entity herein represented. This instrument consisting of five (5)
pages, including this page wherein the Acknowledgement is written, has been signed by
the parties and their instrumental witnesses on each and every page hereof and relates
to a Outsource Service Contract.
