BYLAWS OF LEWISTOWN CEMETERY ASSOCIATION

Section 1. Purpose. The purpose of this Association shall be to maintain, beautify and
administer the affairs of the public burying ground commonly known as Lewistown Cemetery at
Lewistown, Missouri.

Section 2. Members. Any person who shall contribute to the general fund of the Association
shall be a member of the current year. Any person or their heirs who have heretofore or who shall
hereafter place any lot or lots in said Cemetery in perpetual care shall be a life member.

Section 3. Annual Meeting. The annual meeting of the members shall be held the last Sunday
in March each year, beginning in the year 1954, at such place in Lewistown, Missouri, as shall be
designated in the notice of the meeting, for purposes of electing directors, passing upon reports covering
the previous fiscal year and transacting such other business as may come before the meeting. Notice of
such annual meeting shall be given by publication in some newspaper published in Lewis County,
Missouri for one or more weeks, or by posting six handbills in six public places in the town of
Lewistown, Missouri, or both.

Section 4. Special Meetings. Special meetings of the members may be called by the directors
or upon a written request signed by at least four members. Notice of such special meeting shall be given
in the same manner as herein provided for the Annual Meeting of Members.

Section 5. Quorum. Five members shall constitute a quorum for the transaction of business in
any meeting of the members, and a majority of the members voting at such meetings shall determine
questions and issues before such meeting.

Section 6. Business and affairs. The business and affairs of the Association shall be managed
by a board of seven directors. Three of said directors shall represent the Baptist, Christian and
Methodist churches in Lewistown, Missouri. Each of said churches shall appoint one of said directors in
accordance with an agreement concerning said Cemetery heretofore entered into between said churches.
Four of said directors shall be elected by the members at the regular annual meetings of the members,
and shall serve for a period of four years, except as hereinafter provided. The directors heretofore
named by the Circuit Court of Lewis County, Missouri by pro forma decree, shall serve until the first
annual meeting of the members in 1954. At the annual meeting of the members in 1954, one director
shall be elected to serve for a period of one year,; one director shall be elected to serve for a period of
two years; one director shall be elected to serve for a period of three years, and one director shall be
elected to serve for a period of four years. At each annual meeting of the members, commencing in
1955, one director shall be elected to fill the vacancy of the director whose term expires that year, and
shall serve for a period of four years or until his successor shall be elected and qualified. Vacancies on
the Board of Directors occurring before the expiration of the term for which the director is elected, may
be filled by the Board of Directors.

Section 7. Directors meetings. The Board of Directors shall meet from time to time at such
places as they may see fit. They shall organize after the annual meeting of the members, and shall elect
of their number a president, secretary and treasurer.

Section 8. Powers of Directors. The Board of Directors shall look after and administer the
affairs of the Association to the end that the purposes of the organization may be accomplished. They
shall receive contributions and funds for the purpose of maintaining said Lewistown Cemetery and shall
faithfully administer the same. They shall have the power to act as trustees for the sums which may be
contributed for the purpose of providing for the perpetual care of any particular lot or lots in said
cemetery, and shall execute said trust in accordance with the provisions of Section 13, hereof. They
shall have general supervisory control over said Cemetery and may acquire land for the purpose of
enlarging said Cemetery. They shall supervise and control said Cemetery as a public burying ground,
provided, however, that only reasonable rules and regulations shall be made concerning the burying of
bodies in said Cemetery,

Section 9. Reports. The Board of Directors shall make a report at the annual meeting of the
members concerning the affairs of the Association, and shall render a financial statement accounting for
all receipts and disbursements of money. No indebtedness shall be incurred without authorization of the
members.

Section 10. Disbursements. Funds of the Association shall be deposited in some suitable bank.
Disbursements shall be made only by the consent of a majority of the Board of Directors and shall be by
check drawn by the treasurer and countersigned by the president of the Board.

Section 11. Restrictions.


A. No permanent shrubbery, trees or ornaments (including shepherds’ crooks, fencing, etc.)
are allowed in any part of the cemetery. Only the Cemetery Board shall be responsible for any and all
trees and shrubbery and the planting thereof.
B. Beginning one week before and extending two (2) weeks after memorial Day,
decorations will be permitted, after which stated time, the cemetery Board has the right to remove such
items from the cemetery (effective immediately).
C. New Section of Cemetery. (All lots in Sections Fifty-Seven (57) and up, in Lewistown
Cemetery) Only surface stones will be allowed. No permanent shrubbery, trees or ornaments (including
shepherds’ crooks, fencing, etc.) are allowed, except permanently attached manufactured inverted vases
on the surface stones. All others, as deemed inappropriate by the cemetery board will be removed and
the cemetery board will not be responsible for any loss of articles removed.

Section 12. Perpetual Care of Lots:


A. Lots in Section Fifty-Six (56) and down shall be sold at Two Hundred Dollars ($200.00)
per lot or One Hundred Dollars ($100.00) per half lot.
B. All lots in Sections Fifty-Seven (57) and Fifty-Eight (58), in Lewistown Cemetery, shall
be sold at the price of Two Hundred Dollars ($200.00) per quarter of a lot or Eight Hundred Dollars
($800.00) for a full lot.
C. All lots in Section Fifty-Nine (59), in Lewistown Cemetery shall be sold at the price of
Three Hundred Dollars ($300.00) for one (1) grave lot, Six Hundred Dollars ($600.00) per quarter lot, or
Twenty-four Hundred Dollars ($2,400.00) for a full lot.

Section 13. Perpetual Care Defined.


A. The term “Perpetual Care” shall be held to mean the cutting of grass upon said plots at
reasonable intervals, to the end that said cemetery and grounds shall remain and be reasonably cared for
forever.

B. Seventy-Five percent (75%) of all monies received from the sale of cemetery lots shall be
placed in Perpetual Care. The remaining Twenty-Five percent (25%) may be deposited in the general
fund to be used for annual expenses and maintenance.
C. If annual income from the receipt of interest, donations and any other income is sufficient
to cover annual expenses, upon majority vote of the Board of Directors at the annual meeting, One
Hundred Percent (100%) of the funds received from the sale of cemetery lots may be placed in perpetual
care. This section 13(C) may reviewed and acted upon at the annual meeting without further
amendment of the bylaws.

Section 14. Grave Decorations. Grave decorations will be allowed from December 1st through
March 15th and from May 15th through June 15th.

Section 15. Duties of Trustees as to Perpetual Fund. It shall be the duty of the trustees to
faithfully invest the Perpetual Care Fund in a safe and prudent manner so as to derive a fair income from
the same. In no event shall any of said fund be invested in a second mortgage. The principal of said
fund shall remain forever intact, and only the income therefrom shall be used.

Section 16. Amendments. These bylaws may be amended by a majority vote of the members
at any regular or special meeting thereof.
