G.S.R. (E).—In exercise of t h e powers conferred u n d e r second proviso to

sub-section (1), s u b - s e c t i o n (4), clause () of s u b - s e c t i o n (6) of section 149, s u b -
section (3) a n d (4) of section 150, section 1 5 1 , s u b - s e c t i o n (5) of section 152,
section 1 5 3 , section 154, section 157, section 160, sub-section (1) of section
168 of a n d section 170 r e a d with section 4 6 9 of t h e C o m p a n i e s Act, 2 0 1 3 (18 of
2013), t h e Central G o v e r n m e n t hereby m a k e s t h e following rules further to
amend the C o m p a n i e s (Appointment a n d Qualification of Directors) Rules,
2 0 1 4 , namely. -

1. (1) These rules may be called the Companies (Appointment and

Qualification of Directors) fourth A m e n d m e n t Rules, 2 0 1 8 .

(2) They shall c o m e into force from 1 0 t h J u l y , 2 0 1 8 .

2. In t h e C o m p a n i e s (Appointment a n d Qualification of Directors) Rules, 2 0 1 4 ,

3. (i) The rule 11 shall be r e n u m b e r e d a s s u b - r u l e (1) thereof a n d after s u b -
rule) 1) a s so r e n u m b e r e d , t h e following s u b - r u l e s shall be inserted, namely:-

"(2) The Central Government or Regional Director (Northern Region), or

any officer authorised by t h e Central Government or Regional Director
(Northern Region) shall, deactivate the Director Identification Number (DIN), of
a n individual w h o does not intimate h i s p a r t i c u l a r s in e-form DIR-3-KYC
within s t i p u l a t e d t i m e in a c c o r d a n c e with Rule 12A.

(3) The de-activated DIN shall be re-activated only after e-form DIR-3-KYC is
filed along with fee a s prescribed u n d e r C o m p a n i e s (Registration Offices a n d
Fees) Rules, 2 0 1 4 .

(ii) after rue 12, t h e following shall be inserted, namely:-

"12A Directors KYC:- Every individual who has been allotted a

Director Identification N u m b e r (DIN) a s on 3 1 s t March of a financial year
as per these rules shall, submit e-form DIR-3-KYC to the Central
Government on or before 3 0 t h April of immediate n e x t financial year.

Provided t h a t every individual who h a s already been allotted a Director

Identification N u m b e r (DIN) a s a t 3 1 s t March, 2 0 1 8 , shall s u b m i t e-form DIR-
3 KYC on or before 3 1 s t August, 2018.";
