1. Only fully completed Merchant Participation Form that is furnished with all the required documents will be processed.
The MSS Operations Team will advise accordingly on matters of incomplete submission.
2. If the payment has already been made for an incomplete merchant application, an email will be sent after 15 working days
to remind the applicant to resubmit their completed Merchant Participation Form and the required documents as advised
during the initial incomplete submission. If there is no response from the applicant after 30 working days, we will initiate
the process to refund the payment.
3. There is a 10 working days processing period for all completed merchant applications. This 10 working days processing
period starts once the applicant has received a Merchant Registration Number (MRN) from the MSS Operations Team via
e-mail.
4. All participating merchant applications will undergo Merchant Shariah Screening Process.
5. Any application form submission via walk in method, kindly submit the A&P material and menu booklet photo (for F&B)
via email a day before submission.
6. We advise for TDR to not be amended within 6 months of the merchant joining date. However, increasing the TDR is
encourage to attract MSS members to shop at their outlet.

MyKad Smart Shopper Merchant Agreement MPFA_V.201901-07

1. INTRODUCTION: As a business marketing service provider, I Synergy Rewards Sdn Bhd (“ISR”) facilitates Performance Marketing Programs ("Program"), by providing services ("Affiliate
Network Service") via the Affiliate Junction network ("AJ"). MyKad Smart Shopper is a Program where Affiliates will use any kind of promotional methods, including but not limited to
word-of-mouth marketing, web marketing, print advertisement, etc. to drive business leads to the participating retails and/or any other businesses ("Merchant") within the program
merchant community. Merchant agrees to incentivize Program Affiliates ("Payouts") for "Transactions" (actions by business leads as defined by the Merchant) referred by such Program
Affiliates (“Affiliate”) made by a "Member" (any person or entity that is not the Affiliate or the Affiliate’s Sub-Affiliate/Agent, who has been registered into Program by Affiliate).
2. PARTICIPATION: Merchant agrees to pay all applicable Fees for participation in MyKad Smart Shopper Program. Merchant agrees to extend a feasible and fixed Total Discount Rate
(“TDR”) to ALL qualified Transactions generated from the Program. The details of such TDR offer shall be available through the Affiliate Network Service and AJ Affiliate Web Site.
Merchant also agrees to purchase and maintain Prepaid Credits (for debit of TDR) in its Merchant Account to remain active as MyKad Smart Shopper participating merchant.
Merchant also agrees to accept Cash Point Redemption from Members for exchange of goods & services of matching value.
3. TOTAL DISCOUNT RATE (“TDR”): TDR is a predefined percentage to be calculated on every Transaction. TDR comprises of TWO portions: X% for Member Cash Point Rebate, and Y%
for Program Fee. Merchant may change the TDR only when a 30-day written notice is given to and accepted by the ISR. The changes of TDR shall take effect from the 31st day (or
such later date as specified by Merchant). Merchant must not markup their product prices or service cost/fees in attempt to recover the TDR offer. Merchant also is required to key in
all members spending transactions amount.
4. PROGRAM REQUIREMENT: Merchant agrees to acquire Program Device from ISR with yearly System Rental Fee as per “Merchant Package”. Merchant must ensure its outlet is
equipped with always-on internet/data connection and power to the Program device for it to be functional, while Merchant shall be liable for all the internet/data subscriptions.
5. PROGRAM DEVICE: The Program Device are a mobile application or QR Code which Merchant use to verify Member, record Transactions, perform Cash Point Redemption, balance
enquiry, voiding Transaction/Redemption and installed at Merchant’s outlet.

6. MERCHANT OBLIGATIONS: Merchant agrees to provide ISR accurate business information including but not limited to products and services offer, promotions, and any business terms
and conditions. Merchant agrees to use Program Device to record program Transactions throughout the participating duration. Merchant must ensure the acceptance of Cash Point
Redemption is duly and correctly recorded via Program device. For Merchant’s failure to record Transactions intentionally or refusal to accept Cash Point Redemption, ISR reserves the
right to terminate Merchant’s participation in Program, and all prepaid Fees, Credits and Deposits will be forfeited.
7. MERCHANT ACCOUNT ON PORTAL: Merchant will be provided a Merchant Account login on MyKad Smart Shopper Portal that provides tracking and reporting tools, marketing tools,
and support services. From time to time ISR may offer optional services for a fee. Fees for such optional services are at ISR’s discretion or as may be quoted by ISR, and are payable in
advance. Tracking detail regarding Customers Transactions is not available on a real-time basis for all Merchants and there may be reporting delays regarding Transactions for some
Merchants. ISR may make available, for fees that ISR shall publish from time-to-time, enhanced reporting capabilities and other services that are not included in the standard Network
Service.
8. USAGE OF MERCHANT ACCOUNT: Merchant shall be responsible for all usage and activity on its Merchant Account and for loss, theft or unauthorized disclosure of the password.
Merchant shall provide ISR with prompt written notification of any known or suspected unauthorized use of its Merchant Account or breach of the security of its Merchant Account.
9. TRANSACTIONS & REDEMPTIONS: Merchant is responsible to verify and check all recorded Transactions/Redemptions on daily basis. If there are any erroneous or suspicious
Transaction/Redemptions, the Merchant must report to ISR within 72 hours from time of such erroneous or suspicious Transaction/Redemptions. ISR will not entertain any dispute of
Transactions/Redemptions after 72 hours from the supposed erroneous or suspicious Transactions/Redemptions time occurred.

10. PAYOUTS, TDR & PREPAID CREDITS: Merchant shall be responsible to Pay-out the agreed TDR for ALL qualified Transactions generated from the Program, in the manner where Prepaid
Credit in Merchant Account of same value as TDR of the Transaction, will be debited as X% Member Cash Point Rebate (which will be credited to Member Account), and Y% Program
Fee to ISR. Merchant must maintain sufficient Prepaid Credits for debit of TDR for ALL qualified Transactions throughout participation in Program. Insufficient Credits to debit TDR for
Transactions will render inactive status of the Merchant in the Program. For prolonging inactive status, ISR reserves the right to terminate Merchant’s participation in Program, and all
prepaid Fees, Credits and Deposits will be forfeited.
11. TRACKING TRANSACTIONS & PAYOUTS MANAGEMENT: ISR shall determine (where possible) actual Pay-outs that should be debited from Merchant Account. ISR may, in its sole
discretion, apply an estimated amount of Pay-outs, if there is an error or system down time in Merchant's transmission of Transactions data to ISR.
12. CHARGE-BACKS: ISR may apply a debit to Affiliate in an amount equal to a Pay-out previously credited to Affiliate in circumstances of : (i) product returns; (ii) duplicate entry or
other clear error; or (iii) non-receipt of payment from, or refund of payment to, the Customers by the Merchants; ("Charge-back"). Such Charge-backs may be credited to Your
Account at any time, including previous payment cycles.
13. CASH POINT REDEMPTION: Members may redeem available Cash Points he/she earns from Cash Point Rebate in his/her Member Account in exchange of goods & services of
matching value(1 MyKad Smart Shopper Cash Point can exchange for goods & services of value up to RM1). Merchant shall allow Member to redeem Cash Points, and such Cash
Points will be debited from Member Account and be credited to Merchant Account. Merchant may request to cash-out the Cash Points accumulated from such Redemption.
14. PROGRAM MARKETING & PROMOTION AT OUTLET: Merchant shall ensure constant display of Program promotional material(s) at its participating retail outlet’s Point-of-Sale
(POS)/Point-of- Payment (POP). Such marketing material(s) shall be provided by ISR upon commencement of Merchant’s participation in the Program. Any damaged or loss material
to such marketing material(s) shall be replaced at Merchant’s own cost.
15. SUPPORT: Support for your program is available via call to 03-2242 1333 or email to merchant@mykadshopper.com. The phone support is available during operating hours, except
holidays. Support team will get back to your inquiries within 1-2 working days.
16. PROPRIETARY RIGHTS: Merchant agrees to grant ISR and its PA the right to promote the affiliation with Merchant in accordance with the Program terms for the limited purposes of
Promoting the ISR Program, subject to the terms and conditions of this Agreement. PA use of ISR’s program merchants’ brand names, logos, trademarks, and etc. signifies PA’s
agreement to refrain from copying or modifying any icons, buttons, banners, graphics files or content contained in the Link, including but not limited to refraining from removing or
altering any copyright or trademark notices.
17. PRIVACY: Merchant privacy policy must comply with all laws and regulations regarding the privacy of Customers information, be commercially reasonable, and fully and accurate-
ly disclose the collection and use of Customers information.
18. DATA OWNERSHIP: Merchant understands that all personally identifiable information, if any, provided by Customers through the ISR program or in response to an advertisement or
request for information and/or any or all reports, results, and/or information created, compiled, analysed and/or derived by ISR from such data is the sole and exclusive property of
Merchants and ISR and is considered ISR's Confidential Information pursuant to this Agreement. ISR and/or its Merchants, in their sole discretion, shall have the right to use market and
re-market any Customers and/or data without further obligation to PA.
19. CONFIDENTIALITY: Merchant understands that ISR may provide the other party with information that is confidential and proprietary to that party or a third party, as is designated by
the disclosing party or that is reasonably understood to be proprietary and/or confidential ("Confidential Information"). The receiving party agrees to make commercially reasonable
efforts, but in no case no less effort than it uses to protect its own Confidential Information, to maintain the confidentiality of and to protect any proprietary interests of the disclosing
party. Confidential Information shall not include (even if designated by a party) information: (i) that is or becomes part of the public domain through no act or omission of the receiving
party; (ii) that is lawfully received by the receiving party from a third party without restriction on use or disclosure and without breach of this Agreement or any other agreement without
knowledge by the receiving party of any breach of fiduciary duty, or (iii) that the receiving party had in its possession prior to the date of this Agreement. Upon termination of this
Agreement, Merchant must destroy or return to ISR any Confidential Information provided by ISR to Merchant under this Agreement.
20. TERM: This Agreement shall commence upon Merchant indication that Merchant has accepted this Agreement by providing the required information and submit the Merchant
Application form to ISR and shall continue for 12 months unless otherwise terminated by ISR for situations stated in (6) & (10).
21. TERMINATION/END OF CONTRACT: Upon termination/end of contract of this Agreement, any outstanding payments shall be paid by Merchant to ISR within 30 days of termination
of this Agreement. Balance prepaid credit (if any) will be refund upon termination/end of contract. Your Merchant Account will be deactivated upon termination/end of contract
and all Program’s marketing materials/POSM shall not be display at the outlet.
22. BUSINESS OPERATIONS: Each party will make reasonable commercial efforts to keep its business and system operational during normal business hours. However, the parties agree
that it is normal to have a certain amount of system downtime and agree not to hold each other or Your Merchants liable for any of the consequences of such interruptions. ISR may
modify the Network Service, or discontinue providing the Network Service, or any portion thereof, at any time.
23. TAX STATUS AND OBLIGATIONS: ISR is not obligated to and shall not provide you with tax and/or legal advice. Merchant is responsible for its own sales tax collection and reporting
obligations arising from sales made to Customers through the Program.
24. LIABILITY: ISR shall not be held liable or responsible for any products or services offered by the merchants, including but not limited to any non-compliance, misrepresentation or
defects of any merchants’ products or services.
25. ENTIRE AGREEMENT, ASSIGNMENT & AMENDMENT: This Agreement, including the Introduction, contains the entire understanding and agreement of the parties and there have been
no promises, representations, agreements, warranties or undertakings by either of the parties, either oral or written, except as stated in this Agreement. This Agreement may only be
altered, amended or modified by an instrument that is assented to by each party to this Agreement by verifiable means, including without limitation by written instrument signed by
the parties. No interlineations to this Agreement shall be binding unless initialled by both parties. Notwithstanding the foregoing, ISR shall have the right to change, modify or amend
("Change") this Agreement, in whole or in part, by posting a revised Agreement at least 14 days prior to the effective date of such Change. Your continued use of the Network Service
after the effective date of such Change shall be deemed your acceptance of the revised Agreement.
