PARTNERSHIP AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

That we, the undersigned, all of legal age and residents of the Republic of the Philippines
have agreed to enter into partnership agreement under the terms and conditions herein set forth
and subject to the provisions of existing laws of the Republic of the Philippines.

AND WE HEREBY CERTIFY:

ARTICLE I. That the name of the partnership shall be:

PAPOY’S GADGETS

ARTICLE II. That the principal office of the Partnership shall be located at Poblacion,
Valencia City Bukidnon, Philippines.

ARTICLE III. That the names, citizenship, residence and designation of the partners of
said partnership are as follows:

ARTICLE IV. That the partnership shall hereby appoint MURPHY ARACILLA as the
Finance Officer of the partnership while EDEN CHRAZIELLE CANABA VILLARIEZ as the
Manager of the partnership.

ARTICLE V. That the profits shall be divided among partners, MURPHY ARACILLA
shall have Forty Five (45%) percent share of the profits while EDEN CHRAZIELLE CANABA
VILLARIEZ shall have Forty (40%) percent share of the net profits of the partnership and the
remaining Fifteen (15%) percent share shall be for the maintenance and expenses of the business.

ARTICLE VI. That in case of losses of the business, the loss shall be divided in this
manner, Fifty Five (55%) percent shall be shouldered by MURPHY ARACILLA and Forty Five
(45%) percent shall be shouldered by EDEN CHRAZIELLE CANABA VILLARIEZ.

ARTICLE VII. That in case of dissolution, both partners have hereby agreed that they
shall both have a share in the net profits and losses which is Fifty Five (55%) percent for
MURPHY ARACILLA and Forty Five (45%) percent share for EDEN CHRAZIELLE
CANABA VILLARIEZ in all the remaining assets and income of the business partnership after
payment of all their debts and other obligations.
