1.0     YOUR AGREEMENT WITH AWS
1.1     These Terms.  This set of terms and conditions (“Terms”) is an agreement between you and Amazon Web
Services, Inc.—or, if you are located in India, between you and the entity described in Section 9 (in either case,
“AWS,” “we,” or “us”).  These Terms govern your use of the AWS Educate student site located at [] and its
https://www.awseducate.com/student/s/login/ subpages (or its successor location) and any of the site’s
Content (as defined below) or features (including, but not limited to, your student portfolio, career pathway
features, learning/training content or modules, skills and badges, and job boards) (collectively, the “Student
Site”).  These Terms also govern your submission/uploading of any personal information, employment history,
personal assessments, or any other Content or data (including Third Party Content, as defined below) to the
Student Site (collectively “Your Content”).  
1.2     Agreement with AWS.  BY CLICKING “ACCEPT THE TERMS” OR SIMILAR EXECUTION BUTTON ON
THIS PAGE, YOU ARE ENTERING INTO A LEGALLY BINDING CONTRACT WITH AWS UNDER THESE
TERMS, WHICH INCLUDE ANY ADDITIONAL TERMS AND CONDITIONS THAT APPLY TO THE AWS
AWS EDUCATE TERMS & CONDITIONS EDUCATE PROGRAM, INCLUDING THE (LOCATED AT OR ITS
HTTPS://WWW.AWSEDUCATE.COM/DISPLAYDOCUMENT?

SUCCESSOR LOCATION), THE PRIVACY POLICY DESCRIBED IN SECTION 3.4 BELOW, AND ANY OTHER
POLICIES SPECIFIC TO STUDENT SITE FEATURES, PROGRAMS, OR OFFERINGS (THE “POLICIES”), AS
MAY BE ADDED OR AMENDED BY AWS FROM TIME TO TIME.  IF YOU DO NOT WANT TO BE BOUND BY
THESE TERMS, DO NOT CLICK THROUGH ON THESE TERMS AND DO NOT USE THE STUDENT SITE OR
ITS FEATURES.
1.3     Your Representations. You represent to us that you are over the age of 18, and if you are entering into
these Terms for a commercial entity, government institution or any other entity (“Entity”), such as the company or
public educational institution you work for, you represent to us that you have legal authority to bind that Entity.

2.0    LIMITED LICENSE TO USE THE STUDENT SITE
2.1     License Grant.  AWS grants you a limited, royalty­free, revocable, non­exclusive, non­sublicensable, non­
transferrable license to access, use, and submit/upload Your Content to the Student Site in accordance with
these Terms. Unless otherwise specified in writing by AWS in a separate license, your right to use any software
or Content that you access or download through the Student Site is subject to your compliance with these Terms,
the AWS Educate Terms & Conditions, and the Policies.  
2.2    License Restrictions.  You agree that you (a) will only make use of the Student Site for its intended
purposes and will not transfer your account or credentials to any third party or other Entity; (b) will not access,
use, reproduce, duplicate, copy, sell, sublicense, resell, visit, or otherwise exploit the Student Site or any of its
Content for any unlawful purpose; (c) will not modify or download or any portion of the Student Site, except with
express written consent of AWS (other than page caching or to the extent downloading of Your Content is
specifically made available via a feature of the Student Site); (d) will not use data mining, robots, or similar data
gathering and extraction tools in connection with the Student Site; (e) will not frame, utilize framing techniques to
enclose, or use any meta tags or any other “hidden text” utilizing, any trademark, logo, or other proprietary
information (including images, text, page layout, or form) of AWS without AWS’s express written consent; (f) will
not issue any press release regarding your participation in AWS Educate or the Student Site  or misrepresent or
embellish the relationship between AWS and you without AWS’s prior written permission; and (g) will not offer or
attempt to do anything contrary to the foregoing.  

3.0     YOUR CONTENT AND THIRD PARTY CONTENT
3.1    Posting and Using Content.  You may, but are not required to, submit data, text, audio, video, images, or
other materials (collectively, “Content”) to us or to the Student Site.  You are responsible for any Content you
post to the Student Site or submit to us.  You represent and warrant that (a) you own or otherwise control all
relevant rights to the Content—including Your Content and any Third Party Content you post to the Student Site
or submit to us; (b) the Content (including but not limited to your profile information) is accurate and truthful; (c)
any use of the Content does not violate these Terms and will not cause injury to any person or Entity; and (d) you
will indemnify AWS for all claims resulting from any Content you supply.  If you do post or submit Content
(including Third Party Content and Your Content) to the Student Site, you grant AWS a nonexclusive, royalty­free,
perpetual, irrevocable, and fully sublicensable right to use, access, reproduce, modify, adapt, publish, translate,
create derivative works from, and display such Content throughout the world in any media and in any language,
for the purposes of providing the Student Site to you and to third parties, research and development, or
improving, enhancing, or developing the Student Site and/or AWS features, programs, and offerings, subject to
our Privacy Policy (as defined below).  
3.2     Prohibited Content. You may not post Content that is illegal, obscene, threatening, defamatory, invasive of
privacy, infringing of our or any third party’s intellectual property or contractual rights, disparaging to AWS or any

of its affiliates, including Amazon.com, or any services provided by AWS or its affiliates, or otherwise injurious or
objectionable to third parties, including software viruses, political campaigning, commercial solicitation, issue
advocacy, chain letters, mass mailings, or any form of “spam.” You may not use a false e­mail address,
impersonate any person or entity, or otherwise mislead us or any third party as to the origin of any Content.
3.3     Third Party Content.  We or third parties may upload certain Content owned by the third parties (including
software (including machine images), applications, learning tools, and other Content) (“Third Party Content”),
which may be made available to you through the Student Site.  Additionally, some features of the Student Site
may enable you to take advantage of Third Party Content via websites managed by those third parties.  You
acknowledge that (a) Third Party Content is being provided by those third parties, not AWS; (b) AWS has not
tested or screened Third Party Content and generally does not review Third Party Content; (c) AWS is not
responsible for Third Party Content; (d) your use of any Third Party Content is at your sole risk; and (e) Third
Party Content may be subject to separate license terms as determined by the person or Entity posting or
providing such Content.   
3.4     AWS and Your Content.  Unless these Terms provide otherwise, AWS will treat Your Content and any
other data or personally identifiable information collected by AWS from you in connection with the Student Site in
Privacy Policy http://aws.amazon.com/privacy/ accordance with our (located at ) (the “Privacy Policy”), as
may be amended by AWS from time to time.  For purposes of these Terms, Your Content is included within the
definition of “Account Information” governed by our Privacy Policy.  The Student Site is not a storage service, and
AWS takes no responsibility and assumes no liability for Your Content or any Third Party Content.  AWS has no
obligation to you to store, publish, maintain, or reproduce Your Content or Third Party Content (including any
archived copies) for you or anyone else.  AWS has the right (but not the obligation) to monitor, edit or remove any
of Your Content for any reason, with or without notice.

4.0     INTELLECTUAL PROPERTY
4.1    Copyright.  Except for Your Content or any Third Party Content provided by you, all Content on the Student
Site (including software) is the property of AWS or its Content/software suppliers and is protected by U.S. and
international copyright laws. The compilation of all Content on the Student Site is the exclusive property of AWS
and protected by U.S. and international copyright laws. AWS respects the intellectual property of others. If you
believe that your work has been copied in a way that constitutes copyright infringement, please follow our
Notice and Procedure for Making Claims of Copyright Infringement (located at ), as may be amended by

from time to time.  AWS does not take ownership of Your Content.  
4.2     Patents.  One or more patents owned by Amazon.com, Inc. or its affiliates may apply to the Student Site
and to the features and Content accessible via the Student Site.  Portions of the Student Site may operate under
license of one or more patents.
4.3     Suggestions. If you provide any suggested improvements to the Student Site or any features, programs, or
offerings offered through the Student Site (“Suggestions”), we will own all right, title, and interest in and to these
Suggestions, even if you have designated them as confidential, and AWS will be entitled to use the Suggestions
without restriction.  You hereby irrevocably assign to us all right, title, and interest in and to the Suggestions, and
agree to provide us any assistance we may require to document, perfect, and maintain our rights in the
Suggestions.

5.0    MODIFICATIONS
AWS may modify or delete any part of the Student Site (or even the entire Student Site), for any reason at any
time, with or without notice.  AWS also may modify these Terms (including any Policies) at any time by posting a
revised version on the Student Site, and the modified Terms will become effective upon posting.  By continuing to
use the Student Site after the effective day of any modifications to these Terms, you agree to be bound by the
modified Terms.  It is your responsibility to check the Student Site regularly for modifications to these Terms.

6.0    TERMINATION
Either you or AWS may terminate these Terms at any time upon notice, as specified in Section 8.3.  Upon such
termination, all your rights under these Terms (including, but not limited to, your right to use and access the
Student Site) immediately terminate.  Sections 2.2, 3.1, 4, 7, and 8.1 will survive termination of these Terms.

7.0     DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
7.1    No Representations.  Among other things, the Student Site provides resources and tools for developing
experience regarding cloud computing and finding employment in the information technology industry.  AWS
makes no representations or warranties of any kind regarding the effectiveness of the Student Site to your
education, professional development, employment, or employability.  Except upon AWS’s prior written consent,
you agree that you will not imply that AWS supports, sponsors, endorses, or contributes money to your
education, your employment, or professional development in any way.  
7.2    WARRANTY DISCLAIMERS.  THE STUDENT SITE AND ANY BENEFITS OR OTHER MATERIALS THAT
WE MAY OFFER THROUGH THE STUDENT SITE (INCLUDING BUT NOT LIMITED TO THIRD PARTY
CONTENT OR ANY CONTENT PROVIDED ON OR VIA THE STUDENT SITE) ARE PROVIDED “AS­IS.” WE
MAKE NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE
STUDENT SITE, CONTENT AVAILABLE ON THE STUDENT SITE, OR ANY BENEFITS, THIRD PARTY
CONTENT, OR OTHER MATERIALS THAT WE MAY OFFER THROUGH THE AWS EDUCATE PROGRAM OR
THE STUDENT SITE (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY,
NONINFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE,
DEALING, OR TRADE USAGE).
7.3    LIMITATION OF OUR LIABILITY. NEITHER WE NOR ANY OF OUR AFFILIATES WILL BE LIABLE TO YOU
UNDER THESE TERMS OR IN RELATION TO THE STUDENT SITE, CONTENT ON THE STUDENT SITE,
THIRD PARTY CONTENT, OR OTHER CONTENT OR MATERIALS RELATING TO THE STUDENT SITE FOR
ANY (a) LOSS OF DATA, PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL, (b)

INVESTMENTS, EXPENDITURES OR COMMITMENTS BY YOU RELATED TO THE PROGRAM, OR (c)
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, UNDER ANY CAUSE OF
ACTION OR THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH
LIABILITY OR DAMAGES. THE AGGREGATE LIABILITY OF AWS AND ANY AWS AFFILIATES ARISING IN
CONNECTION WITH THE STUDENT SITE WILL NOT EXCEED $100.

8.0    MISCELLANEOUS
8.1     Applicable Law; Disputes; Severability. By visiting or using the Student Site, you agree that the laws of
the state of Washington, without regard to principles of conflict of laws, will govern these Terms and any dispute
of any sort that might arise between you and AWS.  Any dispute relating in any way to these Terms shall be
adjudicated in any state or federal court in King County, Washington, and you consent to exclusive jurisdiction
and venue in such courts. If one or more of these Terms are deemed invalid, void, or for any reason
unenforceable, that Term(s) shall be deemed severable and shall not affect the validity and enforceability of any
remaining Term(s).  
8.2    Electronic Communications.  When you visit the Student Site or send e­mails to us, you are
communicating with us electronically. You consent to receive communications from us electronically. We will
communicate with you by e­mail or by posting notices on the Student Site. You agree that all agreements,
notices, disclosures and other communications that we provide to you electronically satisfy any legal
requirement that such communications be in writing.
8.3     Notice.  Any notice by AWS to you under these Terms may be made by (and effective upon) posting to the
Student Site or upon email to you at the email address linked to your AWS Educate account.  Any notice by you
to AWS under these Terms must be made by registered or certified mail to Amazon Web Services, Inc., 410 Terry
Avenue North, Seattle, WA 98109­5210 Attn: General Counsel (or, if you are located in India, to the entity
described in Section 9, at the address specified in that section).  Notice by you to AWS is effective upon AWS’s
receipt of the same.

9.0.    CONTRACTING ENTITY – INDIA CUSTOMERS
If you are located in India, your contracting party will be Amazon Internet Services Private Limited (“AISPL”), and
these Terms are an agreement between you and AISPL, located at Ground Floor, EROS Plaza, Eros Corporate
Centre, Nehru place, New Delhi, India – 110019.  If you are located in India, all references to “AWS,” “we,” or “us”
in these Terms shall be deemed as referring to AISPL. Additionally, if you are located in India, these Terms shall
be deemed to differ from the above Terms as follows:

1.2 shall be deemed to be an agreement between you and AISPL (not Amazon Web Services, Inc.);
(b) The Privacy Policy defined in Section 3.4 shall be deemed to refer to the Privacy Policy located at
https://aws.amazon.com/aispl/privacy/;
(c) The second sentence of Section 8.1 shall not apply; and
(d) Under Section 8.3, any notice by you to AISPL under these Terms must be made by registered or
certified mail to Amazon Internet Services Private Limited, Ground Floor, Eros Corporate Towers, Nehru
Place, New Delhi ­ 110 019, India (not to Amazon Web Services, Inc.).
