hereby confirm our readiness to deliver our guarantee, as per the attached text, in the
aggregate amount up to €10.0 billion (ten billion euros), for your benefit and for further
credit to Puerto Indal Promociones, S.L., Account No. [ ] with you.

Subject to receipt of your bank SWIFT response confirming acceptance of our

guarantees, we shall deliver the guarantees via mandatory SWIFT MT-760 mode to you
in 20 (twenty) tranches, each with a face amount of €500.0 million (five hundred million
euros), in accordance with an agreed schedule. Each guarantee delivered shall have a
maturity of 12 (twelve) months from issuance.

Union Bank of Switzerland, hereby irrevocably undertake to pay you on first demand,
irrespective of the validity and effects of the above mentioned loan/credit relationship,
any amount up to €500.0 million (five hundred million euros) of principal plus interest
and all other charges, upon receipt of your request for payment by tested telex/SWIFT
stating that the borrower has failed in the fulfillment of his obligations under the credit.
