MANDATE LETTER FOR SALE TRANSACTION

Dear Sir,

Subject: - Mandate for representing North 16, Goa for sale transaction of Hotel property in
Goa.

Please refer to our discussion, regarding the captioned subject. As discussed, we are
submitting our offer for identifying a prospective buyer and organizing all related information
for facilitating the purchase of the subject hotel property as stated below.

A) We are engaged in to activity of offering investment advice to investors, arranging funds


from banks & financial Institutions and real estate investment advisory and portfolio
management services. We have a dedicated team engaged in real estate advisory and
financial services. As per our discussion, we can take up your proposal for sale of
subject property.

B) Our fee structure for identifying suitable investor(s) and assisting in the closure of the
transaction are as under:

Total Fees 2.00%* of agreed Purchase value

1st Tranche on completion of Flyer & IM Rs. 2 Lacs*

2st Tranche on initial Site visit & Management


Rs. 10 Lacs*
discussions with prospective buyer

3rd Tranche on Initial indicative offers Rs. 18 Lacs*

C) Our scope of work includes, preparation of Investment teaser, preparation of detailed


Information Memorandum, Financial model and Pro forma cash flows meeting investor
expectations, presentation to prospective buyer(s), follow-up at all levels to convince
buyer/buyers management, arranging meetings between various officials and promoters
of the project, arranging site visit and management discussions, assisting in effective
negotiations, assisting in buyer due diligence and closure of the transaction.

D) The company shall be responsible for all related works like Title clearance of the
property from reputed advocates mutually acceptable with the buyer, valuation of
property from reputed valuers, assisting in any feasibility and viability study if required
from any technical experts of the buyer, audited financials etc.

E) All out of pocket expenses will be borne by you.

We request you to confirm our appointment as authorized consultants by signing a copy of the
same and returning us. We look forward for a mutually rewarding relationship.
