EMPLOYMENT LETTER

Dear Bosede During,

We are glad to offer you a position as a Sales Executive 2 (Lagos Office) under the following terms and
conditions. You will work in this capacity for a probation period of 6 months and we hope you will learn
and contribute to the growth of the company. If you perform excellently during your probation, you stand
a chance to be employed as a full staff. As part of the company policy, you are required to sign this
agreement and submit a copy.

1. Commencement Date

Your date of commencement is Monday 1st April 2019. You are expected to perform duties and
responsibilities as assigned and as at when due.

2. Job Roles, Targets and Deadlines

This will be made available in your Job Description Manual. You are expected to meet up with given
targets and deadlines.

3. Allowances and Commission

You are entitled to a monthly gross remuneration of N108, 000 only after which statutory deductions
applies, 10% commission on all your direct sales and 5% on indirect sales of the company’s products and
services.

4. Teamwork & Customer Happiness

You are expected to work in full cooperation with other team members to accomplish set goals and carry
out tasks as required of you. You are expected to obey all rules and regulations of the Company. The
company is customer-centric, you are expected to treat all the customers with Love, Empathy and
Respect, and ensure every customer is happy with our service at all time.

5. Working Hours

Our official hours are Mondays to Friday 8:30am to 5:00pm. You shall be notified if there is a need to
work on a weekend or public holiday.
6. Confidentiality

You shall Not without the consent of EDVES NIGERIA LIMITED reveal, disclose or share information
which is deemed confidential and trade secrets by the Company to any third party. All assignments
and tasks given to you by the company shall be deemed as strictly confidential, you shall NOT make
use of the company's information, tools, materials and property to accomplish other related tasks.

In addition, you shall NOT deal with company's clients without the consent of EDVES NIGERIA
LIMITED.

7. Non-Competition Clause

While this engagement is still valid and 3 months after your disengagement, you cannot work with any
other company rendering related (Edtech) services or products. On termination of your engagement
with EDVES NIGERIA LIMITED for any reason, you shall not solicit any client of EDVES that was a
client at EDVES during the course of your engagement with EDVES Whether or not still a client of
EDVES, or in any way aid and assist any other person to solicit any client.

8. Exit from the Company


After your probation period, the company policy demands that you work for an additional 6 months
before you can resign from the company. And you are expected to give 30-days notification in case you
consider a resignation or in lieu of a month salary.

9. Proprietary Information and Inventions Agreement


Like all Company employees and interns, the Company owns all Proprietary Information and Inventions
achieved during the period of your engagement.

10. Privacy
You are required to observe and uphold all of the Company’s privacy policies and procedures as
implemented or varied from time to time. Collection, storage, access to and dissemination of
employee/interns personal information will be in accordance with privacy legislation. You are
expected to keep the data and the information you are privileged to access with a high level of privacy.
You are not allowed to share Companies or Clients information to any 3rd Party without approval of
the management.

11. Termination
The Company reserves the right to terminate your engagement for a just cause at any time without notice
and without payment in lieu of notice. The Company will be entitled to terminate your engagement for
any reason other than for just cause, upon providing to you such minimum notice as required by law.

By accepting this offer, you agree that throughout your employment, you will observe all policies and
practices governing the conduct of our business and employees, including our policies prohibiting
discrimination and harassment. This letter sets forth the complete offer we are extending to you,
and supersedes and replaces any prior inconsistent statements or discussions. It may be changed
only by a subsequent written agreement. Failure to abide by any of the above
Terms and condition above gives EDVES NIGERIA LIMITED the right to charge you based on
bridge of agreement.
