Base on that, they have to select, control and, when if it is necessary, replace the main executives, as well as set their remuneration. Finally, a board should bring freedom, fresh perspective and helps to maintain a cooperative team. They should be active listeners and facilitators who can communicate effectively and they must be ready to answer questions and objections trying to identify and develop potential tasks. In addition, the Board of Directors must be able to exercise, independently of the administration, an objective judgment on corporate matters which is the fundamental strategy. Otherwise, they have to participate in productive discussions and ensure transparency in all communication to members, stakeholders, and the public which finally will impact the results in the short and the long term.
