CONSIGNMENT AGREEMENT

This Consignment Agreement dated March 27, 2019 and entered into by and between:

________________________________, a company duly organized and existing under and by


virtue of the laws of the Republic of the Philippines, with business office at
____________________________________________________________________; and
represented herein by its Authorized Representative,__________________________, of legal
age, and herein referred to as “CONSIGNOR”;

-And-

MALAYAN COLLEGES LAGUNA, INC. (A Mapua School), an educational institution, existing under
and by virtue of the laws of the Republic of the Philippines with principal office at Pulo Diezmo
Road Cabuyao, Laguna, represented herein by its Executive Vice President and Chief Operating
Officer, ENGR. DENNIS H. TABLANTE, Filipino, of legal age; now and hereafter referred to as the
“CONSIGNEE”.

RECITALS

The parties recite and declare:


A. The CONSIGNOR offered to consign ________________________________.
B. The CONSIGNOR desires to arrange for the sale and distribution of its merchandise at the Blue
and Silver Bookshop.
C. The CONSIGNEE has agreed to undertake the marketing of the CONSIGNOR’S merchandise
based on the terms set forth in this agreement.

NOW, THEREFORE, for and in consideration of the above recitals, the parties hereto mutually
agree as follows:

SECTION ONE
CONSIGNMENT OF PRODUCTS

a. The CONSIGNEE shall receive, accept, and hold merchandise which will be delivered by the
CONSIGNOR. Such delivery and consequent acceptance shall be documented by a DELIVERY
RECEIPT.
b. The CONSIGNEE shall distribute CONSIGNOR’S merchandise at the Blue and Silver Bookshop
during the term of this agreement.

SECTION TWO
SALE OF PRODUCTS

a. The CONSIGNEE shall display and sell the consigned products at the Blue and Silver Bookshop.
b. All consigned merchandise shall remain the property of the CONSIGNOR until sold in the
regular course of business. The CONSIGNEE shall be responsible for all shortages of stock.
c. The CONSIGNEE shall devote their best efforts for the sale and distribution of the
CONSIGNOR’S merchandise at the Blue and Silver Bookshop.
SECTION THREE
DELIVERY OF PRODUCTS

a. The CONSIGNOR shall deliver to the CONSIGNEE quantities of product as required and
evidenced by a Purchase Order. A schedule of delivery of items shall be agreed. Schedule
maybe revised from time to time during the period of this agreement.
b. The CONSIGNEE shall note in the delivery receipt all corrections, if any. The CONSIGNEE
shall retain the original copy of the delivery receipt.
c. The CONSIGNEE shall give all consigned products a degree of care similar to the
safekeeping of the CONSIGNOR’S own goods.
d. The CONSIGNEE shall be responsible for any loss of or damage to merchandise while it is
under their control. The consigned products when damaged due to fire, flood, theft or
any cause not attributable to manufacturing defects will be for the account of the
CONSIGNEE.

SECTION FOUR
PRICES AND DISCOUNTS OF PRODUCTS
Both CONSIGNOR and CONSIGNEE shall mutually agree on the selling price of the consigned
products.

SECTION FIVE
INVENTORY / RECONCILIATION /MODE OF PAYMENT

a. The CONSIGNOR has the right to check its inventory at the end of every month.
b. The CONSIGNEE shall furnish the CONSIGNOR a monthly sales report indicating the sales
during the preceding month.
c. Payment shall be made within thirty (30) working days upon receipt of the CONSIGNOR’S Sales
Invoice.

SECTION SIX
WITHDRAWAL OF PRODUCTS

The CONSIGNOR may at the consent of the CONSIGNEE, within a reasonable time and date,
withdraw some of the consigned products as it may deem necessary for its purpose. Each pull-out
shall be supported by a pull-out form issued by the CONSIGNOR.

SECTION SEVEN
TERMS OF AGREEMENT

a. This agreement shall be valid for a period of one (1) year beginning March 2019 and expiring
on March 2020.
b. Either party may request for the renewal of this Agreement upon submission of a written
notice ten (10) days before the expiration of its original or renewal term.
c. This agreement may be terminated within one (1) year for any reason by either party upon
thirty (30) days advance written notice.
d. Any modification of this agreement or additional obligation assumed by either party in
connection with this agreement shall be binding only if evidenced in a writing signed by each
party or an authorized representative of each party.
