AGREEMENT FOR SERVICES

This Agreement for services (hereinafter referred to as the “Agreement”) is made and entered
at Chennai on this the 1st day of November 2017.

BY AND BETWEEN
1. M/s. Dragon Force One (PAN – AAJFD4984B) , a Partnership Firm registered before the
Registrar of Firms, Chennai South as Firm No. 1630 of 2013 , having its registered office
at No.57G, 6th Street, M.C.N Nagar, Thuraipakkam, Chennai – 600097 (hereinafter
referred to as the ‘Dragon’ which expression shall unless repugnant to the context mean
and include its representatives, successors and permitted assigns, as the context
permits) duly represented by its Managing Partner, Mr. Sensei P.Vasu of the FIRST PART.

AND
2. M/s. Medall Healthcare Private Limited ( PAN – AABCP9015E), a company registered
under the provisions of the Companies Act, 1956, (CIN – U85110TN1994PTC029023)
having its registered office at No. 191, Poonamallee High Road, Kilpauk, Chennai –
600010 and corporate office at No.67, Mount Road, Second Floor, TNPL Building, Guindy,
Chennai – 600032, duly represented by its General Manager ( Head – Human Resource) ,
Mrs.S.Sarala (hereinafter referred to as ‘Medall’ which expression shall unless
repugnant to the context mean and include its representatives, successors and
permitted assigns, as the context permits) of the SECOND PART.

WHEREAS the Dragon, who is experienced in providing security services to the organizations
has offered to provide Security & House Keeping Services to the Medall at their Premises
(more fully described in Schedule ‘B’ hereinafter referred to as the “Schedule Premises”).

WHEREAS Dragon represents that it has registered as a Security Service Agency under the
Private Security Agencies (Regulation) Act, 2005 with Registration No.22/2009 and having
valid license as on date.

AND WHEREAS on offer made by the Dragon by way of their Letter dated 20.10.2016 to
provide Security & House Keeping Services to Medall, the Medall has agreed to avail the
same for security arrangements and housekeeping to the scheduled Premises subject to the
rates, terms and conditions as stated in the Schedule ‘A’ which are forming part and parcel
of this Agreement.

NOW THIS AGREEMENT WITNESSETH AS UNDER:

1. In consideration of the Dragon agreeing to provide Security & House Keeping Services to
the premises, installations, buildings and properties therein belonging or to in the
possession of the Medall in their premises at Schedule ‘B’. ‘Medall’ agree to pay as
consideration on monthly basis calculated as per the Payment Terms mentioned in
Schedule ‘A’.
2. That the Agreement shall be for a period of 1 (One) year from 01.11.2017 to 31.10.2018.
3. That the privity of this agreement is between the ‘Dragon’ and the ‘Medall’ namely the
First and the Second Parties respectively and that the staffs shall have no direct legal
relationship with the Medall relating to Security & Housekeeping Services. It is clearly
clarified and agreed between the parties that this agreement/arrangement will not
create any employer-employee relationship between Medall and Security
Staff/Housekeeping employees provided by Dragon to Medall.
4. That Medall will not in any manner held responsible for any acts, omissions or
commissions of the employees engaged by the Dragon nor any claim will lie against the
Medall in this regard, if any such claim is made by any Security/Housekeeping Employee
in the course of employment.
5. Duties, obligations, conditions, etc., of either party shall be as per the Schedule ‘A’ and it
is forming part of this Agreement. In case of any violation of terms of this Agreement by
the Dragon, Medall shall have the right to withhold any payment payable to Dragon
under this Agreement.
6. The entire responsibility for taking security measures shall be of Dragon and in any case,
Medall will not be liable to pay anything as extra for such Security Guard(s)/Personnel
except as provided in Schedule – A.
7. The Dragon hereby agrees that it will indemnify Medall against any claims, loss, damage
occurred, or caused to the Medall due to breach of any of the provisions of the
agreement or due to willful acts or omissions or carelessness or negligence of the
security personnel employed by the Dragon, while on duty.
8. This agreement will be governed and construed according to the laws of India. The Court
at Chennai shall have exclusive jurisdiction over case(s) arising from and out of this
agreement.
9. TERMINATION
A) Medall shall have right to terminate this Agreement by giving 15 (Fifteen)
days Notice in writing to Dragon, without assigning any reasons.
B) Medall shall have right to terminate this Agreement forthwith upon material
breach by other party of any term/provision of this agreement with
immediate effect.
10. In the event of any dispute(s), difference(s) of claims or questions arising out of this
Agreement, the parties shall make all endeavor to settle the dispute amicably through
mutual negotiations and discussions, failing which the dispute shall be referred to the
Sole Arbitrator appointed by Medall to decide the dispute, the arbitration proceedings
shall be in accordance with the Arbitration & Conciliation Act, 1996 and the
amendments made thereof from time to time. The seat of arbitration shall be at Chennai
and proceedings shall be conducted in English.
11. COMMUNICATION DETAILS

All notices mentioned herein shall be in writing and shall be sent by hand or by registered
post acknowledgement due or by courier or by facsimile to the other Party at the address
below mentioned in respect of each Party. The Parties agree that all termination notices
shall be issued only by registered post acknowledgement due.

SCHEDULE-A

TERMS, CONDITIONS AND PAYMENT TERMS


Scope of work:

1. The work involves providing security services for 24*7 and 365 days covering the entire
Schedule Premises;
2. Independent action so as to tackle unforeseen incidents including contact with local
authorities;
3. Primary safety & rescue services and assistance in case of fire, breakdown of lifts and
accidents.

Requirements of the Security & Staffs:

1. The job involves security personnel divided into 2 shifts of 12 hours each starting from
8 a.m to 8 p.m and 8 p.m to 8 a.m with weekly OFF.
2. Security Strength:
Day Shift: 1 (one) male Security Guards.
Night Shift: 1(one) male Security Guards.
Surprise check: Twice a week surprise check shall be done by the Field Officers of Medall
between 1 am and 4 am.
3. Security uniform, equipments and gadgets, and other relevant materials shall be
provided by the Dragon at their own cost benefitting the job requirement.
4. The Medall will not take cognizance of absenteeism and it is the sole responsibility of
the Dragon to ensure smooth transition of shifts with full strength.
5. Quality and Standard: The security is the main essence of the agreement and any non-
security assignments shall not be attended. Any calls from the residents for private
functions/domestic works are excluded from the scope of this agreement.
6. Dragon will be responsible and to ensure the payments to its personnel in accordance
with the applicable laws in respect of minimum wages rates, P.F., ESIC, Privilege leave,
National Holidays, Gratuity, HRA and other labour law, which may be enforceable/
applicable.
7. Dragon will ensure all statutory payments to concerned departments for its personnel
are paid promptly without any default. The dragon shall produce documentary
evidences such as Challans, Receipts for the payment of such statutory payments along
with their monthly invoices raised to Medall for the payment. On satisfaction as to
evidences of statutory payments alone, Medall shall make monthly payments to the
Dragon.
8. Dragon will be responsible to prevent theft, burglary, pilferage, breakage and damages
to the property and personnel of the Medall and will make good of loss/damages if any
caused due to negligence /connivance /omissions on the part of its personnel to the
Medall. However, the Medall will extend its full co-operation, support and make
available its personnel for interrogation / enquiry to Dragon during investigation of such
cases. Medall will also lodge police complaints for the cases of loss with police and
provide all information needed for investigation of cases. No deductions on account of
such losses will be made by the Medall without concurrence of Dragon.
9. In case of any heavy loss, the Medall will claim the recovery through its insurance
company.
10. Medall will have the right to reject/refuse deployment of the personnel of Dragon if
they are found unsuitable and Dragon will withdraw such personnel from the premises
of the Medall within 24(Twenty Four) hours asked for by the Medall.
11. Dragon will ensure supervision of its personnel deployed for duty at the premises of the
Medall by its field staff and keep them alert at all time.
12. Dragon will provide additional man power at short notice to the Medall on the rates
mutually agreed for temporary deployment and on existing rates if the deployment is for
minimum 3 (Three) months.
13. Dragon personnel will honor all instructions, standing orders, rules etc. of the Medall
and co-operate on all aspects of its operations.

Payment Terms:

 Security Guard: Rs.11,990/-(Rupees Eleven Thousand Nine Hundred and Ninety


Only) per individual per month.
 CCTV Special Security: Rs. 14,900/-(Rupees Fourteen Thousand and Nine Hundred
Only) per individual per month.
 Housekeeping Male: Rs. 10,000/- ( Rupees Ten thousand only ) per individual per
month,
 Housekeeping Female: Rs. 9,000/- (Rupees Nine Thousand Only ) per individual per
month.

The settlement of monthly invoice will be on the basis of actual attendance by the Staff(s).
The Dragon may keep a record of the attendance, if deemed necessary apart from the Medall
attendance register.

Monthly bills will be settled before 10 th (Tenth) of respective succeeding months, after
deducting the applicable tax.

PF & ESI Compliance:

The Dragon is required to furnish Medall of their Registration No. with local ESI office, IP Nos. of
the security staff, PF a/c No. of each security staff and proofs of Statutory Payment,
Contributions to Medall.

Invoice will be raised by the Dragon at the end of each month and payment to Dragon will be
made by Medall by way of cheque in the name of “Dragon Force One” or account transfer to the
following account details of the Dragon on the 10th (Tenth) day of the subsequent month.
