EXPLANATORY NOTES AND TERMS AND CONDITIONS

AP.2/AP.2A

This document is issued subject to all the terms of the AP.2 Agreement (or AP.2A Agreement if you have been granted that Agreement). These agreements
contain important legal limitations and terms which must be observed and complied with by you. The full text of these documents is available for inspection
at the offices of MCPS and a copy will be sent to you at your request.

This document and the information on it represents only what MCPS in good faith believes to be accurate, subject in any event to the provisions in the
following paragraphs. MCPS is unable to and does not warrant the accuracy of any of the information expressly or implicitly contained in the document.
Where the document is an Invoice or Licence, it merely sets out what MCPS currently believes to be its claim.

The document may indicate a royalty rate or royalties in relation to a work identified wholly or party as a Copyright Control, or Non-Society. Please note
that such figures are purely hypothetical: MCPS has no authority to and does not warrant that a licence will be available at the relevant rate, or at all.

Furthermore, where the words No Licence Granted are indicated against on or more tracks, the manufacturer and distribution of the product in its current
form will infringe the copyright in one or more Works included in the track(s). The same applies where the document is a Refusal. Royalty rates/royalties
referred to in relation to track(s) marked No Licence Granted (or in relation to all tracks in the case of a Refusal) are again purely hypothetical.

You should also note the following: -

1 If this is an Invoice

1.1 If you do not have an AP.2A Agreement, you must pay the invoice within your credit period which runs from the date of the invoice.

1.2 If you do not have an AP.2A Agreement, the invoice must be paid in full within 28 days of its delivery to you. If you do not pay within that period,
MCPS may cancel the invoice and refuse to grant the licence.

1.3 Payment may be made by banker’s draft or cheque upon the back of which you must specify the identifying number of this invoice. MCPS
reserves the right to wait until it holds cleared funds before treating a payment as having been made.
Invoice payment should now be made to the following address: MCPS Ltd, Credit Control Dept,
British Music House, 29-33 Berners Street, London W1T 3AB

1.4 This invoice does not constitute an express or implied licence to manufacture or distribute records. A licence will not be sent to you in relation to
the relevant product and/or tracks until you have paid the invoice (unless you have been granted an AP.2A Agreement).

2 If this is a Licence

2.1 The Licence is subject to the terms and conditions of the AP.2 Agreement (or AP.2A Agreement if you have been granted that agreement), and all
rights are expressly reserved in relation thereto.

2.2 Where the words Public Domain, Copyright Control, Non-Society or No Licence Granted are indicated against one or more tracks, the Licence
does not apply in relation to those tracks, Manufacturer or distribution of product without a licence in relation to Works subject to copyright will
infringe the copyright in those Works.

3. If this is a refusal of Licence

3.1 You must not manufacture or distribute the product.

4 If this is a notification of No Claim

4.1 Where there are Works included on the Disc which are subject to copyright, it is your responsibility to ensure that you have a licence to
manufacture and distribute copies of the Disc from the relevant owners.

4.2 If MCPS subsequently has a claim in relation to one or more of such works, MCPS will notify you.
