VIDEO PRODUCTION SERVICES
AGREEMENT
This Video Production Services Agreement(the "Agreement") is made and effective December
22, 2016.

BETWEEN: Super Digital Productions LLC (the " Service Provider"), a corporation
organized and existing under the laws of the State of New York, with its head
office located at:

In consideration of the terms and covenants of this agreement, and other valuable
consideration, the parties agree as follows:

RECITALS

A. The Customer is of the opinion that the Service Provider has the necessary
quali cations, experience and abilities to provide animated video services in connection
with the business of the Customer.

B. The Service Provider is agreeable to providing such services to the Customer, on the
terms and conditions as set out in this Agreement.

IN CONSIDERATION OF the matters described above and of the mutual bene ts and
obligations set forth in this Agreement, the receipt and su ciency of which consideration
is hereby acknowledged, the parties to this Agreement agree as follows:
Engagement

1. The Customer hereby agrees to engage the Service Provider to provide the Customer
with animated videos as described in Exhibit A (hereafter referred to as “Work”) and the Service
Provider hereby agrees to provide the Work to the Customer.

Term of Agreement

2. The term of this Agreement will begin on the date of this Agreement and will remain in full
force and effect until completion of the Work.

Performance

3. Both parties agree to do everything necessary to ensure that the terms of this
Agreement take effect.

Grant of Rights

4. Customer gains full ownership and rights to Work with the exception of:

1. Service Provider may use Work for self-promotion only


2. Service Provider retains ownership of any elements created or items purchased in order
to create final Work (including but not limited to software, hardware, custom artwork or 3D
modeling).

Compensation
5. For the Services provided by the Service Provider under this Agreement, the Customer
shall pay to the Service Provider compensation in the amount of $2,000 for a video up to
[length] in length. Compensation will be payable according to the following schedule:

Deposit: 50% due to begin project (see Exhibit A)


Balance: 50% due after Delivery (see Exhibit A) of completed video with watermark
Final video, with the watermark removed, will be delivered to the Customer upon full completion
of all payments due to the Service Provider.

Changes and/or additions

6. Any request for additions to or changes of any stage of animation production by


Customer after Customer has approved that stage will result in additional fees. If
the customer requests for additional time to be added to the video, causing the duration of
the video to exceed the agreed upon length of 60 seconds, the
Customer agrees to incur charges of [cost] per second added, to be paid along with and
in addition to the final balance payment.

Late Penalties

7. A penalty of 10% of remaining balance will be imposed on the Customer on the 31st
day following receipt of final animation and again each subsequent week for failing to pay the
Service Provider within 30 days of receipt of final animation.

Additional Compensation

8. The Service Provider acknowledges that compensation as provided for in this


Agreement constitutes full monetary compensation for the Services performed.
Accordingly, there will be no additional compensation.
Assignment

9. This Agreement may be assigned by the Service Provider.

Capacity/Independent Contractor

10. It is expressly agreed that the Service Provider is acting as an independent contractor
and not as an employee in providing the Services hereunder. The Service Provider
and the Customer acknowledge that this Agreement does not create a partnership or
joint venture between them.

Modification of Agreement

11. Any amendment or modi cation of this Agreement or additional obligation assumed
by either party in connection with this Agreement will only be binding if evidenced in writing
signed by each party or an authorized representative of each party.

Time of the Essence

12. Time will be of the essence of this Agreement and of every part hereof. No extension
or variation of this Agreement will operate as a waiver of this provision.

Entire Agreement

13. It is agreed that there is no representation, warranty, collateral agreement or


condition affecting this Agreement except as expressed in it.

Severability

14. In the event that any of the provisions of this Agreement are held to be invalid
or unenforceable in whole or in part, all other provisions will nevertheless continue to be
valid and enforceable with the invalid or unenforceable parts severed from the remainder of this
Agreement.

Currency

15. Unless otherwise provided for, all monetary amounts referred to herein will be paid in US
Dollars.
Governing Law

16. It is the intention of the parties to this Agreement that this Agreement and
the performance under this Agreement, and all suits and special proceedings under this
Agreement, be construed in accordance with and governed, to the exclusion of the law of
any other forum, by the laws of the State of New York, without regard to the jurisdiction in
which any action or special proceeding may be instituted.
IN WITNESS WHEREOF, each party to this agreement has caused it to be executed on the date
indicated above.

SERVICES TO BE PROVIDED

Provider shall provide the Services to the Client upon the terms and conditions set out in the
Agreement and as set out below. The Client and Provider may amend this Schedule from time
to time during the Term and any renewal period.

Discovery Stage

1. Consultation and brainstorming call

Production

2, Script writing + two rounds of revisions, if requested by Customer

3. Voice over by the way of casting call

4. Storyboard development + two rounds of revisions, if requested by Customer

5. Animation. Revisions after this stage will be provided if animation is inconsistent with the
agreed upon storyboard or any mistakes and/or errors exist

6. Sound: royalty free background music + sound effects

Delivery

5. Delivery of watermarked video to Customer

Final Delivery (after balance is paid in full by Customer)

6. Final delivery of completed video, with watermark removed, in HD format to Customer
