This Contract is made by and between the Seller and the Buyer; the Seller agrees to sell and

the Buyer agrees to pay money for buying the under mentioned goods according to the terms

and conditions stipulated below and overleaf

1. Scope： Buyer will buy 1250mm 6Hi REVERSING COLD ROLLING MILL LINE , from Seller, is in
charge of signing purchasing contract with dismantling, cleaning, packing and transporting one second-
hand equipment for Buyer.

2. Price: total price for all equipment is : 850,000USD (eight hundred and fifty thousand thousand USD
only ) FOB KAOHSIUNG PORT
3. Including dismantling, cleaning, packing and transportation costing to kaohsuing port;

3 Payment Terms 付款方式：

4.1.1. Advance payment 预付款
A- The Buyer shall pay 30% (thirty percent) of the total contract price i.e. USD255,000 (two hundred
and fifty five thousand USD) to the Supplier by T/T 30 days after signing the contract, and the
contract shall be validated since the Supplier receives the payment.and the seller will issue 30% =

 255,000 Usd bank guarantee against this down payment; the guarantee is valid until the finish
delivery.
买方应该预付 30% 的合同货款即 USD255,000(，以电汇的方式在合同签订后 30 天内付给卖方，合
同自卖方收到预付款后生效。
REPONSBILITY:
- The Seller: is responsible for the dismantle of equipment, cleaning of equipment, packing;
transportation to Kaohsiung port, and avoiding the damage and the lost of equipment.
- The Buyer:shall assign the staff to the Seller’s factory to support the dismantle of equipment; the
cost of air flight being born by the Buyer; the eating, accommodation being born by the Seller.

B-The buyer shall establish an irrevocable letter of credit (L/C) for 70% of total contract price I.E USD
595,000 (five hundred and ninety five thousand dollars) in favor of the supplier. In which partial shipment
shall be permitted. The letter of credit (L/C) shipment period and remain valid for negotiation in 21 days
after the expiry of the guarantee period. All the equipment will be delivered in three time by ship:
4.1.2. Progress

4.2.2.1 The first equipments shall be delivered by ship within 30 days from the effective date of contract.
10% of the total contract price i.e USD85,000 (eighty five thousand dollarsshould be paid by the
buyer to the Supplier; the seller to shipment : all Backcup roll; IMR; WR; Bearing; chock; cacdang
shaff and all (spare parts) accessories of cold rolling 6 Hi.
4.2.2.2 the second equipments will be delivered by ship within 60 days from the effective date of contract.
60%(sixty percent)of the total contract price i.e USD 510,000(five hundred and ten thousand
dolallars) shall be paid by the buyer to the Supplier:
第二批设备应该在合同生效后 60 天后装船运出。买方收到以下单据后应该支付卖方合同总价
的 30%即 USD510,000

5.Country of Origin and Manufacturer:Made in Japan.

6.Packing ： To be packed should fit for container/bulk suitable for long distance ocean

transportation and to change of climate, well protected against moisture, shocks and rough

handling.

The seller shall submit the following documents to the buyer
o 3/3 set of Original clean shipped on board Bill of Lading marked “ freight prepaid” and notify the

buyer (consignee) showing contract no, name of commodity, total number of pieces, net weight,
gross weight, container no, seal no, date of B/L, the name and address of shipping Agent which is
located in Ho Chi Minh City, Viet Nam. B/L should be indicated free demurrage at destination port is
14 days and free detention is 07 days. B/L must not be effected with MSC shipping Line and Cosco
shipping line . B/L’s forwarder is not acceptable.
o 3/3 Original signed Commercial Invoice for total cargo value shipped issued by the Seller showing

invoice no and date, name of commodity, unit price, trade term, total number of pieces, net weight,
gross weight .
o 3/3 Original Packing List issued by the Seller showing name of commodity, total number of pieces ,

total net and gross weight.

o 3/3 Original Detail Packing List issued by the Seller showing name of commodity, total number of

pieces , net and gross weight per item of commodity.

o Certificate of Origin: issued by KaohsuingTaiwan R.O.C showing name of commodity, total

number of pieces,
o 01 Original Catalogue issued by the Seller

*All above document required must be sent to the buyer within 07 working days afterBill of Lading.
o Shipment Advice in 01 Original issued by the Mill showing contract no, name of commodity,

quantity, net weight, gross weight, invoice value, B/L no, name and nationality of vessel, date of
departure, name and tel/fax number of shipping Agent in Ho Chi Minh City., ETA has been sent to
the Buyer within 03 working days from Bill of Lading date.
