In consideration of Larsen & Toubro Limited (“L&T”, which expression shall be deemed to
mean and include its subsidiaries / associate / group companies, successors in title and
assigns), having agreed to permit me in L&T for internship training in L&T’s sites I, Mr.

I agree, accept, declare and confirm that:

a) L&T has permitted me for educational training from ___________to

______________;

b) In contemplation of L&T affording the above educational training, I shall be

liable for and indemnify L&T against any liability, demand, claim, loss or
lawsuit in respect of personal injuries to me and/or to anybody and/or
property damage arising out of or caused by my negligent act or omission
during the course of educational training.

c) Undertake full responsibility of my action and behaviour at all times during the
course of educational training of the above said period.

d) I am not associated with the organisation in any way that may give rise to
conflict of interest.

e) I shall, during the period of my training with L&T, honestly, faithfully, diligently
and efficiently utilize and devote my skills and ability, exclusively for the
business and affairs of L&T. I shall not commit any act or omission that may
expose L&T to any kind of liability whatsoever and shall behave in such a way
that will not deter the policy of L&T.

f) I shall keep all information and data pertaining to L&T confidential and shall not
divulge such information or instruments or documents or data to any third
party.

g) I have given this undertaking and indemnity of my own free will, after having
fully understood the contents and the consequences, legal and / or otherwise,
that will flow as a result of breach on my part of this undertaking & indemnity.

h) In case I commit breach of this undertaking in general and any covenants

contained and if found culpable of such disclosure I shall be subjected to
suitable action by L&T.

Dispute Resolution / Jurisdiction:

i) Any dispute or controversy or claim arising out of or relating to the breach or

invalidity thereof of this, shall be resolved by arbitration consisting of a Sole
Arbitrator to be appointed by L&T. The arbitration proceedings shall be
governed by the Arbitration & Conciliation Act, 1996. The language of
arbitration shall be English. The venue of arbitration shall be at Mumbai. The
award of arbitration shall be final and binding on the parties.
j) The Courts at Mumbai shall have exclusive jurisdiction.

2. I, pursuant to this undertaking and in the premises, hereby indemnify and agree
to keep indemnified L&T, its Directors, officers, employees, agents, its successors
and assigns, of, from and against any / all, losses, cost including actual legal cost,
damages, demands, claims, actions, proceedings charges and expenses, that L&T
or any of them may suffer or incur on account of any action, legal or otherwise,
having to be taken or being taken against by L&T in the event of breach on my
part of any of the conditions contained herein.
