Memorandum of Understanding

This AGREEMENT made and entered into on 12th day of JUN, 2018 between:

M/s. OPPO Mobiles (Rajasthan) Private Limited [CIN

U51909RJ2015PTC048313], a company having its registered office at Plot No.2
and 3, K-5, Khatipura, Jharkhand Mode, Jaipur-302012, Rajasthan (hereinafter
referred to as “Company”, represented by (Name BHARAT VAISHNAVA),
Authorised Person (ZSM), which expression shall, unless repugnant to the context
or meaning thereof, be deemed to include its successors and assigns) of the FIRST
PART.

AND

M/s.JAIDEEP TRIVEDI.(PAN No.513352786515.) a firm having its office at SHOP

NO. 6 PACIFIC UNIVERCITY AIRPORT ROAD DEBARI UDAIPUR,
hereinafter referred to as the “Firm” (which expression shall, unless it be repugnant to
the context or meaning there of, be deemed to mean and include his heirs, executors,
administrators and assigns) of the SECOND PART;
WHEREAS the company is engaged in purchase and sell OPPO Mobile Phones and
other accessories and for the promotion of the company’s mobile phones and other
accessories, company provide branding material like ACP, mobile counter, light box,
ceiling light, back wall etc to the dealers and venders

AND WHEREAS firm is engaged in purchase and sell of various companies mobile
phone including OPPO Mobile Phones and for the promotion of the OPPO Mobile
phones, other accessories of OPPO and their own shops they use ACP’s, mobile
counter, light box, ceiling light, back wall etc provided by the company.

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY

AND BETWEEN THE PARTIES AS UNDER:

That the Company hereby agrees to provide branding material listed in Annexure 1 to
this agreement and that the firm agrees to install and use said branding material.

That the Company have exclusive rights to recover its branding material like ACP,
mobile counter, light box, ceiling light, back wall etc at any time after giving 7 days
notice to the firm and if the firm not return the material within 7 days then they will be
liable to bear the cost of material (including manufacturing and installation cost).

That the branding material is the property of the Company and the Company provides
its property i.e. branding material for the promotion of the firm, therefore its firm’s
liability to take care the property provided by the company. If any material found in
damage condition then Company is entitled to recover the cost of damage branding
material from the firm.

That the branding material provided by the Company to the firm is only for the
promotion of its one shop or premises which address and other detail is mention in the
agreement and firm have not any right to remove or shuffle that branding material of
the company from that shop to another shop or other premises of the firm.

That the firm is not authorized to make any alteration, dismantle, etc in the branding
material.

That the branding material provided by the Company to the firm is the property of the
Company therefore firm cannot sell or destroy the material otherwise Company is
entitled to recover the cost of branding material from the firm.
Now after understand all the terms and conditions of the agreement the firm is agree to
fix all branding material provided by the company for the time as may be decided by
the company from the date of signing of this MOU.
