EXPO AGREEMENT

This Expo Agreement (this “Agreement”) is between Zameen Media (Private) Limited, trading as Zameen.com (“Zameen”),
with its Head Office at Pearl One, 94 B/I, MM Alam Road, Gulberg III, Lahore, and ________________________________
________________________________________________________________, a registered _______________ with its office
at ____________________________________________________________________________(the “Exhibitor”).

The Exhibitor represents to Zameen that it has the authority to enter into and execute this Agreement.

This Agreement shall be governed by the terms and condi ons stated herein, along with the General Expo Terms and
Condi ons available at the Zameen.com website at h ps://www.zameen.com/expoterms.html (the “General Expo
Terms”) and General Terms and Condi ons available at the Zameen.com website at
h ps://www.zameen.com/terms.html (the “General Terms”), which are incorporated in this Agreement by reference.
This Agreement, the General Expo Terms and the General Terms shall collec ve be referred to as the “Expo Terms and
Condi ons”.

The Exhibitor confirms that it has read and understood (i) this Agreement, (ii) the General Expo Terms, and (iii) the
General Terms. The Exhibitor undertakes that it shall strictly abide by the Expo Terms and Condi ons.

Capitalized terms used and not otherwise defined herein shall have the meaning given to them in the General Expo Terms
and the General Terms.

 TERMS AND CONDITIONS

These terms and conditions shall be read in conjunction with the General Expo Terms and the General Terms (collectively, “Expo
Terms and Conditions”). The Expo Terms and Conditions shall govern the relationship between the Exhibitor and Zameen in
respect of the Expo.

1. On the Exhibitor's request and by virtue of this Agreement, the Stall(s) have been booked for the Exhibitor for Zameen's Expo
at the Venue.
2. The Exhibitor understands and acknowledges that Zameen may, in its absolute discretion, cancel the booking of the
Stall(s), without any prior written notice. In the event of such cancellation, subject to exceptions, Zameen shall
refund all payments made by the Exhibitor under this Agreement.
3. The Exhibitor represents and confirms that it has read the Expo Terms and Conditions and, by signing this Agreement,
undertakes to strictly abide by them for the duration of this Agreement.
4. The Exhibitor undertakes and agrees to strictly adhere to Zameen's branding guidelines, fabrication requirements and stall
specifications for the Expo provided in the Expo Terms and Conditions
5. The Stall specifications, design and installation are subject to the following:
a. The height of a stall shall not exceed 12ft.
b. Zameen retains complete authority and control over all fabricated designs layouts and specifications.
c. All fabricated stall designs shall strictly adhere to Zameen's design layouts and the floor plan of the Expo Package seen
and booked by the Exhibitor at the time of signing of this Agreement. No external design layout shall be permitted.
d. Exhibitor shall obtain approval from Zameen for fabricated stall design at least 30 (thirty) days prior to the Expo.
Failure to obtain approval shall result in the unapproved stall being prohibited from installation at the Venue. In this event,
any payment made by the Exhibitor under this Agreement shall be forfeited.
e. Fabricated stalls shall be prepared, branded, printed and installed at the Exhibitor's own cost.
f. Zameen will share a list of recommended vendors with the Exhibitor; however, Exhibitor is permitted to use a vendor of its
own choice for the preparation, printing and installation of the stall.
g. Fabricated stall structure, branding, printing, etc. must be ready for installation at least 48 (forty-eight) hours
before the Expo, and the Exhibitor must report to the Venue at the time stipulated by Zameen for Stall
installation.
h. Installation of stall must be complete at least 12 (twelve) hours prior to the Expo. Installation during the Expo is
strictly prohibited. Incomplete stalls will not be permitted to open during the Expo.
I. Exhibitor must report to the Venue at least 2 (two) hours before the opening of the Expo.
6. Exhibitor shall ensure that the passages adjacent or connected to its Stall, entrance to its own Stall or any other stall remain
unhindered at all times.
7. The Exhibitor shall not assign or sub-let the Stall(s) to any other person or entity. However, Zameen may assign this
Agreement or any of its rights or obligations under it.
8. In the event that a fabricated stall is prohibited at the Venue under Clause 5(d) above, Zameen may – at its sole discretion and
subject to availability – offer the Exhibitor a shell scheme stall as an alternative. However, the Total Consideration shall not be
revised, no payment shall be refunded and the Exhibitor will be strictly liable to pay any remaining payment towards the Total
Consideration under this Agreement.
9. Zameen is only arranging the Expo and the booking is for the Stall(s) only; Zameen shall not be responsible for making the
Expo a success, generation of any leads for the Exhibitor or for the turnout of attendees, potential customers or clients at the
venue on the Expo dates.
10. The Venue of the Expo is neither owned nor controlled by Zameen. Zameen is not responsible for any facility(s)/service(s) at
the Venue and in the event of failure of any facility(s)/service(s) at the Venue, Zameen shall not be liable for any loss or
damage.
11. The Exhibitor undertakes to strictly follow the rules and regulations of the Venue. Exhibitor's failure to follow the aforesaid
rules and regulations shall be deemed to be a material breach of this Agreement.
12. The Total Consideration is net of all the taxes, withholdings applicable on the same and the payment of all such taxes and
withholdings shall be the responsibility of the Exhibitor;
13. By signing this Agreement, the Exhibitor undertakes to pay the Remaining Amount at least thirty (30) days prior to the date of
the Expo. Any default may result in cancellation of booking and termination of this Agreement, and any payment made
hereunder by the Exhibitor will be forfeited.

14. In the event of payment default by the Exhibitor under this Agreement, Zameen may grant an extension to the Exhibitor with a
late payment surcharge of 5% (five percent) of the Remaining Amount per 10 (ten) days of delay in payment.
15. The Exhibitor undertakes and represents that it shall not perform any of the Prohibited Actives, as provided in the General
Expo Terms, before or during the Expo, including inter alia carrying a weapon, using a sound system for music or
announcements or for any other purpose, use helium balloons, candles or any other flammable material at the stall or in the
Venue. Prohibited Activities shall, at all times, also include aiding the commission thereof.
16. The Exhibitor acknowledges and agrees that Zameen shall not be liable for any damage (including but not limited to
direct damage, indirect damage, loss of profits/business or consequential damage) suffered by the Exhibitor in
case Zameen is in breach of any term hereof or for any other reason. In case liability cannot be excluded under the
law as aforesaid, any liability of Zameen shall be limited to the amount paid by the Exhibitor under this Agreement to
a maximum of the Total Consideration.
17. The Exhibitor assumes full responsibility and liability for the actions of its employees, agents, independent contractors, and
volunteers, and agrees to indemnify, hold harmless, and defend Zameen and each of its respective officers, directors,
partners, agents, representatives, employees, and volunteers (collectively, the “Indemnified Parts”) from and against all
liabilities, obligations, claims, damages, penalties, causes of action, costs and expenses (including without limitation,
reasonable attorneys' fees and expenses) imposed upon or incurred by or asserted against any of the Indemnified Parts
relating to the Expo by reason of (a) any acts, negligent or otherwise, or omissions of its employees, agents, independent
contractors, and volunteers whether acting within or without the scope of their authority; and (b) any failure on the part of the
Exhibitor to perform or comply with any of the provisions of Expo Terms and Conditions or violation of any Federal, Provincial,
local, municipal or any other law or regulations.
18. In the event of Force Majeure, neither party shall be deemed to be in breach of this Agreement, or otherwise be liable to the
other, by reason of any delay in performance, or non-performance, of any of its obligations under this Agreement to the extent
that such delay or non-performance is due to any Force Majeure event of which it has notified the other party; and the time for
performance of that obligation shall be extended accordingly.
19. Zameen shall have the right to terminate this Agreement without cause. If the Agreement is terminated by Zameen as
provided in this Clause 19, Zameen shall refund to the Exhibitor all payments received by Zameen in respect of the Expo,
after deduction of any amount relating to any expenses incurred by Zameen.
20. In the event of termination of this Agreement by the Exhibitor, any payment received by Zameen from the Exhibitor under this
Agreement shall stand forfeited.
21. In the event that the Exhibitor violates any of the covenants, agreements, or stipulations of the Expo Terms and Conditions,
Zameen shall thereupon have the right to terminate this Agreement with immediate effect, and any payment(s) received by
Zameen from the Exhibitor hereunder shall stand forfeited;
22. This Agreement shall be governed by the laws of Pakistan, and each party submits to the exclusive jurisdiction of the Courts
situated at Lahore;
23. The Expo Terms and Conditions embody the entire understanding between the Parties and supersedes any prior
understanding and agreements between and among them with respect to the subject matter hereof.
24. In the event of any conflict between the terms and conditions of this Agreement, General Terms and the General Expo Terms,
provisions of General Expo Terms shall prevail.
