RE: LEGAL AUDIT

GREETINGS!

We are pleased to submit our proposal for your educational institution’s legal
audit. Generally, the aim is for the Firm to evaluate the present legal status of
your institution with the end view of eliminating or at the very least minimizing
risk factors on account of deficiency/ies and/or non-compliance with legal
requirements. Specifically, the audit shall consist and is divided into: (1) Review
of Legal Papers1; (2) Evaluation of the Internal Organization of the institution; 2
(3) Review of Human Resource Contracts; (4) Analysis of Contracts entered with
third parties; (5) Examination of School Facilities/ Risk Assessment; (6)
Assessment of Labor Compliance.

Shall include review of the educational institution’s Articles of Incorporation & By-Laws; Authority to
Operate; Ownership of School’s properties; Compliance with SEC, DepEd, permits and other legal as well
as reportorial requirements of different government agencies.

Qualifications of the Employees from the School head down to the academic personnel, percentage of
full-time faculty employed, faculty classification and ranking, etc.

Relative to the foregoing, we submit the Firm’s terms and conditions, to wit:

TIME FRAME : THREE (3) TO FIVE (5) DAYS FOR THE ACTUAL
AUDIT AND FORTY (40) DAYS FOR THE
COMPLETE REPORT.

FEES : PROFESSIONAL FEE OF P100,000.00 exclusive

of appearance fees (P5,000.00/lawyer) and per
diem expenses.3

Initial payment shall be P50,000.00 upon

acceptance of our proposal and the balance of
P50,000.00 upon submission of the complete
report

Appearance and other fees shall be paid on-site

during the actual audit.

If you find the foregoing terms and conditions acceptable, please signify your
conformity by signing below as indicated. Likewise, please return to the Firm the
duplicate of this contract for our file and remit to us the amount of PESOS:
SEVENTY-FIVE THOUSAND (Php50,000.00) which, as above-indicated shall
serve as initial payment of the Firm’s Professional Fee. You may remit the
amount by depositing the same to BDO Account No. 4620-00849-7 (Hemady-
Aurora Blvd. Branch) under Account Name: The Firm of Ulpiano Sarmiento III
and Marciano Delson and by faxing/furnishing us a copy of said deposit slip.

In conclusion, we thank you for your confidence in our Firm. We look forward to
working with you and in proving that we deserve the trust you have given us.
