MANAGEMENT CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This Management Contract ("Contract") is made and effective this

_______________, by and between:

_____________, of legal age, South Korean, and currently residing at

______________________City, hereinafter referred to as "Principal";

- and -

______________, of legal age, Filipino, and with residence and postal address at
______________________, hereinafter referred to as "Agent".

NOW, THEREFORE, it is agreed:

1. Supply of Goods.
Principal shall deliver and supply to Agent every day goods of the Principal to be
sold at the Agent’s store at Chicken Cup Store, Malvar Street, Puerto Princesa City.
Agent shall, upon delivery, receive the Goods and shall store them carefully and
properly. Agent shall perform all acts required by law to protect the rights of
Principal to the Goods, manage the sale of said Goods and shall operate the
Chicken Cup Store.

2. Renovation/Repair of Store.
The expenses for renovation and repair of the store shall be borne by both the
Principal and Agent, equally among them.

3. Title to the Goods.

The Goods shall be in Agent’s management until sold to customers, and title to the
proceeds of the sales of the Goods less cost of goods sold and expenses, shall be
divided among the Principal and Agent equally.

4. Term and Termination.

The term of this Contract shall begin January 29, 2019 and shall remain in force
for a period of one (1) year, or until either party gives to the other party at least
sixty (60) days prior written notice of its intention to terminate, during which time
Agent shall continue to sell the Goods in its possession in accordance with the
Contract. After lapse of one (1) year, the parties may renew such Contract if they
intend so.

5. Agent’s Authority to Act for Principal.

Agent shall conduct the entire business of selling the Goods in Principal’s name
and cost and expense shall be deducted to the gross sales of the Goods. This
Contract shall authorize or empower Agent to assume or create any obligation or
responsibility whatsoever, expressed or implied, on behalf or in the name of
Principal, or to bind Principal in any manner, or make any representation, warranty,
or commitment on behalf of Principal.
6. Benefit.
This Agreement shall be binding upon and inure to the benefit of the parties hereto,
and their respective successors and assigns, but it shall not be assigned by Agent
without the prior written consent of Principal.

7. Notices.
Any notice required by this Agreement or given in connection with it, shall be in
writing and shall be given to the appropriate party by personal delivery or by
registered mail or private courier.

8. Venue.
Any litigation, action or proceeding arising from or relating to this Contract shall
lie only in the exclusive venue in the courts, tribunals or bodies in Puerto Princesa
City, and each of the parties hereto expressly waives any right to contest such
venue for any reason whatsoever.

9. Final Agreement.
This Contract terminates and supersedes all prior understandings or agreements on
the subject matter hereof. This Contract may be modified only by a further writing
that is duly executed by both parties.
