1.0 INTRODUCTION :

M/S Reliance Cement Co. Pvt. Ltd. (RCCPL), a fully owned subsidiary of Birla
Corporation having registered office at 159, 2nd floor, Industry House, Church Gate
Reclamation, Mumbai – 400020, intends to install 10 MW (AC) captive solar power plant
(SPP) including ground mounted system and roof top system at our Integrated Cement
Manufacturing Plant at Maihar (M.P.).

Firm technical and commercial offers are invited from capable Bidders to provide SPP
system(s) on EPC basis. Complete engineering, scope of supply, civil design &
construction, erection & commissioning, supervision of erection & commissioning and
demonstration of performance guarantees shall be in the scope of Bidder.

1.1 Plant location at Maihar :

The plant is situated at about 12 km towards SW of Maihar. The plant can be approached
by National Highway NH-7 connecting Maihar to Katni.

The co-ordinates of the proposed cement plant location are:

Latitude : N 23° 53' 49"

Longitude : E 80° 49' 21"

Elevation : 370 m from MSL

1.2 Brief description about the System :

a) The generated power shall be added as source to the electrical distribution system at
cement manufacturing plant area.
b) The Solar array shall be installed in the suitable available space inside plant campus.
c) Corrosion resistant metallic frame or any other suitable structure of required strength
shall be provided to hold the SPV module along with provision to adjust its angle of
inclination to the horizontal, so that it can be installed at the specified tilt angle based on
environmental season.
The Bidder shall supply Solar Power Plant (SPP) equipment of proven technology in line with
the scope as defined in the contract. Salient technical features are to be furnished covering
proposed technology along with the proposed reference list of suppliers especially for Solar
Power Plant.

All equipments, systems and works covered under this contract specification shall comply
with all currently applicable statutory, regulations in conforming to IS, ASME, BS, ASNI, IEC,
DIN standards and safety codes.

The Technical contract specification covers the design features, scope of supply and
Technical specification of the SPP.

2.0 PROJECT COMPLETION SCHEDULE -

Project shall be commissioned within 6 months from the day of releasing of order.

Special conditions of the contract shall be read in conjunction with Technical Specifications
/ SOW document and other documents forming part of contract, whatever the context so
require issued by Owner (RCCPL). Notwithstanding the subdivision of documents into
separate sections and volume, every part of each shall be deemed to be supplementary to
and complementary to every part and shall be read with into the contract as may be required.

3.0 SCOPE OF WORK -
Complete design, engineering, supply, erection & commissioning, supervision of erection
& commissioning and demonstration of performance guarantees along with Civil design &
construction shall be in the scope of Bidder.

4.0 PAYMENT TERMS -


Will be discussed mutually during commercial discussions.

5.0 TAXES & DUTIES -


PO shall be released on existing state level GST, CGST and Service Tax as may be
applicable for this job.

6.0 EFFECTIVE DATE -


The work shall be commenced maximum after 15 days from the date of issue of PO.

7.0 SUB-LETTING OF WORK -


No part of the contract shall be in any manner or degree will be transferred, assigned or sub-
let by directly or indirectly to any person, firm or corporation whosoever without prior consent
in writing from Owner.

8.0 LIMITATION OF LIABILITY -


The maximum professional liability for services rendered by the Bidder shall be limited to an
amount equivalent to the contract price.

9.0 INSURANCE -
Bidder shall be responsible and shall arrange for all necessary insurance coverage, including
but not limited to the third party insurance for their Staff / Worker engaged and material used
(if any) for completion of the work in all respect. Owner shall not be responsible and shall not
entertain any such insurance claims.

10.0 FORCE-MAJEURE – EVENTS / CONSEQUENCES -


Neither Owner nor Bidder shall be considered in default for the performance of the
obligations of either party under this order, if such performance is prevented or delayed
because of force majeure. If force majeure event delays or appear likely to delay the
performance of the Services or the project for an aggregate period of sixty (60) days, then
the parties urgently shall consult each other on the situation with a view to agreeing the
action to be taken under the prevailing circumstances. If after all diligent efforts, the Force
Majeure continues for a period of 120 days, either party may terminate this order with the
provisions herein contained. Any such termination shall be deemed a termination for
convenience.

11.0 TERMINATION -
Owner reserves the right to terminate, suspend or abandon this order either in part or in full,
at their discretion, without specifying the reason whatsoever by giving one month’s notice at
any time during the term of this order.

Owner shall be at liberty to terminate this order and ask the Bidder to leave their premises
at once (may be not applicable for scope of work), if Owner finds that Bidder is working in
contravention to any of the clauses of this order. Owner shall be sole judge in this regard. In
such an event, Owner shall be entitled to recover all the damages and expenses, including
losses suffered by them on such termination.

12.0 INDEMNITY -
Bidder shall be fully responsible and shall indemnify the Owner against any misconduct /
indiscipline, due to the acts / deeds of his Engineer(s) / Employee(s) deputed for any work
under the work order.
Bidder shall be liable for and shall indemnify us in respect of all claims or demands raised
by any of his Employee(s) due to any reason whatsoever.
Bidder shall be solely responsible for any / all disputes / differences arising between Bidder
and his Employees and shall keep us indemnified against all losses, damages and claim
arising thereof.
Bidder shall indemnify us from any third party claims arising out of his acts / deeds. Any
dispute or differences arising out of this work order shall be discussed.

13.0 SECRECY CLAUSE -


The Technical information, drawing and other related documents and the information
obtained during the course of this work order by Bidder’s Employees shall be the Owner’s
exclusive property and shall not be used for any other purpose except for execution of this
work order. The Technical information, drawing, records and other documents shall not be
copied, transferred or divulged and / or disclosed to third party in full / part, not misused in
any form whatsoever except to the extent required by Bidder’s employees, for the execution
of this work order. This Technical information, drawings and other related documents shall
be returned to Owner with all approved copies with duplicates including drawings / plans as
are prepared by Bidder’s employees during the execution of this work order, if any,
immediately after they have been used for the purpose of this order.

14.0 WAIVER -
Failure on Owner’s part to exercise any of Owner’s rights under this work order shall not
constitute a waiver of such rights, Owner shall not be deemed to have waived and right
resulting from any failure on Bidder’s part to perform any of contract obligations, unless such
waiver is specifically made by Owner in writing.

15.0 ARBITRATION -
Any dispute or difference arising out of this work order shall be discussed with us and shall
try to reach an amicable settlement within a period of 15 days. If consensus could not be
reached within this period, then the matter shall be referred at Arbitration and conciliation Act
1996 (as may be amended from time to time) and the venue of Arbitration shall be at Mumbai.

Notwithstanding any concepts of the documents referred above, this work order shall be final
and binding on and if any inconsistency, whatsoever, exist with any terms and conditions of
this work order, then the conditions herein shall prevail.
