ARCHITECTURAL CONSULTANCY AGREEMENT

This Architectural consultancy agreement for the project is made and entered into on this -------
---day of July 2009 at ------------------------------.

Between

And
Ar. DEEPAK.I.K, Archons, No.341, Jal vayu Vihar, Kalyan Nagar, Bangalore 560043, herein after
called the “Consultant” on the OTHER PART;

The term Client and Consultant herein used shall mean and include all his/her/their respective
heirs, legal representatives, executors, administrators, assignees, etc.,

WHERE AS the Client is the desirous of developing a BOT bus stand Complex project at
Thalayolaparambu for Thalayolaparambu panchayat.

WHERE AS the Consultant has been selected to provide Architectural and Engineering
consultancy services for the project and whereas the Consultant has agreed to Plan, Design and
Periodically supervise the construction of the above mentioned project.
Now this agreement witnesses and the parties hereto, hereby agree to as follows:-

SCOPE OF SERVICES:-

The Consultant shall provide Architectural and Engineering services for the design and
construction of the BOT bus stand Complex project at Thalayolaparambu. The consultancy
services will cover the design consultancy work which includes Architectural, Structural,
Electrical, Public Health Services etc, covering the entire scope required for completion of the
project in total.

SCHEDULE OF SERVICE:

The Consultant shall after taking instructions from the client render the following services and
consultancy for the proper completion of the project:

 Furnish site evaluation and analysis, and finalize the project after discussing with the
client.
 Prepare preliminary conceptual design with reference to the requirements and furnish
approximate cost estimates for approval by the client.
 Revise/modify the preliminary conceptual design incorporating the client’s suggestion
and prepare final design and estimate of cost on area basis.
 Prepare necessary drawing for submission to statutory bodies for sanction and advise
formalities.
 Prepare working drawings, specification and schedule of quantities necessary for
estimation and cost.
 Prepare list of contractors and assist the client to invite tenders for the work.
 Prepare detail drawings, specification and schedule of items with required quantities for
inviting tenders.
 Prepare and submit complete working drawings and details necessary to commence
work at site, so as to execute project in time, as per the time schedule.
 Site visits to provide periodic supervision, clarification and interpretation of drawings
and rectification that may be necessary during the course of executing project and to
ensure that the project proceeds in accordance with the conditions of contract.
 Hold meetings and discussions with the clients as and when required for evaluating the
process and progress of the specified project.
 Prepare and submit two sets of final drawings of entire project on completion of the
project.
 The project management will be done by the client’s Engineers or any other external
agencies.
PROFESSIONAL FEES FOR THE CONSULTANCY SERVICE:

 Professional fees payable to the Consultant for the Architectural and Engineering
consultancy services for the Thalayolaparambu BOT bus stand Complex project shall be
@4.25% ( four point two five percent only) of the actual project cost and an additional
service tax or any other Govt. imposed tax as prevailing from time to time.

MODE OF PAYMENT

For each of the service in the scope of work, Consultant shall be paid in the
following stages consistent with the work done plus reimbursable expenses as agreed
upon. Payments made to the consultant are on account and shall be adjusted against
the final fee payable.

STAGE- 1

On submitting conceptual design and

Preliminary estimates of costs } 10 % of the total fees payable

STAGE- 2

On approval of final design/ drawing with } 25% of the total fees payable

Estimates of cost based on area } less payments already made

STAGE- 3

On submitting drawing for } 30% of the total fees payable

Obtaining approval from statutory bodies } less payments already made

STAGE- 4

On submitting detailed architectural working

drawings, structural and service details } 50% of the total fees payable

together with estimates of costs sufficient to } less payments already made

invite tenders
STAGE- 5

On submitting complete set of drawings,

and details sufficient for the work to } 60% of the total fees payable

During the course of construction of work } 95 % of the total fees payable

The cost of the project shall be the final estimated cost or final executed cost on the building
including all other allied works on which the architect had rendered professional services but
shall excluding the cost of the Clint’s site office and cost of land.

CLINT’S RESPONSIBILITIES

The following shall be the responsibilities of the Clint:

 Provide detailed requirements of the project.


 Provide a correct site plan to suitable scale showing boundaries, contours at suitable
intervals existing physical features including any existing road, path, existing structures,
existing service and utility lines and such lines to which the proposed service can be
connected.
 Furnish reports on soil condition and soil test as required by the architect.
 In the case of Client being a Government agency, it will furnish Public Works
department schedule of rates, codes of practice and other documents pertaining to the
State required to be followed by the architect.
 Pay the fees of the architect within 10 (Ten) days of submission of bill.
 Take note of the observations made by the architect on his inspection and ensure the
correction of deficiencies in the work pointed out by him.
 On the advice of the architect, prepare a short list of approved contractors who would
be allowed to tender, invite tender, select the contractors for the project in consultation
with the architect.

CONSULTANT’S RESPONSIBILITIES

 All the drawings and specifications prepared by the consultant shall be scrutinised and
approved by the client.
 All the stages of work shall be completed by the consultant and the necessary approval
given by the Client according to the time schedule mutually agreed upon.
 Any modification and deletion of work will be based on the discussion between the
Owner and Consultant.

PROJECT CO-ORDINATION COMMITTEE

 A project co-ordination committee consisting of representatives of Client and


Consultant shall be constituted.
 The project co-ordination committee shall meet as and when required to discuss the
drawings and documents submitted by the Consultant and give decisions promptly to
avoid unreasonable delay in the progress of the Consultant’s work.
 The Consultant shall attend the co-ordination committee meetings and incorporate the
requirements of the Client.

EXECUTION OF THE ASSIGNMENT

 In the event of the failure on the part of the Consultant to complete their work or the
Client to give their approval and/or make payments within the time specified in the time
schedule or in the event of either parties committing a breach of any one or more of the
terms and conditions of the Agreement, the aggrieved party shall be entitled to rescind
this Agreement. The period of notice to be given to rescind the Contract will be 30 days.

FORCE MAJURE

Force majeure is hereby defined as any cause which is beyond the control of the Consultant or
the Client as the case may be, which they could not have foreseen and which substantially
affects the performance of the Agreement, such as:
a) Natural phenomena including but not limited to floods, droughts, earthquakes and
epidemics.
b) Acts of any Government, domestic or foreign, including but not limited to war,
declared or undeclared priorities, quarantines, embargoes, provided either party
shall within 15 days from the occurrence of such a cause notify the other in writing
of such cause/causes.

LAWS GOVERNING THE JURISDICTION

The Agreement shall be governed by the Indian Law for time being in force.

SPECIFIC PERFORMANCE

That both parties have the right for specific performance of this agreement.

IN WITNESS WHEREOF THE PARTIES HERETO HAVE SET THEIR RESPECTIVE SIGNATURES AND EXECUTED
THIS AGREEMENT OF CONSTRUCTION ON THE DAY AND MONTH AND YEAR AND FIRST ABOVE
WRITTEN.
