ABSOLUTE SALE DEED

THIS DEED OF ABSOLUTE SALE DEED is made and executed on 14th day of September 2009 at Bangalore
(14/09/2009).

Hereinafter called the VENDORS.

This expression wherever the context so requires or admits shall mean and include their legal heirs,
representatives, nominees, assigns, administrators, executors etc.

Hereinafter called the PURCHASER.

This expression wherever the context so requires or admits shall mean and include his legal heirs,
representatives, nominees, assigns, administrators, executors etc.

WHEREAS, the Vendors are the absolute owners and in possession of the immovable property bearing site
No. 2BC-407, (PID No. 84-149-2BC-407), situated at O M B R Layout, (Old Madras Road, Banaswadi Road),
now comes within the limits of Bruhut Bangalore Mahanagara Palike (BBMP) Bangalore measuring East to
West 40 feet (12.20mts), North to South 60 feet, (18.30 mts) totally measuring 2400 Sq. Ft. which is more
fully described in the schedule hereunder and herein after referred to as SCHEDULE PROPERTY.

WHEREAS, the Vendors have purchased the schedule property under registered sale deed dt. 16/1/2003
vide registered No. 15794/2002-03 stored in CD NO. 69, registered in the office of Sub Registrar K.R. Puram,
Bangalore from its previous owner Smt. Chandramma AND WHEREAS, the Vendor’s Vendor Smt.
Chandramma acquired the schedule property through the allotment letter dt. 18/4/1985 followed by
possession certificate dt. 6/1/1995 issued by the BDA and followed by absolute sale deed dt. 26/10/2002
executed by the BDA, which is registered as Document No. 9011/2002-03 Book NO. 1, volume No. 671 at
pages 45 to 49 registered in the office of Sub Registrar K.R. Puram, Bangalore. In pursuance of the allotment
letter, registered sale deed and possession certificate the BDA also issued khata certificate in the name of the
Smt. Chandramma.
WHEREAS, the vendors have assured the purchaser that they are the absolute owners of the schedule
property and the same being their self acquired property, there are no impediments to sell / convey the
schedule property unto the purchaser. And whereas, the vendors further assures the purchaser that they have
not encumbered or created any charge or lien or other claims in any manner over the Schedule Property.

WHEREAS, the Vendors for their legal necessities. i.e to discharge their financial commitments and for better
prospects of their family have decided to sell the schedule property in favour of the purchaser for a total sale
consideration of Rs. 45, 50,000/- (Rupees Forty five lakhs fifty thousand only) and the purchaser has agreed
to purchase the Schedule property for the said sale consideration subject to the following terms and
conditions and free from all kinds of encumbrances / liens / charges of whatsoever nature.

NOW THIS DEED OF ABSOLUTE SALE DEED WITNESSETH AS FOLLOWS:

1. In pursuance of the foregoing and in consideration thereof the purchaser has paid the full sale
consideration of Rs. 45, 50,000/- (Rupees Forty five lakhs fifty thousand only) in the following
manner:-

a). Rs. 12, 50,000/- (Rupees Twelve lakhs fifty thousand only) paid by way of cheque bearing No.
266427 drawn on Vijaya Bank, Indiranagar, Bangalore realised on 16/7/2008.
b). Rs. 12, 50,000/- (Rupees Twelve lakhs fifty thousand only) paid by way of cheque bearing No.
266428 drawn on Vijaya Bank., Indiranagar, Bangalore realised on 04/12/2008.
c).Rs. 15, 50,000/- (Rupees Fifteen lakhs fifty thousand only) paid by way of cheque bearing No.
266429 drawn on Vijaya Bank, Indiranagar, Bangalore realised on 12/05/2009.
d) Rs. 5 00,000/- (Rupees five lakhs only) paid by way of cheque bearing No. 266430 drawn on
Vijaya Bank, Indiranagar, Bangalore realised on 21/07/2009.

The Vendors hereby acknowledges the receipt of full sale consideration of Rs. 45, 50,000/- (Rupees Forty five
lakhs fifty thousand only).

Thus having received the full sale consideration amount the vendors do hereby sell, convey, transfer, assign,
and grant by way of this absolute sale, free from all types of encumbrances with all estate, rights, paths water,
water sources courses, liberties, common rights privileges etc of the vendors into or upon the schedule
property, TO HAVE AND TO HOLD AND TO ENJOY, POSSESS” the same and to use of the purchaser
absolute and forever with all right to alienate the same in any manner the purchaser may deem fit. The
vendors have put the purchaser in actual physical possession of the schedule property on this day.

2. The Vendors hereby declares that they have not encumbered the Schedule property in any manner
and thus the schedule property is free from all attachment, maintenance, charge, minor claims,
acquisition proceedings, and decree etc. and have a clear title to sell the schedule property to the
purchaser.
3. The vendors assures that the purchaser shall here afterwards and at all times peacefully and quietly
hold, own, possess and enjoy the schedule property without any let or hindrance, interruption or
disturbances whatsoever from or by the vendors or any persons claiming under them.

4. The vendors assures that the schedule property is free from lien, charge, agreement, court
attachments, litigations, minor claims, maintenance claims, acquisition proceedings, gifts, wills,
mortgages, defect in title or in future if any defect of title arises the vendors will set right the same to
the entire satisfaction of the purchaser and hereby fully indemnifies the purchaser.

5. The vendors assures to save harm and to indemnify the purchaser and their successors from any and
against all losses, damages, cost , charges etc which the purchaser may incur, sustain legally
compelled to pay in consequence of any claim put forward by any persons over the “schedule
property” or in the event of breach of covenants by the vendors or for the reasons of any arrears of
taxes encumbrances or defect in title.

6. The Vendors hereby gives their absolute consent to transfer the khata of the schedule property in
favour of the purchaser.

7. The vendors hereby release all their rights, title, claim, ownership whatsoever over the schedule
property in favour of the purchaser and the purchaser can have hold enjoy possess the same as
absolute owner thereof for ever with all right to alienate the same.

8. The Vendors have delivered all the original documents in respect of the schedule property to the
Purchaser on this day by way of this deed of absolute sale.

9. In respect of the above matters, which have not covered in the sale deed, shall be governed by the
Transfer of Property Act of 1882.

SCHEDULE PROPERTY
All that piece and parcel of the immovable property bearing site No. 2BC-407 (PID No. 84-149-2BC-407),
situated at O M B R Layout, Old Madras Road, Banaswadi Road, Bangalore now comes within the jurisdiction
of Bruhut Bangalore Mahanagara Palike (BBMP) measuring East to West 40 feet (12.20 mts)North to South
60 feet (18.30 mts) totally measuring 2400 Sq. Ft. and bounded on :
East by : Site No. 2BC-409.
West by : Site No. 2BC-405
North by : Site No. 2CC-408.
South by : 2nd ‘B’ Cross Road.

IN WITNESS WHEREOF, the parties hereto have affixed their respective signatures on the day month and
year mentioned above.
