AGREEMENT OF LEAVE AND LICENCE

Articles of Agreement made and executed at Pune on

this 10th day of September, 2017.

(Hereinafter called as “THE LICENSOR”)

M/s. PISCES ESERVICES PVT LTD., (Foodpanda), having
registered office at Panchavati, 2nd Floor, 82A, Sector -18, Gurgaon,
Haryana-122 015, represented by its Mr _______________, S/o. Late
Mr J.N Tandon……, working at M/s. PISCES ESERVICES PVT LTD.,
(Foodpanda), hereinafter called the “TENANT”

(Which expression shall include his heirs, executors and


administrators). . . .PARTY OF THE SECOND PART

WHEREAS the Licensor is seized and otherwise well possessed of the


Second floor, Flat No. 102, admeasuring area about 2100 sq. ft.
consisting attached bathroom and parking passage etc. in the
Building known as “Viman Paradise”, situated at Viman Nagar, Pune
411 036, (Hereinafter called the “Said Premises”)

WHEREAS the Licensees being in need of Office use for period of 11
months on Leave and Licence basis to make office and therefore,
approached the Licensor to allow to use and occupy the said
premises fixtures, and fittings provided therein the said premises by
the Licensor on leave and Licence basis for a period of 11 months
commencing from the date of execution of these presents. The
TENANT shall use the building only for the Office purpose.

AND WHEREAS the Licensor has agreed to comply with the request
of Licensees to grant him leave and Licence to use and occupy the
said premises for a period of 11 months only on the terms and
conditions mutually agreed upon.

AND WHEREAS it is desirable to reduce the terms and conditions


into writing.

NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES


HERETO as follows:-

1) That in consideration of the stipulations herein described and


the observance of the terms and conditions on the part of the
Licensees and hereinafter contained and agreed by them. The
Licensor do hereby grant permission to Licensees to use and
occupy the said premises alongwith furniture and things,
fixtures and fittings for a period of 11 months only
commencing from 10thSeptember 8, 2017 to 9th August 2018.

2) The rent for the premises is Rs.60,500/- (Rupees Sixty


thousand Five hundred only) per month this include of
Maintenance, whereas TDS will be deducted on it for
which certificate will be provided. The rent will be paid on
8th of every Month

3) The Licensees have kept interest free deposit with the Licensor
the sum of Rs2, 20,000/- (Rs. Two lakhs twenty thousand only)

as security for the said fixtures and fittings for the due and
faithful performance of the terms and conditions contained
herein. It is expressly agreed and declared by the parties hereto
that if the Licensees commit defaults or breaches of the terms
and conditions contained herein, the Licensor shall be entitled
and at liberty to forfeit the said deposit amount and without
prejudice to his other remedies at law shall be entitled and at
liberty to forcibly remove the Licensees and their things lying
therein. It is further agreed and declared by the parties hereto
that the said deposit amount shall remain with the Licensor
and will be refunded without interest by the Licensor to the
Licensees on the expiry of this agreement but subject to any
deductions that may be made there from for any amount that
may be due by the Licensees to the Licensor.

4) That the Licensor has installed separate COMMERCIAL meters


for lighting and domestic purpose and the charges for electric
consumption including meter hire and the society maintenance
charges shall be borne and paid by the Licensees according to
the bills submitted by the M.S.E.B. in respect of the said
premises during the period of his licence. All the Municipal
taxes, maintenance other taxes and levies in respect of the
licensed premises will be paid by the Licensor himself.

5) That the Licensees shall use the said premises for their office
purpose and shall not permit any one else to use and occupy
the said premises of any part thereof.

6) That the Licensees shall keep and maintain the said premises
along with, fixtures and fittings in the good and clean
condition.

7) That the Licensees shall be deemed to be only a lincece for a


period for 11 months only by virtue of these presents and shall
not make or have any claim to tenancy, sub-tenancy or any
other right, title or interest of whatsoever nature in the said

premises or portion thereof. It is agreed between the parties
hereto that the Licensees shall not grant a sub-license to any
other person and shall not keep any other person in place or
instead of the Licensees.

8) That the Licensees shall not store any hazardous or


inflammable articles in the said premises. The Licensees shall
not cause any nuisance or annoyance to the people in the
neighbourhood.

9) That the Licensees shall not change or alter whether of


temporarily or permanent nature in the said premises or any
portion thereof without the written consent of the Licensor.

10) The Licensor will be entitled and at liberty to enter into the said
premises and retake occupation of the said premises from the
Licensees without recourse to a court of law and without
prejudice to the right of the Licensor to recover damages from
the Licensees.

11) Those Licensees shall observe and perform the rules and
regulations of the Building where in LICENSOR will inform
building authority of working timing and nature of
TENANT/LICENSEES

12) That the Licensees shall not use the said premises for any
illegal, immoral or improper purposes and not commit
nuisance to the neighbours of the said premises.

13) That the Licensees shall keep the said premises in good
condition and order and shall not damage the fixture and
fittings. In case there is any damage caused to the said
premises or fixtures and fittings, the same shall be made good
at the cost of the Licensees.

14) That the said premises having been given on leave and licence
basis only, the Licensees shall not deal with it in any manner
whatsoever and shall not part with the occupation of the said

premises under any circumstances to any person or persons
whatsoever.

15) That the Licensor shall have the right to visit the said premises
by himself or his authorized agents at all reasonable time to
satisfy himself that the said premises are used in accordance
with the terms and conditions of this agreement and that no
objectionable, illegal or prohibitory activities are going or
carried on in the exclusive occupation of the licence premises.

16) A notice of One Month on either side has to be given for


vacation of the said premises to vacate before the expiry of
the agreement as agreed between the Licensor’s and the
Licensee.

17) The Licensee agrees that the Licensee has received and will
keep at Licensee’s expense, the said Premises in good, safe,
tenantable, and sanitary conditions, that the Licensee will
promptly comply with and carry out all Laws, ordinances,
rules, regulations, and requirements applicable under the
prevailing laws and relating to the said Premises, and that the
Licensee will indemnify and keep the Licensor always
indemnified against any and all claims, liability for damage to
person and property caused by the breach by the Licensee of
any covenant contained in this Agreement.

18) On expiry of this agreement, the TENANT shall renew the


Lease Agreement by 10 % yearly hike to rent (or) hand
over vacant and peaceful possession of the said premises
to the owner.

19) The list of Amenities included in the said premises is as per

Annexure B; and Licensee will ensure the same is maintained

and returned in favorable conditions on completion of the

tenure of eleven (11) months or earlier termination thereof.

Annexure A
ALL THAT PIECE AND PARCEL OF Apartment [Flat] on

Ground Floor bearing No.102, admeasuring area of 1430 sq. fts. i.

e. 132.89 sq. mtrs. built-up including area of sit out and rest

chairs with the open space around the flat known as Garden space

adm. 2100 sq. fts. i.e. 195.16 sq. mtrs. As per the Deed of

Declaration allotted to the vendor and with undivided share 6.55%

sq.mts. in the all common amenities and facilities available as per

declaration in the building constructed on the property scheduled

mentioned above in ‘A’. The building is known by ‘Viman

Paradise’, with the MSEB meter installed to the flat.

The said Apartment is bounded as under;
