WHEREAS the Licensees being in need of Office use for period of 11
months on Leave and Licence basis to make office and therefore,
approached the Licensor to allow to use and occupy the said
premises fixtures, and fittings provided therein the said premises by
the Licensor on leave and Licence basis for a period of 11 months
commencing from the date of execution of these presents. The
TENANT shall use the building only for the Office purpose.
AND WHEREAS the Licensor has agreed to comply with the request
of Licensees to grant him leave and Licence to use and occupy the
said premises for a period of 11 months only on the terms and
conditions mutually agreed upon.
3) The Licensees have kept interest free deposit with the Licensor
the sum of Rs2, 20,000/- (Rs. Two lakhs twenty thousand only)

as security for the said fixtures and fittings for the due and
faithful performance of the terms and conditions contained
herein. It is expressly agreed and declared by the parties hereto
that if the Licensees commit defaults or breaches of the terms
and conditions contained herein, the Licensor shall be entitled
and at liberty to forfeit the said deposit amount and without
prejudice to his other remedies at law shall be entitled and at
liberty to forcibly remove the Licensees and their things lying
therein. It is further agreed and declared by the parties hereto
that the said deposit amount shall remain with the Licensor
and will be refunded without interest by the Licensor to the
Licensees on the expiry of this agreement but subject to any
deductions that may be made there from for any amount that
may be due by the Licensees to the Licensor.
5) That the Licensees shall use the said premises for their office
purpose and shall not permit any one else to use and occupy
the said premises of any part thereof.
6) That the Licensees shall keep and maintain the said premises
along with, fixtures and fittings in the good and clean
condition.

hereto that the Licensees shall not grant a sub-license to any
other person and shall not keep any other person in place or
instead of the Licensees.
10) The Licensor will be entitled and at liberty to enter into the said
premises and retake occupation of the said premises from the
Licensees without recourse to a court of law and without
prejudice to the right of the Licensor to recover damages from
the Licensees.
11) Those Licensees shall observe and perform the rules and
regulations of the Building where in LICENSOR will inform
building authority of working timing and nature of
TENANT/LICENSEES
12) That the Licensees shall not use the said premises for any
illegal, immoral or improper purposes and not commit
nuisance to the neighbours of the said premises.
13) That the Licensees shall keep the said premises in good
condition and order and shall not damage the fixture and
fittings. In case there is any damage caused to the said
premises or fixtures and fittings, the same shall be made good
at the cost of the Licensees.
14) That the said premises having been given on leave and licence
basis only, the Licensees shall not deal with it in any manner
whatsoever and shall not part with the occupation of the said

premises under any circumstances to any person or persons
whatsoever.
15) That the Licensor shall have the right to visit the said premises
by himself or his authorized agents at all reasonable time to
satisfy himself that the said premises are used in accordance
with the terms and conditions of this agreement and that no
objectionable, illegal or prohibitory activities are going or
carried on in the exclusive occupation of the licence premises.
17) The Licensee agrees that the Licensee has received and will
keep at Licensee’s expense, the said Premises in good, safe,
tenantable, and sanitary conditions, that the Licensee will
promptly comply with and carry out all Laws, ordinances,
rules, regulations, and requirements applicable under the
prevailing laws and relating to the said Premises, and that the
Licensee will indemnify and keep the Licensor always
indemnified against any and all claims, liability for damage to
person and property caused by the breach by the Licensee of
any covenant contained in this Agreement.
