MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement (hereinafter referred to as "MEMORANDUM OF AGREEMENT") is made and

executed by and between;

The First Party (hereinafter referred to as "NEGOTIATOR")

The Second Party (hereinafter referred to as "CONTRACTOR")

and relates to the construction of the 50MW Solar Power Project in Capas, Tarlac which is
developed by Greenergy Solutions Inc. (hereinafter referred to as "PROPONENT") under and
pursuant to the Work Contract herewith made by and between CONTRACTOR and PROPONENT.

It is hereby understood and agreed that a commission of 3% of the total project cost is payable by
CONTRACTOR to the NEGOTIATOR in consideration of the Negotiator’s efforts and cooperation
in assisting with the conclusion and execution of the Work Contract.

It is hereby further agreed that payment of the commission shall be made according to the following
schedule (which may be revised in accordance with payment term of the Memorandum of
Agreement) by either cheque or telegraphic transfer to such bank account as the Negotiator may
designate from time to time:

1) The 1% of the COMMISSION shall be paid after the CONTRACTOR has signed the Work
Contract with the PROPONENT.

2) The 2% of the COMMISSION shall be paid after the CONTRACTOR has received down
payment of the Contract Price from the PROPONENT.

This MEMORANDUM OF AGREEMENT only becomes effective upon signing by both parties.ive.
