Dear Bhagyalaxmi,
sub: - Services to be rendered as "Design Enqinee/'.

This refers to your application and subsequent interview. We take pleasure in offering this Contract to you for the captioned services on the
following Terms and Conditions:

l You will be required to render Services at M/s Garden Reach Shipbuilders & Engineers Limited. The Commencement of this Contract shall
begin from the date you report to render Services at IHQ MOD (N)/ DND location New Delhi. We, Aarvi Encon Limited, herefurther, shall be
referred as the Company.

2. Your remuneration will be Rs 40,425.1- per month (Rupees Forty Thousand Four Hundred Twenty Five only ). The details of your
remuneration and other benefits are listed in the Annexure to this letter, The contents of the Annexure are of confidential nature and are
not to be discussed and/or shared with any person by any manner. You are required to preserve this communication with utmost care and
confidentiality so that the said contents do not get passed on/shared to/by anyone else. Any compromise in this respect will be treated as
the breach of understanding/trusvconfi dentiality.

3. Aarvi Encon is committed to conducting business with the highest degree of ethics, integrity and compliance with laws worldwide. Make
sure under any circumstance, you are not party to any unethical activity. lf you see or suspect the unethical behavior has occurred, you are
obligated to come forward with your concerns. Email the information to ethics@aarviencon.com. Reports go to Executive Director and
Secretarv

Statutory deductions such as PF/PTITDS/ST and any other as existing on the date of your reporting and any changes brought to prevail
during the tenure ofthis Contract shall be enforced per regulatory rates per Government Rules and we undertake to deposit the same in the
concerned Government Department Account.

Contract Duration and availing of leave during the tenure:

Your services shall be on contract basis for a period of 10 months and the same can be extendable or reduced and also are transferable.

Any leave availed without intimation will lead to dedudion of twice the amount equivalent to daily component of your salary. In case of
sickness leading to absence from work for more than two days, it is mandatory that a certificate from a registered General physician/medical
praditioner is produced in support.

You shall render the Services to the standards acceptable to our Client & it is required that you shall maintain good conduct during the
tenure ofyour presence at the place of work and will not participate in any political activities. You will also not commit to any activity which
is against social harmony at the work place and will not allowyourself to get associated with any unlaMul activity.

7. During the tenure of this Contract you shall not get yourself engaged directly or indirectly, with or without monetary benefits in any other
employment contractual or otherwise or activity which the Company or our Client may, in our sole discretion consider to be contrary or
inconsistent with your Services and obligations there under and which may in our sole discretion deem to be prejudicial to our interests.
Further, you shall not divulge any details of the Company's operationt affairs or secrets or that of our client as named above and/or anv of
our^heir associates to any person/s, firm or organization without the express consent obtained well in advance through their respective
authorized signatory, in writing or nor shall you use or attempt to use any information which may directly injure or cause loss or may lead
indirectly to injury or cause loss to the Company or to their Client.

8. You shall not carry/disclose/damage/destroy any document, drawings, sketch, data etc, whether in original or physical copy or in electronic
form, whether at the work place or anywhere else, willfully or otherwise, As such, you shall maintain strict secrecv of all documents and data
ofour client, failing which we may be compelled to take legal action against you.

9. Your Services shall strictly be of Contractual in nature and basis. Your Services shall be entlrely governed by the requirement of our client as
contractually agreed by the Managements of the Company and our client. You will have neither any claim nor recourse ro a Dermanent
employment with the Company o. our Client, on termination ofthis Contractualappointment or any time in future.

10. We reserve the right to terminate this Contract within 24 hours, if:
1. You fail to extend the services to the satisfaction of the person to whom you will be required to report during your work period or
any person nominated by the Client.

You remain absent from duty without proper intimation/approval tofrom the person to whom you will be required report during
your work period or any person nominated by the Client.

3. Your conduct with your colleagues and supervisors and others at project site is not found to be satsfactory as decided by the
person to whom you will be required to repon during your work period or any person nominated by the Client.

In case, you are Jound to have consumed Alcohol/Drugs which will render you incapable of performing your duties during working
hours^hereabouts or you are found to be intentionally involved in any activlty which will create a situation harmful to your
coworkers/client's personnel or you are likely get yourself in losing self qontrol leading to economic losses and/or damage to the
socialfabric ofthe work place/society in general.

Should our Client request your immediate removal from the place of work, we shall not be held liable to produce any
communication from our Client to the said cause and effect,

In case, you wish to opt out from rendering services and terminate the Contract

You will be required to give 30 (Thirty) days notice by way of a wriuen document {a letter, a fax, an e-mail etc. verbal communication is not
acceptable/tenable) to the person named as the contact person from the Company and the person to whom you will be required to report
during your work period or any other person nominated by the Client,
Upon termination of your Contract, the Company or their nominated person shall settle all your dues in llne with this contract within the
existing Laws and only when you hand over the charge consisting of but not limited to materialt equipment in physical form and all
documents in physical and/or electronic form which were given to you to help you render services or came to be in your possession during
your Contract period tillthe time ofyour leavingthe work place and vacating Company accommodation, if provided.

!2. You will render your services in a professional and highly skilled manner consistent with such good industry practices as are customarily
employed and shall be in accordance with established codes and standards. You are required to report office in formal clothing (formal
shoet shirts and pants). Jeans, T Shirts or any casual clothing of any sort is not allowed.

You will follow all applicable safety rules mandatory in work area/norms of our client and be responsible for the security and protection of
our clienfs materials and equipment being used by you and shall take reasonable precautions to protect such materials and equipment
from loss or damage.

14. Youwill comply with our client s rules and regulations including any subsequent changes or instructions wherever/whenever aoplicable as
may be and as issued from time to time concernin8 health, safety and welfare.

You are required to report at your place of work as early a5 possible. Your contract commences irom the date ofyour reporting at the place
of work. In case you do not report to the place of work within one week of committed date and without any written communication giving
proper reason, this contract shall be considered null and void. We shall proceed with alternate arrangement without prejudice.

16. Your duty hours, place of work & your transfer from one department to another or from one company to other associated company, from
one client to another client, from one station to another and from one state to another state will be within the management's discretion &
you will abide with all such decision without any hesitation or without any extra or additional demand of remuneratlon,

17' lf it is found at any time during your service that information provided by you regarding educational qualification and Kyc details are false
and fabricated your servlce will be termlnated immediately without assigning any reason.

18 You will defend, indemnify and hold Aarvi Encon Ltd harmless from and against any claim that the services, Deliverables or the Inventions
delivered under this contract or Aarvi Encon Limited's use thereof infringe a patent, utility model, industrial design, copyright, trade secret,
trademark or other third party intellectual property right or right of confidentiality in the country where you performs Services, provided
that Comoanv,

19. Upon completion of service or earlier termination of this contract, You shall return to company all data, materials and other work
product. You shall perform all jobs as an independent person, and nothing contained herein shall be deemed to create any association,
partnership, joint venture, or relationship of principal and agent or master and servant, or employer and employee between the parties
hereto or any affiliates or subsidiaries thereol or to provide either party with the right, power or authority, whether express or implied, to
create any such duty or obligation on behalf of the other party, This appointment is on contract basis and you will not have any claim for
permanent placement with Aarvi Encon Ltd and the client.

20 At the time of commencement ofthis contract, you are requested to carryfollowing details/documents with you for submission at the work
place or ensure that these reach our Mumbai office, at the following address for reference and records.
a, Colour Photographs (3 nos. PP size -white background)
b. Proofofsalary drawn from the previous employer
c, Self attested Photocopy of PAN Card,
d. Permanent address & contact details,
e. Bank Account Details.
f. Copies of credentia ls/ed ucation
a I certificates /testimonials.

g The name, relationship, permanent address and land line/cell phone number of the person to be contacted, in case of an
emergency,
h. Filled in FORM ll application
i, TDS Declaration
j. KYC Documents for PFIUAN Allotment details (Mandatory)
k, Police Verification Certificate
Pan number is a must you have to provide details ofthe same whilejoinint. tf you have not applied for a pan card please do so immediately.

21. Any disputes or differences arising between the Employee and Employer with respect to this Appointmentrcontract Terms & conditions, or
any other matter connected with or incidentalthereto, lt should be exclusive underthe arbitration and jurisdiction ofthe Couns of Mumbai.
The venue ofarbitration shall be Mumbai.
22. For whatsoever reason, the Company's Total Liability arising out of the Services to be rendered under this Contracvyour any other actions at
work place and beyond, covering death, partial or minor disabilitt Medical shall not exceed Rs.2,00,000/- .

Request for availing Tax Benefits: Planned investments to avail tax benefits must be informed to Accounts Dept at corporate office, 81-603,
Innova, Marathon Nextcen, G.K. Road, Opp, peninsula park, Lower parel {W), Mumbai-400014.

The receipt showing investment is required to be submitted.

Following are the details for place ofwork:

Normal Working Hours: The service is required for all working days (Monday to Friday) during working hours of client i.e. 09:oo AM to 05:30 pM
(weekly offs on Saturday & Sunday).

Paid l"eave: otherthan regular week offs, you may be allowed regularization ofabsence of casual nature not more than 12 days in a
calendar year
(1day per month). Leave can be granted in units of halfdays. You would also be allowed a grace for late coming by 2 Hours in a month,
which will
not be accumulative in nature.

'fime sheet ptocessing: The number of hours put up by you shall


be booked in clients prescribed timesheets as instructed by client,s officers
supervising the work who will approve the time sheets. You are required to send this approved timesheet to our head offlce at Mumbai bv

every month on mail id timesheet@aarviencon.com.Yours payment will be made based on these timesheet.
