Deed of Conditional Sale

KNOW ALL MEN BY THESE PRESENT

This Deed, made and executed by and between

KRISTEL K. VILLANUEVA , single, of legal age, Filipino, with residence 109A Knights
Road Lower Hutt,Central Wellington 5010 New Zealand duly represented in this Deed by
my Attorney-in-Fact, CINDEL V. MENDOZA and hereinafter referred to as “SELLER”

-and-

Mr. GERARD MOSES LAWAS PALPARAN, of legal age, Filipino and with postal
address at ___________________________________________________________, and duly
represented in this Deed by my Attorney-in-Fact, __________________________________
hereinafter referred to as “BUYER”

WITNESSETH: That

WHEREAS, the SELLER is the owner, in fee simple, of a condominium located at located
at The Residences at Commonwealth by Century, Don Antonio Drive. Brgy Batasan
Hills Commonwealth Quezon City Unit No 0305(Suite-20.700sqm)and covered by CTC
________________________ issued by the __________________________________
and herein referred to as the “Property”;

WHEREAS, the SELLER offer to sells the Property to the BUYER including the
improvements thereof and of fixtures and things found therein as indicated in the List of
Inventory attached herein and that the latter agrees to such offer of the SELLER;

NOW, THEREFORE, for and in consideration of the foregoing premises and of the
covenants hereunder made, the parties do hereby agree and stipulate that:

1. PURCHASE PRICE

The parties agree that the purchase price for the acquisition of the Property including
the improvements and all assets found therein is at SIX HUNDRED THIRTY THOUSAND PESOS
(PHP630,000.00).

2. TERMS OF PAYMENT

The BUYER obligates himself to pay the SELLER the amounts in the following schedule of
payments:

a. The amount of TWO HUNDRED THIRTY THOUSAND PESOS


(PHP230,000.00) shall be paid by the BUYER to the SELLER on MAY 08, 2019.

b. TWO HUNDRED THOUSAND PESOS (PHP200,000.00) shall be paid by


the BUYER to the SELLER on JUNE 20, 2019.

c.TWO HUNDRED THOUSAND PESOS (PHP200,000.00) shall be paid by the


BUYER to the SELLER on JULY 20, 2019 as full payment.

d. For Bank loan purpose, the Parties shall execute a Deed of Sale in order to
effect the immediate transfer of the TCT in the BUYER’S name.
Any provision or Contract to the contarary notwitstanding, upon full payment of the
whole purchase price indicated herein, the Parties shall cause the immediate execution of the
Deed of Absolute Sale to effect the true meaning and intentions of the Parties in this Deed.

3. MISCALLANEOUS PROVISION

The Parties, by executing this Deed, affirm and confirm the contents thereof and admit to
have fully understood the effect and consequence therof.

IN WITNESS WHEREOF, we have hereunto set our hand this _________________ here at
