SMALL COMPANY small company means a company, other than a public company, -
(i) Paid-up share capital of which does not exceed fifty lakh rupees or such
S < 50 Lakhs higher amount as may be prescribed which shall not be more than Ten
AND crore rupees; AND
T < 2 Crores
(ii) Turnover of which as per its last profit and loss account does not exceed
two crore rupees or such higher amount as may be prescribed which shall
not be more than One Hundred crore rupees;
SWEAT EQUITY A company cannot issue sweat equity shares not more than 15% of the
SHARES existing paid up equity share capital in a year or shares of the issue value
of 5 crores, whichever is higher and 25% of paid up Equity share capital of
the company at any time.
EQUITY SHARES The shares with differential rights shall not exceed 26% of the total post
WITH issued paid up Equity share capital including the equity shares with
DIFFERENTIAL differential rights issued at any point of time.
VOTING RIGHTS
ASSOCIATE As per Section 2(6), Associate Company in relation to another company,
COMPANY means a company in which that other company has a significant influence,
but which is not a Subsidiary Company of the company having such
20% influence and includes a Joint Venture Company.
MAXIMUM BUY The Board of Directors can buy back upto 10% of total paid up Equity
BACK Share Capital and Free Reserves of the company by passing Board
Resolution. (Free Reserves includes Securities premium for this section)
25% OF PUSC + FR
(SP) The shareholders can buy back upto 25% of the total paid up Equity Share
Capital and Free Reserves of the company by passing SR in GM. (Free
Reserves includes Securities premium for this section)
WOMEN DIRECTOR The following class of companies must appoint at least 1 woman director on
L its Board :
S = 100 (i) Every listed company;
T = 300 (ii) Every Unlisted public company having :-
(a) Paid-up share capital of Rs.100 or more; or
(b) Turnover of Rs.300 crore rupees or more.
SITTING FEES The maximum sitting fees payable to the each director for attending the
(ALL DIRECTORS) Board Meeting or any committee meeting shall not exceed Rs.1 lakh per
meeting.
ROTATION OF Every Listed Company & following classes of companies excluding one
AUDITORS person companies and small companies:-
(I) all unlisted public companies having paid up share capital of rupees ten
L crore or more;
(II) all private limited companies having paid up share capital of rupees
Fifty crore or more;
PUBLIC “S=10”
(III) all companies having paid up share capital of below threshold limit
PRIVATE “S=50”
mentioned in (a) and (b) above, but having public borrowings from financial
ALL “L=50” institutions, banks or public deposits of rupees fifty crores or more.
The gap between two annual general meetings should not exceed 15 months
whichever is earlier.
Note: No such extension of time shall be granted by the ROC for the holding
of the 1st AGM.
Private companies cannot accept deposits from Public, but it can accepts
deposits from Members only.
APPLICATION FOR If the company has share capital, the application must be signed by –
MISMANAGEMENT (a) At least 100 members of the company or at least 1/10 of the total
number of the members of a company, whichever is less: or
(b) Any member or members holding not less than 1/10 of the issued share
capital of the company.
(b) in the case of a company not having a share capital, not less than one-
fifth of the total number of its members.
(ii) The requisite number of depositors provided in sub-section (1) shall not
be less than one hundred depositors or not less than 10% of the total
number of depositors as may be prescribed, whichever is less, or any
depositor or depositors to whom the company owes 10% of total deposits of
the company as may be prescribed.
(For Listed “Small shareholder” means a shareholder holding shares of nominal value of not
Company Only) more than Rs.20,000/- or such other sum as may be prescribed
ROTATION OF (a) Articles of a public company have the provisions relating to retirement of
DIRECTORS the all directors by rotation.
(b) If there is no provision in the AOA, then not less than 2/3 of the total
number of directors of a public company shall be persons whose period of
office is liable to retire by rotation and eligible to be reappointed at AGM.
MAXIMUM AUDITS An Individual can audit 20 Companies. (No bifurcation of Public and

Remaining tenure of director in whose place alternate director is appointed
or date of Next AGM or Last date on which AGM should have been held;

whichever is earlier;
DAYS OF NOTICE Notice of General Meeting of All companies except Producer Company:
PERIOD & Not less than 21 Clear days before the date of meeting.
SHORTER NOTICE (Clear days means date of sending the notice & date of meeting shall be
excluded & If Notice is sent by Post or Courier, 2 days extra shall be taken)
A general meeting may be called after giving a shorter notice also if consent
is given in writing or by electronic mode by not less than 95% of the
members entitled to vote at such meeting.
Note: This rule shall not apply to a company which has not declared any
dividend in immediately preceding 3 financial years.
(b) Total withdrawal from accumulated profits: The total amount to be drawn
from such accumulated profits shall not exceed 1/10 of the sum of its paid
– up share capital and free reserves as per the latest audited financial
statement.
(c) Setting off the losses: The amount so drawn shall first be utilized to set
off the losses incurred in the financial year in which dividend is declared
before any dividend in respect of equity shares is declared.
(d) To maintain reserve : The balance of reserves after withdrawal shall not
fall below 15% of its paid – up share capital as per the latest audited
financial statement.
